Bose, Secretary Transcontinental Gas Pipe Line Company, LLC Rate Schedule S-2 Tracking Filing Ladies and Gentlemen: Pursuant to section 4 of the Natural Gas Act, 15 U.S.C. 717c, and Part 154 of the regulations of the Federal Energy Regulatory Commission (Commission), Transcontinental Gas Pipe Line Company, LLC (Transco) hereby submits for filing, Fifth Revised Sheet No. 24 to its FERC Gas Tariff, Fourth Revised Volume No. 1. The proposed effective date of the attached tariff sheet is December 1, 2009. Statement of Nature, Reasons and Basis The purpose of the instant filing is to track rate changes attributable to storage service purchased from Texas Eastern Transmission, LP under its Rate Schedule X-28 the costs of which are included in the rates and charges payable under Transco s Rate Schedule S- 2. This filing is being made pursuant to tracking provisions under Section 26 of the General Terms and Conditions of Transco s Fourth Revised Volume No. 1 Tariff. Proposed Effective Date The tariff sheet submitted herein is proposed to be effective December 1, 2009. Transco respectfully requests that the Commission grant a waiver of Section 154.207 of its Regulations in order that the enclosed tariff sheet be made effective as proposed herein. In the event the Commission elects to accept and suspend the revised tariff sheet submitted herein, in accordance with Section 154.7(a)(9) of the Commission s

Materials Submitted Herewith In accordance with Section 154.7(a)(1) of the Regulations, the following material is submitted herewith: (1) The revised tariff sheet and a redlined version of such tariff sheet submitted in the instant filing in accordance with the provision under Section 154.201(a) of the Regulations; (2) As required by Section 154.4 of the Regulations, a diskette copy of the revised tariff sheet labeled TF112009.BSC; and (3) Appendix A which contains the explanation of the rate changes and details regarding the computation of the revised S-2 rates. Appendix A Rate Schedule S-2 effective December 1, 2009 On October 30, 2009, Texas Eastern Transmission, LP (Texas Eastern) filed revised tariff sheets in Docket No. RP10-120-000 to reflect a change in its Applicable Shrinkage Adjustment. Included in the filing are revised rates and fuel retention percentages under Texas Eastern s Rate Schedule X-28 which Transco uses to render service under its Rate Schedule S-2. The Commission issued a Letter Order on November 18, 2009 accepting the revised tariff sheets in Docket No. RP10-120-000, effective December 1, 2009. Appendix A, Schedule 1, details the calculation of the revised S-2 rates effective December 1, 2009.
