The Sweepstakes Period is from 12:00:01 p.m. Eastern Time ( ET ) November 23, 2015 ( Sweepstakes-Start ) to 11:59:59 a.m. ET January 31, 2016 ( Sweepstakes-End ). Eligibility: This Sweepstakes is open only to legal residents residing in the 50 United States, D.C. and Puerto Rico (excluding all other US territories, external commonwealths and possessions) who are 21 years of age or older as of Sweepstakes-Start. Employees, officers, directors, agents, representatives, retailers and their immediate families (spouse, parents, children, siblings and each of their spouses regardless of where they live) or members of household of Alessi USA, Inc. ( Sponsor ), PROMOSFERA S.R.L ( Co- Administrator ), / THE MARKETING AGENCY ( Co-Administrator ) and their respective parent companies and subsidiaries and Sponsor s advertising, design, web design, web hosting, printing, promotion and publicity agencies and anyone connected with the production or distribution of this Sweepstakes (the Sweepstakes Entities ) and employees, officers or directors of any wholesale or retail home goods sales entity are not eligible to enter or be awarded a prize. 3. How to Enter: In-Store: At participating Alessi retailers (see http://www.alessi.com/it/negozi/promozioni for current listing) ask for a Promotion Card for entry details until the close of business hours December 31, 2015. Online: Go to a participating Alessi retailer s website (see http://www.alessi.com/it/negozi/promozioni for current listing) until 11:59:59 pm ET December 31, 2015, complete the request form and a Promotion Card will be emailed to you. To enter: Go to www.alessi.com/winitaly during the Sweepstakes Period and follow the instructions for entering the sweepstakes. You will be asked to click on the name of the retailer where you received your Promotion Card and complete all required fields including first and last names, a complete mailing address including ZIP code and a valid, working email address for which you are the authorized user. Maximum one (1) entry per person or email address during the Sweepstakes Period. All discovered additional entries will be disqualified. Multiple entrants are not permitted to share the same email address. Online entries must be made by an individual from a stand-alone computer device and may not be made by proxy or any electronic/automated means such as script, bot, macro or any other similar software or program. any entrant to obtain more than the stated number of entries by using multiple and/or different identities, registrations, email addresses, logins, or any other methods or artifice will void that entrant s entries, and that entrant may be disqualified at Sponsor s and/or Administrators discretion. You must provide all required information to be eligible to enter and win. Incomplete, corrupted or untimely entries are void and will be disqualified. It is entrant's responsibility to keep his/her email address current and to monitor it because any notifications, including winner notifications, relating to the Sweepstakes will be sent to the email address on file. "Authorized email holder" is defined as the natural person who is assigned an email address by an online email provider, Internet access provider, online service provider, or organization (e.g., business, educational institution, etc.) that is responsible for assigning email addresses for the domain associated with the email address. In the case of a dispute regarding who submitted a particular online entry, the entry will be deemed submitted by the authorized account holder of the email account. Potential winner may be required to show proof of being the authorized account holder of the email to the Sponsor and/or Administrator or forfeit the prize. A potential winner is subject to verification before any prize will be awarded. Sponsor and Administrator not responsible for electronic communications which are undeliverable as a result of any form of active or passive filtering of any kind or insufficient space in entrant's email account to receive email messages. Normal Internet access, phone and usage charges imposed by your online or phone service may apply. 4. Winner Selection: One (1) potential Grand Prize winner and one (1) potential First Prize winner will be chosen in random drawings approximately thirty (30) days after Sweepstakes-End from all eligible entries received during the Sweepstakes Period. In addition, one (1) Second Prize winner will be chosen from all eligible entries related to each participating retailer or online retailer. It is estimated that there will be approximately 70 participating retailers and online retailers in total. Should there be fewer retail participants, the difference between the number of participating retailers and 70 will awarded in random drawings from all eligible entries. No one (1) entrant will be eligible to win more than one (1) prize. All prizewinners will be sent an Affidavit of Eligibility, Liability and (where legal) Publicity Release or some other request for taxpayer identification via email or USPS mail in Administrator s/sponsor s sole discretion and will be required to complete the Affidavit/Notification, have it notarized in the case of the Affidavit and return it within seven (7) days. Failure to do so may cause the prize to be forfeited and another winner may be chosen in random drawings all in Administrator s/sponsor s sole discretion. Grand Prize Winner s travel companion ( Companion ) will be required to execute an Affidavit of Eligibility, Liability and (where legal) Publicity Release (Travel Companion) prior to commencement of travel or s/he will not be permitted to travel. In the event a Companion is not able or permitted (at Sponsor s sole discretion) to travel, for any reason, that portion of the prize may be forfeited without further remedy or compensation, at the Sponsor s sole discretion. Only the number of prizes stated in these Official Rules is available to be won in the Sweepstakes. Should a greater number of prize claims be received because of printing, emailing, phoning, messaging, programming errors or for any reason whatsoever, only the prizes and the values stated in these Official Rules will be awarded at the sole discretion of the Administrator according to these Official Rules. All prizes will be awarded provided they are claimed properly according to these Official Rules. 5. Quantity, Prize, Approximate Retail Value ( ARV ) and Odds: (1) Grand Prize: A 3- night/4-day vacation for two (2) adults including two (2) standard, roundtrip coach airline tickets from/to the nearest major airport to the Grand Prize winner s home to Florence, Italy. Airline(s) will be chosen at Sponsor s direction and there may be stops and plane changes. In addition, the Grand Prize winner will receive four (4) nights double occupancy hotel accommodation in a standard room in a 4-star hotel of Sponsor s choosing; a guided tour of the city and a dining experience, both at the sole subjective discretion of the Sponsor. Winner must submit three (3) desirable travel dates, in order of preference, to Sponsor at least 45 days prior to the earliest desired departure date and understand that space is subject to availability, blackout dates and the terms and conditions of the airline(s), the hotel and the venues. Grand Prize winner will be responsible for all other expenditures not specifically mentioned here, including, without limitation, transportation to/from departure/arrival airports, all meals (except for the dining experience above) and beverages, gratuities, incidentals, personal expenses and travel/medical/baggage insurance. Airline and hotel space are non-transferable, non-endorsable, do not accrue travel points or miles for Winner and cannot be exchanged or refunded for cash. Grand Prize Winner must book travel through Sponsor. All Grand Prize travel must be completed by December 31, 2016 or it will be forfeited in its entirety without any compensation. Grand Prize winner will be asked to supply a valid, major credit card at hotel check-in to cover any expenses not specifically mentioned in these Official Rules. No changes will be made to travel details once any element(s) of the travel arrangements have been booked, except at Sponsor s sole discretion. Sponsor will not replace any lost or stolen tickets, travel vouchers or passes or similar items once they are in the Grand Prize Winner s possession. Once flight arrangements have been confirmed, no changes will be allowed except by Sponsor in its sole discretion. Any unclaimed and/or unused Grand Prize travel package elements will be forfeited by Grand Prize Winner and will remain the property of Sponsor. ARV of Grand Prize: 5.400 (approximately $6,000 at Sweepstakes-Start). (1) First Prize: A - Ducati by Bianchi electric bike (model E-Sport, winner s choice of mens or womens type). Winner will be responsible for all taxes, registration and a drivers license as required by your place of residence and where you intend to drive and for having insurance equal to or greater than required by the winner s state of residence. ARV of First Prize: 2.000 (approximately $2,260 at Sweepstakes-Start). Odds of winning the Grand or First prizes: Dependent on the number of eligible entries received during the Sweepstakes Period. (70) Second Prize - One for each participating retailer): A gift package of Alessi products whose contents are the subjective choice of the Sponsor. ARV of Second Prize: $ 1,000 at Sweepstakes-Start. Should the actual value of a prize be less than the ARV stated in these Official Rules, the difference will not be awarded in cash or kind. Should there be fewer than 70 participating retailers, the difference will be awarded in random drawings from all eligible entries except that no one retailer s entrants nor any individual entrant may win more than two prizes. All taxes are a prizewinner s responsibility and a 2016 form #1099 will be issued to all prizewinners for the ARV of their respective prizes. By accepting a prize, a prizewinner acknowledges that the Sweepstakes Entities have neither made, nor are in any manner responsible or liable for, any warranty, representation or guarantee, expressed or implied, in fact or in law, relative to the prize or regarding the use, value or enjoyment of the prize. All prizes are awarded "as is." 6. General: By participating in this Sweepstakes, you agree to be bound by these Official Rules. Sweepstakes administration and winner selection and verification will be conducted by the Administrators, independent judging organizations, whose decisions are final and legally binding. by Sponsor or the Administrators concerning any aspect of the Sweepstakes, the interpretation of the Official Rules or the determination as to the qualification of entries. Sponsor is not responsible for those who cannot access the Internet or cannot clickthrough for any period of time regardless of technical, hardware, software, telephone, Internet, virus contamination or network problems, or for delay, failure or malfunction for any reason including, but not limited to, lost or unavailable network connections, failed, incomplete or garbled computer or telephone transmissions, typographical or system errors, human errors including, but not limited to, errors by Sponsor s representatives who enter incorrect information into any of their computer systems. Proof of entry is not proof of entry receipt. If, in Sponsor's sole determination, it believes that the integrity of the Sweepstakes has been, or could be, compromised or that the Sweepstakes is not capable of running as planned or fairly, including, without limitation, infection by computer virus, bugs, tampering, unauthorized intervention ( hacking ), fraud, technical failures, force majeure, human error or any other causes beyond Sponsor's control, the Sponsor reserves the right to cancel/terminate, modify or suspend the Sweepstakes and to select the prizewinners from among eligible entries received up to the time of cancellation/termination. Sponsor reserves the right to disqualify any entry from the Sweepstakes if in Sponsor's sole judgment entrant has not complied with these Official Rules. Without limitation, all of an entrant's entries will be disqualified, in the sole discretion of Sponsor, if entrant attempts (i) to enter the Sweepstakes through any means other than as described in these Official Rules; or (ii) provides information that is inaccurate or fraudulent; or (iii) attempts to disrupt the Sweepstakes or circumvent the terms and conditions of these Official Rules. Sweepstakes Entities assume no liability for damage caused to entrant's or any other person's/entity's computer hardware or device, software or communications network, regardless of cause. A Grand Prize Winner s Companion must be a legal resident of the USA at least 21 years of age, or, if a minor, the Grand Prize Winner must be the Companion s parent and/or legal guardian. Grand Prize Winner and Companion must travel together on the same itinerary and are responsible for: (i) all travel documents including, without limitation, visas if required, a valid passport or other identification documents acceptable to U.S. Transportation Security Administration (TSA), the U.S. Government, the Italian Government and any other applicable jurisdiction; (ii) meeting all medical requirements that may apply to the trip; (iii) full compliance with the laws, rules, and regulations of all airlines and venues and (iv) obtaining travel insurance (or any other type of insurance) at his/her option. By being a Grand Prize Winner, you acknowledge that Sponsor has not and will not obtain or provide travel insurance or any other form of insurance. Sponsor, hotels, venues and airlines, as they may apply, have the right to refuse travel to anyone who does not have proper travel documents or who does not comply with all regulations or comport himself/herself properly. The passenger contracts in use by the airlines shall constitute the sole contracts with respect to the Grand Prize Winner's and his/her Companion's transportation and such contracts shall be solely between the Grand Prize Winner, his/her Companion and the airline. Lost, stolen or damaged hotel vouchers will not be replaced or exchanged. In the event Grand Prize Winner and/or Companion engages in behavior during travel that (as determined by Sponsor at its sole discretion) is unbecoming according to local standards or threatening, illegal, or that is intended to threaten or harass any other person, or that in any way disparages or adversely affects the reputation, image, and/or customer goodwill of Sponsor or any of Sponsor s services, products, trademarks, service marks, or logos or contravenes the policies of the hotel, venues or airlines(s), Sponsor reserves the right to terminate the trip early with no further obligation or compensation whatsoever to Grand 11/20/15 Alessi Win Italy Sweepstakes 2015 P. 4/7

Prize Winner and/or Companion (which may, at Sponsor s sole discretion, result in such Grand Prize Winner s disqualification from the Sweepstakes and the forfeiture of any and/or all of the Grand Prize). In the event Grand Prize Winner or Companion engages in behavior during travel that (as determined by Sponsor in its sole discretion) is illegal, tortious or subjects Grand Prize Winner or Companion to arrest or detention, Sponsor shall have no obligation to pay any damages, fees, fines, judgments or other costs or expenses of any kind whatsoever incurred by Grand Prize Winner or Companion. There will be no substitution or compensation for a Grand Prize or part of a Grand Prize forfeited due to Grand Prize Winner's or Companion s non-compliance with travel and venues' regulations or any other reason. No refund or compensation will be made in the event of the cancellation or delay of travel except at the sole discretion of Sponsor. The right to receive a prize is non-assignable and non-transferable and no prize substitution or exchange will be allowed except by Sponsor who reserves the right to substitute a prize (or portion of prize) of comparable or greater value. Sponsor shall have no liability for any personal injuries, death, property damage, or other damages or expenses resulting from or arising out of any use of a prize awarded or any aspect of a winner s acceptance or use of a prize. 7. All federal, state and local laws and regulations apply. These Official Rules are governed by the laws of New York State, without regard to its conflicts of law doctrine. If any provision of the Sweepstakes shall be deemed to violate any federal, state, local or agency law, regulation or ordinance, it shall be amended to conform to such law and all other provisions shall remain in full force and effect. If Sponsor is required by applicable federal, state or local law, regulation or ordinance, or by action of an administrative agency to cease offering the Sweepstakes in any jurisdiction, Sponsor reserves the right to (i) terminate the Sweepstakes in such jurisdiction in its entirety, and/or (ii) cancel and remove from participation in the Sweepstakes any and/or all entries from entrants residing in such jurisdiction, without penalty and without obligation to any Sweepstakes entrants. Sponsor's failure to enforce any term of these Official Rules shall not constitute a waiver of that provision. 8. RELEASES/LIMITATION OF LIABILITY. This permission includes, but is not limited to, the taking of photographs and/or videos by Sponsor's photographer/videographer for publicity purposes, without further consent or compensation, and prizewinner agrees to execute any and all documents requested by Sponsor to convey such rights to own all the results thereof. Nothing contained herein shall be deemed to obligate Sponsor to make use of any of the rights granted herein and prizewinner waives any right to inspect or approve any such use of any and every nature and kind. 10. The Sweepstakes Entities shall not be responsible for technical, pictorial, typographical or editorial errors or omissions in any marketing materials or these Official Rules. 11. Disputes. Entrant agrees that any and all disputes, claims, and causes of action arising out of or connected with this Sweepstakes or the prize awarded and all issues and questions concerning the validity, interpretation and enforceability of these Official Rules shall be resolved individually, without resort to any form of class action, and exclusively in a court of competent jurisdiction sitting in New York County, New York. Any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Sweepstakes, and never shall include consequential, incidental or punitive damages, and in no event attorneys' fees.
