2 PLAST 2015 - GENERAL REGULATIONS This version is a translation compiled solely to assist the comprehension of the original version of the General Regulations in Italian. Only the Italian text is legally binding with regard to relations between exhibitors at PLAST 2015 and PROMAPLAST srl. 1 Organization PLAST 2015 International Exhibition for Plastics and Rubber Industries, at its seventeenth edition, is organized by PROMAPLAST srl in cooperation with FIERA MILANO spa. PLAST 2015 is an event supported by the Italian Ministry of Economic Development, by EUROMAP (Europeʼs Association of plastics and rubber machinery manufacturers), it is an event approved by UFI (The Global Association of the Exhibition Industry) and achieved in the previous edition the official audit of its statistics by ISF (officially acknowledged auditor in Italy). PLAST 2015 Secretariat is at the premises of PROMAPLAST srl: Centro Direzionale Milanofiori - Palazzo F/3 - P.O. Box 124-20090 Assago (MI) - tel. In the period immediately preceding PLAST 2015, the Secretariat operates from the FIERA MILANO spa Fairgrounds: the location and phone and fax numbers are notified to the exhibitors fifteen days before the start of the show. 2 Date, Venue and opening hours PLAST 2015 is held from Tuesday 5 to Saturday 9 May 2015 inclusive, at the FIERA MILANO spa Fairgrounds, in Rho, with entrance from South, East and West gates. PLAST 2015 is open to visitors and the ticket-paying general public, from Tuesday 5 to Friday 8 May 2015, from 10 a.m. to 6 p.m., and on Saturday 9 May 2015, from 10 a.m. to 4 p.m., without any intermediate breaks. Exhibitors are allowed access to the Fairgrounds at the following times: from 8 a.m. to 7.30 p.m. on Tuesday 5 May 2015; from 8.30 a.m. to 7.30 p.m. from Wednesday 6 to Friday 8 May 2015; from 8.30 a.m. to 5 p.m. on Saturday 9 May 2015. Exhibitors have to attend their assigned stand during the opening hours to the public, otherwise the penalties described in article 23 are applied. Children under the age of 18 are admitted only if accompanied by adults, with the mandatory acceptance of responsibility on the part of the accompanying adult. 3 Admitted products The following products, all linked to the plastics and rubber industry and in related sectors, can be exhibited or presented at PLAST 2015: machinery and plant auxiliary equipment moulds, dies and accessories raw materials, regenerated materials and composites semi-finished and end-products specialist press services and related sectors, all regarding the plastics and rubber industry. Products to be exhibited cannot be brought into the Fairgrounds during opening hours to the public. Exhibitors are not allowed to sell products shown directly to visitors or to exact related payment. Sales can only be made in the form of orders, with delivery deferred to a later date. No products on show can be removed from the stand before the show has closed to the public. For all products, machines and equipment, and in particular those exhibited in operation, article 26 of these General Regulations apply, along with all further regulations described in the FIERA MILANO spa Technical Regulations (see articles 20 and 25 of the present General Regulations). 4 Exhibitors from the plastics and rubber industry and from related sectors Companies can exhibit at PLAST 2015 by presenting the duly compiled application form (see article 10). Likewise, the companies publishing specialist press and periodicals, official organizations, associations, institutes etc. can also take part, as long as their activity is performed to promote, support or implement activities connected to or related to the Exhibitionʼs trade sectors and characteristics. In addition, craft-sized companies working in the plastics and rubber industry can also take part in PLAST 2015. The regulations applied to exhibitors as described in these General Regulations are also applied to the companies described in articles 5, 6 and 7, where applicable and unless of specific distinctions. 5 Co-exhibitors Co-exhibitors can also apply to exhibit without booking their own stand but being hosted at an exhibitorʼs stand, in accordance with their manufacturing or industrial agreements. The co-exhibitor has to fill out the obligatory online forms made available by PROMAPLAST srl into a reserved internet area, previous consent by the hosting exhibitor. The admission fee for coexhibitors is euro 1,000.00 + VAT, which entitles said co-exhibitors to: inclusion in the alphabetical list and in the list by product category of the official printed and on-line catalogue (including mobile version) for PLAST 2015, one copy of the printed version, as well as an entrance card for the entire show period (see article 18). Obligatory insurance services are not included (see article 29). A maximum of two co-exhibitors are allowed at the stand of one exhibitor, except in the case of circumstances described by the exhibitor which are taken into consideration by PROMAPLAST srl, whose decision regarding approval or rejection is incontrovertible. Co-exhibitors cannot represent other companies. Co-exhibitors who have not enrolled officially for the Exhibition are not admitted. PROMAPLAST srl and FIERA MILANO spa reserve the right to verify the brands and/or products shown and, in the case that brands and/or products belonging to co-exhibitors who have not enrolled in the Exhibition are found, to remove said brands and/or products, charging the related expenses to the exhibitor renting the stand. 6 Represented companies If some manufacturing companies wish to exhibit at PLAST 2015 by means of their representativeʼs stand, the representative is required to enclose the written agreement from the represented company together with the application form. The representative exhibitor is required to specify, on the obligatory online forms made available by PROMAPLAST srl into a reserved internet area, the names and respective information of all the companies represented and whose brands and/or products are presented on his stand. For each represented company, the exhibitor is required to pay an admission fee of 250 euro + VAT, which entitles the name of the represented company to be included in the official printed and on-line catalogue, including mobile version (under the name of the representative exhibitor in the alphabetical list, and in the specific list of represented companies), and likewise the inclusion of products exhibited in the list by product category (under the name of the representative exhibitor). The fee also entitles each represented company to one entrance card for the period of the show, which is sent to the representative exhibitor (see article 18). PROMAPLAST srl and FIERA MILANO spa reserve the right to verify the brands and/or products shown and, in the case that brands and/or products belonging to represented companies who have not enrolled in the Exhibition are found, to remove said brands and/or products, charging the related expenses to the representative exhibitor. 7 Agents in Italy Foreign companies who book their own stand directly can specify their agent in Italy, if they have one, on the obligatory online forms made available by PROMAPLAST srl into a reserved internet area, enclosing a confirmatory statement by the agent, who is thus included in the alphabetical list of the official PLAST 2015 catalogue at no extra cost, in addition to the company details of the foreign exhibitors themselves. An agent is not allowed to display brands and/or products by other companies, for whom he is also an agent, on the stand rented by the foreign company whom he represents. PROMAPLAST srl and FIERA MILANO spa reserve the right to verify the brands and/or products shown, and in the case that brands and/or products by other companies not officially enrolled at PLAST 2015 are found, to remove said brands and/or products, charging the related expenses to the exhibitor renting the stand. If the agent intends to present, at PLAST 2015, brands and/or products by other companies that he represents, the agent is required to book a stand and to communicate the names of the other companies represented, in the devoted online forms. 8 Participation fee The participation fee for PLAST 2015 is officially determined by PROMAPLAST srl. Taxes and duty that are applicable in accordance with current legislation and with any new legislation that may be introduced will be added as appropriate, and are payable by the exhibitor. If any tax or duty should no longer be payable in the respective financial year as a result of changes in legislation, PROMAPLAST srl will return the corresponding sums that have already been paid. Minimum stand size is set at 16 square metres, except for special circumstances for which the decision on the part of PROMAPLAST srl shall be final and incontrovertible. The following participation fees are applied at PLAST 2015: 210 euro/sqm + VAT, for stands of size 16-50 sqm 200 euro/sqm + VAT, for stands of size 51-100 sqm 190 euro/sqm + VAT, for stands of size 101-200 sqm 180 euro/sqm + VAT, for stands of size 201-400 sqm 170 euro/sqm + VAT, for stands of size over 400 sqm. In the case of fractional square metre assignment, sizes are rounded up. The following surcharges are applied: 1,000 euro + VAT, for stands with two open sides 1,500 euro + VAT, for stands with three open sides 2,000 euro + VAT, for stands with four open sides. Exhibitors can apply for a stand with two, three or four open sides, preferably in the case that they book an area of at least 40 sqm, 80 sqm, or 160 sqm respectively. PROMAPLAST srl is under no obligation to guarantee the supply of space with said characteristics. In the machinery sector, as a result of the standard display grid in the halls of FIERA MILANO spa, PROMAPLAST srl can be committed to assign a stand with two, three or four open sides only if the exhibitor
3 requests an area of at least 100 sqm, 200 sqm or 400 sqm respectively, and on condition that the exhibitor presents the respective application form within the deadline specified in article 11. In the case that, as a result of technical and organizational constraints, an exhibitor is assigned a stand with two or more open sides without these having been requested, and/or with a stand size lower than the minimum specified above, the exhibitor is in any case required to pay the respective surcharge, once the assigned stand is accepted. In any case, surcharges for more than one open side are not applied to stands with a net area exceeding 500 sqm. For stands with a second floor level (see article 20 of these Regulations), there is a charge of 105 euro/sqm + VAT for each square metre of second floor level and exhibitors who intend to install a stand with a second floor level should apply in writing to PROMAPLAST srl by February 10, 2015, stating the exact size of the second floor level. For outdoor area, only whereas technically feasible and upon motvated request by the exhibitor, there is a charge of 105 euro/sqm + VAT for each square metre of outdoor area and interested exhibitors should apply in writing to PROMAPLAST srl by February 10, 2015, stating the exact size of the required outdoor area. Upon balance payment of the participation fee, each exhibitor has to pay a refundable deposit of 1,000 euro (see article 23) and the fee for the All Risks insurance coverage as described in article 29 of these Regulations. 9 Services included in the participation fee For some of the services included in the participation fee, in particular for the various standard services, PROMAPLAST srl and FIERA MILANO spa may appoint third-party suppliers, without responsibility for any inadequacy in the provision of these services, even though maximum consideration is given to an exhibitor who documents the unsatisfactory nature of the services provided by said third-party suppliers. The PLAST 2015 participation fee includes the rental charge for the space and the following services: inclusion of the names of the exhibitor and co-exhibitor in the Alphabetical List and in the List by product category in the Official printed Catalogue for PLAST 2015, including mention of any companies represented by the exhibitor in the devoted spaces; inclusion of the names of exhibitor and co-exhibitor in the Alphabetical List and in the List by product category of the online PLAST 2015 catalogue, including mobile version, within the FIERA MI- LANO spa Expopage Internet portal, which is activated 4 months before the show, including mention of any companies represented by the exhibitor in the devoted spaces; one copy of the Official printed Catalogue for PLAST 2015, available from Monday 4 May 2015; graphic files for general promotion, available for exhibitors who wish to use it; sign with the stand number, which is delivered by FIERA MILANO spa before the end of the mantling period; technical assistance during mantling, the show itself, and dismantling; various standard services owed by PROMAPLAST srl to FIERA MILANO spa, i.e.: cleaning of the stand floor area (including emptying of any rubbish bins present), performed after 7 p.m. from Monday 4 to Friday 8 May 2015; approved fire-extinguisher (a 6-kg powder extinguisher; 1 extinguisher for each 50 sqm area of stand or fraction thereof); electric power (10 kw) for lighting and motive power within the stand, delivered to the standʼs circuit breaker-main switch (excluding internal distribution circuitry and the respective circuits for machinery or equipment), as well as energy consumption; Important: an exhibitor showing plant in operation can increase the electric power supplied for plant without extra cost, only at the conditions detailed in article 11; municipal advertising tax, which the exhibitor would in any case have to pay to the Municipality of Rho for activities that are considered as taxable in compliance with the President of the Republicʼs Decree n 639, 26.10.1972, with successive modifications. As a result of agreements made with the Municipality to the benefit of the exhibition sectors involved, this tax is established as a lump sum according to the total area taken up by the Exhibition, so that exhibitors are not required to perform costly and time-consuming procedures. FIERA MILANO spa in fact pays the respective tax directly to the Municipality of Rho; copyright payable in function of audiovisual installations in the stand, which are subject to taxation. This does not include the rights payable in the case of live performances (with singer and/or musical instruments), for which the exhibitor should pay the duty owed directly to SIAE offices in the city. If the exhibitor wishes to distribute audio, video or multimedia products containing intellectual property, or excerpts from works of intellectual property, protected as regards authorʼs rights in accordance with Law n 633, 22.4.1941, the rights payable should be paid in advance, and the procedures regarding the application of the respective official label to the support must be performed in accordance with article 181bis of the same law. The unauthorized use of intellectual property and the absence of the SIAE sticker on said supports are subject to criminal penalties, in accordance with articles 171 foll. of law 633/41; duty owed in accordance with articles 72 and 73bis, law 633/1941, to the performing artists and the phonographic producers owning the rights for recordings, and the Società Consortile Fonografici (SCF, Recording company consortium) which acts on their behalf. This does not include the rights owed to performing artists and recording companies with respect to the provisions of article 73 of the above-stated law, for the broadcast of recorded music and music videos during fashion shows, and DJ sets with or without dance performance. Therefore, an exhibitor who wishes to organize this sort of event should contact SCF - Società Consortile Fonografici, Via Leone XIII, 14 Milan, in order to complete the procedures specified for this legislation. Also included in the participation fee are the costs absorbed by PROMAPLAST srl for general promotional activities of PLAST 2015, and the advertising, in Italy and abroad, performed by PROMAPLAST srl, including promotion on specialist on-line portals; and likewise the complementary events organized by PROMAPLAST srl (conferences, meetings etc.) before and during the Exhibition, including arrangements made for prospective delegations of professional operators, official representations from Italy and abroad, and speakers and expert guests. 10 Application The application form for PLAST 2015 has to be presented exclusively using the obligatory online forms made available by PROMAPLAST srl into a reserved internet area, to be compiled in full by the exhibitor, then printed, stamped and signed where required and sent to PROMAPLAST srl - Centro Direzionale Milanofiori - Palazzo F/3 P.O. Box 124-20090 Assago (Milan). The forms must be accompanied by the admission fee which partially covers the organizersʼ administrative costs of 300 euro + VAT, and a deposit (downpayment of the participation fee) of 80 euro + VAT per square metre booked.* In case of VAT exemption in accordance with articles 8/8bis/9 of DPR 633/72 and further possible modifications, three declarations have to be enclosed, respectively addressed to PROMAPLAST srl, FIERA MI- LANO spa and FASTWEB spa. PROMAPLAST srl accepts only application forms that are signed by the legal representative of the exhibiting company, compiled in compliance with the provisions of these General Regulations, and that are accompanied by the payment of the admission fee and downpayment of the participation fee. Exhibitors are not allowed to add their own conditions, and/or variations in the conditions of participation, to the application forms. The application form must be considered as an irrevocable proposal made by the prospective PLAST 2015 exhibitor to PROMAPLAST srl and PROMAPLAST srl has the right to accept or refuse the proposal. If PROMAPLAST srl does not accept the application, the sum paid by the prospective exhibitor is promptly returned, without the application of any interest. *From 1 January 2011, according to D.Lgs. n.18/2010 following UE Directive n.8/2008, foreign exhibitors subject to taxation are not subject anymore to VAT on the participation fee for PLAST 2015 (see article 8). However, provisions mentioned in the same article 8 are valid regarding possible newly introduced or re-introduced taxation, following further law modifications. Moreover, exhibitors without a permanent address in Italy can recover Value Added Tax still due on the exhibition's invoices for additional services: for further information, see "VAT Refund" on www.plastonline.org, exhibitors area. 11 Discounts on fees For PLAST 2015 the following discounts on fees (counted upon balance, after the official stand notification) are set by PROMAPLAST srl. a) A 15% discount on the participation fee is granted to exhibitors whose application form as described in article 10 above, correctly compiled and accompanied by the respective admission fee and downpayment with fixed value date on or before 15 May 2014 and with all bank charges paid by the exhibitor, arrives within the same deadline of 15 May 2014. b) Upon condition that the regular application is sent by 15 May 2014, an additional 10% discount is granted to new exhibitors: companies that have never taken part in PLAST before, whether directly or indirectly, who are connected in any way to companies who are already PLAST exhibitors whether directly or indirectly, including the case in which the companies that previously took part at the Exhibition are no longer trading; said new exhibitors, to be applicable for the discount, must not host at their stand companies that have previously exhibited at PLAST, and neither their brands, logos or products. PROMAPLAST srl and FIERA MILANO spa reserve the right to perform checks and to cancel all discounts, charging the respective sums to the exhibitor in the case of noncompliance with this provision; c) Upon condition that the regular application is sent by 15 May 2014, exhibitors who book an area at PLAST 2015 greater than that oc-
4 cupied at PLAST 2012 are entitled to an additional 10% discount, calculated only upon the additional area, under the condition that no other co-exhibitor or represented company are hosted, and neither their brands, logos or products, apart those in case hosted at PLAST 2012. PROMAPLAST srl and FIERA MI- LANO spa reserve the right to perform checks and to cancel all discounts, charging the respective sums to the exhibitor in the case of non-compliance with this provision. d) At PLAST 2015 halls are subdivided by product category, with possible specific theme areas within these subdivisions. This subdivision is defined according to the applications received by 15 May 2014 and it is announced by 30 June 2014. For this reason, exhibitors who have enrolled by 15 May 2014 and who request one or more additional stands to exhibit their products in different halls or sections, making their request even after 30 June 2014 but in any case within 31 July 2014, are entitled to an additional 15% discount on the participation fee, calculated exclusively on the area of the stand of smaller size. As for other discounts, this discount is calculated upon balance and it is added to the 15% discount for applications by 15 May 2014. e) For exhibitors enrolling by 15 May 2014 and showcasing machinery in function at PLAST 2015, the participation fee can be inclusive of the cost of installing motive power exceeding the 10kW already included as described in article 9, both in the case that this power is already available at the circuit breaker-switchboard at the stand, and in the case that extra electrical supply lines are necessary (within the limits of lines that can be installed in the FIERA MILANO spa Fairgrounds), in order to supply further power to the circuit breaker-switchboard within the stand (this excludes internal distribution systems and the wiring required to reach machinery or equipment), on condition that: 1) the exhibitor compiles the respective order forms specifying the power necessary for the individual machines to be displayed in operation and delivers them to FIERA MILANO spa within the deadlines specified in the online FIERA MILANO spa portal, named e-service (https://eservice.fieramilano.it), described in article 19; 2) the exhibitor guarantees that each machine is shown in operation for at least 50% of the time that the exhibition halls are open to the public, unless motivated exceptions for technical reasons; 3) the request is appropriate to the actual operating requirements for the machinery. Important: the conformity of the requests is assessed by PROMAPLAST srl and by FIERA MILANO spa; for requests that are approved, PROMAPLAST srl and FIERA MILANO spa reserve the right to perform checks and to charge the total cost of the power required if differences are detected between the actual use with respect to the power requested (as ascertained at the time that machines are put into operation), and/or if the time for which plant is operating differs with respect to the required operating time as described above, and checked by means of the appropriate inspections. Once a request has been delivered and approved, FIERA MILANO spa determines the amount that may be charged to the exhibitor in the case of electricity misuse (the amount is set at the sum of 14.80 euro + VAT for every kw of power installed beyond the standard 10 kw, in addition to the hire of additional supply lines, if necessary, according to a specific estimate). In any case, the cost of installation of electric power whether this is included in the participation fee or whether the power is charged to the exhibitor in the case of non-compliance with the above stated conditions includes electricity consumption. The discounts and benefits for exhibitors who enrol by 15 May 2014, as described in paragraphs a), b), c), d) and e) of this article 11, are cumulative in the case that the exhibitor falls into one or more of the cases described. However, after the deadline of 15 May 2014, applications do not give right to the discounts above described, in whatever circumstances. 12 Stand assignment Stand assignment is determined by PROMAPLAST srl upon unquestionable judgment, primarily in accordance with the subdivision by the various product sectors at the show, in consideration of the characteristics of the products to be exhibited as declared by the exhibitor in the mandatory online application forms in the website www.plastonline.org and also considering the technical plant within the halls of the FIERA MILANO spa Fairgrounds. The application of these product-classification and technical criteria cannot be guaranteed for exhibitors who fail to send their application form in due time, and likewise for exhibitors who do not compile the mandatory form concerning exhibits and technical needs correctly. The assignment of stands to exhibitors presenting their application after 15 May 2014 is performed in accordance with the spaces that may still be left and that may be available in the PLAST 2015 exhibition halls. PROMAPLAST srl announces stand assignment by means of the reserved area for exhibitors on the website www.plastonline.org. Exhibitors receive the personalized codes necessary to log in this area at a date in accordance with the date on which they presented their application form (by September 2014 for exhibitors who enrolled by 15 May 2014, or later in the case of later enrolment). The definite confirmation of the assigned stand is given by the official notice of stand allocation issued by PROMAPLAST srl and not by the confirmation of acceptance by the exhibitor. For technical and operational reasons, PROMAPLAST srl reserves the right to change the location of stands initially assigned, always in compliance with the subdivision by product at PLAST 2015. A change in stand position of this sort does not entitle exhibitors to withdraw their application, and neither does it entitle exhibitors to any reimbursement for damages of whatever nature. In all cases, exhibitors are not entitled to take legal action against PROMAPLAST srl for damages of whatever nature. Exhibitors are expressly prohibited from sub-letting the stand assigned, or a part thereof. 13 Withdrawal If an exhibitor decides to withdraw his application at PLAST 2015, PROMAPLAST srl acquires the right to retain the sums paid by the exhibitor for whatever reason, and to use the respective area as it wishes. If the exhibitor withdraws after having received the official notice of stand assignment, and in any case after 31 December 2014, the exhibitor is required to pay the entire participation fee. In any case, PROMAPLAST srl has all and every right to take legal action and to sue for damages the exhibitor who has withdrawn, if deemed applicable. 14 Reductions Before the official notice of definitive stand assignment, and in any case before 31 December 2014 in the case that the official notice has not yet been issued, if an exhibitor wishes to reduce the area that was booked on enrolment for PLAST 2015, the deposit paid for the area relinquished by the exhibitor is retained by PROMAPLAST srl as reimbursement for organizational expenses. In any case, requests for reductions of over 15% of the area booked are not accepted. 15 Terms of payment The balance of the participation fee must be paid by the exhibitors within 15 days of receipt of the debit note issued by FIERA MILANO spa, on behalf of PROMAPLAST srl, following the official notice of definitive stand assignment. In the case that such official notice is issued after 31 December 2014, the balance of the participation fee must be paid on receipt of the debit note. By submitting its regular application form, the exhibitor accepts that PROMAPLAST srl, FIERA MILANO spa and FASTWEB spa have faculty to send invoices by e mail to the account mentioned by the exhibitor in the application form itself (for Italian companies preferably by P.E.C., audited e-mail system). The stand, and the technical services requested, are not made available to the exhibitor if the above-stated terms of payment are not followed. Payments for the above-mentioned fees must be made to: FIERA MILANO SPA/PLAST 2015 UBI/Banca Popolare di Bergamo Spa - Milan branch Via Manzoni 7-20121 Milano IBAN: IT49J0542801602000000089995 - BIC/SWIFT: BLOPIT22 with bank expenses to be borne by the exhibitor, or by means of a cheque made out to FIERA MILANO spa. Payments made from outside Italy by Italian or foreign exhibitors must be made in such a way so that any bank expenses be paid entirely by the exhibitor, who has to provide clear instructions for the bank transfer specifying that all charges made by the respective Italian and foreign banks must be paid by said exhibitor. On behalf of PROMAPLAST srl, the holder of the above current account is FIERA MILANO spa, whose registered office is in Piazzale Carlo Magno 1, 20149 Milan, Italy, VAT N. 13194800150. Notice on financial flow track duties: PROMAPLAST srl, by supplying services foreseen in the present Regulations, ensures compliance of all mentioned duties, following article 3 of law 13.08.2010, n. 136 and further modifications, with regard to any exhibitor that is a public body or controlled by a public body or considered as appointing contractor according to said law, or the contractual relation can be cancelled with immediate effects. Said exhibitor has to fill the application form with the mandatory code CIG (identification number of the public tender) or whereas necessary with CUP (sole projec code) concerning underpinning public investment, or the contractual relation can be cancelled with immediate effects. 16 Advertising in the Fairgrounds and on-line advertising With the exception of advertising promotion within the exhibitorʼs stand, other forms of advertising promotion can be performed by exhibitors in permitted forms within the Fairgrounds, as managed by FIERA MI- LANO spa in cooperation with PROMAPLAST srl, and said companies reserve exclusive rights to the management of advertising, even in the case that specialist agencies are also involved, following the guidelines of the portal described in article 19 of these Regulations. Exhibitors can also commission paid advertising insertions in the website www.plastonline.org, and likewise in the Expopage portal run by FIERA MILANO spa in the section dedicated to PLAST 2015, starting from 4 months before the exhibition, following the guidelines made available in due time within the above mentioned portal.
5 17 Official catalogue standard information included, and supplementary information subject to payment PROMAPLAST srl reserves exclusive rights for the publication of the official PLAST 2015 catalogue, even on electronic support and/or further means according to later technical developments, and to the sale of this publication. The catalogue contains the alphabetical list and the list by product category, plans of the Exhibition, other useful information, and paid advertising, bookable by exhibitors using the optional online form, by 31 January 2015. This deadline also marks the deadline after which any further enrolments, or changes in company information and product category for already enrolled companies, are made exclusively on-line, except in the case that PROMAPLAST srl should decide its decision in this regard being final and incontrovertible to publish a supplement to the printed catalogue. Exhibitors and co-exhibitors provide and undersign the data for free inclusion in the alphabetical list and the list by product category, and likewise the orders for additional insertions subject to payment, by compiling the mandatory online forms made available by PROMAPLAST srl into a reserved internet area. Exhibitors and co-exhibitors are required to promptly inform PROMAPLAST srl of any variations that may have occurred for the data provided with said forms, including reference to companies represented by the exhibitor or a possible Italian agent for a foreign company that has booked a stand, whose data are filled in the devoted section of the online application form. Exhibiting companies have sole responsibility for the consequences of failing to provide prompt notification of changes in information (see also article 34 regarding the exhibitorʼs bank details). Exhibitors and co-exhibitors can request free insertion of their company names in the list by product category in correspondence with a maximum of fifteen products listed in the official Index of Exhibits. Exhibitors and co-exhibitors can request that their company name is included in the list by product category in correspondence with a maximum of fifteen further products listed in the official Index of Exhibits, at the cost of euro 50 + VAT for every 5 additional products (the same cost is applied to less than five additional products). Exhibitors that represent other companies have to comply with the same limitations on the listings for products exhibited on behalf of the companies that they represent. Exhibitors and co-exhibitors can request the paid insertion in English only of listings of plant or products that are not included in the official Index of Exhibits, as long as said products are pertinent to the trade sectors covered by PLAST 2015; the rate applied for said extra descriptions, published in the alphabetical list under the company information, is euro 10/word + VAT, with 3 words as minimum, up to a maximum of 30 words. Exhibitors and co-exhibitors who have changed company name or who intend to make reference to brands or other commercial names that they utilize, can request paid insertion in the alphabetical list, with a reference to the current company name, at the price of euro 100 + VAT for every additional company name, brand or initials. Exhibitors and co-exhibitors can request paid insertion, in the alphabetical list, of their company logo, at the price of euro 200 + VAT, undertaking to provide the logo in digital format with the characteristics specified in the devoted section of the online form, by 31 January 2015. Exhibitors and co-exhibitors accept all responsibility as regards orders for the insertion of company or product information that is not pertinent to their business; therefore in no case can PROMAPLAST srl be held responsible for such erroneous insertions. 18 Exhibitor-cards, and cards for mantling-dismantling PROMAPLAST srl supplies free cards, named exhibitor-cards, for employees and representatives of exhibiting companies, for the period of mantling, the show itself, and dismantling, according to stand surface area, up to a maximum of 30 cards: for stands up to 16 sqm: 5 cards from 17 to 50 sqm: 7 cards from 51 to 120 sqm: 12 cards from 121 to 300 sqm: 20 cards over 300 sqm: 30 cards. Exhibitors hosting represented companies in their stand are entitled to one extra card for every represented company enrolled at PLAST 2015 by means of the respective online form. A co-exhibitor is entitled to one free card. Supplementary cards are subject to payment, and can be requested from PROMAPLAST srl by means of the documents listed in article 19 below. In order to gain access to the Fairgrounds and to pass the security checks, the name of the card-owner and the exhibiting company name must be added to all the cards, to be requested after the official stand notification, through the online portal E-Service by FIERA MI- LANO spa, Exhibitor's Cards section. The exhibitor-cards provide access to the Fairgrounds in the periods of mantling and dismantling (see articles 21 and 22), and during the period of the show itself (from 5 to 9 May 2015, at the times detailed in article 2). For access to the Fairgrounds during mantling and dismantling, and in particular for suppliers and/or for contracting companies working on behalf of the exhibitor, other cards are supplied according to requirements. These are specific mantling-dismantling cards, and they can be used only for those periods (and not for the show period itself). After the official stand notification, through the online portal E-Service by FIERA MILANO spa, Logistics-Mantling section, the devoted internet area for pre-registering people, trucks and car that need access during mantling and dismantling is made available. In said internet area, the general plan of the Fairgrounds can be also consulted, including access Gates and Rules about setting up and breaking down. After the confirmation via e-mail is sent, both the exhibitorʼs cards and the barcodes for mantling-dismantling cards have to be printed at the recipientsʼ care and presented at the Gates of the Fairgrounds of FIERA MILANO spa. Exhbitorʼs cards are read through devoted scanners, while barcodes for mantling-dismantling are read through devoted totems, located at Cargo Gates, East Gate and Logistics Office. After being scanned, each barcode is voided and related mantlingdismantling card is released. 19 Portal E-service, mandatory and optional online forms After the official stand notification, the exhibitor receives access via e- mail to the online portal E-service by FIERA MILANO spa (https://eservice.fieramilano.it), including the technical plan of the assigned stand, the description of the utilities supply, mandatory online forms for safety reasons and optional online forms for additional and technical services that might be ordered to FIERA MILANO spa, should these be required. The on-line portal specifies which forms must absolutely be compiled by the exhibitor for technical or safety reasons, and returned to FIERA MILANO spa. If the exhibitor does not comply with these instructions and does not return the mandatory forms within the specified deadlines, FIERA MILANO spa, in cooperation with PROMAPLAST srl, reserves the right to block access to the PLAST 2015 Fairgrounds. The mandatory forms or form sections do not involve any extra costs for exhibitors, except the mandatory INS/Insurance mandatory online form and except in the case of any supplementary requests that they may decide to make when compiling the forms. The on-line portal also provides a summary of the orders made by each exhibitor for PLAST 2015, and instructions for on-line personal accreditation for the exhibitor-cards and the mantling-dismantling cards as described in article 18 above. In addition, exhibitors whose stands are no larger than 50sqm can, if they wish, order a standard stand furnishing system from FIERA MI- LANO spa, which is not included in stand rental rates as described in article 8. The cost per sqm of the furnishing system varies according to the materials and furnishings chosen. Exhibitors can also commission a stand with personalized design from FIERA MILANO spa, and in this case they can request a specific estimate from FIERA MILANO spa. 20 Stand fittings and second floor levels In order to ensure that PLAST 2015 provides a satisfactory overall effect, PROMAPLAST srl has defined the stand fitting rules, in accordance with FIERA MILANO spa. Exhibitors are required to fit up their stands. Each wall has to be refinished as per the rule of the art, including the back-wall. The standard stand height is 3.20 m. For any structure exceeding this height (including second floor levels and only with the exception of displayed products), the exhibitor is required to keep perfectly neutral the exceeding part toward the adjacent stand neighbor. Any trade mark or graphics toward the adjacent stand neighbor has to keep at least 3m distance from the same, unless written approval of the stand neighbor is given and notified by the interested exhibitor in due time to FIERA MILANO spa. In accordance with said rules, stands that are at least 100 sqm in area, in whatever hall at PLAST 2015, can have a second floor level (just one extra floor level). Exhibitors whose stands have an area of less than 100 sqm, if interested in a second floor level, have to send a request in advance to PROMAPLAST srl, assessing feasibility with FIERA MILANO spa. The total area of the second floor level can be at most 50% of the standʼs floor area, with a maximum of 200 sqm of second floor, irrespective of the standʼs floor area. Stands with second floor levels have to comply with this provision of the General Regulations for PLAST 2015, and in addition, they have to comply with the limitations and technical specifications provided by FIERA MILANO spa. These standards, which regard the use and installation of the stands, the safety signs for second floor levels, and so forth, are detailed in the FIERA MILANO spa Technical Regulations and in the supplement titled Regulations for the Assembly of Intermediate Floors in the Exhibition Areas which are part of the exhibitor documentation. These documents can be accessed from the website www.fieramilano.it under PLAST 2015 in the section Trade Fair Calendar, and from the website www.plastonline.org, in the Exhibitors section. Exhibitors are required to comply with the instructions contained in the FIERA MILANO spa Technical Regulations, and, in the case of the construction of second floor levels, they must also follow the additional instructions contained in said specific Regulations.
6 Exhibitors must apply for approval of the design of the second floor level from FIERA MILANO spa by sending the documentation required, and using the specific forms in the on-line portal described in article 19 above, within the deadlines stated in the forms themselves. Once the design for a second floor level area has been approved by FIERA MILANO spa, the administrative offices of FIERA MILANO spa issues a debit note on behalf of PROMAPLAST srl, for the second floor level area (see article 8), which the exhibitor must pay on receipt of said note. 21 Mantling: start and end of work The halls of PLAST 2015 can be accessed for mantling from Monday 27 April to Monday 4 May 2015 (see the Rules about setting up and breaking down published by FIERA MILANO spa in the website www.fieramilano.it under PLAST 2015 in the section Trade Fair Calendar, and in the website www.plastonline.org, in the Exhibitors section), also based on a possible differentiated schedule that is notified to exhibitors at least 60 days before the show starts, if deemed necessary. During mantling, and including the day Friday 1 May 2015, the halls of PLAST 2015 can be used by exhibitors without any extra charges, at the times detailed in the above-mentioned Rules. In the case of specific and documented necessities, exhibitors can request the possibility of starting installation from Sunday 26 April 2015. FIERA MILANO spa assesses the request and, if accepted, no extra charges is applied. Any further advances in the start of mantling is assessed separately, in accordance with the accessibility of the FIERA MILANO spa halls, and the costs to be charged to the exhibitor is notified for the latterʼs approval. Said further exceptions to the start date for installation are possible only in exceptional circumstances. Exhibitors and their authorized suppliers are required to follow the times at which they are allowed to be present in the FIERA MILANO spa Fairgrounds as detailed in the above-mentioned Rules. Failures to follow these rules, whether during mantling or dismantling (see article 22 below) gives rise to penalties as detailed in the FIERA MILANO spa Technical Regulations. Extensions to the times at which mantling and dismantling work can be performed can be requested from FIERA MILANO spa who, in the case that the request is accepted, provides the exhibitor with an estimate for the respective fee, ready for approval by the exhibitor. Exhibitors are required to begin mantling work by Saturday 2 May 2015 at the latest, or to provide justification in writing to PROMAPLAST srl within the same deadline, stating that they intend to begin mantling only during the last two days available, Sunday 3 and Monday 4 May 2015. Otherwise, PROMAPLAST srl and FIERA MILANO spa reserve the right to utilize the stands left unfurnished to construct linking structures as necessary or to install areas of public utility, in order to safeguard the satisfactory appearance of PLAST 2015. In this case, the respective exhibitor can in no circumstances request the reimbursement of amounts already paid, and is required to complete the payment of any sums that may still be owed to PROMAPLAST srl and/or to FIERA MILANO spa. Exhibitors must inform PROMAPLAST srl and FIERA MILANO spa as to the names of the companies (stand fitting contractors, forwarders, etc.) performing work in the stands that have been assigned to them. The right of retention described in article 24 also applies to goods belonging to said suppliers who, in such cases, are considered as being co-debtors with the exhibitor. 22 Dismantling and storage of abandoned goods After the show has ended, stands must be removed from 9 May, starting from 4 p.m., until 13 May 2015, which is the deadline as stated in the Rules as described in article 21 above. If a stand has not been disassembled and cleared by that date, FIERA MILANO spa cannot accept any responsibility for goods and materials, and for whatever is stored in the stands, and it reserves the right to clear the stand and store the materials, accepting no responsibility in these operations, and at the exhibitorʼs expense and risk. After two months, goods that have not been reclaimed can be sold by auction, and the sums received, after having deducted expenses and other costs due to FIERA MILANO spa, are credited to the exhibitor. The fact that an exhibitorʼs materials remain in the Fairgrounds entail the payment of a charge to FIERA MILANO spa for the occupation of Fairgrounds space after the duration of the show itself. 23 Penalties for unattended stand and/or for early dismantling During the times at which the show is open to the public, as described in article 2 above, and for all days of the show, including Saturday 9 May, in particular, the exhibitor must guarantee the presence of staff at the stand assigned, and must not begin dismantling operations (including graphics or products removal, packaging of any material etc.). before the time at which the show closes to the public (4 p.m. on Saturday 9 May 2015). A refundable deposit of euro 1,000 must be paid by the exhibitor when paying the balance of the participation fee. PROMAPLAST srl returns this deposit to the exhibitor by bank transfer within ten working days from the end of PLAST 2015, on condition that staff commissioned by PROMAPLAST srl in cooperation with FIERA MILANO spa have verified that the stand assigned was actually attended until the moment that PLAST 2015 closed to the public, therefore up until 4 p.m. on Saturday 9 May 2015. PROMAPLAST srl e FIERA MILANO spa reserve to produce photographic evidence of any possible breach, including ascertained time of the photo shooting. Any breach of present rule causes immediate loss by the exhibitor of the deposit. 24 Right of retention During the days preceding the end of the show, FIERA MILANO spa provides a summary of all the invoices issued for supplementary services and utilities, and for any other charges. The final account is delivered directly to exhibitorsʼ stands by FIERA MILANO spa. Any claims regarding the list of expenses in this account must be presented to FIERA MILANO spa within ten days after the end of the show or they are not accepted anymore. The payment of the outstanding balance has to be performed by presenting the account at the banks present in the Fairgrounds itself. On payment, the valid Exit tokens are issued and they must be compiled and shown to the Guards at the Fairgrounds gates. Additional Exit tokens can be requested to the Customer Service of respective Hall. For any material which is taken out of the Fairgrounds, a single Exit token must be prepared and presented to the Guards. After the end of the show, PROMAPLAST srl reserves the right, within the limits of law and current regulations, to prevent the exhibitor from removing goods from the Fairgrounds, and likewise the property of any third-party suppliers responsible for the stands and for other work, in the case that the exhibitor fails to comply with the contractual agreements accepted by signature of the application form for admission to PLAST 2015 and specified in these Regulations (article 2756 of the Civil Code), including the relations between the exhibitor and FIERA MILANO spa, and the latter companyʼs suppliers. PROMAPLAST srl and FIERA MILANO spa accept no responsibility for any damage to materials during the possible period in which the right of retention is implemented. 25 Health and safety at work Exhibitors must follow all current legislation applicable, above all the legislation regarding the health and physical safety of employees, including compliance of labor norms, social security and helpful norms, during the entire process, including mantling, the show, dismantling, and all other linked operations. In addition, exhibitors agree to comply and make contracting companies comply with the General Regulations of PLAST 2015 and the FIERA MILANO spa Technical Regulations, as described in article 20 above and all additional sections, with particular regard and carefulness to the exhibitorʼs mandatory compilation of the Unitary Risk Assessment Document (DUVRI) which must also be signed by all contracting companies (stand fitters, forwarders etc.) operating on behalf of the exhibitor for said activities connected to the Exhibition, in compliance with current legislation. The FIERA MILANO spa Technical Regulations, that can be checked in the website www.fieramilano.it under "Exhibitors" section linking to PLAST 2015, must be considered as part of these General Regulations for PLAST 2015, and they contain precaution norms regarding Fairgrounds safety (fire protection, electrical plant, environment protection etc.), excluding the specific norms regarding the activities carried on by the exhibitor or by contracting companies on behalf of the exhibitor (for stand mantling and dismantling, and other related operations), whose verification and compliance remain sole responsibility of the same exhibitor. Missed compliance with safety norms above recalled, in particular when this can affect third parties or the general safety in the Halls, can be immediately sanctioned by FIERA MILANO spa and cause immediate turnoff of the utilities in the stand or the closure of the same stand. Any consequence deriving from missed compliance of any of the above mentioned norms remain sole responsibility by the exhibitor and the contracting companies operating on behalf of the exhibitor. FIERA MILANO spa has right to expel from the Fairgrounds the staff of the contracting companies/autonomous workers operating on behalf of the exhibitor if said staff is not bearing the expected identification badge in accordance with artt. 18, comma 1, lett. u), 21, comma 1, lett. c), 26, comma 8 of D. Lgs. 81/08 and the extra EU staff even with said badge, if the same is not able to show a valid and readable identification card or residency permit. FIERA MILANO spa reserves to apply a penalty of 10,000 euro to the company in charge of the stand where the worker fails to observe preceding norms (should this be exhibitor or a contracting company). If this claim is addressed to a contracting company, FIERA MILANO spa provides timely notification to the appointing exhibitor. The conformity to all existing norms of all that is arranged and realized, at the exhibitor's care or on behalf of the exhibitor, within the assigned stand concerning stand fittings, structures, plants, exhibits and related activities remains sole responsibility by the exhibitor.
7 Exhibitors are required to appoint the "stand safety supervisor" for the stand assigned, whose responsibility toward any interested party includes compliance with the respective legislation regarding accident prevention at the workplace and all related activities carried on by the exhibitor or on behalf of the exhibitor, for the entire duration of the exhibitorsʼ presence in the Fairgrounds. At own discretion and under full exhibitor's responsibility, the "stand safety supervisor" can be also physically different for each of the three periods (mantling, the show itself, dismantling). The name of the "stand safety supervisor" and related references including direct phone numbers must be reported into the online mandatory admission forms. Any possible variation or integration must be notified to FIERA MI- LANO spa before beginning of mantling or before workers and materials gain access to FIERA MILANO spa Fairgrounds. In the case that an exhibitor fails to nominate or update the "stand safety supervisor", responsibility for safety is resting entirely with the legal representative of the exhibiting company assigned to the stand, during the entire range of activities connected to the show, and therefore stand mantling, the period in which the show is open to the public, the dismantling of the stand, and all other related activities. Access to the stand by contracting companies operating on behalf of FIERA MILANO spa for the supply of services occurs only in presence and after authorization of the "Stand safety supervisor", with the only exception of safety and security staff operating within the Fairgrounds. 26 CE safety mark Patents Machinery in operation The machines and products exhibited must be built or manufactured by the exhibiting companies and/or by represented companies, who have enrolled at PLAST 2015; said products must comply with CE standards and with the respective safety marks. Machinery or products without the CE mark, for example prototypes, can only be exhibited if they are accompanied by notices stating that the machinery or products can be sold only after having received authorization to apply the CE mark. PROMAPLAST srl reserves the right to perform checks on this aspect. Machinery or products that do not comply with these conditions can be expelled or removed from the stand, at the exhibitorʼs expense and risk. Exhibitors cannot present, on their own stands, machinery or products that are in conflict with patents belonging to a third party. Should a third party come into knowledge of a violation of this type, it is possible to consult with the specific office in the Fairgrounds in order to initiate the patent dispute. The party promoting this action must also notify PROMAPLAST srl. However, PROMAPLAST srl cannot take any prohibitory actions with regard to the party apparently responsible for the violation, and a final decision in this regard can be taken only by the authorities entitled to pass judgment in this area. However, an exhibitor who, following notification of a patent dispute, is finally deemed to be responsible for the violation by the respective authorities is excluded from successive editions of the Exhibition. Machinery is permitted to operate during the opening times of the show, or occasionally during said times, as long as this operation complies with all current safety norms, accident and fire prevention legislation, and within the existing limits of acoustic disturbance allowed into job environments. In any case, PROMAPLAST srl and FIERA MILANO spa are exempted from any and all responsibility for any types and extent of damage caused by the machines displayed. 27 Damage caused by the exhibitor The exhibitor is responsible for all damage caused to fittings, plant, equipment and goods on show, and to the structures and plant in the halls of FIERA MILANO spa. The exhibition area assigned to each exhibitor at PLAST 2015 must be returned in the same conditions in which it was consigned to the exhibitor. Any expenses incurred by FIERA MILANO spa in order to repair any changes that the exhibitor may have made, and any damage caused, are payable entirely by the exhibitor. 28 Declaration of value Exhibitors and co-exhibitors are required to declare the overall actual value of goods, machinery, fittings and equipment that they intend to bring into the FIERA MILANO spa Fairgrounds, including the equipment brought on behalf of the other represented companies that may be hosted in the stand. This declaration is made using the mandatory form INS/Insurance supplied by FIERA MILANO spa with the on-line portal E-Service. If the value of the goods is not notified, it is assumed that the exhibitor accepts the minimum values as described in the following article 29, a), 1. In the case of accident, if there is a difference between the value declared by the exhibitor or co-exhibitor and the value of the goods exhibited, the insured value is in any case that declared by the exhibitor or co-exhibitor. FIERA MILANO spa retains the right to verify the validity of exhibitorsʼ and co-exhibitors' declarations. In any case, the provisions of article 1907 of the Civil Code apply as regards the eventual application by the insuring company of the principle of proportionality in reimbursement of damage. 29 Insurance a) All Risks Policy Exhibitorsʼ goods (excluding terrorism and sabotage) 1. PROMAPLAST srl and FIERA MILANO spa require that goods, materials, fittings and equipment that exhibitors and co-exhibitors bring into the Fairgrounds be covered by an All Risks insurance policy, with the clause of redress renunciation towards third parties, in which exhibitors waive all rights to claims against them, including Fondazione Fiera Milano, FIERA MILANO spa, companies linked to them, PROMAPLAST srl, and third parties involved in the organization of the Exhibition. The insurance coverage for a maximum cover of euro 40,000 is provided through FIERA MILANO. The respective cost of euro 135 + VAT is charged to the exhibitor and the co-exhibitor by PROMAPLAST srl within the invoice for the balance of the participation fee. The exhibitor and co-exhibitors can increase the maximum cover by compiling the respective form provided by FIERA MILANO spa with the on-line portal E-Service described in article 19. In this insurance, there is an uncovered amount of 10% for each instance of damages, in the case of theft, with a minimum of euro 400, which is doubled after the end of the PLAST 2015 show period (Saturday 9 May 2015 at 4 p.m.). 2. If the exhibitor and the co-exhibitor have their own All Risks cover for goods, machinery, equipment and fittings brought into the FIERA MILANO spa Fairgrounds, specifically valid for trade shows and exhibitions, with the clause of redress renunciation towards third parties including Fondazione Fiera Milano, FIERA MILANO spa, companies linked to them, PROMAPLAST srl, and third parties involved in the organization of the Exhibition, said exhibitor and co-exhibitor must return in any case the respective form duly compiled and signed, enclosing declarations signed by the exhibiting companyʼs legal representative and the legal representative of the insurance company in which it is certified that the above-stated goods are covered with an All Risks policy with a maximum cover that is not less than the cover specified in this article (as per the sample declaration included in the INS form, provided by FIERA MILANO spa with the on-line portal described in article 19). In this case, PROMAPLAST srl issues a credit note that compensates for the invoice issued for the cover as detailed above. b) Third party insurance policy This insurance coverage is provided by FIERA MILANO spa for all exhibitors, who are automatically included, without any additional costs, in its overall policy for maximum cover that is not less than euro 100,000,000.00 (100 million). Notice on limited liability: FIERA MILANO spa and PROMAPLAST srl do not accept any responsibility for consequential damage, damage to image, loss of sales etc. Likewise, in the case of direct damage, the exhibitor accepts that the liability of FIERA MILANO spa and PROMAPLAST srl is limited to the values of the goods present in the PLAST 2015 Fairgrounds, as per article 28 of these General Regulations. The exhibitor and co-exhibitor explicitly accept these limits of liability through submission of their regular admission forms. Important: the values in euro shown in points a) and b) apply only at the time of printing of these General Regulations, and they are subject to increase or decrease in 2015, with advance notice of variation provided to the exhibitor by PROMAPLAST srl. 30 Complaints Any complaints must be notified in writing by the exhibitor responsible for the stand to PROMAPLAST srl, which assesses each complaint, identifying responsibilities, in cooperation with FIERA MILANO spa in the respective competence areas, and taking the final and indisputable decisions in the best interest of the Exhibition. 31 Arbitration Any dispute that should arise regarding the interpretation, implementation and resolution of these General Regulations and the FIERA MI- LANO spa Technical Regulations is settled exclusively by an arbitration committee consisting of three arbitrators, of which the first two are nominated one by each party, and the third by the first two. In the case that one of the two parties does not nominate its respective arbitrator, and after ten days have passed from receipt of the request to nominate an arbitrator notified by recorded delivery letter, the arbitrator is nominated for the respective party by the President of the Court of Milan. In the case that the two arbitrators cannot reach agreement on the nomination of the third arbitrator, or if the third arbitrator has not been nominated within 30 days from the nomination of the two arbitrators, the President of the Court of Milan proceeds to nominate the third arbitrator on request by the first party to make the request. The arbitrators reach their decision by means of unrestricted and amicable discussion, without the necessity to follow specific procedures, and following the adversary principle of hearing both sides, if necessary reaching a compromise decision; their decision, reached according to the principles of law, is considered as wholly substituting the wishes of the two parties, who accept the decision as if it had been taken by the two parties directly, including the provisions regarding the expenses of the arbitration. The arbitrators must accept their nomination within 10 days from no-
8 tification, and their decision must be issued within the next 90 days, unless this period is extended by agreement of the two parties concerned. 32 Cases of force majeure and decisions by superior forces As a result of reasons beyond their control or as a result of decisions by superior forces or in cases of force majeure, PROMAPLAST srl and FIERA MILANO spa can request from the respective authorities the possibility of changing the date of the Exhibition, reducing or extending its duration, and changing the opening times of halls during mantling, the show itself and dismantling. In such exceptional cases, exhibitors do not have the right to request the cancellation of the contract that they have entered into by compiling the application form for PLAST 2015. If, for the above-mentioned reasons, PLAST 2015 should not take place, the available sums of money, after PROMAPLAST srl and FIERA MILANO spa have settled the sums owed to third parties, are subdivided amongst the exhibitors in proportion to the payments made by each exhibitor. In all these cases, the exhibitor cannot and must not hold PROMAPLAST srl and FIERA MILANO spa liable for damages, for whatever reason and in whatever context. 33 Termination clause expressed PROMAPLAST srl is entitled to terminate the contract by means of written notification to the exhibitor in the following cases: a) the exhibitorʼs failure to pay the invoice for the balance of participation fee within the deadline as in article 15 above; b) the exhibitorʼs declaration of bankruptcy, or his involvement in insolvency proceedings; c) the exhibitorʼs failure to comply with the procedures detailed in article 25 above. In the case that the contract be terminated in accordance with this clause, PROMAPLAST srl is exempted from all its contractual obligations, and all the money already paid by the exhibitor is retained as reimbursement for the organizational costs sustained by PROMAPLAST srl. In addition, PROMAPLAST srl is entitled to take each and every form of legal action in order to recover the sums that may still be owed and to compensate any further possible damages. 34 Personal data processing All the company and product information supplied by the exhibitor with the application form, and successively after its acceptance, is entered into a digital database by PROMAPLAST srl operated in function of its trade fair and promotional activities, for the purposes applicable in relation to the participants at said trade fairs. The exhibiting companies supplying this information have the rights specified by the provisions of Legislative Decree 196/03, with particular reference to article 7 of this Decree and any successive modifications. Mr Mario Maggiani is responsible for data treatment as regards PROMAPLAST srl. After the application form has been accepted, the exhibitor is required to notify PROMAPLAST srl promptly of any changes in the company details, product information etc. provided in the application form, and including the companyʼs bank details which may be used by PROMAPLAST srl for possible payments and reimbursements at the settlement of final accounts. The exhibiting company submitting the regular application form has sole responsibility for the consequences of failing to up-date said information. 35 Unconditional and binding acceptance of the PLAST 2015 General Regulations and the FIERA MILANO spa Technical Regulations By presenting the application form, the exhibitor and the co-exhibitor unconditionally accept these General Regulations for PLAST 2015, the FIERA MILANO spa Technical Regulations and any later additional provisions that may be adopted by PROMAPLAST srl and FIERA MILANO spa in the interest of PLAST 2015, and which must be automatically and unconditionally accepted as part of these Regulations to all effects and purposes. On presenting the application form, in accordance with and by effect of articles 1341 and 1342 of the Civil Code, the exhibitor and the coexhibitor acknowledge and expressly accept the articles 2-3-4-5-6-7- 8-9-10-11-12-13-14-15-16-17-18-19-20-21-22-23-24-25-26-27-28-29- 30-31-32-33-34-35.
