CO-OP ADVERTISING RULES & GUIDELINES Advertising is a key piece of any successful marketing strategy, and Sage Oil Vac will work with dealers for cooperative advertising programs under the following provisions: 1. Sage Oil Vac s financial participation will be in proportion to our presence in the ad. Dealer name and address is required. 2. The Sage Oil Vac co-op advertising budget is $1000 for the first year after the dealer agreement is signed. After the first year, the Sage Oil Vac annual budget will be $500 plus 3% of net sales for the last 12 months with Sage Oil Vac. Budget is on an annual basis, not per ad. 3. Original proof of performance (tear sheet) and a copy of the paid invoice must be submitted to Sage Oil Vac within 90 days from the date the ad was published. No reimbursement will be given after 90 days. 4. Artwork must be approved by Sage Oil Vac. 5. Sage Oil Vac will supply the dealer with artwork if requested. 6. Sage Oil Vac or the dealer can make contact with the publication. EXCLUSIONS Costs associated with advertising agency fees, photographic or production costs, transportation or late payment fees will not be eligible for reimbursement. To qualify, dealers must have ordered and been shipped new Sage Oil Vac equipment in the current or previous calendar year. 1. Sage Oil Vac will participate on a 50/50 co-op basis on all print ads that feature Sage Oil Vac Lube Equipment. 2. When Sage Oil Vac Lube Equipment is featured with other equipment lines, Sage Oil Vac will pay only for the amount of space dedicated to SOV Equipment. For example, if SOV Equipment takes up 1/8 page of a full page ad Sage Oil Vac will cover 1/16 of the cost of the ad. 3. Maximum co-op reimbursement amount to the Retail Distributor will be as follows: Reimbursement maximums to run concurrently with the fiscal year (Jan. 1 Dec. 31). When the maximum amount has been reached, submissions for the co-op program will not be accepted until the next fiscal year. 4. Pricing policy: Equipment ads including pricing will only be reimbursed if the Sage Oil Vac Manufacturers Suggested Retail Price (MSRP) is used. PG. 6 2016 DEALER SAGEOILVAC.COM

Multiple Dealer Listing Ads: Sage Oil Vac will not participate on a 50/50 co-op basis on advertisements that include multiple dealer listing unless they are pre-approved in writing by corporate. 6.
