Vista Outdoor Operations, LLC. invites active dealers who are willing to commit to our brands and highlight our promotions. In return, we provide world-class sales and marketing support to help you move product off your shelf and build customer loyalty. Premium Partners As an Official Vista Outdoor Operations, LLC. Premium Partner, you have the opportunity to develop your business, create a successful advertising campaign, tailor your business with effective point-of-purchase materials, sales incentives and more. The goal is to support our independent dealers in every way possible. Vista Outdoor Operations, LLC. Co-op Drives Traffic and Grows Sales! Vista Outdoor Operations, LLC. is serious about helping Premium Partner dealers be more competitive in the marketplace. We have improved our Co-op program so that you can advertise more often and market your dealership. Depending on your membership status, Vista Outdoor Operations, LLC. has a Co-op plan designed for you. PROGRAM PARTICIPATION Eligibility Any Brick and Mortar dealer who is authorized to sell Qualifying Vista Outdoor Operations, LLC. brand products directly to the end user and whose account is current is eligible for co-op participation. Co-op Funds will not be accrued or available for use for dealers who have past due balances to Vista Outdoor Operations, LLC. for product purchases, or other past due sums, at the time Co-op Funds are due to be paid. Suspension or termination of participation Vista Outdoor Operations, LLC. or its designee may, in its sole discretion, suspend or withdraw a dealer s eligibility from the Premium Partners program and forfeit any and all accrued Co-op Funds for submitting false claims for use of Co-op Funds, past due balances, breaching the terms of other agreements with Vista Outdoor Operations, LLC., or failing to abide by the terms and conditions set forth herein. Vista Outdoor Operations, LLC. reserves the right to amend or cancel this Program at any time with 90 days notice. ACCRUAL OF Vista Outdoor Operations, LLC. CO-OP FUNDS Accrual Period Vista Outdoor Operations, LLC. Co-op Funds accrue only between January 1, 2015 ( Commencement Date ) and December 31, 2015 ( Accrual End Date ) ( Accrual Period ). PREMIUM DEALERS: After $125,000 in qualifying purchases from the commencement date, premium dealers accrue Co-op funds at a rate of two and a half percent (2.5%) on future qualifying ammunition and accessory brands, and one percent (1%) on future qualifying purchases of firearms brands made before the end date.
2 Qualifying Purchases Purchases of the following Vista Outdoor Operations, LLC. ammunition and accessory brands ( Vista Outdoor Operations, LLC. Brands ) qualify toward Vista Outdoor Operations, LLC. Co-op Funds: FEDERAL PREMIUM WEAVER RCBS BLACKHAWK! CCI GUNSLICK PRO SPEER OUTERS ALLIANT POWDER ESTATE CARTRIDGE BLAZER CHAMPION SteveNs Bushnell Primos Tasco Butler Creek REDFIELD & SIMMONS MOUNTS Simmons Optics Night Optics Millett Hoppe s Uncle Mike S Final Approach GunMate Gold Tip FUSION Savage Arms All accrued co-op dollars can be spent on any of these respective brands. Ammunition accruals include Lake City Ammunition purchases. Co-Op Fund Balances Co-Optimum Marketing Support Services maintains fund balances for all Eligible Vista Outdoor Operations, LLC. dealers. Accrual of Co-op Funds are calculated on a monthly basis based on prior month qualifying purchases. Accruals on qualifying purchases from Vista Outdoor Operations, LLC. Buy Groups are computed automatically. Qualifying purchases from Vista Outdoor Operations, LLC. distributors require submission to Co-Optimum of valid, dated and unaltered copies of purchase invoices or wholesalers printouts documenting the Qualifying purchases. Statement of Fund Balances can be viewed online through the Vista Outdoor Operations, LLC./Co-Optimum Co-op Website at Vista Outdoor Operations, LLC. Co-op representatives can also provide fund balances by phone to Eligible and properly identified dealers by calling, toll-free: Co-Op Fund Ownership Vista Outdoor Operations, LLC. Co-op Funds are owned by Vista Outdoor Operations, LLC. until such time as the funds are reimbursed by Vista Outdoor Operations, LLC.. USE OF Vista Outdoor Operations, LLC. CO-OP FUNDS Advertising Period Co-op Funds must be used for Eligible Advertising during the Accrual Period. Funds not used during the Advertising Period are forfeited, and cannot be carried over for use in the future. Eligible Advertising Co-Op Funds may not be used for any purpose other than Eligible Advertising. In particular, Co-op Funds may not be used to pay Vista Outdoor Operations, LLC. invoices or for any other purpose. Deductions from an Vista Outdoor Operations, LLC. or an Vista Outdoor Operations, LLC.-owned company invoice are strictly prohibited, and may lead to dealer s disqualification from Program participation. Vista Outdoor Operations, LLC. (or its designee) reserves the sole right to determine Eligibility. Eligible Advertising must be in one of the Media Types listed under Submitting Claims For Reimbursement below. Examples of ineligible activities/expenses include yellow pages advertisements, fees for mailing list acquisition, agency fees, production costs, talent fees, commissions and sales taxes. In addition to the other requirements set forth herein, Eligible Advertisements require the following: Advertisement must contain proper and current Vista Outdoor Operations, LLC. Brand logo and product illustration. Vista Outdoor Operations, LLC. brands and products produced and endorsed creative materials are available through and NOTE: The Corporate Vista Outdoor Operations, LLC. logo must never be used in dealer advertisements.
3 Vista Outdoor Operations, LLC. Brand products must be clearly separated from other manufacturers products (e.g., border or white space). Broadcast media requires a minimum of three exclusive (3) Vista Outdoor Operations, LLC. Brand mentions, and at least as many mentions as the dealer s name. Advertisements must be in good taste and reflect favorably on Vista Outdoor Operations, LLC. Brands. Some advertising requires pre-approval, as noted below. It is the dealer s responsibility to ensure that all advertisement and promotions comply with applicable state, local and federal laws and regulations, and with products being depicted in a safe and appropriate manner. Vista Outdoor Operations, LLC. expressly disclaims any liability or responsibility for any advertising or promotion conducted by a dealer. Dealer agrees to defend, indemnify and hold Vista Outdoor Operations, LLC. (including its affiliates and subsidiaries) harmless from any and all claims, causes of action, damages, fines, penalties, settlements and other losses (including reasonable attorneys fees) arising out of Dealer s advertisements or promotions. Reimbursement Eligible Advertising submitted by proper Claim will be Reimbursed by check up to the balance of currently available Accrued Co-Op Funds as follows: 100% reimbursement for the amounts attributable to the portion of Eligible print Advertisements displaying an Vista Outdoor Operations, LLC. Brand. 50% reimbursement for the amounts attributable to the portion of pre-approved Eligible electronic/digital Advertisements displaying an Vista Outdoor Operations, LLC. Brand. Prior approval is required for electronic/digital advertising by calling Vista Outdoor Operations, LLC. Retail and Rep Services at Reimbursement cannot exceed available funds. Claims in excess of the available balance will be paid up to the amount available. Pending balances will expire at the close of the program year. All claims for reimbursement are subject to verification by Vista Outdoor Operations, LLC. or its designee, whose determination of the value or acceptability of any claim shall be final. Vista Outdoor Operations, LLC. reserves the right to recover Reimbursed Co-Op Funds if it later determines that that any of the terms and conditions of this Program have not been satisfied. Pro-Rating Advertising Costs Reimbursement is based on the audited value of the Vista Outdoor Operations, LLC. Brands share of advertisements as determined by Vista Outdoor Operations, LLC. or its designee. PRINT MATERIALS: If an advertisement is not exclusive to Vista Outdoor Operations, LLC. Brands and products, Vista Outdoor Operations, LLC. will only reimburse for the prorated portion of the advertisement dedicated to Vista Outdoor Operations, LLC. Brands and products, the portion of which must be clearly separated from other products within the advertisement by a border or white/blank space with the brand(s) logo present. BROADCAST ADVERTISING: All broadcast advertising (radio, TV, Cable) must mention Vista Outdoor Operations, LLC. brands at least as often as the dealer name is mentioned, and no fewer than three (3) times in any advertisement. Broadcast advertising must be exclusive to Vista Outdoor Operations, LLC. Brands and products to be eligible for reimbursement through the Vista Outdoor Operations, LLC. Co-op Advertising Program. DIGITAL ADVERTISING: Subject to advance review and determination by calling
4 CLAIMS FOR REIMBURSEMENT Submitting Claims All claims for Reimbursement ( Claims ) must include a completed Vista Outdoor Operations, LLC. Co-Op Advertising Claim Form. Dealers may obtain additional copies of Vista Outdoor Operations, LLC. Co-op Claim Forms on-line at Outdoor Operations, LLC..co-optimum.com or by calling the Vista Outdoor Operations, LLC. Co-op Help-Line at Co-Optimum Marketing Support Services at: If applicable, Claims must also include a copy of a prior approval authorization and any required Documentation specified below. Claims must be postmarked no later than 90 days after the last run date of the Eligible Advertisement. Late Claims will not be subject to Reimbursement. Vista Outdoor Operations, LLC. or its designee will verify dealer-submitted documentation to determine advertising Eligibility, in its sole discretion. The additional documentation must be postmarked no later than 90 days after the date on the mailed notice. Additional documentation received after this deadline will be ineligible for payment. Claim Documentation Claims for Reimbursement require the following documentation: Media Type Newspaper, Magazines Required Documentation Completed Co-op Claim Form Paid media invoice showing net costs, including any discounts Direct Mail, Inserts, Flyers, Catalogs Original, full page tearsheet or etearsheet for each ad run (photocopies are not accepted) Completed Co-op Claim Form Original, complete sample of entire direct mail piece or insert Paid printing and distribution invoices Radio, Television U.S. Postal Service delivery receipt (if applicable) Completed Co-op Claim Form Original, paid station invoice showing net costs, including any discounts (production costs are not eligible) Notarized affidavit of performance stating exact dates and time each spot aired Notarized original script in station format OR DVD of spot with opening slate

Retail and Rep. Services prior-approval Completed Co-op Claim Form, with copy of Vista Outdoor Operations, LLC. Retail and Rep. Services prior-approval Web Banners: Image of the web banner in-place on the website, with URL visible, and an image of the click-through landingpage Pay-Per-Click: Complete performance report including keywords and cost of keywords in original vendor format
6 SUBMITTING REQUESTS FOR APPROVAL Vista Outdoor Operations, LLC. and Co-Optimum offer prior-approval of proposed dealer advertisements without charge. Prior-approval is encouraged, but is not mandatory except as noted above and for Outdoor, Digital advertising, and Promotional Items. Where to Send Your Prior-Approval Request To obtain prior-approval, please complete the appropriate Prior-Approval Request form and submit it online via the Vista Outdoor Operations, LLC. Co-op Website. Prior-approvals may also be submitted by and fax.* *Note: Billboard prior-approval requests must be ed to the specific address noted on the Advertising Prior Approval for Billboards form.
