AN INTRODUCTION TO THE FIRM

In 1946, six distinguished lawyers had the VISION to regard the law as a global profession and the courage to create a firm dedicated to the concept that legal excellence can be achieved only when lawyers in a firm cooperate in their practice rather than compete. In so doing, the founders of Cleary Gottlieb created an environment where COLLEGIALITY, TRUST and RESPECT are the guiding principles under which we work all over the world today. 2 CLEARY GOTTLIEB STEEN & HAMILTON LLP

Our Culture When I was interviewing, there were a number of firms that did great work for high-profile clients but I had a gut feeling that Cleary seemed like a better fit for me in terms of the people and the culture. Working in a collaborative environment with extremely smart and talented people with diverse backgrounds and outside interests makes all the difference in the world in terms of your day-to-day happy quotient and long-term career satisfaction. Chantal Kordula, Partner CLEARY GOTTLIEB STEEN & HAMILTON LLP 2

Cleary Gottlieb is in a category of its own every single lawyer that we come across has been committed to the work, and they give an opinion because they have thought it out and it holds and stands the test of time. Chambers Global, 2015 A Focus on Excellence We do this in matters that range from the routinely complex to the frequently groundbreaking. Clients trust us to handle their most challenging assignments, whether large corporate transactions, bet-the-company litigation matters, or cases of first impression. Our work is rarely easy, but we believe you will find it interesting and rewarding. Our lawyers often say that what attracted them to Cleary Gottlieb is the opportunity to work on high-profile cases and transactions where the stakes are the highest and where their talents can make a difference in the outcome of a case or the successful completion of a deal. In 2014, for example, Cleary Gottlieb was ranked in the top five of Law360 s annual Global 20 survey, which is a ranking of the law firms with the greatest global reach and expertise. The firm has been near the top of the list every year since 2011, when the survey was first conducted. Cleary Gottlieb ranks at or near the top of every list measuring law firm success, including Vault, Chambers, The American Lawyer and its Diversity Scorecard, and the Financial Times U.S. Innovative Lawyers report. 3 CLEARY GOTTLIEB STEEN & HAMILTON LLP

Everything we do is ultimately focused on delivering first-rate services to our clients, who come to us for their most demanding matters. Job one is to get it right. Steve Wilner, Partner CLEARY GOTTLIEB STEEN & HAMILTON LLP 4

I ve been fortunate to have very good mentors. It s not that I worked with them every day, but they would talk to me, give me guidance and, more generally, I would be able to talk with them as issues came up, and I found that very helpful. Robin Bergen, Partner 5 CLEARY GOTTLIEB STEEN & HAMILTON LLP

Professional Freedom, Senior Guidance You will receive more than a handshake and an orientation package when you arrive at Cleary Gottlieb. You will start a relationship with an assigned mentor, an experienced lawyer who can guide you through professional and personal life at the firm. Even more important, though, is the day-to-day mentoring you ll receive working with senior lawyers, advising clients and participating in firm life. And when you choose the practice that will become your specialty, you ll have additional opportunities to connect with mentors. Lawyers working in the same group take the time to help each other in meetings, at lunch, in the hallways. Our approach to mentoring is one that comes full circle. We guide your career ahead and, in turn, eventually you will help new associates advance their careers. Cleary s lockstep compensation model is based purely on seniority at all levels. We feel this reinforces a culture in which teamwork and the interests of our clients are prioritized. An absence of competition and an environment of collaboration promotes enthusiasm for the training and development of colleagues and the respect of each lawyer s contributions. CLEARY GOTTLIEB STEEN & HAMILTON LLP 6

Global Reach We opened an office in Paris in 1949 three years after the firm was founded in New York and Washington. Over 65 years later, about half of our lawyers work outside the United States. While that figure punctuates the point that we truly are an international firm, it tells only part of our story. Also worth noting is the way that we build our presence abroad. The offices we open in new locations are staffed with homegrown Cleary Gottlieb lawyers, which preserves our culture. Equally important, we bring the talents of lawyers across the firm to bear on issues facing local clients. So, it is not surprising that in each of our offices and across each practice area, our lawyers have represented clients on matters that set precedents and defined standards and we ve been recognized for our work. Cleary earned 380 practice and lawyer rankings in the 2015 edition of Chambers Global; 164 of these were top-tier. In 2014, we received matter of the year and individual lawyer awards from a range of publications, including The American Lawyer, The Asian Lawyer, Asian Legal Business, China Business Law Journal, Euromoney, India Business Law Journal, Institute of Competition Law, International Financial Law Review, International Tax Review, LatinFinance, Latin Lawyer, Law360, LegalCommunity, Project Finance, and Turnarounds & Workouts. 7 CLEARY GOTTLIEB STEEN & HAMILTON LLP

We take opening an office seriously and understand the commitment it represents to a region. When you walk into any of Cleary Gottlieb s 16 offices, you immediately sense that it is part of one integrated firm. Francesca Odell, Partner CLEARY GOTTLIEB STEEN & HAMILTON LLP 8

Excellence in Diversity and Inclusion Award Bank of America, 2013 Best Place to Work for LGBT Equality Human Rights Campaign s Corporate Equality Index, 2014 #5 in Diversity for Minorities Vault s Best Law Firms, 2014 Diversity Firm of the Year Benchmark Litigation, 2013 Diversity & Inclusion Cleary Gottlieb was formed in the aftermath of WWII by lawyers from different religions, backgrounds and places, who wanted to practice together, a notion we might find quaint today. But it was very meaningful at the time and the spirit in which they started this firm still shapes who we are. Jorge Juantorena, Partner What do diversity and inclusion mean at Cleary Gottlieb? Simply put, you will feel part of the firm from the day you arrive and be in a position to seize opportunities throughout your career. A key reason: our Committee on Diversity and Inclusion (CDI), Committee on Retention and Promotion of Women (CRPW), and the Women s Working Group (WWG) promote open exchanges about diversity and inclusion matters and drive changes. Our Committees agendas cover a wide and visible set of initiatives that range from mentoring programs, speaker series, workshops, professional development, and other activities and events. In short, you will find Cleary Gottlieb a compelling place to work and diverse in the broadest sense of the word. Six Affinity groups for Cleary Gottlieb lawyers are supported by the Committee on Diversity and Inclusion: n Black Affinity Group n East Asian Affinity Group n Hispanic/Latino Affinity Group n LGBT Affinity Group n Parent Affinity Group n South East Asian-South Asian-Middle Eastern Affinity Group (SESAME) We elected the first woman to our partnership in 1978; we now have more than 45 female partners and counsel. More than 65 languages are spoken by our lawyers around the world. 9 CLEARY GOTTLIEB STEEN & HAMILTON LLP

For example, right now we are doing many asylum cases, because a group of associates here decided that they found this kind of work important and interesting. Jennifer Kroman, Director of Pro Bono Practice Cleary Gottlieb s pro bono practice matches the needs of the community with our lawyers skills and interests. Some long-standing, well-developed practice areas and client groups include: n Immigrant Law n Human Trafficking Victims n Women s Rights n Microfinance Law n n International Human Rights Microentrepreneurs n n Indigent Criminal Defense Housing Law In 2014: We dedicated over 90,000 hours to pro bono and public service. 85% of our summer associates worked on pro bono matters in addition to their client-related and other assignments. On almost any day of the week, you can go to a lunch seminar on different topics, which run from the fundamental to the intricate. And our Cleary Core Curriculum helps you transition from being a law student to a practicing lawyer. Mary Watson, Director of Professional Development Professional Development and Training We provide training so you can integrate quickly and take responsibility in client matters early in your career. How do you rapidly transition from law school to an actual practice? n A rich in-house CLE program with comprehensive courses at all levels in all practices areas. These are offered throughout the year, with many available online for easy reference. n All new associates participate in a two-week orientation, including mini MBA courses designed to familiarize lawyers with a range of business and financial topics. n First-year associates attend Cleary Core Skills training, which provides a roadmap on topics like organizing workflow and communicating effectively with clients. 11 CLEARY GOTTLIEB STEEN & HAMILTON LLP

At Cleary, I have been able to develop my workflow both through formal staffing channels and the relationships I ve built. I have always known who to turn to if I wanted work in a particular practice area or with a particular partner. Kimberly Spoerri, Associate n The Cleary Core Curriculum series helps associates develop the practical skills of a successful lawyer, such as project management, research and writing, negotiations and business development. Other training series include our Litigation Academy and courses on feedback and delegation skills. n We also host an informal Wall Street Lunch series, where senior attorneys discuss legal issues in the news. In addition to our formal training program, you will learn a great deal by doing; Cleary gives responsibility and experience as early as you can handle it. As you gain experience and become a more senior associate, you ll learn to make sound judgment calls for clients, participate in business and client development and you ll build your confidence and creativity. CLEARY GOTTLIEB STEEN & HAMILTON LLP 12

The summer program is not just an opportunity to develop your skills as a lawyer and get hands-on experience. More importantly, it provides an opportunity to experience the firm s one-of-a-kind culture and to interact both professionally and informally with your future colleagues. Nowell Bamberger, Associate The Summer Program Your experience in our summer program will be more than academic. You ll work closely with established attorneys to play a meaningful role in firm matters. Partners and other senior lawyers supervise your work, and associates from our summer program committee mentor you. Also, our summer program offers the flexibility to work with different practice groups, without rotations, or to focus on a particular area. And, you ll receive the same technology as associates and partners, fully integrating yourself in the work of the firm. Your summer associate experience will not be confined to New York or Washington. International assignments are plentiful; in past years, more than one-third of our summer associates have spent time working in Cleary Gottlieb s overseas offices. 13 CLEARY GOTTLIEB STEEN & HAMILTON LLP

For more information on our recruiting for our New York and Washington offices, please visit: clearygottlieb.com/careers The work experience that summer associates get is completely authentic. It s what attorneys will do when they start full time, and it s the work I do on a daily basis. Kevin Swartz, Associate Training ranges from formal to informal. We offer a litigation and deposition skills training, a legal writing workshop, Wall Street Lunches and corporate practice seminars, which are targeted to summer associates. In addition, summer associates are invited to attend casual presentations that introduce them to practices throughout the firm as well as the lawyers in each area. You are also welcome to attend events regularly sponsored by practice groups and CLE programs for our lawyers. Last, but not least, you ll take advantage of life in New York and Washington through numerous city-wide events, including partner-hosted dinners, theater, baseball, concerts and karaoke.
