Resale Rates Our direct sales rates are always advertised on our website at http://www.ixica.com These are the same rates provided to clients under the resale program. However in some cases, package rates are provided to clients, which may at the time of quote be lower than advertised rates. The Benefits of Resale Unlike wholesale, the resale program only involves the sale of our services to your clients. The services are provided, branded and billed and collected by IXICA. We also provide complete technical support for all services we provide. Getting Started Getting started as a reseller of our services is quick, simple and cost-free. Simply complete the attached form and return it to us by fax, e-mail or mail. Your reseller account is set up within 24 hours of receiving the attached form. A reseller agreement called a Value-added Reseller Agreement will be sent to your for your signature. You will also receive a reseller code, which will appear on all quotes we issue to clients who you refer to us. Each time a quote is completed, you will receive a copy of the signed agreement by the client, which will include your reseller code. You are always kept in the loop between us and the client. Terms of the Resale Program As a reseller, you agree to have understood and be bound by the following terms: You understand and agree that, IXICA will pay a benefit of 10% monthly recurring commission, each and every month for the clients referred to our services. If a client's bill increases in the future, the commission will be adjusted accordingly, even if future changes to the account are made directly by the client. If a client's bill decreases in the future, the commission will also be adjusted accordingly. Commissions are paid within 90 days after client has paid for services. Commissions are paid for as long as the client obtains billable services from IXICA. Long distance charges (unless included as unlimited), taxes and set-up charges do not qualify for Commission. In some cases, package rates are provided to clients, which may at the time of quote be lower than advertised rates. Commission is based on the final quote and subsequent billing rates. IXICA does not provide installation or hardware support services. These must be provided by you or a third party. If a client has contacted the reseller as well as IXICA directly at the same time, the client will still be considered your referral. Such clarification must take place within 30 days of service initiation with the client. IXICA may amend the terms of resale from time to time. Such amendments will only apply to referrals after such amendment date. Signature Date
