Industries Served Manufacturing Distribution Retail Healthcare Financial Services / Banking Education Automotive Government Contracting Professional Services Utilities / Telecom We help companies leverage current and future receivables to meet their financial needs. For businesses seeking an alternative to traditional lending, accounts receivable factoring is an effective way for businesses to raise capital quickly. Cash is available immediately. Funding is based upon the quality of your receivables, not the strength of your company. Businesses of any size can obtain funding in a matter of days without the time and expense of securing a bank loan or an increased line of credit. We are accounts receivable experts with a combined 100+ years experience structuring receivable denominated transactions for manufacturers, distributors, retailers, and professional-service providers throughout the United States. We can quickly review your receivables portfolio and recommend the optimum financing solution for you and your company. VION is backed by more than $5 billion in private equity. We have the resources to fund the largest transactions and we look at situations and opportunities that others might overlook. We think creatively. Our leadership team is drawn from backgrounds in commercial banking, consumer credit and collections, bankruptcy law, and business development. We are financial engineers who will find ways to solve problems that others cannot. We are good business partners. We are here to help you seize opportunity, make money, and grow. We do not want equity in your company and we don t attach lots of strings to our funding. We let you run your business. As your funding partner, we are fully committed to your future success and will work side-by-side to help you achieve your goals.

Commercial Receivables Receivables Factoring Spot Factoring: VION will buy a single pool of accounts receivable on a spot basis to accelerate cash flow for a specific purpose (make an acquisition, pay a debt, pay taxes, balance sheet management) or to exit a discontinued operation or liquidating division. Consumer Receivables VION will pay cash for your receivables at any point in the life cycle from origination through charge off. We have the financial resources to respond immediately, providing instant liquidity and relief to any balance sheet. We do not limit our interest to accounts in good standing VION is willing and able to purchase, administer, and collect all accounts, including those that are performing, nonperforming, reperforming, delinquent, and charged-off. We are capable of purchasing accounts of every kind: A/R Securitization Payment Plan Agreements (PPAs) Judgments Charge Offs Consumer Credit Counseling Accounts (CCCS) Our industry leading management team can help any business owner, turnaround manager, or lending institution facing issues of liquidity, covenant restrictions, and compliance. We also have solutions available to deal with the unique requirements affecting specialized industries, such as medical, automotive, and education. Flow Factoring: VION will buy ongoing originations of commercial and consumer receivables to support working capital needs of companies in transition. Start-up companies, high-growth companies, management buyouts, debtors-in-possession, turnarounds, bank workouts can all benefit from an appropriately structured factoring facility. We specialize in working with companies in unique industries or in special situations with specialized receivables that make them unable to qualify for traditional asset-based or commercial bank loans. Liquidation Bids We provide cash offers for pools of receivable assets being liquidated in 363 Bankruptcy Sales or Article 9 Secured Lender sales. We will provide stalking horse bids. All categories of consumer and commercial receivables are evaluated for purchase. Eligible pools must justify a minimum purchase price of $5 million. Distressed Debt Purchases If you are a secured lender or unsecured lender with a loan in a deteriorating situation, VION will consider buying your position at a discount, saving you the restructuring or liquidation process time and expense. The outstanding loan amount must be at least $25 million. All industries considered.

VION provides the most comprehensive and accurate appraisals of receivable portfolio value in the financial services industry. For more than a decade, many of the nation s largest lending institutions have relied upon VION experts for the detailed appraisals and process analysis needed to make confident decisions regarding the value of consumer and commercial receivable portfolios. As a leading buyer of receivables, we have unmatched appraisal expertise. Every portfolio is modeled for going concern, Chapter 11, and liquidation scenarios. We assess internal business functions and their impact on the portfolio including management strength, sales, customer service, credit approval process, collection strategy, information technologies, and disaster recovery. We are experts in our understanding of market trends and fluctuations that affect portfolio value. Whether you re a creditor, trustee, or vested party, VION can identify the value in the receivables collateralizing your interest. We provide our appraisals with an optional guarantee program: If the risk of default is high, VION will provide a guarantee* to purchase the receivables at the appraisal price or for the amount advanced. After delivery of an appraisal, we track market prices and trends that may affect portfolio value. We offer ongoing appraisal maintenance on a monthly, quarterly, or semi-annual basis to notify clients of changes in the market and their collateral. * For an additional fee.
