Appendix 6F - Specialist Advisors 1.1 Introduction The SWDWP have enlisted the help of various specialist advisors to assist them in the PFI Procurement Process. These advisors are as follows: Financial Technical Legal Communications Commercial Ernst and Young: Entec UK Ltd: Bevan Brittan: Coast Communications: Andy Joss Jeff Gibbon Assistant Director Jonathan Bebb Associate Director Chris Jarman Partner PFI Procurement Liz Waugh Director Martin Hayball Senior Executive James Cook Senior Consultant Dermot Duncan Senior Assistant Jeannie Lunn Associate Director Summaries of the respective advisors experience are provided below. 1.2 Ernst and Young Financial Advisors 1.2.1 Ernst and Young LLP Ernst & Young has significant experience in advising on waste management PFI/PPP contracts. It is currently advising on 16 of the last 18 projects which have been procured under the PFI since the introduction of the EU Landfill Directive. They are also advising on the most advanced transactions being procured using PB. The Ernst & Young team is the largest financial advisory team for Waste PPPs in the UK and is recognised as the markets leader, having recently been ranked number one for Global advisory mandates won in the Project Finance International magazine. The dedicated team is supported by taxation, financial modelling, valuation, and other specialists who can provide industry specific advice acting as an integrated team. Ernst & Young are auditors to a number of the world s leading waste industry and energy from waste energy players. 1.2.2 Jeff Gibbon (Assistant Director) Jeff is an Assistant Director in Ernst & Young s Renewables, Waste and Clean Energy Group and provides advisory services to clients in both the renewable energy and waste sectors. He joined Ernst & Young in 2004 having spent a number of years working in industry as a financial manager for a Page 1

large manufacturing plc. Prior to that, Jeff had worked in professional practise as an audit manager. His experience covers a wide range of commercial entities and transactions including acquisitions and mergers. Jeff is a qualified Chartered Accountant. Recent relevant project experience includes Closing the Shropshire Waste Partnership PFI procurement in September 2007. Jeff s involvement included detailed negotiations with the preferred bidder in order to maximise best value for the Partnership, including dealing with partial termination for this integrated contract; ongoing involvement in the Greater Manchester Waste Disposal Authority PFI procurement contract in the run up to financial close expected in 2008. The role has included development of the commercial structure of the deal including energy offtake and interaction between the payment mechanism, project agreement and Authority targets and objectives; advising Plymouth City Council on its waste procurement strategy and submission of an Outline Business Case to Defra that includes the development of a regional solution encompassing Devon and Torbay Councils; advising Swansea City Council on its waste procurement strategy, and consideration of the best approach for its own LAWDC; carrying out a full valuation of an existing Energy from Waste plant dealing with the disposal of 110,000 tonnes of waste per annum. Preparation of a report covering issues around the potential disposal of the facility; and advising North Yorkshire and the City of York Council in the development of a preferred procurement strategy for its waste solution, specifically regarding the role of its own LAWDC. 1.2.3 Martin Hayball (Senior Executive) Martin is a Senior Executive in Ernst & Young s Renewables, Waste & Clean Energy Group within Transaction Advisory Services providing services to clients in the renewable energy, waste and clean energy sectors. Martin holds a BA (Hons) in Economics and is a member of the Association of Chartered Certified Accountants (ACCA). His previous role was the Treasury Accountant for a FTSE 250 utility where he developed good technical and commercial skills and gained experience in raising finance and banking practices. He joined the team in January 2006 and brings a range of skills and experience in the Water & Waste Industries. Before joining Ernst & Young Martin s role included managing an intra-group loan portfolio, administration of Interest Rate SWAPs and ensuring compliance with International Accounting Standards and Group Hedging Policy, responsibility for financial reporting for an offshore subsidiary and ensuring group financial compliance with Bank Covenants. Martin s relevant work experience in the waste sector includes: Page 2

Bid summary and financial evaluation of waste procurement solutions to a local authority, along with risk assessment of bids; financial modelling and advisory to a local authority for a public sector waste assignment; development of a bespoke payment mechanism for a local authority; assisting a local authority on the project management at the ITN and BaFO stages of procurement, along with extensive financial evaluation of bids and reports and presentations to select groups; and economic analysis of bidders and providing financial advice in the procurement of an end treatment and disposal contract. 1.3 Entec UK Ltd Technical Advisors 1.3.1 Entec UK Ltd Entec is one of the UK s leading Environmental and Engineering multi-disciplinary consultancies. Entec currently employs over 700 staff located in 15 offices throughout the UK, with specialist skills including procurement specialists, environmental scientists, ecologists, engineers, planners, waste management professionals and a variety of other skills. Entec has one of the most experienced waste management PPP/PFI teams in the UK and is currently advising on a number of projects at various stages of delivery. Entec has acted as technical advisor to more local authorities during the development, procurement and implementation of their waste PFI/PPP projects than any other consultancy in the last three years. These local authorities have included, but are not limited to: Gloucestershire County Council, West Berkshire Council, Cumbria County Council, Greater Manchester Waste Disposal Authority (GMWDA), London Borough of Southwark, North London Waste Disposal Authority, Plymouth City Council, Wakefield MBC, Warwickshire County Council, London Borough of Ealing, Sandwell Metropolitan Borough Council, Oxfordshire County Council and Sheffield City Council. 1.3.2 Jonathan Bebb (Associate Director) Jonathan is a chartered Civil Engineer with over twenty years experience in the appraisal, assessment, design, specification, construction and post construction review of a variety of environmental engineering projects, with particular emphasis in the fields of waste and wastewater management. Jonathan has been involved in a number of major waste management projects including energy from waste, resource recovery and incineration including a planning study and environmental assessment, leading to the granting of planning permission, after public inquiry, for a municipal waste incineration facility for the Isle of Man and the proposed development of an integrated materials recovery and energy from waste facility in Kidderminster. He has also been working on the development of site licencing, IPC and IPPC documentation for a number of waste treatment plants in the United Kingdom. Page 3

Recently he has been working on projects resulting from the need of council s to manage their waste in accordance with the government s waste strategy. The project with Sheffield City Council included the development of their waste management strategy in the light of the publication of the Waste Strategy 2000 by DETR and its transfer to a private sector contractor within a thirty year service contract. His work with Walsall Metropolitan Borough Council and the Black Country Waste Management Forum has sought to integrate the long term strategic requirements of individual authorities in order to maximise the efficiency of existing asset utilisation and seek cost effective solutions through the pooling of procurement requirements. Jonathan is currently Project Manager and lead Technical Advisor for the Cumbria waste PPP and Wakefield PFI projects which are both at preferred bidder stages. 1.3.3 James Cook (Senior Consultant) James is a Senior Consultant and has spent the last 4 years at Entec working on waste strategy and infrastructure procurement projects. James is a Licentiate member of the Chartered Institute of Waste Management. With an Environmental Technology undergraduate degree and an Environmental Engineering postgraduate degree, James has a sound knowledge and understanding of various technical solutions. James is a core member of the Entec Waste Flow Modelling team where Entec s in-house model is used to predict material waste flows based on current performance and a range of future scenarios. James has used the model to evaluate collection and disposal options using various waste management technologies, including MBT, thermal treatment and traditional disposal options. Data from the Entec model is used to help identify the number and types of facilities required by waste disposal authorities and enable financial evaluations to be undertaken. In addition to the South West Devon PFI project, James is managing the Leicestershire PFI project, and has been involved at various stages in the GMWDA PFI, Cumbria PPP, BDR PFI and Wakefield PFI projects. 1.4 Bevan Brittan Legal Advisors 1.4.1 Bevan Brittan LLP Bevan Brittan s PFI/PPP Advisory Practice has been highly regarded since the programme started in the UK in 1992. We now have one of the strongest and best regarded PFI/PPP teams in the UK. Seven (7) Partners and nineteen (19) Assistants form the core projects team over three offices supported by corporate, banking, construction, property, planning, environment, employment, IT, healthcare and local government specialists. As one of the UK s leading Local Authority practices, we offer a truly full service capability at all levels of local government. We have played a major part in the development of the UK PPP Programme. We have advised on 345 Schemes 31 of them in the Waste Sector. We have been appointed by Government to devise and implement new PPP delivery structures including: NHS Lift; DfES Building Schools for the Future and ODPM for Leisure Schemes. We also developed a new Waste PPP Structure called the SPO Model (Integrated). We have offices in London, Bristol and Birmingham. Page 4

1.4.2 Chris Jarman (Partner: Head of Waste & Renewable Projects) Chris qualified as a solicitor in England & Wales in 1987. Chris's specialist expertise is Project Finance, PFI/PPP, Waste and Renewables. Chris has acted for Lenders, Sponsors, Subcontractors, Trusts, Local Authorities and Government in all sectors of PPP/PFI. Chris advised the Government on the implementation of the standard form BSF PFI Documentation for the DfES as well as the implementation of the standard form LIFT Documentation for the DoH. Chris is also leads the team as an advisor to Defra on WIP. Chris was lead advisor on the following closed waste deals: West Berkshire Integrated Waste PFI (acting for the Council which Closed in March 2008); Wrexham Waste PFI - Tranche B (acting for Nord LB which closed in May 2007); and Westminster City Council Integrated Waste Contract (acting for the Council). Chris is the lead legal advisor to the Authority on the following Waste Projects in procurement: Bedfordshire County Council Waste PFI; Northamptonshire/Milton Keynes Waste PFI; Northamptonshire County Council on their HWRC Rationalisation Projects for Sixfield and Kettering; Plymouth City Council Waste PFI; Arc 21 in Northern Ireland. Chris is also advising Nord LB on the Wakefield Waste PFI and Cyclerval on their bid for Telford & Wrekin Waste PFI. 1.4.3 Dermot Duncan (Senior Assistant: Waste & Renewable Projects) Dermot qualified as a Solicitor in New South Wales (Australia) in 1999 and is presently in the process of being admitted as a Solicitor in England and Wales. Dermot has extensive experience in Waste PPP/PFI having advised Governments, Local Authorities, Banks, Contractors and Technology Providers in Waste Projects for the past three years. Dermot has closed four waste deals, namely: Plymouth's Interim Waste Contract in October 2006 (acting for the Authority); Wrexham's Waste PFI in May 2007 (acting for the Bank); New Earth Solutions first two project financed IVC deals in Kent and Bournemouth (acting for Contractor); and recently closed West Berkshire's Waste PFI (acting for the Authority). Dermot is currently advising Bedfordshire County Council on their Waste PFI (OBC), Plymouth City Council on their Waste PFI (OBC), Cyclerval on their bid strategy for Telford & Wrekin Waste PFI as well as the Arc21 (Northern Ireland) Waste PPP. Dermot is an Informal Board Member of the Bristol Environment Technology Sector (BETs). Dermot also has experience in Electricity, Wind, CHP and Community Energy Schemes. 1.4.4 Simon Hancock (Associate: Projects) Simon qualified as a Solicitor in England and Wales in 2003. Simon has extensive experience in PPP/PFI having advised Authorities and Contractors in the Schools, Health, Police Accommodation, University Accommodation and Leisure Sectors in the UK, Canada and Northern Ireland. Simon has substantial Waste experience in the UK having advised Plymouth City Council on their Interim Waste Project (Closed October 2006); assisting on West Berkshire Waste PFI (Closed March 2008); advised New Earth Solutions on its financing documents for its IVC Project in Kent (Closed July 2007); and advised Nord LB on its funding of Wrexham Waste PFI (Closed May 2007). 1.5 Coast Communications & Marketing Communications Consultants 1.5.1 Coast Communications ad Marketing Ltd Coast Communications and Marketing is a PR and marketing agency based on the Devon-Cornwall borders that enjoys a diverse range of clients from across the South West of England. Since starting in 2005, we have grown to provide public and private sector organisations with marketing and communications consultancy, including media relations, across a broad spectrum of subjects. 1.5.2 Liz Waugh (Director) An established marketing and communications strategist, with 16 years experience gained across public and private sector on both client and agency side. Liz worked in South Africa as part of the Olympic bid, before returning to the south west. Previous public sector projects include directing national education campaigns, developing communications/ engagement strategies for the Home Office, and public consultation exercises for the Department for Education (as was). She has also coordinated critical public relations for clients on subjects ranging from Avian flu to the Napoli, and managed communications for clients including Urban Splash, Treasury Holdings, Connaught and Devon County Council. 1.5.3 Jeannie Lunn (Associate Director) A professional communications and marketing manager, working in public and private sector for 14 years across marketing strategy, public relations and event management. Jeannie has worked extensively on both client and agency side, managing environmental / investment PR and crisis management inhouse for Southern Water, Lawton Communications clients included NHS Direct, SouthamptonFC and latterly for the Learning and Skills Council as Head of Communications and Marketing for Bournemouth, Dorset and Poole region. An experienced event manager, she has undertaken numerous focus groups and consultations for clients. 1.6 Commercial Advice 1.6.1 Andy Joss Andy is a director level general, commercial and project manager, with twenty years experience operating at board level. He has held senior positions in general management, business development and project management in Costain, South West Water and Pell Frischmann and has particular expertise in PPP/PFI/project finance. He has led start-up companies and joint ventures. He specializes in privately financed infrastructure development in the UK and internationally, particularly in the education, health and environmental sectors. He holds three non-executive director positions with Community Health Partnerships in the south west. Page 6

He works independently with private and public sector clients advising on strategic development and change management and supporting the commercial delivery of major infrastructure projects. He is a founder shareholder and Director of acumen7, a senior executive networking company. Examples of current and recent experience include: Non-executive Director of three Local Improvement Finance Trust (LIFT) Companies in Bristol, Plymouth and Cornwall representing central Government s investment interest in a PPP programme of over 250 million of improvements in primary health care infrastructure and related services; commercial advice and project management support for Plymouth City Council in the delivery of their 50 million privately financed (PFI) ground-breaking education project, the City s largest ever investment in education infrastructure and support services; led delivery team for a 20million PFI schools project for Kajima, a major international developer and contractor; advisor to MWH Europe on the restructuring and change management strategy for a water and wastewater utility in Eastern Europe; and provided strategic, acquisitions and PFI/PPP advice and support to the CEO of Carl Bro Group, a 2000 strong engineering consultant, in the transport and environment sectors.
