1 TERMS AND CONDITIONS Due to state restrictions, members and referrals residents of Hawaii and Alaska cannot participate in the Holiday Inn Club Member Reward Program. The Holiday Inn Club Member Rewards Program has been designed to help you introduce your friends, family, neighbors, business associates and social acquaintances to the exciting vacation lifestyle with Holiday Inn Club Vacations. Your qualified referrals can visit one of our resorts by taking advantage of one of our specially priced referral packages. Best of all, by participating in our Holiday Inn Club Member Reward Program, you will benefit by sharing your vacation resort with friends and neighbors like yourself! The purchase of a unit or unit week should be based upon its value as a vacation experience or for spending leisure time, and not considered for investment purposes or with an expectation that the unit or unit week may be rented or resold. The Holiday Inn Club Member acknowledges that the Holiday Inn Club Member Rewards Program was presented to him or her after they decided to purchase a unit or unit week. The Holiday Inn Club Member also understands this program was created to offer a great way to introduce his or her friends, neighbors, relatives, business associates or social acquaintances to the remarkable vacation lifestyle they have chosen for their family. The following terms and conditions contain important information regarding the Holiday Inn Club Member Rewards Program ( Member Referral Program ). Please review this information carefully. Holiday Inn Club Member Participation/Eligibility Participation in the Member Referral Program is limited to individuals who purchased timeshare interests from Orange Lake Country Club, Inc. or through one of our affiliated companies ( Orange Lake Country Club, Inc. ). Holiday Inn Club Members who participate in the Member Referral Program will be provided one account in the Member Referral Program, even if the Holiday Inn Club Member maintains more than one timeshare interest at Orange Lake Resorts. Member Referral Program accounts cannot be used or accessed by multiple

2 persons, and Holiday Inn Club Members cannot combine Member Referral Program accounts from separate accounts. Each Holiday Inn Club Member agrees to provide true and accurate information to enroll and participate in the Member Referral Program. The Holiday Inn Club Member agrees to revise his or her personal information in a timely manner to ensure that Holiday Inn Club Member information provided in connection with the Member Referral Program is at all times up-to date and accurate. Holiday Inn Club Members may update their personal information by calling the Member Referral Program department at , by at referrals@holidayinnclub.com, or via US mail to the Owner Referral Department at 8505 W. Irlo Bronson Memorial Highway, Kissimmee, Florida The Holiday Inn Club Member will not engage in any activities inconsistent with this Agreement, including but not limited to, owning multiple accounts, committing any fraudulent activity, or tampering with the Member Referral Program materials in any way. Orange Lake Country Club, Inc. will make all final decisions in cases of suspected abuse, fraud, or any other violation of the Member Referral Program s terms and conditions. Any and all decisions made are final and binding. Orange Lake Country Club, Inc. reserves the right to disqualify any Holiday Inn Club Member from participating in the Member Referral Program and to refuse payment of rewards if, in its sole judgment, such Holiday Inn Club Member is not in good standing or if Holiday Inn Club Member, or any other person using Holiday Inn Club Member s account, violates any of the terms or conditions of the Member Referral Program, including, without limitation, engaging in fraud or other abuse. Current and former Orange Lake Country Club, Inc., affiliated companies, RCI, Intercontinental Hotel Group, Gold Mountain Communications, Hertz Car Rental, parent companies and subsidiaries, employees and associates or their family members, may not participate in the Member Referral Program. Registration of Referrals: In order to be eligible for a referral reward, Holiday Inn Club Member referrals must be registered through our Member Referral Program prior to participating in the 2-hour sales presentation. In the event that two Holiday Inn Club Members and/or Orange Lake Resort Owners submit an identical referral name, only one Holiday Inn Club Member or Orange Lake Resort owner will be eligible to receive a referral

3 reward as determined by the referral. Holiday Inn Club Members may not refer other Holiday Inn Club Members or Orange Lake Resort Owners. Referral Qualifications and Participation in the Sales Presentation: A Holiday Inn Club Member may only have one (1) referral guest on a resort property at any given time. Group bookings and tours are prohibited. Please refer to the Complete Details of Participation disclosed on each referral invitation. Referral guests are required to attend a two-hour sales presentation on the Holiday Inn Club Vacations ownership features, accommodations and amenities. Reward Eligibility and Payment for Holiday Inn Club Member: Rewards for a Holiday Inn Club Member whose referrals purchase a Timeshare Interest in a Holiday Inn Club Vacations Resort located in Florida, South Carolina, Nevada or Virginia. Every time a registered referral purchases a Timeshare Interest in a Holiday Inn Club Vacations Resort located in Florida, South Carolina, or Nevada, or Virginia, we ll give the referring Holiday Inn Club Member a reward that will increase based on the number of referrals who purchase. The following chart indicates the reward paid for each purchase accumulated from one through 20 in any calendar year. Any owner who, in one year, generates 01 to 02 referrals who buy a Timeshare Interest in a Holiday Inn Club Vacations Resort located in Florida, South Carolina, Nevada or Virginia gets 65,000 Holiday Inn Club Bonus points on each sale. Any owner who, in one year, generates 03 to 04 referrals who buy a Timeshare Interest in a Holiday Inn Club Vacations Resort located in Florida, South Carolina, Nevada or Virginia gets 130,000 Holiday Inn Club Bonus Points on each sale. Any owner who, in one year, generates 05 to 20 referrals who buy a Timeshare Interest in a Holiday Inn Club Vacations Resort located in Florida,

4 South Carolina, Nevada or Virginia gets 260,000 Holiday Inn Club Bonus Points on each sale. Member Rewards Program Holiday Inn Club Member will receive one reward credit for each registered referral that purchases a timeshare unit week. In order for the referring Holiday Inn Club Member to receive a reward, registered referrals must meet all financial obligations for ownership and have maintained ownership for 120 days. Holiday Inn Club Member accumulates reward credits over their entire period of membership or through the length of this Program, but may not receive more than 20 reward credits or payments during a single calendar year. In the event a participant terminates their membership, their reward credit balance in the Referral Program is forfeited. In order to be eligible for a referral reward, the referral must purchase a timeshare interest during their initial visit. If the referral purchases a week(s) at a later date, the referring Holiday Inn Club Member is not eligible for the referral reward. If the referral purchases a Latitude program the referring Holiday Inn Club Member will not be eligible for a referral reward. If a Holiday Inn Club Member is listed as the co-owner in the referral purchase, the referring Holiday Inn Club Member is not eligible for the referral reward. Referral rewards are only granted based on full week timeshare interests purchased from Orange Lake Country Club, Inc. in the Holiday Inn Club Vacations Resorts located in the states listed above. Purchases made under resale or in conjunction with any other marketing programs are not eligible for reward under this referral program. Rewards can be applied toward your Holiday Inn Club Vacations maintenance account in increments of $ For each $ credit towards your maintenance account balance, you are required to redeem 65,000 Bonus Points. Referring Holiday Inn Club Member must be current on their mortgage payments, member fees, maintenance fee assessments and real estate tax assessments in order to be eligible to receive a referral reward. Reward Credits are not transferable to any other Holiday Inn Club Member at any time, including upon Holiday Inn Club Member s death or by operation of law, nor is a Holiday Inn Club Member s account or right to

5 participate in the Referral Program transferable. A Holiday Inn Club Member may not trade or sell any credits earned. Holiday Inn Club Bonus Points: Bonus points expire 12 months from the time points are applied to your account. Bonus points are non-recurring and may only be applied to the current or next year. Bonus points do not have any independent monetary value. Use and expiration of Bonus points are subject to the Terms and Conditions of the Holiday Inn Club Exchange Program Disclosure Guide and Holiday Inn Club Exchange Program Membership agreement. Use of Bonus Points is subject to availability at the time of booking. Terms and Conditions of Bonus points are subject to change by GlobalAccess Exchange, LLC in its sole discretion. Special Promotions: Special promotions will be held periodically to reward Holiday Inn Club Members and their referrals. Holiday Inn Club Members will be eligible for entry into the special promotions. Special promotions will vary. Acknowledgment and Acceptance: By participating in our Holiday Inn Club Member Rewards Program, you agree that you have read and understand each of the terms and conditions set forth below, and will comply with each of the terms and conditions of the Referral Program. You acknowledge that these terms and conditions are subject to change, as explained in detail below, and that you will review this document periodically to ensure your compliance with the current version of the terms and conditions. Your failure to follow the terms and conditions may result in the termination of your participation in the Holiday Inn Club Member Reward Program. Such termination may include the immediate discontinuance of your account with the Referral Program and the forfeiture of all rewards accrued up to the time of termination. Orange Lake Country Club, Inc. reserves the right to limit or restrict enrollment in the Referral Program to any person at any time for any reason. Modifications to Program: Orange Lake Country Club, Inc. may change the Member Rewards Program s Terms and Conditions, and/or any part of it, at any time at its sole discretion. For the most recent version of the Terms and Conditions, please contact the

6 Referral department at to request a copy. Orange Lake Country Club, Inc. may change or discontinue the Member Rewards Program including its terms and conditions with or without notice to Holiday Inn Club Member and is not liable to the Holiday Inn Club Member or any third party if Orange Lake Country Club, Inc. exercises its right to change or discontinue the Referral Program. Holiday Inn Club Member s continued use of the Member Rewards Program will be understood as the Holiday Inn Club Member s knowledge of and consent to all changes to the Terms and Conditions and as a Holiday Inn Club Member, consent to be bound by the terms of the Member Rewards Program. If a Holiday Inn Club Member does not agree with any changes made to the Terms and Conditions, he/she may terminate his/her participation in the Member Rewards Program at any time (see Termination of Member Reward Program below). Termination of Member Rewards Program: Orange Lake Country Club, Inc. reserves the right to terminate the membership of anyone who violates the terms and conditions of the Member Rewards Program or the intent of the Holiday Inn Club Member Agreement. At any time, either Orange Lake Country Club, Inc. or the Holiday Inn Club Member may terminate membership with or without cause. Participation immediately ends upon termination, and Holiday Inn Club Member may no longer accrue or redeem reward credits. If at any time a Holiday Inn Club Member objects to the terms and conditions of the Member Rewards Program, the Holiday Inn Club Member may end his/her participation in the Member Rewards Program. No Warranties: Holiday Inn Club Member expressly agrees that participation in the Member Rewards Program shall be at his/her own risk and the services offered therein are provided on a strictly as is and as available basis. Orange Lake Country Club, Inc. offers no warranty for any products or services obtained through the Member Rewards Program or through its advertisers/partners. Limitation of Liability: Under no circumstances shall Orange Lake Country Club, Inc. be held responsible or liable for a Holiday Inn Club Member s use of the information and/or products provided and/ or made available through the Member

7 Rewards Program. Orange Lake Country Club, Inc. is not responsible for typographical errors and/or omissions. Orange Lake Country Club, Inc. will not be liable, and is not responsible, for damages of any kind related to an owner s participation or inability to participate in the Member Rewards Program, whether the damages are direct, indirect, incidental, special or consequential. Some states do not allow the limitation or exclusion of liability for incidental or consequential damages; therefore the above limitation or exclusion may not apply. Holiday Inn Club Member understands that Orange Lake Country Club, Inc. is not responsible for the content of advertisements or from any companies associated with the Member Rewards Program. Orange Lake Country Club, Inc. is not responsible for the accuracy of associated companies information, including any changes in or discontinuance of services and/or products, nor any intellectual property infringement made by any party. Orange Lake Country Club, Inc. is not responsible for changes in the services and/or products offered by affiliated companies. Indemnification: Holiday Inn Club Member agrees to indemnify Orange Lake Country Club, Inc. from and accept all responsibility of any kind, including financial, for any actions taken by Holiday Inn Club Member or anyone else using the referral account (whether such use occurred with or without permission), including but not limited to accrual and redemption of rewards and disclosure of any passwords. Holiday Inn Club Member also agrees to release Orange Lake Country Club, Inc., its subsidiaries and its affiliates from any and all liability relating to accommodation packages, rewards, and any other matter in connection with participation in the Member Rewards Program. Third-Party Agreements: Each Holiday Inn Club Member acknowledges and agrees that Orange Lake Country Club, Inc. shall not be responsible or liable for any agreements between a Holiday Inn Club Member and any of the Member Rewards Program s affiliated companies with regard to Holiday Inn Club Member s participation in third-party promotions and/orother activities. Holiday Inn Club Member hereby authorizes Orange Lake Country Club, Inc. to share selected personal information with third parties for data verification and supplementation purposes. Any third party receiving this information must maintain the confidentiality and protection of said information, both

8 during the time and after services and/or products are provided, unless Orange Lake Country Club, Inc. notifies Holiday Inn Club Member that a third party has requested to use the personal information for some other purpose and obtains consent to provide the information for such other purpose. No License Granted: Nothing in the Member Rewards Program collateral materials or use of the services or products related hereto shall be construed as conferring any license or other rights under the intellectual property or other proprietary rights of Orange Lake Country Club, Inc., its subsidiaries or affiliates or any third party, whether by estoppels, implication or otherwise. Orange Lake Country Club, Inc. shall exclusively own all rights in and to the Member Rewards Program, and the materials related to the Member Rewards Program are protected by the laws of copyright, trademark, patent, unfair competition and other proprietary laws. Owner s participation in the Member Rewards Program is limited to the rights expressly authorized by the Orange Lake Country Club, Inc. herein. General: The Terms and Conditions of this Member Rewards Program shall be governed by and construed in accordance with the laws of the State of Florida for the Holiday Inn Club Vacations Members and the venue shall be in the applicable court of jurisdiction for Orange County, Florida. The Member Rewards Program sets forth the entire understanding between the Holiday Inn Club Member and Orange Lake Country Club, Inc. regarding the content herein and supersedes any and all prior or contemporaneous agreements or understandings between Holiday Inn Club Member and the Orange Lake Country Club, Inc. regarding the Member Rewards Program. If any provision of this Agreement or the application thereof to any Holiday Inn Club Member, or circumstances shall to any extent be held to be invalid or unenforceable, the remainder of the Terms and Conditions, or the application of such provisions to persons or circumstances as to which it is not held to be invalid or unenforceable, shall not be affected thereby, and each provision shall be valid and be enforced to the fullest extent permitted by law. No waiver of these Terms and Conditions will be valid, except in the event that the waiver is in writing and signed by an officer of Orange Lake Country Club, Inc.

9 The Holiday Inn Club program and Holiday Inn Club Vacations resorts are independently owned, operated and marketed and are not owned, operated or marketed by the owner of the Holiday Inn brand. Certain names and trademarks, including Holiday Inn and IHG Rewards Club (collectively, the Holiday Inn Trademarks ) are licensed by Holiday Hospitality Franchising, Inc. ( HHFI ) to Orange Lake Country Club, Inc. ( OLCC ) or its affiliates. HHFI and its parents and affiliates are not affiliated with or related in any way to OLCC or its affiliates and do not accept or assume any responsibility or liability for any of the obligations, acts or omissions of OLCC or its affiliates or their respective agents or contractors. HHFI and its parents and affiliates have no obligation of any kind to members of the Holiday Inn Club program or purchasers of timeshare interests in any Holiday Inn Club Vacations resort. HHFI and its parents and affiliates do not participate in the marketing and/ or sale of memberships in the Holiday Inn Club program or of any timeshare interests in any Holiday Inn Club Vacations resort. HHFI has not created or endorsed these materials. The owner of the IHG Rewards Club program is not affiliated with the owner of the Holiday Inn Club program and reserves the right to change, limit, modify or cancel the IHG Rewards Club program terms and conditions (including the number of IHG Rewards points issued for qualifying hotel stays), regulations, benefits, conditions of participation, rewards and reward levels, in whole or in part at any time, even though changes may affect the value of points or rewards already accumulated.
