If you agree to be personally liable for any unpaid amounts on this account, you must be at least 18 years of age (21 years of age in Puerto Rico). To process the application, we must have your name, business street address, taxpayer identification number and other identifying information, and we may ask for identifying documents from you as well. We may gather information about you, including from your employer, your bank, credit bureaus, and others, to verify your identity and determine your eligibility for credit, renewal of credit, and future extensions of credit. If you ask us, we will tell you whether or not we requested a credit bureau report, and the names and addresses of any credit bureaus that provided us with such reports. To receive The Home Depot Commercial Account, you must meet our credit qualification criteria. Your credit limit will be determined by a review of your credit report and, in some instances, a review of such other financial information as we may ask you to provide. You will be informed of the amount of your credit line when you receive your card. Some credit lines for The Home Depot Commercial Account may be as low as $1,000.

2 You authorize us to share with The Home Depot and its affiliates experiential and transactional information regarding your activity with us. The Home Depot Pro Xtra Program Rules Welcome to The Home Depot s unique and exclusive Pro Xtra program ( Program ). This Program was created to reward and recognize our professional customers. ACKNOWLEDGMENT AND ACCEPTANCE By participating in the Program, you consent to these Program rules. You acknowledge and agree that (1) you are responsible for remaining knowledgeable about the Program s rules; (2) membership expires and is renewable by The Home Depot in its sole discretion; (3) The Home Depot reserves the right to change the rules or terminate the Program at any time, with or without prior written notice; and (4) you have read and accepted these Program rules. MEMBERSHIP BENEFITS A. Pro Xtra Program. Pro Xtra allows Program members ( Members ) to track their Qualifying Purchases at The Home Depot. As used in these rules, Qualifying Purchases are purchases made by Members of designated products and/or services, less any taxes, fees and returns. Members have access to review their Qualifying Purchases history. B. Pro Xtra Paint Rewards. Pro Xtra Paint Rewards Qualifying Purchases will be tracked during the Program Period (defined below) and include select The Home Depot Paint department in-store purchases and exclude online purchases from The Home Depot websites and certain in-store products see your local The Home Depot store for product exclusion details. Qualifying Purchases will not be tracked or accrued unless and until you have completed the registration requirements. New Members start at the Member level (0%). Each Member will receive a discount based upon the accumulated purchase amount of Pro Xtra Paint Rewards Qualifying Purchases for such Member ( Paint Discount ). Paint Discounts will be made available at the point of sale when Members provide their registered Program Number (defined below). In order to receive a Paint Discount applicable to the current membership level, Members must present their Program Number to a The Home Depot associate (or input it into the pin-pad at a regular or self-checkout register) prior to completing a sales transaction. No retroactive discounts will be given on purchases where the member Program Number was not entered prior to completing the sales transaction. The actual Paint Discount awarded for each transaction will depend on the Member s membership level at that time of Qualifying Purchases as set forth in the following chart: Membership Level Minimum Threshold Paint Discount Member $0 0% Bronze $ 2,000 10% Silver $ 4,000 15% Gold $ 7,500 20% Members may improve their respective Paint Discount level throughout the Program Period as their Pro Xtra Paint Rewards Qualifying Purchases accrue. The applicable amount of accrued spend will be deducted from a Member s account for returned Qualifying Purchases. If there is a zero or insufficient accrued spend total for the Member at the time of the return the Member s account will enter a negative status. In the event a Member fails to meet the minimum Qualifying Purchase amount during any Program Period, the Home Depot reserves the right to remove such Member from the Program. Paint Discounts cannot be combined with other offers or Paint promotions. Pro Xtra Paint Rewards purchases will not qualify for discounts through the Volume Pricing Program or any other program. Tool Rental merchandise, installations & gift cards are not eligible for a Paint Discount. Except as specifically set forth herein, accrued Qualifying Purchases are not credited on a retroactive basis. C. Pro Rewards. The Home Depot may send Members exclusive coupons for qualifying product purchases. F. Pro Xtra Business Tools. The Home Depot may provide Members with links to third parties that offer discounted services and/or products ( Business Tools ) to you. G. Pro Xtra E-Receipts. The Home Depot may provide Members with electronic receipts and other transaction records via the provided during Member registration. H. Home depot. com My Account. As a benefit to joining Pro Xtra, you will automatically be registered for a Home Depot. com My Account. If your address is not already registered in My Account, you will use the same login credentials for My Account as you use for your Pro Xtra account. Because these accounts will automatically be linked, the following updates will display in both accounts: address updates Password updates First or last name updates Registration of a credit card that includes billing address, CSV, and expiration date, will display in your Pro Xtra account will display in your My Account Registration of any credit card in your My Account will display in your Pro Xtra account Deletion of a credit card Edits to a credit card that include card number, expiration date, billing address GENERAL INFORMATION A. Pro Xtra Program. Any changes to the Program will be shown in these rules and will be effective immediately upon posting online at w w w.home depot. com/pro loyalty unless stated otherwise. Any changes to any printed version of these rules will be contained in the next reprinting of that printed version. The Home Depot may, in its sole and exclusive discretion, terminate the Program at any time without notice.

4 B. Program Period. The Program is effective from January 1 to December 31 each calendar year (each separate calendar year is a Program Period ). The Home Depot may, in its sole and exclusive discretion, terminate the Program at any time or designate different Program Periods. Discount levels and accrued spend reached by each Member during a Program Period expire each year at 12:01am ET on January 1st of the succeeding Program Period. The Qualifying Purchases minimum threshold reached by each Member at the end of a Program Period determines the Member s starting Paint Discount and/or Rewards Discount level at the commencement of the immediately succeeding Program Period. Spending in subsequent Program Periods must exceed the Qualifying Purchase Minimum Threshold level of the previous year s Program Period to maintain that Paint Discount and/or Rewards Discount level in the next annual Program Period. C. Eligibility and Registration. The Program is available to professional customers of The Home Depot who have fully completed the registration process. To register, visit a The Home Depot store in your area, complete registration (providing, among other things, your company name, mailing address, primary telephone number and valid address), and read and accept these Program rules. The primary phone number you provide at registration will be your individualized Program identification number ( Program Number ). Registration allows you to register forms of tender that you may utilize for Qualifying Purchases. Tender forms include, but are not limited to, the following: credit card account information, debit card account information, checking account and routing information, and The Home Depot issued Key Tag cards. Participants may request a Key Tag card to track Qualifying Purchases made with cash, gift card or store credit; however, the Key Tag card must be presented to a The Home Depot associate prior to completing a sales transaction. Providing false information or omitting requested information may be grounds for denial of enrollment, accrual of Qualifying Purchases, and/or suspension of membership. Members must provide a valid address during registration or, if previously registered without an address, by contacting the Pro Xtra Customer Care Center, or by visiting the Pro Desk or Special Services Desk at their local The Home Depot store. D. Member Inactivation/Suspension. Members may choose to inactivate their membership at any time. Additionally, The Home Depot reserves the right to suspend any Member at any time. Further, such suspended or inactive Members will not receive any membership benefits during the period of being inactive or suspension. Members will only begin accruing Qualifying Purchases and receiving applicable Paint Discounts when subsequently activated in the Program by The Home Depot in its sole discretion. E. Qualifying Purchases. Products and services that are eligible to count towards Qualifying Purchases are subject to change from time to time at The Home Depot s discretion. The use of registered tender forms allows Qualifying Purchases to be tracked retroactively. Registered, active Members in good standing who fail to present their Program Number during a sales transaction and/ or fail to use registered tender forms to pay for Qualifying Purchases may have such Qualifying Purchases added to their Qualifying Purchases history by following the instructions below within 120 days of the sales transaction: Call (866) to speak with a Pro Xtra Customer Care Center representative ( Customer Service ) for the Program. Fax copy of the Qualifying Purchase receipt and the Member s Program Number directly to the attention of the Customer Services representative with whom the Member spoke during the call ( ). Log into the Member s online account and follow the instructions to add the receipt details. Visit a local Home Depot Pro Desk or Special Services Desk with the Qualifying Purchase receipt to have it added to the Member s account. Notwithstanding the preceding, in no event will Qualifying Purchases be added to a Member s account for any sales transaction completed prior to the date the Member s registration was entered into the Program system. F. Privacy. When you enroll in the Program, we will collect your name, address, address and primary phone number/ Program Number. A valid address is required for membership. By participating in the Program and providing us with this information, you agree that we may use your information to administer your participation in the Program; to send you electronic receipts and other transaction records; for our marketing purposes, which may include sending you s; and as otherwise described in our Privacy and Security Statement. You also agree that we may share your information with any of our affiliated companies for their marketing purposes. All federal, state and local income taxes, insurance, licensing, registration, liabilities, surcharges, title fees and any other fees connected to the Program are the sole responsibility of the Member. Winners of any Promotion may need to complete a Form W-9, and The Home Depot will report the value of the prize on a Form 1099 at the end of the year. H. Governing Law and Dispute Resolution. The laws of the State of Georgia (without regard to its conflict of laws rules) govern these Program rules. At the sole option of The Home Depot, any claim, dispute or controversy arising out of, relating to or concerning in any way the Program or these rules shall be resolved by binding arbitration administered by the American Arbitration Association ( A A A ) under its commercial arbitration rules. The decisions of the arbitrators shall be binding and conclusive upon all parties involved, and judgment upon any arbitration award may be entered by any court having competent jurisdiction. IN NO EVENT SHALL THE HOME DEPOT, ITS AFFILIATES OR AGENTS BE LIABLE FOR ANY DIRECT, INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR IN ANY WAY CONNECTED WITH THE PROGRAMS, WHETHER BASED ON CONTRACT, TORT, STRICT LIABILITY OR OTHERWISE. TO THE EXTENT YOUR STATE DOES NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, THIS EXCLUSION MAY NOT APPLY. Each party shall bear its own costs, fees, and expenses associated with any arbitration, except that the parties agree to split equally the costs and expenses of the arbitrator/a A A. The Home Depot may elect not to use arbitration for any individual Claim that you properly file and pursue in a small claims court in your state or municipality. IF ARBITRATION IS CHOSEN BY THE HOME DEPOT WITH RESPECT TO A CLAIM, YOU WILL NOT HAVE THE RIGHT TO LITIGATE THE CLAIM IN COURT, HAVE A JURY TRIAL, OR ENGAGE IN PRE-ARBITRATION DISCOVERY EXCEPT AS PROVIDED FOR IN THE A A A CODE OF PROCEDURES. FURTHER, YOU WILL NOT HAVE THE RIGHT TO PARTICIPATE IN ANY CLASS OF CLAIMANTS PERTAINING TO ANY CLAIM SUBJECT TO ARBITRATION. OTHER RIGHTS THAT YOU WOULD HAVE IF YOU WENT TO COURT MAY ALSO NOT BE AVAILABLE IN ARBITRATION. This Section shall survive termination of the Program or your participation in it. I. Text2Confirm. As part of Pro Xtra, you may join The Home Depot Text2Confirm program to receive automated text messages requesting approval of in store purchases. By joining The Home Depot Text2Confirm program, you are agreeing to the following terms and conditions: Text2Confirm text messages are sent by or on behalf of The Home Depot via automated technology to the mobile phone number you provide. You agree to receive text messages requesting approval of in store purchases made on your behalf using your designated credit/debit card. You agree to respond to these requests promptly. The frequency of text messages you receive depends on the number of purchase authorization requests. Standard text message and data rates apply. Not all carriers are covered. You can text STOP to to opt out (you will be sent a confirmation message), or call Text HELP to for help. Your information will be used as described in these Program Rules and The Home Depot s Privacy and Security Statement. J. Additional Rules. The Home Depot can terminate any account, in its sole discretion, with or without notice. Members have no ownership interest in any information, offers, benefits, promotions, coupons, accrued spend, discounts and/or events related to the Program. Accrued spending does not constitute property of Members. Use of the word accrue or earn in marketing materials in relation to the Program shall mean collect and shall not infer that the membership level has any value. Membership levels may not be purchased or sold and are not transferable except as otherwise stated herein. This Program is not available and is void where prohibited by federal, state or local law or regulation. Despite our best efforts to ensure accuracy, printing errors occasionally occur. The Home Depot reserves the right to correct such errors at any time even if it affects pending program benefits. By using your membership number to make purchases at The Home Depot, you accept all terms and conditions in these rules and release The Home Depot and hold The Home Depot harmless from any claim, liability or damage relating to the Program. In the event that you contact or transact any business with third parties providing Business Tools, you acknowledge and agree that (1) your use of such third parties services, products, and/or websites is subject to the terms

6 and conditions of any agreements that you enter with such third parties, including without limitation, transaction agreements, purchase orders, terms of use, and/or privacy policies; and (2) The Home Depot is not a party to any agreement that you enter with such third parties, is not responsible for any claims or damages arising from your contacting, transacting business with, or use of any products or services of such third parties, and shall have no liability to you relating to or arising from such third parties. Fraud or abuse relating to Qualifying Purchases will result in termination of your membership. The Home Depot reserves the right to pursue legal action in the event of fraud, misrepresentation, abuse or violation of these rules. Qualifying Purchases history will not begin to be tracked unless and until you have completed the registration requirements set forth herein. Other terms and conditions may apply to the Program. The Home Depot reserves the right to amend or revise the Program at any time, including without limitation, the eligibility requirements, eligible brands and products, benefits and scope of the Program.
