21 Alliedvintners I n t e r n a t i o n a l Winedistributors Overseas wines & wine freight rates 2014 Summery of General Conditions of Sales: 1. Prices and conditions are on behalf of Allied Vintners International B.V.B.A. and valid until further notice. 2. Prices and conditions are Ex-Works Zwijndrecht (Antwerp) - Belgium, excluding excise duties and VAT. 3. Prices are quoted in EUR and valid for Export only and for shipments of minimum one mixed pallet. 4. Freight can be arranged by Allied Vintners International upon request and is invoiced at cost. A handling fee of 25 per shipment is invoiced in this case. The handling fee is waived if freight is arranged by buyer. 5. Settlement terms are pre-payment with first order and thereafter invoices are due 30 days after invoice date, unless agreed otherwise. 6. The goods remain in the ownership of Allied Vintners International B.V.B.A. until their full payment. 7. Due to sheer fact of the expiration of 30 days after the invoice date, non-payment will be stated by right and without any proof of default and an interest on delayed payment of 1.5 percent per started month will be indebted. 8. Furthermore, a fixed compensation of 15 percent of the invoices sum will be indebted with a minimum of EUR in order to cover all the other damages, charges and costs than this one coming from the single delay of payment. Interests and compensations will be indebted and claimable even without preceding proof of default. 9. Any complaints or objections must have reached our address of registered office by registered post within 8 days after the invoice date. 10. For any disagreement, even in case of interlocutory proceedings or third-party proceedings, only the Court of First Instance im ANT- WERP, the court of Commerce in ANTWERP or the Peace Court in ANTWERP, first district, will be competent territorially according to the value of the claim and the capacity of claimer and defendant.
