BYACCEPTINGTHISAGREEMENT,EITHERBYCLICKINGABOXINDICATINGYOURACCEPTANCEAND/ORBY INSTALLINGOROTHERWISEUSINGSOFTWAREYOUAGREETOBEBOUNDBYTHETERMSOFTHISAGREEMENT.IF YOUDONOTAGREETOALLOFTHESETERMS,CLICK"IDONOTAGREE?DONOTINSTALLORUSETHESOFTWARE ANDPLEASE,IFAPPLICABLE,IMMEDIATELYRETURNTHEMEDIACONTAININGTHESOFTWAREALONGWITHTHE DOCUMENTATION,THEPACKAGEANDACOPYOFTHECORRESPONDINGSALESRECEIPTTOTHELOCATIONWHERE YOUACQUIREDYOURLICENSEOFUSEORYOUREVALUATIONLICENSEORTOTHEADDRESSMENTIONEDINTHE DOCUMENTATIONTOOBTAINFULLREFUND.IFLICENSEEISENTERINGINTOTHISAGREEMENTONBEHALFOFA COMPANYOROTHERLEGALENTITY,ITREPRESENTSTHATITHASTHEAUTHORITYTOBINDSUCHENTITYTOTHIS AGREEMENT,INWHICHCASETHEWORD LICENSEE SHALLREFERTOSUCHENTITY.IFLICENSEEDOESNOTHAVE SUCHAUTHORITY,ORIFLICENSEEDOESNOTAGREEWITHTHESETERMSANDCONDITIONS,LICENSEEMUSTNOT ACCEPTTHISAGREEMENTANDMAYNOTPROCEEDWITHTHEDOWNLOADING,COPYING,INSTALLATIONORANY OTHERUSEOFTHESOFTWAREORANYPORTIONTHEREOF. ThisAgreementdefinesthetermsandconditionsofthelicenseofuseandrelatedMaintenance,aswellasthe evaluationlicenserelatedtothesoftwareasdefinedbelow.thespecificprovisionshereinafterthatwillapplytooneof thetwotypesoflicenseswillbeclearlydistinguishedassuch. ThislicenseonlyextendstotheSoftwareforwhichLICENSEEhasregularlypurchasedalicenseandreceivedthe authorizedproductnumber,subjecttothemethodsdefinedinthedocumentation. 4DiswillingtograntLICENSEEalicenseofuseoranevaluationlicenseonlyundertheconditionthatLICENSEEaccepts allthetermscontainedinthisagreementthatareappropriatetoeachtypeoflicenseandtoeachtypeofsoftware. Thefollowingwordshaveaspecificsignificance: 4DApplication meansacomputerprogramdevelopedwiththesoftware. 4DApplicationSingleUser meansa4dapplicationwhichcanbeinstalledandusedonastand^alonecomputerandby asingleuserexclusively_itbeingagreedthatexceptasprovidedotherwise,such4dapplicationsingleusermaynotbe usedasaserver(dataserver)orasaclientwhichallowsanaccesstodatafromanothercomputerand/ortoanother computer. Agreement meansthisagreementandanyamendmentthereof. AuthorizednumberofConcurrentUsers meansthemaximumnumberofsimultaneouslyconnecteduserstothe Softwarewhoareauthorizedby4Datagivenpointintimeandforwhich4Dhasreceivedappropriatelicensefeesfrom LICENSEE. Documentation meansthetechnicaldocumentationdescribingthefunctionalitiesofthesoftware,deliveredwithitin electronicformand/oravailableon4d swebsite. Environment meansthecomputerhardware,operatingsystem(s)("platform(s)")andthesoftwarerequiredforusein conjunctionwiththesoftware,andindicatedinthedocumentation,itbeingagreedthateachlicenseisonlygrantedfor one(1)environment. Instance meansthecombinationofa4dapplicationandadatafile. Maintenance meanstheinformationrelatingtotheavailabilityofupdatesanduponlicensee srequest,theprovision ofsuchupdatesfortheenvironment,subjecttothepaymentofthecorrespondingyearlyfeeandthecompliancewith thetermsoftheagreement. MasterProduct meansanyofthefollowingproductasdescribedinsection2.4whethertakenintoaccountseparately orincombination:4dserver,4dwebapplicationserver,4dsqldesktopand4doemdesktop.

2 Rversion meanssubsequentreleasesofthesoftwarethatcontainanimprovementinthesoftwarethatgenerally includesenhancements,newfeatureand/orfunctionality.newrversionisgenerallydesignatedbyachangeinthe numberappearingdirectlybehindthecharacterrintheproductversionnumber(i.e.,4dv15r3vs4dv15r2). ServerComputer meansthecomputerusedasaserver. Software means4d'scomputerprogram(s)inmachine^readableexecutablecodeformandcopiesmadeofit,including relateddocumentation,anyreplacementorchangeand/oranyupdateprovidedundertheagreement. Updates meansthemaintenanceversionsand/orminorand/ormajorupdates,itbeingunderstoodthatanysoftware isdesignatedbytwo(2)numbers: X definesthenumberofmajorupdateand Y,thenumberofminorupdate. 1.PURPOSE ThepurposeofthisAgreementistodefinethetermsandconditionsunderwhich4DgrantsLICENSEEanonexclusive licensetouseand/ortoevaluatethesoftware,aswellasthetermsandconditionsrelatingtomaintenance. LICENSEE srightstouseorevaluatethesoftwarearespecifiedinthisagreementand4dretainsallrightsnotexpressly grantedtolicenseeinthisagreement.nootherexpressorimpliedrightsaregrantedtolicenseerelatingtothe Software. 4Dand/oritssupplierscontinuetobethesoleowner(s)ofthecopyoftheSoftwareandallothercopiesthatLICENSEE isauthorizedtomakeinaccordancewiththisagreement. Innoevent,thisAgreementcanbeinterpretedasanagreementforsale. 2.SCOPEOFRIGHTSGRANTED Unlessotherwiseprovidedinsection2.4ofthisAgreementregardingspecifictermsofthelicenseofuse,thegeneral termsstatedbysections2.1and2.2areapplicabletoalltypeofsoftwareprovidedunderalicenseofusegranted pursuanttothisagreement. LICENSEErecognizesthatalivebannerrelatingto4DSAS offersmayappearatthetimeofeachlaunchingofthe Software^inthelanguageoftheSoftware^andthatthisbannerisautomaticallyupdatedthroughaconnexionto4D SASwebserver.Suchconnexiondoesnotallowthecollectionandtreatmentofpersonaldata. 2.1GENERALTERMSRELATINGTOTHELICENSEOFUSE InconsiderationofthepaymentbyLICENSEEofthecorrespondingfee,4DgrantsLICENSEEalimited,personal,non^ exclusiveandnon^transferablerighttousethesoftwareintheenvironmentandinthelanguage(s)indicatedon4d s website,andnotablyinthecertificationmatrixcorrespondingtothesoftwareversioninstalled. ThelicenseofuseoftheSoftwaregrantedby4DpermitstheuseoftheSoftwareonone(1)oftheplatformssupported by4d,itbeingagreedthat(i)licenseemustselectsuchplatformatthetimeoftheinstallationofthesoftwareand(ii) theinstallationandtheuseofthesoftwareonmorethanone(1)platformimplythegrantofseparatelicenses. Exceptasotherwisestatedinsection2.4below,LICENSEEmay: a)installandusethesoftware,forinternalpurposes,onone(1)computer,providedthesoftwareisinstalledandused onone(1)computeratthesametime_ b)transferthesoftwarefromonecomputertoanother,providedthesoftwareisinstalledandusedonone(1)computer atthesametime_ c)transferthesoftwareonone(1)harddiskonlyforuseasdescribedinthepresentsection2.1.,onanothercomputer atthesametimeandprovidedthatlicenseecanimmediatelyproveownershipoftheoriginallicense_ d)makeone(1)copyofthesoftwareforback^uppurposesonlyandinexecutableform,providedthatlicensee reproducesallthecopyright,trademarkandotherproprietarynoticeswhichappearonorinthesoftware_suchcopy beingsubjecttothetermsandconditionsoftheagreement.

3 2.2COMMONGENERALTERMSRELATINGTOTHEEVALUATIONLICENSEANDTHELICENSEOFUSE Exceptasotherwisestatedinsection2.4below,LICENSEEmaynot: a)installthesoftwareand/or4dapplicationonaservercomputer_ b)usethesoftwareonmorethantheauthorizednumberofcomputers,thatisone(1)computer,orinanother environmentthantheenvironment,exceptincaselicenseehasbeengrantedanadditionallicenseinconsiderationof thepaymentofappropriatelicensefeeineffectatthetimeofthecorrespondingorder_ c)usethesoftwaretocreateapplicationserver(s)and/ordataserver(s),exceptincaselicenseehasbeengranteda licensefor4dwebapplicationserveror4dserver_ d)sublicense,sell,lease,rent,sharetheuseofthesoftwareorotherwisetransferit,orpermitanythirdpartytousethe Softwarefortimesharing,outsourcingservices,applicationserviceproviderservices,orapplicationhostingprovider servicesandmoregenerallylicenseeshallnotgrantanykindofrightsregardingthesoftwareoranyportionthereofin anyformtoanythirdpartywithoutthepriorwrittenconsentof4d_ e)transferthesoftwaretoanotherenvironmentthantheenvironment.licenseeagreesthatlicenseemustpaya licensefeeaccordingto4d'sstandardfeesineffectatthetimeofsuchatransfer,withoutprejudiceofany4drightsto obtaintheindemnificationofthedamagesuffered_ f)modify,translate,reverse^engineer,decompile,disassemble,partiallyorcompletely,thesoftware,exceptasotherwise mentionedbythelegalmeasuresinforce.nevertheless,licenseeshallask4dfortheinformationwhichisnecessaryto achievetheinteroperabilityofthesoftwarewithanotherprogramandthis,beforeanydecompilation_ g)removeoralteranysoftwareidentification,proprietarynotice,labelsortrademarkswhichappearonorinthe Software_ h)usetheback^upcopy(orallowanyoneelsetousesuchcopy)foranypurposeotherthantoreplacetheoriginalcopy intheeventitisdestroyedorbecomesdefective_ i)disclosetheresultsofanybenchmarkorothertestofthesoftware,without4d'spriorwrittenconsent_ j)usethesoftwareinviolationofanycountry,treaty,federalorstatelaw,regulationorrules,includinglawswith respecttomisuseorimproperuseofinformation. ForUSLICENSEEonly:provisioni)isnotapplicable. 2.3TERMSOFTHEEVALUATIONLICENSE 4DgrantsLICENSEEalimited,personal,non^transferable,andnon^exclusiverighttousetheSoftwareundertheterms hereafter. Theevaluationlicenseisgrantedfreeofcharge. LICENSEEshall: a)usethesoftwareonone(1)computerbyplatformonly,orareplacementcomputerincasetheformerisoutoforder, itbeingagreedthatthesoftwaremaynotbeusedonmorethanone(1)computeratthesametime_ b)usethesoftwareonlyforevaluationandtestingpurposesforthetermdefinedinsection7.3,withinthelimitsofone (1)evaluationlicensepermajorupdate. Notwithstandingthetermsofsection2.2,LICENSEEshallnotusetheSoftwareforanyproductionpurposes,inparticular anydevelopmentpurpose.anyuseofthesoftwareforproductionpurposesissubjecttothepriorpurchaseofalicense ofusebylicenseeaccordingto4d sstandardfeesineffectatthetimeoforder. 2.4SPECIFICTERMSRELATINGTOTHELICENSEOFUSE SpecifictermsbelowapplytotheSoftwaredefinedhereafterandderogateorcompletegeneraltermsasprovidedin2.1 and2.2ofthisagreement,itbeingunderstoodthatsections2.1and2.2remainapplicabletothesoftware,whennot otherwiseprovidedbythespecifictermsbelow.

4 2.4.14DDEVELOPERSTANDARD The4DINTERPRETEDDESKTOPfunctionality,asincludedin4DDEVELOPERSTANDARD,allowstodeploy4D ApplicationSingleUser(withoutlimitationofthenumberofapplicationsand/orcomputers),itbeingagreedthatsuch deploymentrightislimitedtotheplatformforwhichlicenseehasbeengranteda4ddeveloperstandardlicense. LICENSEErecognizesandagreesthattheaccesstooneorseveralremoteserver(s)through4DApplicationSingleUser isauthorizedprovidedthatthis4dapplicationdoesnotmodifythis/thoseserver(s)andnotablyits/theirdata. Notwithstandingtheaboveprovision,4DApplicationSingleUsermaypermitthereadingand/oroccasional batch updateoftheabovementionedserver(s)andthis,withinthelimitoftwice(2)everytwentyfour(24)hours. The4DApplicationSingleUserisimperativelylimitedtotwohundredandfifty^five(255)tablesandfivehundredand eleven(511)fieldsbytable.inanycase,thenumberofrecordsislimitedtosixteenmillion( )recordsby table. LICENSEEisresponsibleforthecompliancewiththeabovelimitations. The4DINTERPRETEDDESKTOPfunctionalitymaybeusedforexecutionpurposesexclusively.Innoevent,4D INTERPRETEDDESKTOPmaybeusedtodevelopnewapplicationsand/ordatabases DDEVELOPERPROFESSIONAL SQLserver,webserverand/orwebserverservicesfunctionalitiesmaybeusedfordevelopmentandtestpurposes exclusively,suchusebeinglimitedtoone(1)localaccessandone(1)remoteaccess. The4DINTERPRETEDDESKTOPand4DUNLIMITEDDESKTOPfunctionalities,includedin4DDEVELOPER PROFESSIONAL,permittodeploya4DApplicationSingleUser(withoutlimitationofthenumberofapplicationsand/or computers),itbeingagreedthatsuchdeploymentrightislimitedtotheplatformforwhichlicenseehasbeengranted a4ddeveloperprofessionallicense. LICENSEErecognizesandagreesthattheaccesstooneorseveralremoteserver(s)through4DApplicationSingleUser isauthorized,providedthatthis4dapplicationdoesnotmodifythis/thoseserver(s)andits/theirdata.notwithstanding theaboveprovision,4dapplicationsingleusermaypermitthereadingand/oroccasional batch updateoftheabove mentionedserver(s),andthis,withinthelimitoftwice(2)everytwentyfour(24)hours. Innoevent,the4DUNLIMITEDDESKTOPfunctionalitymaybedeployedapartfrom4DApplicationsSingleUser. LICENSEEshallnotalterormodifyinanyway,thedialoginstalledby4Dwhenauserquitsthe4DApplicationrunand deployedwith4dunlimiteddesktop,inparticular,thelegalnoticesrelatingtointellectualproperty,notably trademarks,logosanddomainnamesappearinginthedialog DTEAMDEVELOPERPROFESSIONAL Theprovisionsrelatingto4DDEVELOPERPROFESSIONALandto4DSERVERapplyto4DTEAMDEVELOPER PROFESSIONAL DSERVER LICENSEEmay: a)installandusethesoftwaresolelyforinternaldataprocessingoperationspurposes,onthesoleauthorizedserver Computer,inaclient/serverfeatureso^called networkfeature,withoutlimitationregardingthenumberofclient computers,providedthatthesoftwarecanbeusedsimultaneouslyandexclusivelybynomorethantheauthorized numberofconcurrentusers,onthesameservercomputer_ b)makecopiesofthesoftwareonthesameservercomputerforthesolepurposeofmakingseveralinstanceswork, providedthatlicenseereproducesallthecopyright,trademarkandotherproprietarynoticeswhichappearonorinthe Software_suchcopybeingsubjecttothetermsandconditionsoftheAgreement_ c)transferthesoftwarefromone(1)servercomputertoanother,providedthatthesoftwareshallneverbeinstalled andusedonmorethanone(1)servercomputeratthesametime. LICENSEEexpresslyagreesthatitshallnotinstalloruse4DSERVERonanothercomputerplatformand/orusethe SoftwarewithmorethantheAuthorizednumberofConcurrentUsers,itbeingagreedthatsimultaneoususeofthe

5 SoftwarebymorethantheAuthorizednumberofConcurrentUsers,ortheuseoftheSoftwareinanotherenvironment thantheenvironment,issubjecttothepurchaseofoneorseveraladditionallicensesbylicenseeundertheprice termsandconditionstheninforce DSQLDESKTOP 4DSQLDESKTOPmaybeusedsolelyforexecutionpurposes_itbeingagreedthateachlicenseislimitedtoone(1) Instance.ThelaunchofanyadditionalInstanceissubjecttothepurchaseofanadditionallicensebyLICENSEEunder thepricetermsandconditionstheninforce.4dsqldesktoplicenseallowslicenseetousesuchsoftwareasaclient toaremoteserver.innoevent,4dsqldesktopmaybeusedtodevelopnewapplicationsand/ordatabases DWEBAPPLICATIONSERVER i) 4DWEBAPPLICATIONSERVERmaybeusedasanIntranet/Internetserver,withoutlimitationofthenumberof connections,and ii)thislicenseislimitedtoone(1)4dapplication,one(1)instanceandone(1)computerexclusively,itbeingagreed thatthelaunchofanyadditionalinstanceissubjecttothepurchaseofanadditionallicensebylicenseeunderthe pricetermsandconditionstheninforce DWEBAPPLICATIONEXPANSION Thepurchaseofany4DWEBAPPLICATIONEXPANSIONlicenseandanyuseofsuchSoftwarearesubjecttotheprior andregularpurchasebylicenseeofa4dserverlicense. PursuanttothelicensegrantedandwithoutprejudicetothetermsoftheAgreement,4DWEBAPPLICATION EXPANSIONmaybeusedasanIntranet/InternetServer,withoutlimitationofthenumberofconnections,itbeing agreedthatthelicenseislimitedtoone(1)4dapplicationandone(1)computerexclusively.inaddition,theterms relatingtothecopyof4dwebapplicationexpansionareidenticaltothoserelatingto4dserver,towhich4d WEBAPPLICATIONEXPANSIONisjoinedwith,anddefinedinsection2.4.4b)oftheAgreement DWEBSERVICESEXPANSION Thedeploymentofwebservicesasaserver(publishingofwebservices)impliesthepriorpurchaseofa4DWEB SERVICESEXPANSIONlicense. Thepurchaseofany4DWEBSERVICESEXPANSIONlicenseandanyuseofsuchSoftwarearesubjecttothepriorand regularpurchasebylicenseeofa4dserverlicenseora4dwebapplicationserverlicense. PursuanttothelicensegrantedandwithoutprejudicetothetermsoftheAgreement,4DWEBSERVICESEXPANSION maybeusedasawebservicesserver,withoutlimitationofthenumberofwebservicesandthenumberofweb servicesclients,itbeingagreedthatthelicenseislimitedtoone(1)4dapplicationandone(1)computerexclusively.in addition,thetermsrelatingtothecopyof4dwebservicesexpansionareidenticaltothoserelatingto4dserver orifapplicableto4dwebapplicationserver,towhich4dwebservicesexpansionisjoinedwith,anddefinedin section2.4.4b)oftheagreement DSQLEXPANSIONUNLIMITED Thepurchaseofany4DSQLEXPANSIONUNLIMITEDlicenseandanyuseofsuchSoftwarearesubjecttothepriorand regularpurchasebylicenseeofa4dserverlicense. Pursuanttothelicensegranted^asanexceptiontotheAuthorizednumberofConcurrentUsersandwithoutprejudice tothetermsoftheagreement 4DSQLEXPANSIONUNLIMITEDmaybeusedasaSQLserverwithoutlimitationofthe numberofsimultaneousconnections,itbeingagreedthatthelicenseislimitedtoone(1)4dapplicationandone(1) computerexclusively,atapricebasedonthenumberofprocessors( CPU ).Inaddition,thetermsrelatingtothecopy of4dsqlexpansionunlimitedareidenticaltothoserelatingto4dserver,towhich4dsqlexpansion UNLIMITEDisjoinedwith,anddefinedinsection2.4.4b)oftheAgreement DOEMDESKTOP LICENSEEacknowledgesandagreesthattheinstallationandtheuseof4DOEMDESKTOPimplythesigningofan amendmentbetweenlicenseeand4d,itbeingagreedthatasstatedbythesections2.1and2.2,completedand/or amendedbythepresentsection2.4.10:licenseemayuse4doemdesktopforthesolepurposeofrunningand

6 deployingoneormorecompiled4dapplication(s)singleuser unlessotherwiseprovidedintherelevantamendment betweentheparties^withinthelimitofthenumberofcopiesallowed,asdefinedinthecorrespondingamendment,for allplatforms,beingspecifiedthattheevaluationversionsarenotincludedintheaccountoftheabove^mentioned numberofcopies DMOBILEEXPANSION Thelicensegrantedby4Dregarding4DMOBILEEXPANSIONpermitstheuseofsuchSoftwareontheavailableplatform(s) andthis,subjecttothefollowingtermsandconditions: Any4DApplicationdevelopedwithWAKANDAConnectorProfor4Dmayonlybedeployedinconjunctionwith4D SERVER,itbeingagreedthatdeploymentissubjecttothetermsofthecorrespondinglicense. Furthermore,itisspecifiedthatduringthefirstyear,Maintenanceservicesasdescribedinsection3.2areincludedinthe licenseofuseof4dmobileexpansion. Attheendofsuchfirstyear:! IfLICENSEEhassubscribedtotheyearlyMaintenanceservicesofthecorrespondinglicenseofuseof4DSERVER, 4DMOBILEEXPANSIONisautomaticallyincludedintheMaintenanceservicesandautomaticallyrenewed accordingtothetermsofsection3.2_! IfLICENSEEhasnotsubscribedtotheyearlyMaintenanceservicesofthecorrespondinglicenseofuseof4D SERVER,LICENSEEwilldecide,atitsowndiscretion,torenewornotsuchMaintenancesservicesof4DMOBILE EXPANSIONaccordingtothetermsofsection ELECTRONICDOCUMENTATIONRIGHTS LICENSEEmay: ^ printtheelectronicdocumentationforusewiththesoftware_ ^ transferthehtmlorpdffilestoaserverforuseonlicensee'sintranet_ ^ transfertheelectronicdocumentationonaharddriveforlicensee'susewiththesoftware. LICENSEEmaynot: ^ distributethedocumentation_ ^ transferthedocumentationinanymannerthatcausesittobeaccessedontheinternet_ ^ makederivativeworksofthedocumentation. 2.6OTHERRIGHTS TheSoftwaremayincludeoneormorelibraries,filesorotheritemsintendedtohelpLICENSEEtousetheSoftware.4D grantslicenseetherighttousetheselibraries,filesandotheritemsprovidedlicenseecomplieswiththetermsofthis Agreementandanytermsspecifictothelibrariesorfiles.LICENSEEshouldrefertotheDocumentationandthe Read me fileincludedinthesoftwareforadditionalinformationandterms. LICENSEEisinformedthattheSoftwaremaygiveaccesstoalibrarythatallowsLICENSEEtocodecertaininformationin the4dapplicationsdevelopedwiththesoftware.licenseeagreesthatsomelawsdonotalloworlimittheuseofthe algorithmscontainedinthislibraryandagreestocomplywithallapplicablelawsandregulationsrelatedtosuchuse. Inanycase,itisLICENSEE sresponsibilitytomakesurethatanyuserofthesoftwarecomplieswiththetermsofthis licenseagreement. 3.TECHNICALSUPPORTANDMAINTENANCESERVICES 3.1EVALUATIONLICENSE Theevaluationlicensedoesnotincludeanytechnicalsupportormaintenanceservices. 3.2LICENSEOFUSE 3.2.1IfLICENSEEhassubscribedtotheyearlyMaintenanceservicesatthedateofpurchaseofthecorrespondinglicense ofuse,suchmaintenanceservicesaresubjecttothefollowingtermsandconditions: Inconsiderationofthepaymentofthecorrespondingyearlyfee,4Dshall^whenavailable^informLICENSEEand at LICENSEE srequest^putupdatesatitsdisposal,byanymeansandonanymediaof4d schoice,including,ifavailable, therelateddocumentation.

7 ProvidedLICENSEEhaveelectedMaintenanceservicesandpaidtheapplicablefees,when4DmakesRversionsavailable, 4DwillgrantLICENSEEtherighttousesuchnewrelease,withtheunderstandingthatLICENSEEwhichhasnotsubscribed totheyearlymaintenanceservicesisnotallowedtousesuchnewrelease. LICENSEEshallupdatethecomponentsoftheEnvironment,ifanUpdateand/oraRversionrequirestodoso. LICENSEErecognizesandagreesthatthelicenseandtheMaintenancedonotincludeinstallationservices,suchservices beingsubjecttoaseparateagreement. Inaccordancewiththepresentlicense,theinitialyearlyMaintenanceperiodshallcomeintoeffectontheprovisiondate ofsuchlicense,accordingtotheconditionsasdescribedabove,foratermofone(1)year. UnlessterminationoftheMaintenancebyapartyuponwrittennotice^byregisteredletterwithacknowledgementof receipt^totheotherpartyatleastthirty(30)dayspriortotheendofthecurrentyearlymaintenanceperiod,maintenance shallberenewedforsuccessiveperiodsofone(1)yeareachandthemaintenancefeeshallbecalculatedonthebasisof thethencurrentapplicablepricelistatthedatetheyearlymaintenanceisrenewed_itbeingagreedthatanyincreaseof theyearlymaintenancefeeshallbelimitedtoa8%riseperyear. Itisexpresslyunderstoodthat,ifLICENSEEhassubscribedtotheyearlyMaintenanceservicesofthelicenseofuseofany MasterProduct,thepurchaseofanyEXPANSIONand/orpluginlicensewillautomaticallyincludetheMaintenanceServices forthecorrespondingexpansion/pluginlicense.maintenanceservicesofsuchexpansion/pluginmayonlybeterminated (i)incaseofterminationofthemaintenanceofmasterproductinaccordancewiththeproceduresoutlinedabove,or(ii) iflicenseedecidestostopusingsuchexpansion/pluginlicenseaccordingtosection IfLICENSEEwantstoobtaintechnicalsupportservicestotheSoftwarefrom4Doritslocal subsidiaries/distributors,licenseemustregisterthesoftwareassoonaspossible,byappropriatemeans, including,ifnecessary,onlineaccordingtothemethodsasindicatedontheconcerned4dorlocal subsidiaries/distributorswebsites_suchservicesbeingsuppliedaccordingtothethenlocalapplicabletermsand conditions IftheSoftwarecontainsanUpdateoftheSoftwareand/orif4DmakesRversionsavailable,theUpdateand/or therversionconstitutesasingleproductwiththesoftware.consequently,licenseeceasesusingthepreviousversion ofthesoftwareand/orpermittingsuchusewithinamaximumtermoftwo(2)monthsfromtheinstallationor registrationofsuchupdate and/orrversion.licenseeagreestoallthetermsofthisagreementwhichgovernthe termsandconditionsofuseoftheupdates and/orrversions. 4.WARRANTYANDLIABILITY Clientacknowledgesandagreesthat4DSAShasdulyfulfilleditspre^contractualobligationstoadviseClientandthat withrespecttoalltheprovisionsprovidedundertheagreement,4dsasisonlyboundbyageneral bestendeavours obligation ( obligationdemoyen underfrenchlaw). 4.1LICENSEOFUSE:WARRANTYANDLIABILITY 4Dwarrants,exclusivelyforaperiodofninety(90)daysfollowingthedeliveryoftheSoftwaretoLICENSEE,as evidencedbyacopyofthesalesreceipt,thattheunmodifiedsoftwarecomplieswiththespecificationsdescribedinthe DocumentationwhenusedintheEnvironment. Consequently,4Dagrees,at4D soption,either(i)tocorrectanynonconformitywiththedocumentationfoundand notifiedbylicensee,beingagreedthatthereplacingsoftwarewillbewarrantedfortheremainderoftheoriginal warrantyperiod,or(ii)torefundthelicensefeepaidforthesoftwareandterminatethisagreement. However,ifthefailurehasresultedfromanaccident,anabuse,amodificationoftheSoftwareoramisapplication,4D shallhavenoresponsibilitytocorrectthesoftwareortorefundthelicensefee. LICENSEEagreesthattheSoftwareisobtainedthroughdownloadatitsowndiscretionandriskandthatLICENSEEis responsibleforanydamagetoitscomputersystemorlossofdatathatresultsfromthedownloadingofthesoftware. 4DdoesnotwarrantthattheSoftwareisfreefrombugsand/orerrors.Inaddition,4Ddoesnotwarrantthatthe functionsincludedinthesoftwarewillmeetlicensee srequirementsorthattheoperationwillbeuninterruptedorerror freeorthatallerrorswillbecorrected.

8 THEWARRANTYSTATEDABOVEISEXCLUSIVEANDTHEREFOREALLOTHERWARRANTIESAREWAIVEDBYLICENSEE, TOTHEEXTENTPERMITTEDBYLAW,WHETHEREXPRESSORIMPLIED,INCLUDINGBUTNOTLIMITEDTOIMPLIED CONDITIONSORWARRANTIESOFMERCHANTABILITYANDFITNESSFORANYPARTICULARPURPOSE. TheentireriskastochoiceanduseoftheSoftwareaswellastheresultsobtainedwiththeSoftwareiswithLICENSEE. Further,itisLICENSEE'sresponsibilitytotakethenecessarystepsfortheprotectionofitsdata. ThewarrantyasstatedinthisprovisionispersonaltoLICENSEEandnothirdpartythatusestheresultsobtainedby LICENSEEwiththeSoftwaremaybenefitfromsuchwarranty.Consequently,4Dshallnotberesponsibletoanythird party,fortheuseofany4dapplication.licenseeshallindemnify4dfromanyclaimbyathirdpartyrelatedtosuch4d Application. Clientacknowledgesandagreesthat4DSASmayonlybeliablefordirectdamages. Neither4Dnoranyoneelsewhohasbeeninvolvedinthedesign,theproduction,orthedistributionoftheSoftwarewill beliableforanyincidental,consequential,indirectorspecialdamagescausedtolicensee,anyuserorthirdparty, evenincaseofnegligence,includingbutnotlimited,totheinterruptionofthegoodorderworkofthesoftware,theloss ofprofits,lossofdata,lossofbrandimage,increaseofoverheadsoranyotherfinanciallossarisingfromtheuseofthe Softwareorinabilitytouseitevenif4Dhasbeennotifiedofthepossibilityofsuchdamages. Inanycase4D'sliabilityshallnotexceedtheamountofmoneypaidbyLICENSEEfortheconcernedlicenseofuseor,if applicable,theamountreceivedinrespectofthemaintenancefeeforthecurrentyearlyperiod. Itisexpresslyagreedthatanyclaimfordamagesagainst4DSASarisinginconnectionwiththeAgreementwillbetime^ barredtwelve(12)monthsaftertheeventthatgeneratedthatclaim. 4.2EVALUATIONLICENSE:EXCLUSIONOFWARRANTYANDLIMITEDLIABILITY TheSoftwareisprovidedforevaluationpurposesonlyand ASIS,withoutanyexpressorimpliedwarranty. 4Ddoesnotprovideanywarrantyfortheuse,thefunctionalityandtheperformancesoftheSoftware.Itdoesn'tcertify eitherthatthesoftwareisfreefrombugsand/orerrors.morespecifically,4ddoesnotwarrantthatthefunctions includedinthesoftwarewillmeetlicensee'srequirementsorthattheoperationwillbeuninterrupted.theentirerisk astothechoiceoftheuseofthesoftwareiswithlicensee.further,itislicensee'sresponsibilitytotakethe necessarystepsfortheprotectionofitsdata,inparticulartheirback^upandtheirarchival. 4Dwillneverbeliableforanyfinancial,commercialorotherdamagescausedtoLICENSEEdirectlyorindirectlybythe useorthefunctioningofthesoftware,evenif4dhasbeennotifiedofthepossibilityofsuchdamages. 5.INTELLECTUALPROPERTY 5.1TheSoftwareisanoriginalcreationprotectedbynationaland/orinternationallegislations. TheSoftwareistheexclusivepropertyof4Dand/oritssuppliers.4Dand/oritssupplierscontinuetobethesole owner(s)oftheintellectualpropertyrightsattachedtothesoftware. Consequently,LICENSEEshallnotacquireanytitle,copyrightorotherproprietaryrightsintheSoftwareotherthan specifiedinthisagreement. ThisAgreementdoesnotincludeanylicenseorrightson4Dand/oritssuppliers trademarksorotherproprietaryrights notices. LICENSEEshallnotchangethelegalnoticesrelatingtocopyrightandotherintellectualandindustrialpropertyprivileges onorinthesoftware. AnyreproductionwhetherwholeorpartialoftheSoftwareisonlyallowedontheabsoluteconditionthatitcontainsall thelegalspecificationsofthesoftwareproperty. 5.24Dstatesthattoitsknowledge(i)nothingstandstothesignatureofthisAgreement,(ii)theSoftwaredoesnot constituteaninfringementtoanypre^existentcreation. 5.3LICENSEEshallpromptlynotify4DofanyunauthorizeduseoranyinfringementoftheSoftware,ofwhichLICENSEE hasknowledge.should4ddecidetoinstitutelegalactionbasedonlicensee snotification,licenseeshallprovide4d

9 withanyassistancethatmaybereasonablyrequiredby4d. 5.44Dshalldefendand/orsettle,atitsowncosts,pursuanttoanyclaimbroughtagainstLICENSEEallegingthatthe SoftwareprovidedunderthetermsofthisAgreementinfringesanyintellectualpropertyrights,providedthatLICENSEE: promptlynotifies4dinwritingofanysuchclaim,and promptlytendersthecontrolofthedefenceandsettlementofanysuchclaimto4d,and shallcooperatewith4dindefendingorsettlingsuchclaim. IfaclaimorapotentialclaimforinfringementistobebroughtagainstLICENSEE,orifintheopinionof4DtheSoftware maybecomethesubjectofanyclaimforinfringement,then4dshall,atitsoptionandexpense,either: (i)replacethesoftwarewithreasonablyequivalentsoftwareor, (ii)if(i)isnotpracticable,refundthelicensefeespaidinregardstothelicenseandterminatetheconcernedlicense. 4DshallpaydamagesfinallyawardedpursuanttoanyclaimbroughtagainstLICENSEEallegingthattheSoftware infringesanyintellectualpropertyrights,includinglicensee sdefencecosts(notablylawyer sfees),itbeingagreedthat entireliabilitywithrespecttoanyclaimregardingtheintellectualpropertyrightsofanythirdpartyrelatingtothe Software,shallnotexceed,inanycase,theamountofmoneypaidbyLICENSEEfortheconcernedlicense. 4Dshallhavenoliabilityfor: theuseofotherthanthethen^currentreleaseofthesoftware_ themodificationofthesoftwarebylicenseeoranythirdparty, theuseofthesoftwareotherthanassetforthinitsdocumentationandaspermittedherein_ theuseofthesoftwarewithanotherhardware,anotheroperatingsystemand/oranothersoftwarethatthose whichconstitutetheenvironment. Thissection5states4D sentireobligationwithrespecttoanyclaimregardingtheinfringementofintellectualproperty rightsorofanotherpropertyrightsofanythirdparty. 6.NONHDISCLOSURE ThestructureandorganizationoftheSoftwarearevaluabletradesecretsandconfidentialinformationof4Dand/orits suppliers.licenseeshallnotdisclosesuchtradesecrets. Theobligationofnon^disclosureshallremaininforcefive(5)yearsaftertheterminationofthisAgreement. LICENSEEexpresslyagreesthat4Dhastherighttopubliclyannouncethe4D/LICENSEErelationship. 7.TERMANDTERMINATION 7.1LICENSEOFUSE Unlessearlytermination,thelicenseofuseoftheSoftwaregrantedunderthisAgreementisallowedforalengthoftime equaltothelegaltimeprotectionofthesoftware. TerminationoftheMaintenanceasdescribedinsection7.2foranyreasondoesn tmeanterminationofthelicenseof useofthesoftwarewhichremainsineffect. IncaseofearlyterminationofthelicenseofuseoftheSoftwareormoregenerallytheAgreementforanyreasonand exceptasexpresslyotherwisestatedinthisagreement,licenseeagreesthatthefeespaidforthecorresponding license,arenotrefundableandthatsuchterminationshallnotrelievelicenseefrompayinganyamountdueatthe dateoftheterminationpursuanttothisagreement. LICENSEEmayterminatealicenseatanytimewithoutcausebyregisteredletter.Thisterminationshallnotrelieve LICENSEEfromitsliabilityarisingbeforetheterminationdate. EachpartymayterminatetheAgreementimmediatelybysendingawrittennoticetotheotherparty^byregistered letterwithacknowledgmentofreceipt^whensuchpartyisinmaterialbreachofanyterm,condition,orprovisionofthis Agreementandbreachisnotcuredwithinthirty(30)daysaftersuchnotice. However,4DmayalsoterminateimmediatelytheAgreementbysendingawrittennoticetoLICENSEE^byregistered

10 letterwithacknowledgmentofreceipt^intheeventthat(i)licenseebreachessection2oftheagreementand/orthat (ii)licenseehasnotpaidanyinvoicedfeesrelatedtotheagreement. TheterminationoftheAgreementdoesnotprevent4Dfromclaiminganyfurtherdamages. UponterminationoftheAgreement,suchterminationshallrelieve4Dfromanyofitsobligationsrelatedtothe Agreement.LICENSEEshallstopusingtheSoftware,destroyorreturntheSoftwareandtheDocumentationandany copymadewhetherpartialorwhole,andreturntheproductnumberto4d. LICENSEEshallcertifybymeansofawrittendocumentdulysignedbyalegalrepresentativethattheprovisionsofthe presentsection7.1havebeenrespectedwithinatimelimitoffive(5)daysfromthedateoftermination. 7.2MAINTENANCE Unlessearlytermination,thesubscriptiontoMaintenanceservicesasdefinedinsection3.2.1isvalidforone(1)yearas ofthedateofpurchasebylicenseeofsuchmaintenance,andtacitlyrenewedforsuccessiveperiodsofone(1)year each,subjecttothetermsofsection3.2.1hereinabove. Terminationofthelicenseofuseasdescribedinsection7.1foranyreasonshallautomaticallyandimmediatelyentail terminationofthemaintenancethereto. IncaseofearlyterminationoftheMaintenanceforanyreasonandexceptasexpresslyotherwisestatedinthis Agreement,LICENSEEagreesthatthefeespaidfortheMaintenance,arenotrefundableandthatsuchterminationshall notrelievelicenseefrompayinganyamountdueatthedateoftheterminationpursuanttothisagreement. Asstatedinsection3.2.1oftheAgreement,LICENSSEmayonlyterminatetheMaintenancebysendingaone(1)month writtennoticepriortotheendofthecurrentyearlymaintenanceperiod.thisterminationshallnotrelievelicensee fromitsliabilityarisingbeforetheterminationdate. However,withoutprejudiceofanyotherremedyatlaworinequity,thebreachbyaPartyofitsmaterialobligations entitlestheotherpartytoterminatethemaintenanceandmoregenerallythisagreementifafterthirty(30)dayswritten noticethebreachingpartyhasfailedtoremedysuchdefaultorbreach. UponterminationoftheMaintenanceforanyreason,suchterminationshallrelieve4Dfromanyofitsobligationsrelated themaintenance. 7.3EVALUATIONLICENSE Thisevaluationlicenseisallowedforalengthoftimeasdefinedatthetimeoftheproductnumberdelivery. Anyofthepartiesmayterminatethisevaluationlicenseatanytimewithoutcauseuponwrittennoticebyregistered letterwithacknowledgmentofreceipt. IfLICENSEEfailstocomplywithanyprovisionofthisAgreement,theterminationdoesnotprevent4Dfromclaiming anyfurtherdamages. Uponterminationforanyreason,LICENSEEshallstopusingtheSoftware,destroyorreturnit,andanycopymade whetherpartialorwhole,to4d. LICENSEEshallcertifybymeansofawrittendocumentdulysignedbyalegalrepresentativethattheprovisionsofthe presentsectionhavebeenrespectedwithinatimelimitoffive(5)daysfromthedateoftermination. 8.AUDIT LICENSEEpermits4Dtoperformeitheritselforbyanyrepresentativeanyauditorcontrolinordertoverifythat LICENSEEcomplieswithallprovisionsofthisAgreement,itbeingagreedthatLICENSEE,holderofaOEMDESKTOP licenseofuse,shallprovideanyinformationrequestedby4dregardingtheagreementexecution,withoutanydelayand bywriting,. Iftheauditrevealsanon^compliancewiththetermsandconditionsoftheAgreementand/oradiscrepancywiththe informationgivenbylicensee,licenseeshallpayall4d sreasonablecostsrelatingtotheauditandthis,without damagetootherrightsand4d srecourse. Thisprovisionshallremaininforcetwo(2)yearsaftertheterminationoftheAgreementforanyreasonwhatsoever.

11 9.MISCELLANEOUSPROVISIONS ItisLICENSEE'sresponsibilitytocomplywithanyapplicableFrench,EuropeanorInternationalexportcontrollawsand regulations.licenseeshallnotdirectlyorindirectlytransferthesoftwaretoanycountrytowhichsuchtransferwould beprohibitedbyanyapplicableexportcontrollawsorwouldbesubjecttoanexportlicenseoranyadministrative authorization,withouthavingfirstlyobtainedsuchlicenseorauthorization.further,licenseewarrantsthatlicenseeis notanationaloraresidentofacountrytowhichexportingthesoftwareisnotallowedbyvirtueofanyexportlawsor regulations. Incompliancewiththelawn 78^17ofJanuary6,1978,asamendedbythelawn 2004^801ofAugust6,2004, LICENSEEisentitledtoarightofaccess,modificationandsuppressionofallpersonaldatawhichconcernsLICENSEE.To Moregenerally,thePartiesshallcomplywithanyapplicablelawandregulation,inparticularasregardspersonaldata protection. NochangeormodificationtothisAgreementwillbevalidunlessawrittenamendmentsignedbyLICENSEEandan authorizedofficerof4d. IfanyprovisionofthisAgreementisheldtobeunenforceableuponadefinitelegalorreglementaryprovisionora statutoryorjudicialdetermination,theremainderofthisagreementshallcontinueinfullforceandeffect. Thewaiverby4Dofonebreachordefaulthereunderdoesnotconstitutethewaiverofanysubsequentbreachor default. ThisAgreementconstitutestheentireagreementbetween4DandLICENSEErelatingtotheSoftwareandsupersedes anypriorpurchaseorder,communications,advertisingorrepresentationsconcerningthesoftware. AprintedversionofthisAgreementunderelectronicformandanywarningnoticedeliveredunderelectronicformby4D, shallbeacceptedinthecourseofanylegalproceedingsregardingtheexecutionofthisagreement. Therelationshipbetween4DandLICENSEEisthatofLICENSOR/LICENSEE.Inallmattersrelatingtothepresent Agreement,LICENSEEwillactasanindependentparty. ThisAgreementwillbegovernedbyFrenchlawandanydispute,controversyorclaimarisingoutoforrelatedtothis AgreementshallbesettledbyadjudicationbeforetheCommercialCourtofNanterre,France,includingincaseof summaryproceeding,pluralityofdefendantsoractiononawarranty. TheoriginalversionofthisAgreementiswritteninFrench.IncaseofconflictorinconsistencybetweentheFrench versionandthispresentone,thefrenchversionwillprevail LICENSEEACKNOWLEDGESTOHAVEREAD,UNDERSTOODANDAGREEDTOBEBOUNDBYTHETERMSAND CONDITIONSOFTHEAGREEMENTPRINTEDABOVE.
