2 INTRODUCTION In Law Firm Avbreht, Zajc & Partners we are specialised in providing legal advice in the broad field of corporate, commercial law and business law. The starting points of our work are our clients to whom we provide a complete legal solution at the highest expert level with regards to their individual requirements and needs. The organisation of our law office emphasises this starting point and is based on the following principles: Our law office covers all key legal areas which are essential for the field of commercial and business law. We cover most legal fields ourselves, although some (such as tax law) are covered in cooperation with contractually linked specialists and experts which we integrate in our team according to the need. Various legal experts cover a variety of legal fields, seeing that only specialisation enables a complete and expert advice and solution for our client. Each of our clients has his own custodian who makes sure that at any given time the client's requirements are fulfilled. The cooperation with our clients is mostly long-term. We make an effort to decrease the legal risks to the lowest possible level and with careful advising enable a comparative market advantage to the client. As a result we advise our clients in the event of unfair competition and prohibited restriction of competition. Additionally we offer complete legal support in cases of merger and takeover transactions (M&A) in relation to the Competition Protection Authority, including obtaining approvals for concentrations and representing our clients throughout the process of merger / acquisition.

5 REAL ESTATE We provide advising regarding all legal transactions connected to purchasing, selling and exchanging real estate. We also carry out procedures regarding inserts into the land registry and real estate insurance procedures. With the support of other experts (geodetic service ) we also perform the entire procedure of dividing and entering floor property, division of real estate etc. LABOUR LAW We perform all legal services connected to the field of labour law for our clients. The core of our work includes the preparation of general legal documents regarding the field of labour law (collective wage agreements, general legal acts ) and also the preparation of employment contracts where we possess immense experience in all types of contracts in the field of labour law. We review labour law contracts in the due diligence processes and estimate the possible risks arising for the client thereof. With regards to the requirements of the client we also prepare documents and procedures dealing with employment contract cancellation, conducting various procedures at the employers. In the event of court disputes or disputes before other authorities we also represent employers. COMMUNICATION LAW Legal challenges in the field of communications are especially plentiful in the contemporary society. Within the field of communications we advise clients in all fields regarding communication between organisations and third parties. Challenges regarding publishing in the media, advertising... are especially topical in this field. PUBLIC PROCUREMENT AND STATE AID Public procurement represents a significant part of transactions of a number of our clients. So we have developed expertise which provides assistance both to contracting authorities (to persons who have to award contracts on the basis of public tenders according to Public Procurement Act regulations), as also to tenderers. We generally work close with our clients already in the phase of drawing up tender documentation or the tender and in resolving and lodging applications for review of the tender procedure and eventual other legal acts. REPRESENTATION Representation before courts represents a significant segment of our work. We independently cover all legal areas except criminal law with which we entrust our contractual co-workers. We represent our clients in procedures before other state authorities and also in negotiations and in other legal actions, while also accepting authorisations for signing contracts in the event that our client expects such services. INTELLECTUAL PROPERTY LAW Within the field of intellectual property law we offer advice to clients mainly in the field of copyright law and industrial property law. With the support of our contractual representative in the field of intellectual property we carry out all procedures for the protection of a company's intellectual property.

6 SOCIAL RESPONISIBILITY/ AWARENESS We sense our right and duty to participate in current events in our surroundings. We regularly perform humanitarian work through the Rotary Club Ljubljana which constantly provides assistance to people in need with their socially-based programme, with which we are also familiar with. Although we perform business as a law office specialised in the field of business law, we also make it our business to provide assistance, within our capabilities, to all in distress who turn to our office for help and advice.
