Peter leads the technical aspects of ESOP financial modeling, valuation, tax, accounting and human capital topics at Verit. He has a national practice with more than 25 years of experience in litigation and dispute resolution. During Ms. Clough s tenure in the Qualified Plan Administration field, she has been the ESOP Manager for a mid-sized consultant firm and responsible for the training and oversight of a staff of twelve administrators. She has been working with employee-owned companies for over 16 years in both an ongoing trustee capacity as well as a discretionary or transactional trustee capacity. She has been involved with several transactions including the implementation of new ESOP s, second-stage ESOP transactions, redemption and sale transactions, mergers and acquisitions as well as various refinancing, restructuring, bankruptcy and liquidation transactions. Tina Daniel Chief Financial Officer Tina Daniel joined Human Kinetics Inc. in As CFO, Ms. Daniel oversees financial and technology including network information systems, technical support, application development and design, as well as serving as the 401(k) and ESOP plan administrators for the company. MARILYN MARCHETTI First Bankers Trust Services Marilyn Marchetti, J.D., Corporate Advisor, Employee Benefits Counsel, First Bankers Trust Services - Juris Doctor, Chicago - Kent College of Law Clerk of the Illinois Supreme Court. Ms. Marchetti gained national prominence as an employee benefits attorney in Chicago where she practiced for 20 years in employee benefits law, tax, and ERISA, focusing almost exclusively on ESOPs. She is a past member of the Board of Directors and Board of Governors of the ESOP Association and founded the Illinois Chapter of that organization. She is a frequent speaker and author on subjects relating to fiduciary duties and ESOPs. Before joining the Association, Dan worked for almost a dozen years at Woodward Communications, Inc. (WCI), an ESOP Association member, as the Human Resources Director. She has concentrated expertise in fiduciary issues related to privately held stock valuations, DOL and IRS audit process and class action settlements involving plans holding employer securities. 12 David A. Rubenstein Partner in Drinker, Biddle and Reath LLP David A. Rubenstein is a member of Drinker Biddle and Reath s corporate practice and is a member of the firm s ESOP Team. Dave represents private and public companies in negotiating and consummating acquisitions and dispositions, including mergers, asset and stock acquisitions, as well as numerous joint ventures. He is involved in transactions across a broad range of regulated and unregulated industries which typically include a variety of investigatory, tax, accounting and corporate issues.
