BY PARTICIPATING IN THE PEPSI CHERRY VANILLA CASH IN WITH CHERRY SWEEPSTAKES (THE SWEEPSTAKES ), PARTICIPANT AGREES TO BE BOUND BY THESE OFFICIAL RULES AND THE DECISIONS OF THE JUDGES, WHICH SHALL BE FINAL IN ALL RESPECTS. 1. ELIGIBILITY: The Sweepstakes is open only to individuals who are legal U.S. residents of the 50 United States or the District of Columbia who are 13 years of age or older at the time of entry. The following persons are not eligible to participate: Employees, contractors, directors, and officers of PepsiCo Inc., and Pepsi-Cola Company and its bottlers, ( Sponsor ), the NFL Entities (as defined below), and each of their respective parents, subsidiaries, affiliates, shareholders, officers, directors, agents, representatives and employees and each of their respective parents, subsidiaries and affiliated companies, distributors, Web design, advertising, fulfillment, judging and promotion agencies involved in the administration, development, fulfillment and execution of this Sweepstakes (collectively Promotion Parties ), and the immediate family members (spouse, parent, child, sibling, grandparent, and/or step ) of each and those living in their same households (those persons whether related or not who live in the same residence for at least three months during the twelve-month period preceding the start date of the Sweepstakes). 2. SWEEPSTAKES PERIOD: Sweepstakes begins February 7, 2016 at the beginning of the Super Bowl Halftime Show which is expected to begin on or about 9:00:01 p.m. Eastern Time ( ET ) (midnight) and ends February 7, 2016 at 11:59:59 p.m. ET (midnight) (the "Sweepstakes Period"). 3. THREE WAYS TO ENTER: Facebook: (1) Visit and like the image of the Super Bowl 50 Halftime Show item. Log onto Facebook, if you do not have a Facebook account you may signup for free by visiting and follow the enrollment instructions via your account. (2) After registering your Facebook account like the image of the Super Bowl 50 Halftime Show item you with to enter for a chance to win. Entries that do not follow the above format may be discarded or ignored and not eligible for Entry. Anyone found to use multiple Facebook accounts to enter will be ineligible. All Entries must comply with the Facebook Terms of Service and Facebook Rules available at Instagram: (1) Visit and like the image of the Super Bowl 50 Halftime Show item. Log onto Instagram, if you do not have an Instagram account you may sign-up for free by visiting and follow the enrollment instructions via your account. (2) Follow Instagram and like the image of the Super Bowl 50 Halftime Show item you with to enter for a chance to win. Entries that do not follow the above format may be discarded or ignored and not eligible for Entry. Entries received after Entry Period deadline and/or Entries that contain obscene, offensive, or any language communicating messages inconsistent with the positive images to which Sponsor wishes to associate will be void. Anyone found to use multiple Instagram accounts to enter will be ineligible. All Entries

2 must comply with the Instagram Terms of Service and Instagram Rules available at Twitter: (1) Visit and retweet the image of the Super Bowl 50 Halftime Show item. Log onto Twitter via your account, if you do not have a Twitter account you may sign-up for free by visiting and follow the enrollment instructions. (2) Follow Twitter and retweet the image of the Super Bowl 50 Halftime Show item. Each tweet must be public (not protected) and include the hashtag: #SweepsEntry and conform to Twitter s (140) character limitation (hereinafter, each, an Entry ). Entries that do not follow the above format may be discarded or ignored and not eligible for Entry. Entries received after Entry Period deadline and/or Entries that contain obscene, offensive, or any language communicating messages inconsistent with the positive images to which Sponsor wishes to associate will be void. Anyone found to use multiple Twitter accounts to enter will be ineligible. All Entries must comply with the Twitter Terms of Service and Twitter Rules available at Data fees may apply. Check with your wireless provider for pricing plan details. Limit one (1) Entry per person/social network account/mailing address regardless of entry method. Any attempt by an entrant to enter more than the number of times authorized herein, including multiple entries by the same entrant using different phone numbers/ addresses/social network accounts, will invalidate ALL entries submitted by that entrant for the entire Sweepstakes Period. Submission of your Entry ( Sweepstakes Data ) constitutes your consent to participate in the Sweepstakes and consent for Sponsor to obtain, use, and transfer your Facebook/Twitter/Instagram username, and other details for Sweepstakes administration purposes. Except as noted in these Official Rules, information collected for this Sweepstakes is used only for the purpose of Sweepstakes administration and winner notification, and will not be re-used, sold or shared in any manner by the Promotion Parties or any third parties. Promotion Parties and Facebook/Twitter/Instagram are not responsible for late, lost, stolen, incomplete, misdirected, delayed, garbled, damaged, inaccurate or undelivered tweets, questions, answers, follow requests, direct messages or Entries, or for telephonic, human or computer failures, problems or errors, interruptions in service due to system upgrades, repairs, modifications or other causes, failures or malfunctions of connections, satellite, network, cable, Internet Service Provider (ISP), phones, phone lines or telephone systems, traffic congestion on the internet, technical or mechanical malfunctions, or other malfunctions or errors, whether caused by equipment, programming, human error or otherwise relating to or in connection with the Sweepstakes, including, without limitation, errors which may occur in connection with the administration of the Sweepstakes, the processing of direct messages, tweets, questions, answers, Follow requests or Entries, the announcement of a prize, for any injury or damage to participant s or any other person s computer or other device relating to or resulting from participation in this Sweepstakes, or for printing, typographical, human or other errors appearing in these Official Rules or other Sweepstakes-related materials. Sponsor reserves the right, in its sole discretion, to void any Entries or follow requests of entrants and disqualify such entrants whom Sponsor believes have attempted to tamper with or impair the administration, security, fairness or proper play of this Sweepstakes and/or who are in violation of these Official Rules.

3 4. GENERAL ENTRY TERMS: Entries generated by script, macro or other automated means are void. Sponsor and Promotion Parties are not responsible for lost, late, stolen, damaged, incomplete, invalid, un-intelligible, garbled, delayed or misdirected Entries all of which will be void. In the event of a dispute as to any Entry, the authorized account holder (determined at time of the entry) of the address used to make the Entry will be deemed to be the Entrant. The "authorized account holder" is the natural person assigned an address by an Internet access provider, online service provider or other organization responsible for assigning addresses for the domain associated with the submitted address. Each Entrant may be required to show proof of being an authorized account holder. Sponsor reserves the right to disqualify any Entrant and/or Entry. By submitting an Entry, an Entrant agrees that his/her Entry is gratuitous and made without restriction, and will not place Sponsor under any obligation and that Sponsor is free to disclose or otherwise disclose the ideas contained in the Entry on a non-confidential basis to anyone or otherwise use the ideas without any additional compensation to the Entrant. Entrant acknowledges that, by acceptance of his/her Entry, Sponsor does not waive any rights to use similar or related ideas previously known to Sponsor, or developed by its employees, or obtained from sources other than the Entrant. By entering an Entry, each Entrant hereby agrees to be bound by these Official Rules. Further, Entrants understand and agree that, at Sponsor s sole discretion, Entrant s Entry may be used on Twitter feed, Facebook account, Instagram account or other websites associated with the Sweepstakes. Submitting an Entry constitutes Entrant s consent to give Sponsor a royalty-free, irrevocable, perpetual, nonexclusive license to use, reproduce, modify, publish or create derivative works from and display the entry in whole or in part, on a worldwide basis, and to incorporate it into other works, in any form, media or technology now known or later developed, including for promotional or marketing purposes. If requested, Entrant will sign any documentation that may be required for Sponsor or its designees to make use of the nonexclusive rights Entrant is granting to use the Entryn. This license expressly includes a right (but not the obligation) for Sponsor to modify Entries to remove any third party intellectual property. If any persons other than the Entrant appear in the Entry, the Entrant is responsible for obtaining, prior to entering the Entry, any and all releases and consents necessary to permit the exhibition and use of the entry by Sponsor as set forth in these Official Rules. 5. DRAWINGS: At the end of the Sweepstakes Period, the prizes which were displayed on the social media sites (Facebook/Instagram/Twitter) will be awarded via random drawing from among all eligible entries. Odds of winning depend upon the number of eligible entries received. Limit one (1) Prize per person/social network account/mail /household regardless of entry method. 6. PRIZE DETAILS AND APPROXIMATE RETAIL VALUES ( A.R.V. ): Visit the applicable Facebook/Instagram/Twitter social media site to see the prize descriptions and Estimated Retail Value (ERV) of the prizes which are available to be won.

4 7. WINNER NOTIFICATION: Potential prize winners will be notified by message on the social media site they used to enter. Any potential prize winner who does not respond within twentyfour (24) hours of receiving the message on their social media site and/or does not follow the directions receiving in their message on their social media site will result in forfeiture of the prize and an alternate potential winner will be drawn from among all remaining eligible entries received. Sponsor is not responsible for suspended or discontinued wireless or online service which may result in a potential winner not receiving initial prize notification. Sponsor is not responsible for any change in entrant's address, mailing address and/or telephone number.. If attempted notification is returned as undeliverable, if winner cannot be verified or found, or if winner is otherwise unable to accept the prize as stated, prize will be forfeited and may be awarded to an alternate winner. 8. LIMITATIONS OF LIABILITY AND RELEASE: No responsibility is assumed by Sponsor or Promotion Parties for lost, late, mutilated, illegible, incomplete, or misdirected Entries. No liability or responsibility is assumed by Promotion Parties, Facebook, Instagram, or Twitter resulting from entrant's participation in or attempt to participate in the Sweepstakes or ability or inability to upload or download any information in connection with the Sweepstakes. No responsibility or liability is assumed by the Promotion Parties for technical problems or technical malfunction arising in connection with any of the following occurrences which may affect the operation of the Sweepstakes: Hardware or software errors;; faulty computer, telephone, cable, satellite, network, electronic or Internet connectivity or other network communication problems;; errors or limitations of any Internet or wireless providers, servers, hosts or other providers;; garbled, jumbled or faulty data transmissions;; failure of any online transmissions to be sent or received;; lost, late, delayed or intercepted transmissions;; inaccessibility of any Sweepstakesrelated equipment in whole or in part for any reason;; traffic congestion on the network;; unauthorized human or non-human intervention of the operation of the Sweepstakes, including without limitation, unauthorized tampering, hacking, theft, virus, bugs, or worms;; or destruction of any aspect of the Sweepstakes, or loss, miscount, misdirection, inaccessibility or unavailability of an entry submitted in connection with the Sweepstakes. Promotion Parties are not responsible for any typographical errors in the announcement of prizes or these Official Rules. Promotion Parties are not responsible for any personal injury or property damage or losses of any kind which may be sustained to user's or any other person's electronic device and/or phone equipment resulting from participation in the Sweepstakes. Promotion Parties are not liable in the event that any portion of the Sweepstakes or prize is canceled due to weather, fire, strike, acts of war or terrorism, or any other condition beyond their control (a Force Majeure Event ). 9. PUBLICITY RELEASE: By participating in the Sweepstakes, entrant grants (and agrees to confirm grant in writing promptly upon request) to Sponsor, and those acting under Sponsor s authority, the right to the use of his/her name, photograph, likeness, voice, image, statements and biographical information, at any time or times, for advertising, trade, publicity and promotional purposes in any media now known or hereafter discovered, worldwide, in perpetuity, including the World Wide Web without review, notification or approval, and additional compensation, unless prohibited by law. 10. GENERAL CONDITIONS: Winners are solely responsible for any and all taxes and related expenses on the prize, and may receive an IRS Form 1099 for the A.R.V. of the prize. No cash equivalent or substitution of prize is offered, except at the sole discretion of the Sponsor. No transfer of prize is permitted. Unclaimed prizes will not be awarded. If a prize, or any portion thereof, cannot be awarded for any reason, Sponsor reserves the right to substitute prize with another prize of equal or greater value. By participating in the Sweepstakes, entrants agree to

5 be contacted for purposes of Sweepstakes administration. If for any reason the Sweepstakes is not capable of running as planned, including infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes which corrupt or affect the administration, security, fairness, integrity or proper conduct of the Sweepstakes, Sponsor reserves the right, at its sole discretion, to disqualify any individual who is responsible or who tampers with the entry process, and to cancel, modify or terminate the Sweepstakes. In the event of cancellation, Sponsor may, at its sole discretion, randomly award the prizes from among all eligible, non-suspect entries received prior to cancellation. LEGAL WARNING: ANY ATTEMPT BY AN INDIVIDUAL, WHETHER OR NOT AN ENTRANT, TO DELIBERATELY DAMAGE, DESTROY, TAMPER, VANDALIZE OR INTERFERE WITH THE OPERATION OF THE SWEEPSTAKES IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND THE SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES AND DILGENTLY PURSUE ALL REMEDIES AGAINST ANY SUCH INDIVIDUAL TO THE FULLEST EXTENT PERMITTED BY LAW. 11.
