1 PUIG FRANCE, S.A.S., issued share capital: 10,000,000, RCS Nanterre no /67 Avenue des Champs Elysées Paris (France) Tél: +33 (0) Fax: +33 (0) SIREN [tax] No.: RULES OF THE GAME Nina Pop Party ARTICLE 1 ORGANIZING COMPANY The PUIG FRANCE Company, a Simplified Joint Stock Company with an issued share capital of 10,000,000, entered in the Paris Register of Commerce and Companies under number , whose registered office is situated at Avenue des Champs Elysées Paris (hereinafter the Organizing Company ), is running a free game without any obligation to purchase, entitled Nina Pop Party (hereinafter the Game ) between 28/01/2016 (10.00 a.m.) and 29/02/2016 (11.59 p.m.) inclusive, under the procedures described in the present Rules. Any date and/or time stated in the present Rules shall refer to the time in Paris, mainland France, for the date and time at which the Participants were connected, as recorded by the computer systems of the Organizing Company and/or its technical service-providers, these being authoritative. ARTICLE 2 ACCEPTANCE OF THE RULES Participating in the Game implies unreserved acceptance by the Participant of the present Rules and of the principle of the game. Any breach or violation of one or more of the Articles of the present Rules shall deprive the perpetrator of the opportunity to play the Game as well as any prize he/she may have won. ARTICLE 3 CONDITIONS OF PARTICIPATION Competing in the Game is open: To persons resident in the following countries (geolocation via IP addresses): France, Germany, Belgium, United Kingdom, Austria, Netherlands, Switzerland, Portugal, Spain, Peru, Mexico, Albania, Bosnia-Herzegovina, Croatia, Macedonia, Serbia, Slovenia, Bulgaria, Cyprus, Czech Republic, Hungary, Malta, Romania, Greece, Israel, Cape Verde, Djibouti, Equatorial Guinea, Ethiopia, Ghana, Côte d Ivoire, Nigeria, Zimbabwe, Algeria, Morocco, South Africa, Tunisia, Canada, Ukraine, Azerbaijan, Armenia, Estonia, Finland, Moldova, Denmark, Sweden, Norway, Georgia, Belarus, Iceland, Kyrgyzstan, Ukraine, Uzbekistan, Tajikistan, Turkmenistan, Kazakhstan, Singapore, Hong Kong, Malaysia, Philippines, Taiwan, Thailand, Myanmar, Indonesia, Australia, India, South Korea, Cambodia, New Zealand, Bangladesh, Pakistan, Guam, Nepal, Sri Lanka, Vietnam, having Internet access. To persons aged at least 14 on the date of their participation o In cases in which the Participant is a minor, he/she states and acknowledges that he/she has first received his/her parents consent or that of a person having parental authority. In this respect, the Organizing Company may ask for proof of authorization from the minor s representative, especially if prizes are awarded. If this is not the case, the minor Participant will be disqualified and will not be allowed to participate in the Game. 1

2 Members of staff of the Company organizing the Game, or companies in the PUIG group, or any person who has directly or indirectly participated in the design, creation or management of the game shall not be allowed to enter the competition, nor will directly related members of their family. The players specified above who are entitled to play the Game, will be referred to hereunder as The Participants. It is hereby specified that a Participant is defined as a person identified by his/her first name, family name, date of birth, postal address, country of residence and e- mail address, as stated by himself/herself when he/she registers on the internet site (hereinafter the Site ) or on the mobile internet site m.ninaricci.com (hereinafter the Site ). The Participants shall permit any verification to be made concerning their identity, home address or age. It is expressly agreed with the Participants that the Organizing Company and the Operators, that the systems and computer files of the Organizing Company and Operators shall be relied upon unless there is proof to the contrary. The dates and times recorded shall be those provided by the Operators computer system. They may be disputed by the Participants. The Participants may not use the Game for purposes that are shown to be contrary to the interests and image of the Game or of the Organizing Company. Any Participant attempting to interfere with the Game s computer system in any manner whatsoever shall be excluded from the Game. Participation in the Game shall be exclusively via the Internet. To this end, any participation via telephone, fax, electronic or postal route shall not be taken into account. Participation in this Game implies the acceptance, without reservation or restriction, of the present Rules in their entirety, the rules of good conduct enforced on the Internet, as well as the laws and regulations applicable to free games and promotional lotteries. Failure by the Participants to comply with these conditions shall result in their participation being declared invalid and it may cause them to be held accountable in this respect. Any incomplete registration or one containing incorrect information shall be considered as invalid. The status of winner shall be subject to the validity of the player s participation. Any false declaration of identity and/or address, or incomplete indication, shall result in the nullity of the winner s participation and thus of his/her elimination. The Organizing Company reserves the right to proceed to any verification for the purpose of application of the present Article. Any false statements concerning identity or age shall result in automatic exclusion from the Game. It is expressly forbidden for the same person to play under different identities and/or using different electronic addresses and/or different Nina Ricci accounts. In the case of multiple participation from a single household, such Participants will be excluded from the Game. ARTICLE 4 PRINCIPLE AND HOW THE GAME IS PLAYED Participation in the Game will be open from 28/01/2016 (10:00 a.m.) to 29/02/2016 (11:59 p.m.) inclusive. 2

Participation in the Game is open to anyone complying with the following procedure. If you win, you will be contacted via . No inaccurate or incomplete message will be taken into account and is likely to result in cancellation of participation. In particular, registration using an address that is inaccurate, imaginary or incomplete or any address that does not comply with the stipulations of the present regulations, or registrations sent after the deadline for entering Articles in the Game shall not be taken into consideration. Only one entry per person (same name and/or same address and/or same address) is allowed throughout the period of the Game. Once participation has been validated, subsequent participations shall therefore be considered as invalid at each new participation throughout the duration of the Game. A single prize will be allocated per Participant (same name, same address, same IP address) throughout the 10 sessions of the Game. If a prize is won, A Participant cannot claim any other prize. Once he/she is a Winner, his/her participation shall be considered as void for any new participation throughout the duration of the 10 sessions. When the game is over, there will be two drawings and these will make it possible to win an additional prize as follows: 1. I draw covering all the Participants in the Game in order to determine the Big Winner (see article 5.3) 2. 1 draw covering all Participants who signed up to the Nina s Secrets loyalty program before 28/01/2016 inclusive in order to determine the 20 Winners and 20 awards (see article 5.2). ARTICLE 5 Choosing the Winners Winners will be by drawing lots. The Game will decide on 121 Winners. 121 awards will be put into play, divided as follows: Winners in the course of 10 sessions - 20 Winning members from among the Participants who signed up to the Nina s Secrets loyalty program before 28/01/2016 inclusive - I Big Winner at the end of the Game 5.1 Winners of the 10 Sessions 4

5 The Game consists of 10 sessions running from 28/01/2016 (10.00 a.m.) to 29/02/2016 (11.59 p.m.), as defined hereunder: - Session 1: From the first 2000 entries, 10 Winners and 10 Substitutes will be - Session 2: From the next 2000 entries, 10 Winners and 10 Substitutes will be - Session 3: From the next 2000 entries, 10 Winners and 10 Substitutes will be - Session 4: From the next 2000 entries, 10 Winners and 10 Substitutes will be - Session 5: From the next 2000 entries, 10 Winners and 10 Substitutes will be - Session 6: From the next 2000 entries, 10 Winners and 10 Substitutes will be - Session 7: From the next 2000 entries, 10 Winners and 10 Substitutes will be - Session 8: From the next 2000 entries, 10 Winners and 10 Substitutes will be - Session 9: From the next 2000 entries, 10 Winners and 10 Substitutes will be - Session 10: From the next 2000 entries and over, 10 Winners and 10 Substitutes will be Within seven (7) days from the date of the end of each session, lots will be drawn and the 10 Winners and 10 Substitutes will be. - There will be 10 draws. The official report of Winners of the Game will be established by Maître Didier Richard Court Bailiff of the firm of Nadjar & Associés, Neuilly-sur-Seine, whose address is 164, avenue Charles de Gaulle, Neuilly-sur-Seine. The 100 Winners will each win one of the prizes described in the first point of article 6 of these Rules. The Participants who can claim to have won a prize will receive a confirmation sent to the address they gave when they entered the competition. If any of the Winners do not reply and confirm their identity, the first Substitute will then become the new Winner. Any incomplete registration or one containing inaccurate or false information shall be considered to be invalid. The status of Winner depends on the validity of the player s participation under the conditions laid down in these Rules. Any false declaration of identity and/or address or incomplete indication will result in the invalidity of the Winner s participation and he/she will therefore be eliminated from the Game. The validation of the Winners and award of prizes will be performed by the Organizing Company. 5.2 The Winning Members At the end of the game, lots will be drawn covering all the Participants who registered in the Nina s Secrets loyalty program before 28/01/2016 inclusive. 5

6 Within seven (7) days from the date of the end of the Game, lots will be drawn to choose 20 Winners and 20 Substitutes. The official report of the Winning members will be established by Maître Didier Richard Court Bailiff of the firm of Nadjar & Associés, Neuilly-sur-Seine, whose address is 164, avenue Charles de Gaulle, Neuilly-sur-Seine. The Winners will win one of the prizes described in the second point of article 6 of the present Rules. Participants who can claim to have won will receive a confirmation sent to the address provided when he/she registered. Members participating in the Nina s Secrets loyalty program can claim two awards if these are among the lots drawn during the ten sessions and the draw from among the Participants entered in the Nina s Secrets loyalty program before 28/01/2016 inclusive. If there is no reply and confirmation of a Winner s identity, the first Substitute will then become the new Winner. Any incomplete registration or one containing incorrect or false information shall be considered as invalid. The status of Winner shall be subject to the validity of the player s participation under the conditions provided in the present Rules. Any false declaration of identity and/or address, or incomplete details will result in the Winner s participation being declared void and consequently his/her elimination from the Game. Validation of the Big Winner and award of the prize shall be performed by the Organizing Company. 5.3 The Big Winner At the end of the game, lots will be drawn from among all the Participants entered since the start of the game. Within seven (7) days from the date of the end of the Game, lots will be drawn and 1 Winner and 3 Substitutes will be. The official report of the Big Winner will be established by Maître Didier Richard Court Bailiff of the firm of Nadjar & Associés, Neuilly-sur-Seine, whose address is 164, avenue Charles de Gaulle, Neuilly-sur-Seine. The Big Winner will win the prize described in the third point of Article 6 of these Rules. The Participant entitled to the win will received a confirmation to the address provided when he/she registered. If there is no reply and confirmation of the Winner s identity, the first Substitute will then become the new Winner. Any incomplete registration or one containing incorrect or falsified information shall be considered to be invalid. The capacity of Winner is subject to the validity of the player s participation under the conditions provided in the present Rules. Any false declaration of identity and/or address, or incomplete details, will result in the invalidity of the Winner s participation and thus his/her elimination. 6

7 The validation of a Winner and the award of the prize shall be performed by the Organizing Company. 5.4 General Conditions The Winner shall win the prizes mentioned in Article 6. The Winners shall be contacted via by the Organizing Company. No message will be sent to the losers. If it emerges that one of the Winners has not fulfilled the condition to be able to claim participation in the Game, the prize will be put back into play. The prizes will be sent to the Winners by post to the address they provided in their confirmation, within a maximum of three months from the end of the Game. All of the costs of postage shall be paid by the Game Organizing Company. ARTICLE 6 AWARDS 6.1 Awards to the Winners of the 10 Sessions Throughout the period of the Game, one hundred (100) Winners shall by by drawing lots, making 10 Winners per session. The prizes awarded to the Winners of the 10 sessions will be as follows: - 30 tote bags to be won, - 30 Nina x My Jolie Candle with a value of inc. tax, to be won, - 40 Nina Ricci perfumes (Nina Pop 50ml bottle), with a value of inc. tax, to be won. The value shown for the prizes shown above represents the public price including tax that is currently applied or estimated on the date on which the present Rules were drawn up. It is provided for indication only and is liable to variation. The prizes offered consist only of what is stated above, to the exclusion of anything else. 6.2 Award of the Big Win At the end of the Game, 20 Winners will be through drawing lots from among the Participants who entered the Nina s Secrets loyalty program (see art. 5.2). The prizes for the Winners of the Game will be the following: 20 Nina Ricci perfumes (Nina Pop 50 ml bottle) with a value of inc. tax to be won. The prize will be valid for three months from the date of confirmation by the Winners 6.3 Award of the Big Win At the end of the Game, 1 Big Winner will be by drawing lots. 7

8 The prize to be awarded to the Big Winner of the Game is as follows: - 1 Nina Ricci make-up bag, I Polaroid camera, 2 Nina Ricci perfumes and the great gift of a Spa session to a total value of 2,000 inc. tax, to be won The prize will remain valid for three months from the date of confirmation by the Big Winner. 6.4 General Conditions for the Prizes The Organizing Company shall in no case be held liable for any loss and/or deterioration of the prizes that is due to the service-provider performing delivery of the prizes and/or if these services are not performed correctly. The prizes will be sent to the Winners by post to the address they will have stated in their confirmation, within a maximum of three months from the end of the Game. All postage costs will be paid by the Game Organizing Company. If the address provided by the Winner proves to be wrong or if a prize cannot be awarded due to circumstances beyond the control of the Organizing Company, the award in question shall become the property of the Organizing Company and the prize shall not be re-entered in the game. Any photographs representing winnings or any other product on the Site are exclusively for illustrative purposes and shall not be contractually binding. The Organizing Company reserves the right to replace the prize won by another prize of the same value and with similar characteristics in a case of force majeure, without this being capable of being productive of any claim. Prizes are not exchangeable and in no case may they be exchanged for their equivalent cash value or a currency of any kind. It is hereby specified that the Organizing Company shall not provide any service or guarantee, the winnings consisting solely of the award of the prizes listed above. The Organizing Company shall not be held liable for any use made of the prize by the Winner or of any trading therein. ARTICLE 7 REIMBURSEMENT OF CONNECTION COSTS Any participant may obtain, upon request, the reimbursement of the costs representing the time spent on the Game based on an overall connection time lasting four (4) minutes, i.e It is hereby specified that since certain internet access suppliers offering free or package connection to surfers, their access to the game Site is on a free or package basis base (such as cable connection, ADSL or specialist link) and this cannot be productive of any reimbursement, to the extent that subscription to the supplier s services is, in such a case, contracted by the netsurfer for his/her general use and the fact that the participant s connection to the Site and competing in the Game shall not incur any additional charge or disbursement for him/her. Where applicable, a request for reimbursement must be sent to the Organizing Company by post accompanied by details of the receiving bank, proof of an internet subscription and a letter indicating the date and time of the connection, 15 days at the latest after the closing date for the Game, the postmark being considered authoritative. Costs incurred by the Participant for the stamp necessary for the request will be reimbursed by simple written request on the basis of the current slow letter rate. A single request per participant 8

9 registered to play the Game and per envelope (same family name, same first name, same postal address). Incomplete applications shall not be taken into account. ARTICLE 8 DEPOSIT OF THE RULES The present Rules have been deposited with Maître Didier Richard Court Bailiff, at the firm of SCP Nadjar & Associés in Neuilly-sur-Seine, 164, avenue Charles de Gaulle, Neuilly-sur-Seine and they are accessible from the Site. A copy of these Rules will be sent gratis to anyone applying for them by post to the address of the Organizing Company: PUIG Nina Pop Game - 65/67 avenue des Champs Elysées Paris. The stamp for the postal request to obtain these Rules, will be reimbursed in full on the basis of the current slow letter rate upon mere written request, accompanied by the bank details or postal bank details enclosed with the request for the Rules. A single request for a copy of these Rules and reimbursement of the costs incurred for obtaining this copy shall be taken into consideration per Participant. The request for reimbursement should also be sent to the address of the Organizing Company: PUIG Nina Pop Game - 65/67 avenue des Champs Elysées Paris. Any subsequent change to the present Rules shall be the subject of a rider, accessible on the Site, that will be communicated jointly with the Rules to any person requesting the said Rules. ARTICLE 9 LIABILITY Participation in the Game implies knowledge and acceptance of the characteristics and limitations of the Internet especially with respect to technical performance, response time for consulting, questioning or transferring information, the risks of interruption, risks linked to the connection, the absence of protection of certain data against possible misuse and the risks of infection by a possible virus circulating on the network. The Organizing Company cannot be held liable, especially for malfunctions that could affect the Internet network, for any configuration problem or one linked to a given browser. The Organizing Company shall not be liable in cases of malfunction of the internet site and/or the Game for technical reasons for which the Organizing Company cannot be blamed. The Organizing Company shall not be held liable in the case of a technical malfunction of the Game, if Participants do not manage to connect to the Site of the Game or to play, if the data concerning registration of a Participant do not reach it for any reason for which it cannot be held liable (for example, a user s Internet connection problem for any reason) or if it reaches the company in an unreadable form or one that is impossible to process (for example, if the participant has computer hardware or a software environment that is inadequate for his/her registration) or in the case of routing problems. Participants shall not be entitled to claim any compensation in this respect. In the same way, the Organizing Company may not be held liable for any damage, whether material or non-material, caused to participants, their computer equipment and data stored therein, or any direct or indirect consequences that could result therefrom, especially concerning their personal, professional or commercial activity. 9

10 The Organizing Company prohibits any Participant from changing the design of the Game using any procedure, especially with a view to changing the result of any part thereof or changing the results, In this respect, the Organizing Company reserves the right to ensure equality of opportunity between all participants, especially through the law courts or any other means it shall see fit to employ. Similarly, any attempt to use the Game outside the unmodified interface set up on the Site shall be considered as an attempted fraud. Furthermore, the decompiling of the Game, the use of personal script or any other method designed to circumvent the use of the Game provided under the present Rules shall also be considered as attempted fraud and shall result in the Participant s elimination from the game without appeal. The Organizing Company reserves the right, for any reason whatsoever to cancel, postpone, interrupt or prolong the Game or to change all or part of the procedures under the present Rules without it being held liable in any respect. ARTICLE 10 PERSONAL DATA It is recalled that in order to participate in the Game, the Participants are required to provide certain personal information about themselves (family name, first name, address, , telephone number, etc.). The Participants acknowledge by participating in the Game that they have been informed under the present Rules of their rights in respect of the French Computing and Liberty law no of 6 January 1978 (as amended) show in the registration form. This information is recorded and stored in a computer file and is necessary for recording their participation and determining the Winners. The information is directed at the Organizing Company for the sole purpose of connecting with the winner and awarding the prizes. In application of law no dated 6 January 1978 as amended, concerning computing, files and liberties, the Participants have the rights of access, rectification and deletion of data concerning them. In order to exercise these rights, the candidates must send a letter to the following address: PUIG France Digital - 65/67 avenue des Champs Elysées Paris. The Participants authorize the Organizing Company to proceed to any useful check concerning their identity and address. Any false indication will result in the elimination of the Participant, as well proven multiple entries. ARTICLE 11 DECISIONS BY THE ORGANIZERS The Organizing Company reserves the option of changing the present Rules at any time and to take any decisions that it considers could prove useful for the application and interpretation of the Rules. The Organizing Company may inform the Participants by any means of their choice. The Organizing Company also reserves the right to change, extend, shorten, suspend or cancel the Game, without notice, as the result of any event beyond its control and especially in the case of an event constituting a case of force majeure or act of God. In particular, the Organizing Company reserves the right, if appropriate, to invalidate and/or cancel all or part of the Game if it emerges that frauds or malfunctions occurred in any form whatsoever, and especially due to information technology in the context of participation in the Game. Under such circumstances, it reserves the right not to award the prize or prizes 10

11 to fraudsters and/or to prosecute the perpetrators of such frauds in the competent jurisdictions. A fraud shall result in the immediate disqualification of the perpetrator. The Organizing Company s liability shall not be incurred under the above and the participants may not claim any compensation or indemnity of any kind. Furthermore, the Organizing Company shall not be held liable for the final award and any mishaps resulting therefrom (aircraft delays, strikes, etc.). The Participants may therefore not claim any compensation or indemnity of any kind. ARTICLE 12 - APPLICABLE LAW The present Rules shall be subject to French law, to the exclusion of the rules of conflicting laws. If any disputes concerning the Game are to be taken into account they must be formulated in writing and sent to the following address: PUIG Nina Pop Game - 65/67 avenue des Champs Elysées Paris, thirty (30) working days at the latest after the final date for participation in the Game as indicated in the present Rules. If a disagreement persists concerning the application or interpretation of the present rules, and if no amicable settlement can be reached, any litigation shall be subjected to the relevant courts of the city of Paris.
