9 Union Proposals - June 7, 2011 Life Insurance, Long Term Disability, Retirement, Savings Fund Plan and TRASOP and PAYSOP Plans Active Employees Improve Life Insurance/Death Benefit Increase Company paid basic life insurance death benefit from $10,000 to $25,000. Add Company paid accidental death and dismemberment options. Increase Supplemental Coverage Levels. Add 3X, Add 4X and Add 5X. Include spouse/domestic partner and dependent life insurance options. Provide a $1,000,000 death benefit for employees that die because of injury sustained during the course of their employment or who die because of an occupational disease/injury. Retirees Increase Company paid basic life insurance death benefit from $8,000 to $16,000. Active Employees Page 9 of 16

Current Retirees Retired prior to 01/01/94 10% Retired from 01/01/94 to 12/31/03 5% Include annual Cost of Living Allowance (COLA) for all retirees equal to half of GWI. Part IV Retirement Savings Plan 100% Company match on all employee contributions up to 10% of gross pay. Add a ROTH 401K option. Amend covered compensation definition to: include all earnings (e.g. overtime pay, all premiums, including shift and nuclear). Provide full fee disclosure: Disclose all fees on-line and on quarterly statements. Provide participants with full accounting, including fees, deductions, charges, and monetary unit adjustments. Provide all Financial Engine Services at no charge to participants. Page 10 of 16

Company to manage and monitor funds annually. Self Directed (Tier 3) No transaction fees. Simplify and update the process (including the addition of the ability to do on-line transactions). Exhibit A Dental Company to pay 100% of diagnostic and preventive dental care. Add dental implants under Major Care items (make necessary adjustments in other sections). Increase annual benefit maximum from $2,500 to $5,000. Increase orthodontia lifetime maximum from $2000 to $4000. Provide three cleanings per year. Page 11 of 16

Increase Lasik eye surgery from $250 to $1000 per eye. New Exhibits Cover hearing aids at 80%. Company to provide Long Term Care Insurance for active employees Duration of Long-Term Disability Change from two years to five years, if not qualified for Social Security Disability Insurance Benefits. Change age 65 to Social Security full retirement age, if qualified for Social Security Disability Insurance Benefits. Company to pay 100% of LTD employees' medical premium. Targeted one time increase for LTD recipients. Page 12 of 16

Retiree New Exhibits Hearing Cover hearing aids at 80%. Long Term Care Company to provide Long Term Care Insurance for retirees. Dental Establish Company paid dental plan for Retirees. Vision Establish Company paid vision plan for Retirees. RMSA Page 13 of 16
14 Union Proposals - June 7, 2011 Life Insurance, Long Term Disability, Retirement, Savings Fund Plan and TRASOP and PAYSOP Plans Change the withdrawal rate for Non-Medicare retirees and spouses/domestic partners to an amount equal to a maximum of 65% of the NAP/CAP premium. The withdrawal percentage amount is at the retirees & spouses/domestic partner s option. Change the withdrawal rate for Medicare retirees and spouses/domestic partners to an amount equal to a maximum of 35% of the highest premium plan. The withdrawal percentage amount is at the retirees & spouses/domestic partner s option. Increase Company contribution to the RMSA for employee and spouse/domestic partners to $10,000 a year starting at age 40 (or later if hired after age 40) for an employee and spouse/domestic partner (up to $20,000 per year per couple). Allow PG&E retirees, when both retiree and spouse/domestic partner that worked for PG&E, to use both of their RMSA accounts to cover up to 100% of the medical premium, as long as they are both under the same medical plan. Increase bonus to $2,000 per year of credited service for all years beyond 15 years. RMEC Non-Medicare Retiree Increase maximum annual limit to $17,000. Medicare Retiree Company to pay 35% of the weighted average of all PG&E Medicare plan premiums. Increase maximum annual limit to $3,500. Retirement Plan (Sick Leave) Pay out employee s total career, unused sick leave at end of service (e.g. retirement or death), $1 for $1, at the current wage rate. Sick Leave Transfer Page 15 of 16
