1 ARSENAL STADIUM MANAGEMENT COMPANY LIMITED SEASON TICKET TERMS AND CONDITIONS FOR SEASON A. The issue of a Season Ticket and subsequent access to the Stadium is subject to the Terms & Conditions of Entry. B. Season Tickets are for the use of supporters of the Club only. By applying for a Season Ticket and/or using the same you hereby warrant and represent that you are a supporter of the Club. C. If the Conditions are not acceptable to the Holder, the Season Ticket should be returned to the Club immediately. The use of the Season Ticket to gain entry to the Stadium for any match shall constitute the Holder s acceptance of the Conditions. 1. In these terms and conditions: Address means the address of the Holder provided to the Club upon application (or such other address notified by the Holder to the Club in accordance with the Conditions); Club means Arsenal Stadium Management Company Limited; Conditions means the terms and conditions set out in this document (as may be amended from time to time by the Club and notified to the Holder pursuant to Condition 9); the rules and regulations of FIFA, UEFA, The Football Association, the Premier League and The Football League (as may be amended from time to time and notified to the Holder pursuant to Condition 8); and (iii) the ground regulations issued by the Club and which are on display at the Stadium and which can also be obtained on request from the Club (as may be amended from time to time by the Club and notified to the Holder pursuant to Condition 8); "Guest" means a relative, friend, colleague and/or companion to the disabled who would be entitled to purchase a Season Ticket under the Terms & Conditions of Entry; Holder means the person to whom the Season Ticket is issued by the Club or the person to whom it is resold, assigned or transferred in accordance with Condition 3; Relevant Cup Matches means any home matches in the FA Cup or a UEFA Competition played by the Club s men s first team at the Stadium during the Season (including any home replays and any matches in the FA Cup or a UEFA Competition played by the Club s men s first team which are switched from another team s ground and played at the Stadium); Season means the football season (the season in which the Season Ticket is valid);

2 2 Season Ticket means the electronic entry card entitling the Holder to admission to certain home games played by the Club at the Stadium as set out in Condition 10 and includes any alternative card coupon or ticket issued in accordance with Condition 10 and any replacement card coupon or ticket issued in accordance with Condition 21; Stadium means Emirates Stadium, London N7 7AJ; Terms & Conditions of Entry means each of the rules and regulations of FIFA, UEFA, The Football Association, the Premier League and The Football League and the Ground Regulations (all of which are available from the Club on request); Ticket Exchange means the Club s only authorised ticket resale facility, which provides an online secure service for the Season Ticket Holder (and other holders of Season Tickets) to exchange tickets to games played by the Club with silver and red level members of the Club; UEFA Competition means the UEFA Champions League or the UEFA Europa League; User means the Holder; or any person to whom the Season Ticket is lent by the Holder in accordance with Condition 3; and Website means the website, 2. The Season Ticket remains the property of the Club at all times. The Season Ticket may be cancelled in whole or in part by the Club at any time without assigning any reason. A proportionate refund will in certain circumstances and save as set out in the Conditions, be given to the Holder in the event of any such cancellation All rights of the Holder with respect to the Season Ticket are personal to the Holder and shall cease upon the death of the Holder. 3.2 Season Tickets are issued for the Holder s sole use. 3.3 The Holder may offer for sale, sell or resell any part of the Season Ticket or any benefit of it through the Ticket Exchange. 3.4 The Holder may only offer for sale, sell, resell, assign, transfer or lend any part of the Season Ticket or any benefit of it in accordance with this Condition The Holder may assign, transfer or lend the Season Ticket or any benefit of it to a Guest with the express written consent of the Club. Such consent may be withheld at the Club s absolute discretion and may be given by the Club before or after any such assignment, transfer or lending. However, no such consent will be given for an assignment, transfer or lending of a Season Ticket except where the same takes place

3 3 in respect of an individual match and in consideration of no payment or benefit in excess of the face value of a ticket to that Match and does not take place during the course of any business or for the purpose of facilitating any third party s business. 3.6 Any reference in these Conditions to reselling the Season Ticket includes reference to offering to sell a Season Ticket (including, without limitation, via an online auction website), exposing a Season Ticket for sale, making a Season Ticket available for sale by another and advertising that a Season Ticket is available for purchase. 3.7 Any assignment, transfer or lending in accordance with Condition 3 is hereby provided as subject to the Terms & Conditions of Entry which will (save for any rights to offer for sale, resale, assignment, transfer or lending of the Season Ticket) apply to the User as if he/she was the original purchaser of the Season Ticket and the Holder must inform the User of this. 3.8 The Season Ticket may not be offered as a prize in any promotion or competition nor transferred, assigned, lent or sold to any third party as part of a hospitality or travel package, or used for any other commercial purpose, save as expressly authorised by the Premier League or the Club. 3.9 The unauthorised sale or disposal of a Season Ticket is a criminal offence under section 166 of the Criminal Justice and Public Order Act 1994, as amended by the Violent Crime Reduction Act The Club will inform the police when it becomes aware that a Season Ticket has been sold illegally and will press for charges to be brought against those breaking this law. In addition, if a Holder or User is convicted of a ticket touting offence, or the Club suspects a User has committed a ticket touting offence, or we reasonably suspect a Holder or User to have committed a ticketing offence, we will notify the Premier League who may in turn notify other Premier League clubs, and/or the UK Football Policing Unit or other law enforcement agencies. The information that the Club shares with such bodies and persons may include personal details about the Holder and/or the User, information about the offence and about ticket purchases (including payment details). The Club will also use this and other information to identify and prevent ticket touting offences and to prevent disorder at matches. If a Holder or User has any queries about this, the Holder or User may contact the Arsenal box office.

Any Season Ticket obtained or used in breach of the Conditions and the Terms & Conditions of Entry shall be automatically void and all rights conferred or evidenced by such Season Ticket shall be nullified. Misuse of the Season Ticket may result in the User being refused entry to, or ejected from the Stadium in respect of a particular match and/or the cancellation and withdrawal of the Season Ticket. In the event of any cancellation and withdrawal in accordance with this Condition 4, no refund shall be payable to the Holder in respect of any unexpired portion of the Season Ticket. The Club further reserves its right to take any legal and/or disciplinary action against any persons as it sees fit in connection with such matters including a claim for an account of profits made from an unauthorised use of the Season Ticket. 5. The Season Ticket may be suspended, withdrawn and/or cancelled without the payment of any refund to the Holder, in the event that: the Holder is charged, cautioned or found guilty of any football related offence anywhere in the world, is ejected and/or banned from the Stadium or any other sports stadium anywhere in the world or breaches any of the Conditions; or prior to or whilst the User is using the Season Ticket, the User is charged, cautioned or found guilty of any football related offence anywhere in the world, is ejected and/or banned from the Stadium or any other sports stadium anywhere in the world or breaches any of the Conditions. If any such event as described in this Condition 5 occurs, the User must immediately surrender the Season Ticket upon request by a Club official or a police officer. 6. Save as required pursuant to Condition 7, where the User uses the Season Ticket to gain admission to the Stadium the User must occupy the seat allocated by the Season Ticket. 7. The Club reserves the right, in its sole discretion, to allocate to the Holder, on a temporary basis, an alternative seat anywhere in the Stadium, including (but without limiting the circumstances when that discretion may be exercised): (iii) (iv) when the stand or part of the stand in which the Season Ticket seat allocated is located is closed for repairs, maintenance or re-building; or to comply with the requirements of the FA, Premier League or UEFA in respect of any home fixture played in the Premier League or Relevant Cup Match; or when the visiting club is allocated the entire or any part of the stand at the Stadium usually occupied by the Holder; or when the Club, the police or any other relevant authority otherwise considers it desirable in the interests of safety, crowd control or other Club requirements to re-allocate the seat.

5 5 As far as possible, details of any home matches at which there will be a re-allocation of the seat to which the Season Ticket applies will be notified on the Website and, where practicable, in advance in the Club s home match day programme. 8. The Season Ticket is issued subject to such rules and regulations as may be applicable to, or made by, the Club from time to time, including: the rules and regulations of FIFA, UEFA, The Football Association, the Premier League and The Football League. Any changes to such rules and regulations will be notified to the Holder either through the respective organisation s website, or by being put on display at the Stadium and on the Website; and the ground regulations issued by the Club and which are on display at the Stadium and on the Website. Any changes to such ground regulations will be notified to the Holder by being put on display at the Stadium and on the Website. The Season Ticket shall only entitle the User to gain admission to the Stadium after it has been validated by the control readers located at the appropriate turnstiles. The Stadium access steward(s) have strict instructions to, and will, refuse admission to any person in the event that such person s Season Ticket is not so validated by such control readers. 9. The Club reserves the right to make changes to any of the terms and conditions referred to herein. Such changes will be notified to the Holder by being put on display at the Stadium and on the Website. 10. The Season Ticket shall admit the Holder to the following matches played by the Club s men s first team during the Season at the Stadium: the nineteen (19) home matches in the Premier League Championship; and the first seven (7) Relevant Cup Matches played during the Season. If, for any reason, it is decided that any of the Club s nineteen (19) home matches in the Premier League Championship during the Season or any of the seven (7) Relevant Cup Matches referred to above is to be played at another stadium, then one alternative ticket will be issued to the Holder in respect of that match. Any such tickets will be either sent electronically or by post by the Club to the Holder at the registered or home Address, at the risk of the Holder.

6 6 11. The Season Ticket must be used if the User wishes to gain access to the Stadium for any Relevant Cup Match, save that it may not be valid for any UEFA Competition fixture. The Club will notify the Holder in advance of any such fixture as to: whether the Season Ticket will be valid for each home UEFA Competition fixture which constitutes one of the seven (7) Relevant Cup Matches referred to in Condition 10; or whether the Club will send a replacement card or ticket to the Holder at the Address, at the risk of the Holder, for each home UEFA Competition fixture which constitutes one of the seven (7) Relevant Cup Matches referred to in Condition No refunds shall be paid in respect of any matches which the Season Ticket entitled the User to attend but which the User did not attend, save that if the Club s first men s team plays fewer than seven (7) Relevant Cup Matches during the Season, the Holder will be entitled to an appropriate refund as determined by the Club in its discretion. The form and timing of such refund shall be determined by the Club and will be provided to the Holder either: by way of deduction from the cost of the Season Ticket for the season purchased by the Holder; or by way of refund, paid in such manner as the Club may determine, after 1st June, In the event that the Club s first men s team plays more than seven (7) Relevant Cup Matches during the Season, the Club will provide information regarding the availability of tickets for such additional Relevant Cup Matches through the Club s box office on request and on the Website (as well as information on where entry to the Stadium for such matches can be obtained by the use of the Season Ticket). The cost of the additional tickets for any such matches shall be payable by the Holder. The form and timing of such payment shall be determined by the Club and will be made either: by way of an addition to the price of the Season Ticket for the season purchased by the Holder; or by not later than 1st June 2011, in such manner as the Club shall determine and notify to the Holder, or in any other way the Club many instruct the Holder.

If, during the Season, the Club qualifies for any of the following: (iii) the FA Cup Semi-Final or Final; the Football League Cup Semi-Final (Away Leg) or Final; or the Semi-Final (Away Leg) or Final of a UEFA Competition, details on how the Holder may apply for a ticket (or tickets) for such match will be made available by the Club on the Website and, where practicable, in advance in the Club s home match day programme. Where possible, subject to the Club s overall ticket allocation for such fixture, the Holder will be allocated one ticket in respect of the Season Ticket. However, the Club cannot guarantee that any such allocation will be made. 15. No preference can be given to the Holder in respect of any matches played at the Stadium in which the Club is not participating. 16. All persons (including children) must have a valid card or ticket when entering the Stadium. The Club will not allow children (or any other person) to be carried through the turnstiles without a valid card or ticket for the relevant match. 17. Without prejudice to the representation at Part B above, and in light of the Season Ticket holders being grouped together in designated areas, any attempt to gain access to the Ground wearing or carrying apparel (including, without limitation, hats and/or scarves) that demonstrate support for the Away Club, may result in admission being refused or you being ejected from the Ground and in such circumstances no refund or alternative seat will be offered. 18. Any person entering, seeking to enter or having entered the Stadium with a concessionary priced Season Ticket in circumstances where such person is not entitled to such concession will be refused entry to, or ejected from, the Stadium and will have the Season Ticket withdrawn. In such case, no refund will be given to the Holder in respect of any games remaining in the Season. 19. If the Holder has forgotten the Season Ticket, or otherwise cannot produce it, in respect of any match referred to in Condition 10, a duplicate match day card or ticket may be obtained by the Holder, at the Club s discretion, upon payment by the Holder of a nonrefundable administration fee of at the Club s match day ticket office. The Club reserves the right to withdraw this duplicate ticket facility for any particular match or matches without notice. 20. The Season Ticket must be available for inspection and produced by the User on demand by any official, steward or security staff of the Club at all times where the Season Ticket has been used to gain admission to the Stadium.

8 8 21. The Club is not responsible for any Season Ticket which is lost, stolen, defaced, damaged or destroyed. If the Season Ticket is lost, stolen, defaced, damaged or destroyed, the Club may, subject to the Conditions, and in its discretion, issue a replacement season ticket to the Holder upon payment by the Holder of a nonrefundable fee of The Season Ticket shall not entitle the Holder to reserve the same, or any other, seat at the Stadium for any subsequent season. 23. The Club does not guarantee that the team for any particular match will necessarily only be selected from the Club s regular first team players. The team manager may consider it desirable on occasions to omit regular first team players and select the team from the full playing squad. 24. No guarantees can be given by the Club that a Match will take place at a particular time or on a particular date. The Club reserves the right to reschedule any Match without notice and without any liability whatsoever. Your Season Ticket will enable you to attend the re-arranged Match if it is one of your pre-paid nineteen (19) Premier League games and/or one of your pre-paid seven (7) Relevant Cup Matches. The dates and kick-off times of all matches are subject to revision and change due to TV coverage or other circumstances. For up to date information, please visit the Website or ring the Arsenal Contact Centre (Tel: +44 (0) ). The Club will have no further liability whatsoever, including (but not limited to) any indirect or consequential loss or damage, loss of enjoyment or travel costs. 25. The Holder should notify any change of Address to the Club immediately either: by using the on-line facility on the Website by logging onto or in writing to the Arsenal box office. The Holder should quote his/her membership number in any correspondence with the Club. 26. The User must remain in his/her seat while the game is in progress or when requested to do so by a steward, security officer or other Club official. The User acknowledges that persistent standing while play is in progress is strictly forbidden and may result in ejection from the Stadium and, in accordance with Condition 5, the suspension, withdrawal or cancellation of the Season Ticket. 27. In the event that the Season Ticket is withdrawn or cancelled, the Club reserves the right also to exclude the Holder from any membership scheme maintained or organised

9 9 by the Club and/or to disqualify the Holder from applying for any match ticket or season ticket at its discretion. 28. The Club will not tolerate racial, homophobic or discriminatory abuse in any form. The Club wants the atmosphere at the Stadium to be welcoming to all who attend its games. Any User who is caught abusing a player or any other individual in the Stadium will face arrest and prosecution by the police and a lengthy ban from the Club. In addition, the Season Ticket will be immediately withdrawn and no refund will be given. 29. Any User, acting alone or with others, whose conduct, or incitement of others, results in disciplinary action being taken against the Club by FIFA, UEFA, The Football Association or the Premier League, shall be jointly and severally liable to the Club for any loss the Club thereby suffers. The User shall also be jointly and severally liable to the Club for any loss the Club suffers as a result of the behaviour of a third party gaining access to a Match using the ticket with the User s permission. 30. To the maximum extent permitted by law, the Club hereby excludes any liability for loss, injury or damage to persons/property in or around the Ground. 31. Neither the Premier League nor the Club shall be responsible for any interruptions and/or restrictions to the view of the Match caused by virtue of the position of the seat and/or the actions of other spectators. 32. The Conditions shall be governed by and construed in accordance with the laws of England and Wales. The parties hereby submit to the exclusive jurisdiction of the courts of England and Wales. 33. Whilst we try to ensure that pricing and ticketing information on our website are correct at all times, errors may occasionally occur. If we discover an error in the price or nature of the ticket you have ordered, we will inform you as soon as possible, and give you the option of reconfirming your order at the correct price/specification or cancelling it. If we are unable to contact you, we will unfortunately have to treat the order as cancelled. If the order is cancelled, we will of course provide you with a full refund (including booking fees). 34. Family Enclosure Policy for Gold Members Within the family enclosure section of the Stadium (the Family Enclosure ) the following additional terms must be adhered to by Users at all times: The Family Enclosure is restricted to members only. All Users must show their membership card to an Arsenal member of staff/stewards upon request. Other photographic identification and evidence of the date of birth of the User may also be requested and, if requested, must be shown to the Arsenal member of staff/steward.

10 10 Holders who are Gold adult members are only permitted to be in the Family Enclosure if they are accompanying a Gold Junior Gunner. A maximum of 2 Gold adult members are permitted to accompany each Junior Gunner. If a Holder who is an adult Gold member wishes to attend a match in the Family Enclosure without accompanying a Junior Gunner, then the Holder must contact the Arsenal Contact Centre (Tel.: +44 (0) ) for advice on the correct procedure prior to the relevant match. Failure to make contact with the Club prior to the date of the fixture may result in the Season Ticket being confiscated and/or the User being ejected from the Stadium. The Club regrets that it is unable to deal with any requests or enquiries of this nature on the day of a fixture. Concessionary priced Season Tickets may only be used by persons that qualify for such Season Tickets, as follows: Junior Gunner Season Tickets may only be used by persons who will be aged 4 to 16 at 31 August of the Season. Cannon Club Season Tickets may only be used by persons who will be aged 17 or 18 at 31 August of the Season. Senior Citizen Season Tickets may only be used by persons who will be aged sixty five or over at 31 August of the Season. Condition 18 shall apply if any person enters or seeks to enter the Stadium with a concessionary priced Season Ticket in circumstances where such person is not entitled to such concession as set out above. Additional Notice Seat Relocation Process: If at the end of the Season, you wish to renew the Season Ticket but change the relevant seat at the Stadium to which it relates, then, although we believe that the renewal rate will be extremely high, there is a process for Holders wishing to request a seat move to do so. The number of such moves that the Club can accommodate is subject to the number of Holders who do not renew their Season Ticket for the following season in accordance with the process set out by the Club and is generally quite low.
