1 Visa Entertainment New Zealand / Sam Smith promotion Terms and Conditions Information on how to enter the Promotion forms part of these Terms and Conditions. Entries not made in accordance with these Terms and Conditions will be disqualified. Section 1: Promotion 1. Promotion: Click through to the competition page on visaentertainment.co.nz and enter your details by 9.00pm 11 July 2014 (inclusive) to be in the draw to win 1 of 10 CDs of Sam Smith s new album. 2. Promoter: Visa Worldwide Pte. Limited, PO Box 8977, Symonds Street, Auckland 3. Promotion Period: The Promotion will commence at 9am (NZDT) on 26 June 2014 and will close at 09:00am (NZT) on 11 July Website: Section 2: Eligibility 5. Eligibility: To be eligible to enter the Promotion the entrant must:. (i) Be above 16 years of age; and. (ii) Must be a New Zealand resident; and. (iii) Be a current Visa card holder for the duration of the promotion (Current Visa card holders are those having a valid Visa Credit, Debit Business and/or Prepaid card, i.e. a Visa card which has not been cancelled or a Visa account which is not more than 30 days in arrears); or. (iv) be the holder of a New Zealand Post Visa Prezzy or

2 Loaded card that is registered at New Zealand Post (in order to identify the winner if drawn) by 5pm on 8 January, and. (v) be a New Zealand resident, and. (vi) hold a valid New Zealand passport and be able to travel on the specified flights below; and. (vii) Have clicked through to the competitions page on and confirmed their entry in the draw by entering their details by 9am 11 July. 6. Non-Eligibility: Entrants are not eligible to enter the Promotion or win any Prize if they are a director, manager, an employee or immediate family member of an employee of the Promoter or are an employee of any of the agencies directly associated with this Promotion. 7. Incorrect contact details: Further, if any contact details provided to the Visa Entertainment update service via the Website are incorrect, such subscription shall not be eligible to enter the Promotion. Section 3: Entry to the Promotion 8. For any entry to be valid, the Visa cardholder during the Promotion Period must not cancel or terminate the Visa account or Visa card or cancel or terminate his/her subscription to the Visa Entertainment update service during the Promotion Period. Section 4: Draw 9. Draw:. (i) The Prize Winners will be manually selected at random by a

3 representative of the Promoter from a computer-generated listing of entries which comply with Section 2 and 3 of these Terms and Conditions over the Promotion Period on 9 January (ii) If any Prize Winner is not able to take the prize for any reason the prize will be forfeited and a new winner drawn at random. Section 5: Prize 10. Number of Prizes: There are 10 CDs to giveaway. 11. Prize Conditions: The Prize is subject to the following conditions:. (a) No exchange of Prize: The Prize in its entirety cannot be transferred to another person. It cannot be exchanged or redeemed for cash. If for any reason, the Prize Winner cannot take the Prize then the Prize will be forfeited.. (b) Ancillary Costs: Any costs in excess of the value of the Prize and all ancillary costs above the stated travel costs and accommodation are not included in the Prize and are the responsibility of the Prize Winner.. (c) Taxes: There is no tax applicable to the prize value.. (d) Prize Availability: In the event that the Prize is unavailable for any reason at any time for reasons outside of the Promoter s control, the Promoter may be unable to offer a prize of similar value and the Prize Winner/s will be notified accordingly. Section 6: Prize Winners 12. Contact: The Promoter will attempt to contact the Prize Winners by phone or on 11 July 2014 to confirm his/her eligibility under these Terms and Conditions and to confirm whether the Prize Winner/s wishes to claim his/her Prize. The name of the prize winners may be published on the Visa Entertainment website.

Claim of Prize: If the Prize Winner/s wishes to claim their Prize, the Prize Winner must confirm this fact and his/her eligibility to win under these Terms and Conditions within 12 hours of contact. If the Prize Winner fails to do either or both of these things by the deadline, the Prize Winner will be deemed to have forfeited the Prize. 14. Redraw: In the event that any Prize Winner forfeits the Prize or a Prize remains unclaimed, the Promoter will conduct a redraw, following the same procedure and format as set out under Section 4 above. 15. Redraw Winner: In the event that this redrawn Prize Winner is not eligible, the Promoter will conduct a redraw until the Prize is awarded (subject to any further regulatory directions). 16. Claim of Prize Winner: In the event the chosen winner is not eligible under these Terms and Conditions, the Promoter will conduct a redraw until an eligible Prize Winner is confirmed (subject to any further regulatory directions). Section 7: General Conditions 17. Lost, Delayed Communication: The Promoter will not be responsible for any delayed, lost or misdirected mail or any other communication. 18. Release: To the fullest extent permissible by law, each entrant in the Promotion including without limitation the Prize Winner, release the Promoter from any claim, loss, damage, expense (including any claim for legal expenses), cost or charge sustained or in any way incurred by such entrant in connection with the Prize or their participation in the Promotion. The Promoter, their related bodies corporate, their officers, employees and agents will not be liable for any loss, damage or personal injury whatsoever

5 (including but not limited to direct, indirect and consequential loss) suffered or sustained in connection with this Promotion, the implementation of this Promotion, or the use of any prize, except for any liability which cannot be excluded by law. Further, to the fullest extent permitted by law, the Promoter excludes liability for any problems or technical malfunction of any telephone network or lines, computer online systems, servers, or providers, computer equipment, software, technical problems or traffic congestion on the Internet or any website, or any unauthorised intervention, or any combination thereof, including any non-delivery or corruption of entries to the Promoter, injury or damage to participants' or any other person s computer related to or resulting from participation in or down-loading any materials in this Promotion. The use of any automated entry software or any other mechanical or electronic means that allows an entrant to automatically enter repeatedly is prohibited and will render all entries submitted by that entrant invalid. 19. Force Majeure: The Promoter will not be responsible for any act, omission, failure or delay by the Promoter that is due to an act of God, riots, acts of terrorism, storms, fire, any labour or industrial dispute, any strike, and other acts, which are not reasonably within the control of the Promoter and subject to State legislation the Promoter reserves the right to cancel, terminate modify or suspend the Promotion. 20. Disputes: In the event of a dispute, the decision of the Promoter is final and binding and no correspondence will be entered into. 21.Privacy Notice: By entering this competition you will be asked to opt in to communications from Visa. By agreeing to this term you acknowledge and understand that you may receive an communication from Visa.
