1 Approved: Riga, January 19 th, 2016 Egita Puķīte Shopping centre Riga Plaza manager REGULATIONS FOR THE USE OF RIGA PLAZA GIFT CARDS In effect from: With amendments as of 19 th of January, These Regulations set out the procedures for the use of electronic Gift Cards that are issued by the Transact Pro Limited Liability Company in co-operation with the Riga Plaza Fashion and Entertainment Centre. They are binding for all Traders, Customers and Users. Electronic Gift Cards are issued so that Customers and Users are able to use them to pay for goods and services that are available at the Riga Plaza Fashion and Entertainment Centre. Gift Cards are not intended for issuing cash. 1. Definitions Authorisation the electronic checking process to verify the Card s data is initiated by the Trader when requesting the Issuer's permission to perform the transaction. Price list a list of commission fees (see Appendix No.1) that are currently in effect and which is available at the point of purchase for Gift Cards at the Riga Plaza Information Centre and on the Riga Plaza website at Transaction financial activity that is initiated by the Trader in which the User makes a payment for their purchase or service with the Card. Gift Card, Card electronic gift card issued by MasterCard - a card type that is issued by the Issuer which is an anonymous payment instrument with a unique number and which is intended for the use of completing transactions in terms of making payments for goods and services at the sales points of those Traders who are in Riga Plaza. Cards may have various designs. Gift Card Agreement a set of documents which regulates the rights and obligations of the Customer, User, Issuer and representative when issuing, selling, servicing and using a Gift Card. A Gift Card Agreement shall consist of Regulations, Price List, and Issuer's Regulations for the use of Prepayment Gift Cards. Usage Period a time period in which it is possible to pay for goods and services with the Card, and which is indicated on the Card. Issuer Transact Pro Limited Liability Company, unified registration number , legal address: 10 Ropažu Street, Riga, LV-1039, Latvia, website: a licensed electronic money institution with the right to provide payment services and which is registered with the Licence Register of the Financial and Capital Market Commission as No /359, and for which the supervision of activities is carried out by the Financial and Capital Market Commission. The Issuer shall carry out the manufacture and issue of Gifts Cards, while ensuring that payments can be completed for Transactions and other activities as provided for in the Regulations. Issuer s Regulations for the use of Prepayment Gift Cards regulations that have been approved by the Issuer and which are applicable for the Cards insofar as they are do not contradict with these Regulations. Card Activation an activity that is initiated by an authorised person representative of the official Representative at the time at which the Card is purchased and during which the Usage Period and Nominal Value that have been selected by the Customer are granted to the Card. The Card shall be valid for use from the time at which it is purchased. Loss of Card the loss or theft of the Card.

2 Commission Fee a fee for services that are received in relation to the Card, which shall be set out in conformity with the currently effective Price List. User an individual who uses the Card for the performance of Transactions and whose sample signature is contained on the Card. Nominal Value a value indicated on the Card which the Customer pays into the Gift Card s account at the time of purchase of the Card. Regulations these Regulations for the use of Rīga Plaza Gift Cards are binding for Traders, Customers and Users. Representative a person who has been authorised by the Issuer and who at the Rīga Plaza Information Centre distributes the Cards on behalf of the Issuer and represents the Issuer in relations with Customers and Users. PIN code a four figure combination 1234, which the User shall use when approving Transactions that have been carried out by using the Card, as well as when reviewing the Card account s balance at a cash dispenser. Customer an individual or legal entity who purchases the Card (or Cards). Rīga Plaza or The Rīga Plaza Fashion and Entertainment Centre the centre in which places for the sale and provision of goods and services by Traders are located and which is itself located at the address of 71 Mūkusalas Street, Riga; website address: Rīga Plaza Information Centre or Information Centre the sales point for Cards within the framework of Rīga Plaza where it is possible to purchase a Gift Card, as well as being able to carry out other activities that are provided for in the Regulations. Trader a legal entity which has entered into an Agreement on the Lease of Premises with Rīga Plaza and who accepts a Card for the payment of Transactions. 2. General Regulations 2.1. A Card is anonymous and the personal or company name of the Customer or User is not indicated on it A Card has a limited Usage Period which is no longer than twelve (12) months, counting from the day of the Card s activation (its date of purchase) A Card has a limited minimum and maximum permissible Nominal Value and this may not be less than EUR (ten euros) or greater than EUR (four hundred euros) You may pay with a Card only at those places for the sale or provision of goods and services which are offered by Traders who are located within the framework of Rīga Plaza and where it is possible to pay with MasterCard brand payment card A Card may be used for the performance of several Transactions within the framework of the Usage Period and Nominal Value thereof. 3. Purchasing Cards 3.1. Cards may be purchased at the Rīga Plaza Information Centre At the time of purchase of a Card, a Customer shall make a contribution which consists of the Card s Nominal Value to the full amount and shall pay a fee for the issuance of the Card, if any has been determined. The contribution shall be made in cash or with a payment card. Gift Cards with a total value of up to EUR (four hundred euros) may be purchased in cash; however, when purchasing Gift Cards with a larger nominal value, payments that exceed the amount referred to shall be made with another payment card or form of transmission. Card payments in conjunction with other Gift Cards, cheques, or similar are not permitted The Card s Nominal Value is selected by the Customer at the time of its purchase, while taking into account Paragraph 2.3 of the Regulations After payment of the Card s Nominal Value, the Card is activated. Activation of the Card shall be completed when the Representative prints out a cashier receipt that confirms the transaction. The Card is issued to the Customer with a print-out of its Nominal Value. A purchase receipt for the Card and a contribution receipt for the Card are issued to the Customer together with the Card itself in conformity with the procedures laid down in the laws and regulations of the Republic of Latvia The condition laid down in Paragraph 5 of the Regulations shall be applied to any legal entity that wishes to purchase Cards by means of money transmission Immediately after receipt of the Card, a customer shall verify the Nominal Value indicated on the Card and the Card s contribution receipt, and whether the Card is damaged. If the Customer detects any non-conformities, they shall immediately notify the Representative 2

3 thereof. If a dispute arises regarding the Nominal Value, the Nominal Value amount which is indicated on the Card s purchase receipt and contribution receipt shall be regarded as having precedence. If the Customer cannot submit the relevant receipt, the amount which is shown in conformity with data from the Information Centre s cashier till which issued the relevant receipt shall be regarded as the Nominal Value The Customer is obliged to keep a cashier receipt attesting the transaction and contribution receipt for the Card as these are the only proof of the purchase of the Gift Card. This shall be presented in cases involving the loss of the Gift Card The purchase of the Card attests that a Customer has made themselves familiar with the Regulations and Price List and completely agrees with them, and when it comes to concluding actions agrees to entering into the Gift Card Agreement with the Issuer who is represented by the Representative who accepted the Purchaser s application for the purchase of the Gift Card. At the time of purchase of the Gift Card, the Regulations and Price List become binding to the Customer. 4. Restrictions for the Purchase of Cards 4.1. A customer may purchase no more than twenty (20) Gift Cards at a total value of up to 2000,00 EUR (two thousand euros) at a time A greater number of Cards and/or a larger total amount in the Card s Nominal Value of the Card may be purchased in accordance with the procedures laid down in Paragraph 5 of the Regulations The Issuer and/or Rīga Plaza has the right to refuse to issue Gift Cards to the Customer if there are any suspicions regarding a possible attempt to money launder, as well as in other cases provided for in the laws and regulations or in these Regulations. 5. Bulk Purchase of Cards 5.1. Legal entities that wish to order and purchase Cards by means of money transmission, or that which to purchase a larger number of Cards, or Cards at a larger Nominal Value (hereinafter referred to as the Wholesale Purchaser) must contact the administrative body of Rīga Plaza and enter into a separate Agreement on the Purchase of Gift Cards where the purpose of purchasing the Gift Cards is defined and a duty to register any further transfer of the Gift Cards to Users is laid down for the Customer After receipt of the identification documents for the Customer in conformity with the identification procedures for the clients of the Issuer, and after entering into the Agreement on the Purchase of Gift Cards, an invoice will be sent to the Wholesale Purchaser It is an obligation of the Wholesale Purchaser to carry out the payment of the invoice within ten (10) days of the invoice being issued. If the payment is not made within the time period laid down, then such an order is not binding on Rīga Plaza Rīga Plaza shall prepare Cards within five (5) working days following the payment of the invoice to the full amount An authorised representative of the Wholesale Purchaser may receive Cards that have been ordered by them by visiting the Rīga Plaza Information Centre and producing the relevant delivery note, or by submitting a document that confirms their authorisation rights Immediately after the receipt of the Cards, the authorised representative of the Wholesale Purchaser must verify the number of Cards that have been received, the Nominal Values indicated on the delivery note, and also whether the cards have been damaged. If any nonconformities are detected, these shall be immediately pointed out to an employee of the Rīga Plaza Information Centre. No complaints are accepted later. 6. Customer identification 6.1. The Issuer and/or Rīga Plaza has the right to carry out identity checks on the Customer in accordance with the procedures laid down in the laws and regulations and in the identification procedures for clients of the Issuer before any Gift Cards are passed over to the Customer, as well as to refuse to issue a Gift Card if the identification of the Customer is not possible. 7. Rights and Obligations of the Customer and User 7.1. The Purchaser has the right to transfer the Card for use to any third person - User - or to use it themselves. When transferring the Card to the User, the Customer has a duty to acquaint the User with the Regulations, Price List, and other information relating to the Cards. Also the User has the right to transfer the Card to other Users without limitation, by carrying out the activities of the Customer as provided for in this Paragraph of the Regulations The User acquires all of the rights and obligations of the User at the time of receipt and signing of the Card. 3

4 7.3. The Customer/User has the right to pay with the Card without limitation when using the relevant Traders during the Card s Usage Period and until such time as the total value of Transaction and Commission Fees reaches the limit imposed by the Nominal Value of the Card The Customer has the right to return damaged Cards to Rīga Plaza in conformity with the Regulations. Any change of Cards is done only in cases in which the damaged Card is duly submitted and shows no signs of falsification The Customer has made themselves familiar with the laws and regulations of the Republic of Latvia regarding money laundering and understands that Rīga Plaza, the Trader, or the Issuer has the right to notify the relevant institutions and the right to request the Customer and/or User to provide identification details in cases in which Rīga Plaza, the Trader, or the Issuer has grounds to suspect that the Customer and/or User plans to carry out or has already carried out suspicious or strange financial transactions The Customer and/or User shall undertake to bear all risks regarding the loss or possible destruction of the Card from the time at which the Card is issued to the Customer and/or User and in conformity with these Regulations. In case the Card is lost, when a risk exists that the Card may be used without due authorisation the relevant Card shall be blocked, with the Customer and/or User requesting this by calling the telephone number and also by submitting written notification of such a wish within the shortest possible time. All risks regarding possible unauthorised Transactions with the Card until the time it is blocked shall be borne by the User and/or Customer; the Issuer shall not be responsible for unauthorised Transactions that take place with the Card where the Card s Nominal Value does not exceed EUR (one hundred and fifty euros). When blocking the Card, you must provide your name, contact details, and Card number (or a part of it which can be seen on the cashier receipt that confirms the purchase of the Card) The User and/or Customer has the right to request that a lost or stolen card be replaced by a new Card with the same balance that was held on the stolen or lost Card, if the aforementioned conditions are met, and if the User and/or Customer has submitted an application for the replacement of the Card, by presenting the purchase receipt for the Card and paying the Commission Fee for the replacement of the Card (this may be deducted from the balance of the Card). The Issuer has the right to refuse to replace the Card if the information indicated by the User and/or Customer does not conform with the records or if the balance of the Card has been exhausted before the Card can be blocked. 8. Purchases with the Card 8.1. It is possible to use the Card for purchases immediately after the Card s purchase and activation Before purchases are made with the Card, the User of the Card shall sign their name on the Card Purchases with the Card shall be made by submitting the Card to the Trader s member of staff so that the Transaction can be completed In order to carry out a Transaction, the Trader s member of staff shall carry out the process of Authorising the Card If Authorisation is successful, then the purchase amount is deducted from the Card s account and the User receives the cashier and POS terminal receipt which confirms the Transaction. The User has an obligation to sign one copy of the POS terminal receipt and return it to the Trader s member of staff, and to keep the other copy in case the Issuer requests it in order to be able to reach a decision in respect of any complaints that may have been submitted by the Customer and/or User If Authorisation is not successful, because: there exists an insufficient balance on the Card s account so that the Transaction cannot be carried out, the User has the right to pay the difference with another card, or in cash, or with a bank payment card, if such an option is provided by the Trader; the Usage Period for the Card has expired, after which the User has the right to submit an application for the Card s renewal in conformity with these Regulations, by paying the Commission Fee; the Card is damaged, then the User has the right to submit an application for the replacement of the Card in conformity with these Regulations; telecommunications services are not ensured or other technical problems have occurred, after which the User will make any payments for the particular goods or service by using another means of payment, if possible. If such an unsuccessful purchase trial is carried out on the last day of the Card s Usage Period, then the User has the right to request an extension of the Card s Usage Period of not less than one day without having to make a payment for the Commission Fee. 4

5 8.7. The Trader may refuse to accept the Card for the performance of the Transaction if the Card s account balance is at 0.00 EUR (zero euros), its Usage Period has expired, it is damaged, or a refusal of Authorisation has been received in relation to notification being made that the Card has been lost or stolen The Trader may refuse to accept the Card for the performance of the Transaction if an employee has suspicions that the Card is false or its security parameters do not comply with the provisions for international payment systems. In case of any such suspicions being realised, the Trader may retain the Card. Retained Cards shall be transferred to the Issuer so that they may reach a decision regarding any further action to be taken If any Trader refuses to accept the Card for the payment of goods or services, or if substantiated suspicions arise on the part of the User that the Trader has read the Card s details multiple times without due reason, or if the Trader carries out any other suspicious activity in relation to the Card, or without any justifiable reason refuses to conclude the Transaction with the Card for this specific User, then the User has an obligation to inform a representative of the Rīga Plaza Information Centre or the Card s Issuer without delay and, upon request, will provide a written explanation of events, describing the situation that has occurred and all of the prevalent conditions. If the User fails to comply with the requirements that have been laid down in the Paragraph of the Regulations referred to in relation to the duty to flag up any possible or detected non-conforming activities on the part of the Trader, the data from the Issuer s Card processing system that covers the Transaction will be regarded as justifiable proof of the fact that the Transaction has taken place, and this includes the value of the Transaction If the Transaction is cancelled for any reasons (such as, for example, in those cases that have been laid down in the Consumer Rights Protection Law), the Trader shall refund the value of the Transaction or part thereof to the User in accordance with the procedures laid down for the cancellation of the Transaction as laid down by the Trader Rīga Plaza may determine that particular Traders (see Appendix No.2) are not eligible to be able to use the Card payment services for goods or services. If such a restriction is levelled against any Traders, information regarding this fact shall be placed in one or more visible locations within the Rīga Plaza Information Centre and at the respective Trader s place of business. The User has the right to ascertain at any time by visiting the Rīga Plaza Information Centre whether a refusal or denial to accept the Cards is upon the initiative of the particular Trader (and therefore not being in conformance with these Regulations) or has been determined by Rīga Plaza itself. 9. Commission Fees 9.1. Commission Fees laid down in the Price List shall be applied to the issuance of the Card and its use. An annual fee is not applied to the Cards The Commission Fees shall be determined for additional services which are provided upon the request of the Customer or User such as, for example, for the Card s renewal, the replacement of a damaged Card, a review of the Card s account balance at a cash dispenser, and similar actions or services The Issuer has the right to change Commission Fees unilaterally, by ensuring that any such changes are published on the Rīga Plaza website and are placed within the Rīga Plaza Information Centre The Commission Fee shall be paid in cash or with a bank payment card before receipt of the relevant service. The Commission Fee may be deducted from the Card s balance of account After the expiry of the Usage Period, the Commission Fee will be deducted on the last working day of each month for the Card where the Card s balance of account does not equal 0.00 EUR (zero euros) for the maintenance of the Card account until the balance of the Card reaches 0.00 EUR and the Card account is closed. 10. Reports on Transactions using the Card A User may request a report on all Transactions that have been carried out with a Card by visiting the Rīga Plaza Information Centre and filling out an application form for the request of such information. The User will receive a reply within five (5) working days The User may receive information regarding the Card s balance free of charge at the Rīga Plaza Information Centre; at any time during the day or night (except during interruptions that are caused by unforeseen technical reasons) this may be done by visiting Rīga Plaza or its website, by entering the Card number, or by calling the Rīga Plaza phone number, , and giving the Card s number; payment of the Commission Fee laid down in the Price List, and this may be done by visiting any cash dispenser at a bank which carries the MasterCard sign, by inserting the Card into the machine and entering the respective PIN code. 5

6 10.3. The information that is indicated in Paragraphs 10.1 and 10.2 of these Regulations is available during the Card s Usage Period and for at least eighteen months after the day upon which the Usage Period is terminated by visiting the Rīga Plaza Information Centre or by contacting the Issuer The reports and information that are referred to in Paragraphs 10.1 and 10.2 of these Regulations shall be drawn up in electronic form and shall be valid without a signature or stamp. 11. Supplementing Cards Cards have a fixed Nominal Value at the time of their activation and following the purchase of the Card it is not possible to increase or supplement this value It is not possible to merge several Card balances together. 12. Card Usage Period, and Invalid and False Cards The Usage Period for Cards is printed on each Card itself. The Card shall be valid until the last date indicated on the Card (including) within the framework of the working hours of Rīga Plaza and/or the relevant Trader The Card shall not be valid, if: its balance is equal to 0.00 EUR (zero euros); or its Usage Period has expired; or it is damaged (the Card shall be regarded as being damaged if its magnetic track cannot be read or it has suffered some form of mechanical damage, or if the Card number, its Nominal Value, or its Usage Period is not visible); or it is false or bears signs of having been falsified The Card shall be regarded as being invalid if its balance is over EUR (four hundred euros), its outer appearance or design fails to comply with the sample that has been produced by Rīga Plaza or that the Card bears other signs of falsification False Cards are cancelled. They cannot be replaced by valid Cards, and their balance is not disbursed to the User In those cases that have been laid down in Paragraphs and of these Regulations, the Card may be replaced with a new Card by making an application to the Rīga Plaza Information Centre and paying the required Commission Fee. 13. The Renewal or Replacement of Cards It is possible to renew the Card s Usage Period once only for a further period of six (6) months during any point within a three (3) month period after the Card s Usage Period has expired by paying the Commission Fee. A new card is issued to the User in exchange for the replacement Card with the same balance which was on the Card that is being replaced. The User shall deposit the replacement Card at the Rīga Plaza Information Centre Mechanically damaged Cards which can no longer be used to make any payments may be replaced by a new Card which have a Nominal Value that does not exceed the balance on the Card that is being replaced In those cases that are referred to in Paragraphs 13.1 and 13.2 of these Regulations the User shall act as follows: an application by the Card s User shall be completed at the Rīga Plaza Information Centre; any User who is submitting an application is obliged to indicate their contact details in order for Rīga Plaza or the Issuer s representative to contact them if any questions regarding their application arise; Rīga Plaza or the Issuer shall examine the application within two (2) working days (which covers all days of the week except Saturday and Sunday, public holidays in the Republic of Latvia, or additional holidays as laid down by the Issuer regarding which the information is available on the Issuer s website at with the period aforementioned staring on the day upon which the relevant application was received by the Issuer; following a decision being reached, a representative of Rīga Plaza shall contact the User who submitted the application and shall agree on the procedures for the replacement of the Card or shall notify the User regarding any refusal to replace the Card A damaged Card shall not be replaced with a new Card if signs of falsification have been detected in relation to the original Card. 6

7 13.5. The replacement of damaged Cards with new Cards shall be carried out at the Rīga Plaza Information Centre, by submitting a damaged card, paying the Commission Fee, and presenting the documents that prove the purchase of the Card. 14. Card Balance Receipt During the Card s Usage Period and for three (3) years after the expiry of the Usage Period the User is entitled to submit a request to the Rīga Plaza Information Centre for the disbursement of the Card s balance by a means of payment that does not involve cash. The User shall complete a standard form, submit the Card to the Rīga Plaza Information Centre and, upon request, present a document that proves the purchase of the Card alongside the User s identification documents, as well as paying the Commission Fee. The Card s balance is not paid out if it does not exceed the amount of the Commission Fee that is to be paid if the Card is not submitted, or if there are signs that the Card has been falsified, or if the Card has been blocked or damaged The remaining funds on a Card are disbursed within a period of 25 (twenty five) business days from the moment of receipt and processing of the copy of the respective application to the requisites of the User specified in the application, if no additional documents are requested from the User by the Issuer It is possible to receive the Card s balance only once and only to full amount of the Card s balance. Following the disbursement of the balance, the Card is cancelled, the Card s account is closed, and the Card can no longer be used Where the Card s balance is not requested within the time period laid down in Paragraph 14.1 of these Regulations, the balance shall be cancelled and shall not be disbursed following such a deletion. 15. Complaints The Customer and User have the right to submit any complaints regarding the Card s purchase and any Transactions that have taken place by using the Card within the time period and in accordance with the procedures laid down in the Issuer s Regulations for the use of Prepayment Gift Cards Complaints may be submitted to the Rīga Plaza Information Centre, as well as to the Issuer Any complaints should be submitted in writing, indicating the full name, personal identity number, and contact details of the submitter of the complaint, plus their Card number, Transaction details, or any other details that are being contested by the submitter of the complaint, along with any facts or conditions which may serve to substantiate the complaint Complaints shall be examined and a full reply regarding the justification of the complaint shall be provided within a period of forty-five (45) days from the receipt pf the complaint Complaints that are submitted after the time period referred to in Paragraph 15.4 of these Regulations or which fails to comply with the requirements laid down in Paragraph 15.3 of these Regulations will not be examined. Any Card that is linked to a complaint shall be appended to the Complaint in those cases that are provided for in the Regulations Both Customer and User have a duty to verify any receipts that have been received immediately following the purchase of the Card and the performance of the Transaction in question In case any discrepancies are registered, the data from the Card s transaction processing system that was in use by the Issuer regarding the Transactions and the Card s balance shall have precedence If a complaint is regarded as being justifiable, the Issuer shall either renew the existing Card or shall issue a new Card to the submitter of the complaint with a Nominal Value that conforms to the sum that has been recognised as being justifiable If a complaint is recognised as being unjustified, the submitter of the complaint has a duty to pay the Commission Fee for the examination of such an unjustified complaint in accordance with the Price List. The Issuer has the right to deduct the Commission Fee from the Card s balance. 16. The Rights and Responsibility of the Issuer and their Representative A representative shall be liable only in terms of the performance of their duties as provided in the Regulations, and the duties of the Issuer are additionally defined in the Issuer s Regulations for the use of Prepayment Gift Cards The Issuer or their Representative shall not be liable for the quality, safety or conformity of goods that are being sold or the services that are being provided by the Trader In any case, the Issuer's liability shall be limited to the balance value of any particular Card. 7

8 17. The Settlement of Disputes and Applicable Law These Regulations shall be translated in conformity with the laws and regulations of the Republic of Latvia All disputes that arise between Rīga Plaza, the Customer, and the User in relation to Cards or Regulations, or any disagreements or claims that are of a material or non-material nature that arise from these Regulations, shall be adjudicated in the courts of the Republic of Latvia. 18. Final Provisions When making a payment for the Card or signing an agreement on the purchase of the Cards, the Customer shall enter into an Agreement on the Purchase of Gift Card; at this moment all of the provisions of the Gift Card Agreement are binding upon the Customer, including these Provisions; by their actions the Customer attests that they have become acquainted with the provisions of the Gift Card Agreement, and that they agree to them and undertake to comply with them The Issuer and their representatives are entitled to process the personal information of both Customers and Users, insofar as it is necessary for the performance of the obligations that have been laid down in the provisions of the Gift Card Agreement and in applicable laws and regulations.
