2 GENERAL TERMS AND CONDITIONS 1. DEFINITIONS 1.1 Authorisation means a query made in accordance with the requirements set out in the Technical Specifications and/or the rules established by the International Card Organisation via the I-Payment Terminal to the bank that issued the Card. 1.2 I-Payment Terminal means an Internet-based technical solution through which the Cardholder can conduct Transactions via the Service Provider. 1.3 I-Payment Terminal Rent means a monthly fee paid by the Service Provider to the Bank for using the I-Payment Terminal. 1.4 Card Centre means Pankade Kaardikeskus AS with whom the Bank has entered into a contract for services for the purpose of providing the E-commerce solution to the Service Provider. 1.5 Cardholder means the person whose name is on the Card and whom the bank that issued the Card has granted use of the Card. 1.6 Card means a remote-access means of payment issued by and belonging to the bank that issued the Card and bearing the logo of the International Card Organisation, which has been specified in this Agreement and with the help of which the Cardholder can conduct Transaction via the Service Provider. 1.7 Username means a combination of numbers and/or letters identifying the Service Provider given by the Card Centre to the Service Provider, which is necessary for the Service Provider to access the data of Transactions made via the Service Provider. 1.8 Commission means a fee payable in the currency specified in the Agreement that the Service Provider pays the Bank for Transactions. 1.9 Account means the Service Provider s current account in the Bank, which has been specified in the first page of the Agreement Agreement means this agreement made by and between the Service Provider and the Bank along with all the annexes thereto Agreement Fee means a one-off fee for entry into the Agreement payable to the Bank Point of Sale means the website used by the Service Provider in its economic activities through which the Service Provider offers its goods or services and through which Cardholders enter into Transactions Bank means Swedbank AS International Card Organisation means the Visa International Service Association and/or MasterCard Worldwide Password means a secret combination of numbers and/or letters identifying the Service Provider given by the Card Centre to the Service Provider, which is necessary for the Service Provider to access the data of Transactions made via the Service Provider Certificate means a document issued by the Card Centre to the Service Provider, which proves the certification of the I-Payment Terminal and compliance with the technical conditions Service Provider means a legal person with whom the Bank has concluded this Agreement Transaction means an order for payment for goods or services given by the Cardholder via the I-Payment Terminal and the Service Provider on the basis of the Card data Technical Specifications means a collection of documents, which stipulates the requirements (incl. the technical conditions, file formats and message formats) which the computer systems and elements of the computer systems of the Bank and the Service Provider must comply with in order to fulfil the requirements established in this Agreement Technical Conditions means the conditions (parameters) issued by the Card Centre to the Service Provider and published on the website administered by the Card Centre, which the Service Provider s Point of Sale must comply with so the Service Provider is able to provide goods and/or services in the Point of Sale thereby accepting the Cards as a means of payment Security Certificate means an electronic certificate for ensuring the security of data communications between the Service Provider and the Card Centre with the goal of identifying the Service Provider.

3 2. PURPOSE 2.1 The Agreement shall regulate the relations between the Bank and the Service Provider in connection with conducting Transactions and other related circumstances. 2.2 The Service Provider is aware of the possible abuse (e.g. conducting a Transaction without the permission of the Cardholder) and the risks and liability of the Service Provider with regard to conducting Transactions. 3. TECHNICAL INSTALLATION AND TESTING OF I-PAYMENT TERMINAL 3.1 After entry into the Agreement the Service Provider shall bring its Point of Sale into compliance with the Technical Conditions applicable to the Point of Sale, which have been issued to the Service Provider by the Card Centre. The Service Provider shall notify the Card Centre of the readiness of the Service Provider s Point of Sale to provide goods and/or services. 3.2 The Card Centre shall issue the Security Certificate to the Service Provider for certifying the I-Payment Terminal and using the testing environment and send the certificate at the Service Provider s address specified in the Agreement, if the Service Provider has: notified the Card Centre of the compliance of the I-Payment Terminal solution with the Technical Conditions and the Service Provider would like to commence testing the I- Payment Terminal solution in the test environment; submitted to the Card Centre a query of the Security Certificate for using the test environment. 3.3 If the Card Centre has issued the Certificate to the I-Payment Terminal solution and the Service Provider has notified the Card Centre of the desire to commence using the I- Payment Terminal solution, the Service Provider shall submit to the Card Centre a query of the Security Certificate for activation of the I-Payment Terminal. 3.4 The Card Centre shall issue the following to the Service Provider: the Security Certificate by ; The Username and Password, sending them by registered mail at the Service Provider's contact address specified in the Agreement The Service Provider can commence using the I-Payment Terminal after loading the Security Certificate to its computer system. 4. SECURITY AND USAGE OF I-PAYMENT TERMINAL 4.1 The Service Provider s Point of Sale, I-Payment Terminal as well as the means of communication and connections required for entering into Transactions must comply with the Technical Conditions and the requirements established by the Bank. 4.2 Upon using the I-Payment Terminal, the Service Provider shall abide by the instructions of use of the I-Payment Terminal set out in the annexes to the Agreement and use the I- Payment Terminal prudently and avoid causing any malfunctions. 4.3 The Service Provider shall not make or allow any changes to be made to the certified solution of the I-Payment Terminal without the consent of the Bank. 4.4 The Service Provider shall ensure the security and inviolability of the I-Payment Terminal and bear liability for any loss and damage arising from Unauthorised Transactions or the failure to take sufficient security measures. 4.5 The Service Provider shall pay the claims of payment submitted to the Service Provider by third parties in connection with the usage and administration of the I-Payment Terminal. The Service Provider shall make the respective by the prescribed time. 4.6 Upon usage of the I-Payment Terminal, the Service Provider shall promptly follow any and all instructions received from the Bank. 4.7 The entry into Transactions via the I-Payment Terminal shall be blocked if: the Service Provider uses the I-Payment Terminal solution and provides goods and/or services on the website which is not the Point of Sale specified on the first page of the Agreement; the Service Provider allows third parties (incl. its subsidiaries) to use the I-Payment Terminal; the Username and Password become available to unauthorised parties or are otherwise disclosed;

4 4.7.4 there is a real danger or reasonable doubt that the Cards are abused via the I-Payment Terminal; the Service Provider is in breach of another obligation specified in the Agreement. 4.8 to have the Block removed the Service Provider shall contact the Bank. 5. PAYMENT OF RENT OF I-PAYMENT TERMINAL 5.1 The Bank submits an I-Payment Terminal rent invoice to the Service Provider for the current month. If the Service Provider has not received the invoice, it shall notify the Bank thereof immediately. 5.2 The Service Provider shall make certain that at the prescribed time there is the amount of money equalling the rent of the I-Payment Terminal indicated on the invoice on the Service Provider s account. 5.3 If the Bank cannot debit the rent of the I-Payment Terminal from the Service Provider s account on the date indicated on the invoice, the Bank shall have the right to demand that the Service Provider pay a contractual penalty pursuant to the Bank's price list. 5.4 If the Agreement is terminated before the prescribed time, the rent of the I-Payment Terminal that has already been paid by the Service Provider shall remain with the Bank to cover the costs related to termination of the Agreement. 6. KEEPING USERNAME AND PASSWORD 6.1 The Service Provider shall not disclose to third parties the Username and Password given to the Service Provider by the Card Centre. 6.2 If third parties gain possession of the Username or Password or there is a threat that third parties will gain possession of the Username or Password, the Service Provider shall immediately notify the Bank or the Card Centre thereof. 6.3 The Service Provider shall, at the request of the Bank or the Card Centre, change its Username or Password. 6.4 After receiving information from the Service Provider or the Bank the Card Centre has the right to immediately block the use of the I-Payment Terminal if there is a threat or suspicion that it is attempted to abuse Cards via the Service Provider s I-Payment Terminal or with the help of the Password and Username. 6.5 The usage of the I-Payment Terminal is blocked if the Service Provider enters the wrong Username or Password on more than 4 (four) occasions. 6.6 To have the block of the I-Payment Terminal removed and to get a new Username and Password the Service Provider shall contact the Bank. The Bank and the Card Centre shall not be liable for the loss of profit or other damage caused to the Service Provider due to the blocked I-Payment Terminal. 7. SERVICE OF CARDHOLDER 7.1 The Service Provider shall enable Transactions to be conducted by the Cardholder. 7.2 Only the Cardholder has the right to conduct Transactions. The Service Provider shall be obliged to refuse service of a Card or cancel a conducted Transaction if the Transaction is or was not conducted by the Cardholder. 7.3 The Service Provider shall not add any charges for the usage of the Card to the price of the goods and services. 7.4 The Service Provider shall not have any right to disburse cash on the basis of the Transaction or the cancellation of the Transaction. 7.5 The Service Provider shall not have any right to impose its own restrictions on the Cardholder upon conducting Transactions. 7.6 The Service Provider shall be liable for the goods and/or services provided to the Cardholder and shall resolve any related complaints filed by the Cardholder. 8. AUTHORISATION OBLIGATION 8.1 The Service Provider shall authorise all Transactions that exceed the floor limit specified by the Bank. 8.2 The Service Provider shall bear liability for damages caused by failure to perform the authorisation obligation.

5 9. TRANSACTION-RELATED SETTLEMENTS 9.1 For the Transactions of Cardholders, the Service Provider shall pay the Bank a Commission, which the Bank shall calculate on the basis of the Transactions submitted to the Bank by the Service Provider pursuant to the rates set forth in the Agreement. 9.2 The Bank shall transfer the amount reduced by the Commission for the Transactions to the Account of the Service Provider within 10 (ten) banking days as of receiving the Transactions. 9.3 Transactions conducted on the current date shall arrive at the Bank pursuant to the procedure established in Annex 2 not later than by the following banking day. If Transactions have not arrived at the Bank by the due date, the deadlines within which the bank is obliged to transfer the amount set forth in subsection 9.2 of the Agreement to the Account specified in the Agreement shall be postponed accordingly. 9.4 The Bank has the right to not accept the claims of the Service Provider for the transfer of the amount indicated in subsection 9.2 of the Agreement if the relevant Transaction arrives at the Bank more than 2 (two) weeks after conducting the Transaction. After an additional term the Bank may release the reserved funds of the Cardholder to the extent of the given Transaction amount. 9.5 The Service Provider shall submit all claims related to the Transaction to the Bank not later than within 6 (six) months after conducting the Transaction. 10. LIABILITY OF 10.1 The Service Provider shall bear liability for the entire loss arising from the Transaction, which has not been conducted by the Cardholder (incl. for Transactions conducted with a forged Card) or a Transaction that has been otherwise treated wrongfully by the Service Provider The Bank has the right to debit the Account specified in the Agreement with or withhold from the purchase amount paid by the Card for goods and/or services all Transaction amounts specified in subsection 10.2 of the Agreement, as well as amounts of other Transactions with regard to which the Cardholder has filed a complaint, notifying the Service Provider thereof in writing The Service Provider shall not transfer its rights arising from the Agreement to third parties or transfer the same in any other manner whatsoever The Service Provider shall not engage in illegal or other activities that may harm the Bank or third parties The Service Provider shall not provide services and/or goods from websites (incl. subnetwork addresses) other than the Point of Sale specified in the Agreement. 11. ADVERTISING In its advertisements The Service Provider has the right to use the logos of the International Card Organisation indicating the acceptance of the Cards, coordinating it with the Bank in advance. 12. CONFIDENTIALITY 12.1 Upon conducting Transactions, the Service Provider shall ensure security and not disclose any and all data arising from the Transaction and the Terminal to third parties, and be liable for any loss and damage arising from failure to use sufficient security measures The Service Provider shall use the data proceeding from the Transaction only for the purpose and pursuant to the procedure set forth in the Agreement The Bank has the right to disclose information about the Service Provider and the Agreement to the Card Centre and third parties if such requirement is provided by the laws of the Republic of Estonia, the General Conditions of the Bank or required by the International Card Organisation. 13. VALIDITY, AMENDMENT AND TERMINATION OF THE AGREEMENT 13.1 The Agreement shall enter into force at the moment of signature and remain in force for an unspecified term.

6 13.2 The Bank has the right to amend the Agreement unilaterally by notifying the Service Provider thereof in a manner determined by the Bank not later than 1 (one) month in advance If the Service Provider does not agree with the amendment of the Agreement, the Service Provider shall have the right to cancel the Agreement within the term specified in subsection 13.2 of the Agreement If the Service Provider has not cancelled the Contract within the term specified in subsection 13.2 of the Contract it shall be deemed that the Service Provider agrees with the amendments Either party shall have the right to terminate the Agreement unilaterally, giving the other party notice thereof not later than 1 (one) month in advance The Bank has the right to unilaterally terminate the Agreement immediately without any notification of the Service Provider if the Service Provider violates its obligations, has submitted false information to the Bank or if the International Card Organisation demands such action The Bank shall have the right to terminate the Agreement unilaterally without notifying the Service Provider thereof if no Transactions based on the Agreement have been conducted through the Service Provider within no less than 6 (six) months The expiry of the Agreement shall not affect the monetary claims that have arisen from Transactions prior to the expiry of the Agreement becoming collectible or their satisfaction. 14. GENERAL 14.1 Upon expiry of the contract between the Bank and the Card Centre, the Bank may assign the rights and obligations of the Card Centre to a new service provider designated by the Bank, entering into a respective contract with the latter and notifying the Service Provider thereof pursuant to the procedure set out in subsection 13.2 of the Agreement. The respective change shall not affect the validity of this Agreement or the rights and obligations of the Service Provider arising from it Any disputes arising from the performance of the Agreement shall be subject to resolution by way of negotiations. Failing agreement, disputes shall be resolved in the Harju County Court The Agreement has been made and signed in two legally equal identical counterparts, one for the Service Provider and the other for the Bank The Bank s General Conditions and the Principles of Processing Customer Data in Estonian Companies of the Swedbank apply in other respects. The Service Provider confirms that it is familiar and agrees with them The Service Provider warrants and represents that it has accessed the terms and conditions of the Agreement and the following Annexes and undertakes to adhere to them: Annex 1. Requirements for Queries to I-Payment Terminal Annex 2. Instructions of Use of Internet Environment of I-Payment Terminal Annex 3. Requirements for Service Providers Accepting Payment Cards via I-Payment Terminal Annex 4. Requirements for Service Providers Regarding Security of Cardholder Data
