2 Facilities at Garden of the Gods Club and Resort Garden of the Gods Club and Resort is dedicated to providing our Members with a wonderful club environment where they can connect with other Members through recreation, fun social and family events, golf and tennis tournaments. The Resort and Spa As the social hub of the Club, the Resort features gourmet dining with spectacular views of the Garden of the Gods Park framed by Pikes Peak and includes: a relaxing lounge; private rooms for social events, receptions and banquets; a full-service spa and beauty salon; a fitness center; a stunning outdoor infinity pool; and 69 luxury guest rooms. Kissing Camels Golf Course and Clubhouse 27-hole championship golf course designed by Press Maxwell and Mark Rathert, a driving range, chipping green and a putting green. The casual Kissing Camels Clubhouse features the Kissing Camels Grille and Lounge offering informal dining with spectacular views of the golf course, comfortable ladies and gentlemen s locker rooms, and a fully stocked Golf Shop with the latest golf equipment, fashion and accessories for gentlemen, ladies, and children. The Sports Club Located in the Golf Clubhouse, the state-of-the-art Sports Club features a full complement of cardiovascular and strength training equipment, a movement studio for group exercise classes including yoga and indoor cycle, and a dedicated Pilates studio outfitted with the latest equipment. Tennis Complex Seven outdoor, two indoor tennis courts, four outdoor courts at the Recreation Center and the Tennis Shop with leading-edge equipment, fashions and accessories. Recreation Center A great place for families during the summer months, the Recreation Center features a junior Olympic size swimming pool, wading pool, children s spray garden, cabanas, locker rooms, snack bar, recreation room with table and video games for all ages, multipurpose room for social events, four tennis courts, a basketball/soccer court, and a children s playground. Categories of Membership Premier Golf Membership Premier Golf Members have full use of all Club facilities. Premier Golf Family or Individual Members have Greens Fees included in their monthly dues. Premier Golf Members can choose a payment option based upon their family configuration and anticipated usage. Associate Membership Associate Members will pay Greens Fees at the published Member Greens Fee rate in addition to lower monthly dues. Sports Membership Sports Members have full use of all Club facilities except for the golf course and practice facilities. National Membership National Members have complete access to all Club facilities. National Members pay the published Member Greens Fee rate AND must not own or rent a residence within a 60-mile radius of the Club. Social/Dining Membership Social/Dining Members have complete access to all Club dining and banquet facilities and social events. On the 40th Birthday, the monthly dues will increase to the appropriate category; there will be no additional Initiation Fee due at that time. Individual membership is available to individuals who are not married and to individuals who are married and/or have only one individual in the family who will utilize the golf facilities. Full privileges, with the exception of all golf related facilities, shall be extended to non-golf family Members to include (if applicable) the Member s spouse and dependent children, as prescribed by the Club. ** Associate Members pay the published Member Greens Fees in addition to the lower monthly dues. A service charge of $25 per month will be billed on all Premier Golf, Associate, Sports and Social/Dining memberships in lieu of gratuity on all á la carte food and beverage charges in our dining facilities: the Club Dining Room, Fireside Lounge, Kissing Camels Grille & Lounge, the Mirage, golf course beverage carts, room service for any Member staying in the Resort, and the poolside cabana and Recreation Center snack bars. As their Club usage is seasonal, the service charge for National Members will be $75 per year. All private party banquet and catering activity will continue to be assessed the 20% service charge based upon the total food and beverage sales consumed before sales tax with groups in excess of 16 people or more. Payment Option Premier Golf Family/Individual and Associate Members - Pay 50% down after Membership approval and pay the remaining balance in two equal payments, one payment at 6 months and the second payment at 12-months. Young Professional Family/Individual - Pay $3,000 down after Membership approval and pay $3,000 each year until the balance is paid in full or pay the full balance due upon your 40th birthday, whichever comes first. 9 Payment of Initiation Fee I agree to pay the required initiation fee indicated under Membership Category in this agreement for the membership selected to obtain membership in Garden of the Gods Club and Resort. Payment of Dues, Fees and Charges I agree to pay to the Club the membership dues, and applicable fees and charges together with any tax that may be due with respect to the payment of dues, fees or charges. The current amount of dues for each membership category is described on a separate Schedule of Dues, Fees and Charges, and is subject to change from time to time. Resignation Notification of resignation shall be provided to the Club Membership Director in writing. A membership shall be deemed to have been resigned thirty days (30) after the date the Club receives written notice of the intent to resign. Acknowledgment of Membership Rights I acknowledge that membership in Garden of the Gods Club permits the Member to use the Club Facilities described in the Bylaws in accordance with the Bylaws and the Rules and Regulations. Membership in Garden of the Gods Club is not an investment in Garden of the Gods Club and Resort LLC, the Club, their affiliates, or the Club Facilities, and does not give Members a vested or prescriptive right or easement to use the Club Facilities. Membership in Garden of the Gods Club does not provide Members with equity or ownership or any other property interest in the Owner, Garden of the Gods Club and Resort LLC, their affiliates, or the Club Facilities. Members only acquire a revocable license to use the Club Facilities in accordance with the terms and conditions of the Bylaws, the Rules and Regulations and this Membership Agreement, as the same may be amended from time to time. All rights and privileges of Members under the Bylaws, the Rules and Regulations and this Membership Agreement are subordinate to the lien of any mortgage or deed of trust encumbering the Club Facilities from time to time. The Club reserves the right, in its sole discretion, to terminate or modify the Bylaws and the Rules and Regulations, to reserve memberships, to sell, assign, transfer, lease or otherwise dispose of its interest in the Club Facilities in any manner whatsoever and to any party whomsoever, to recall my membership at any time for any reason or no reason whatsoever, to add, issue, modify or terminate any type or category or class of membership, to discontinue operation of any or all of the Club Facilities, to convert Garden of the Gods Club into a member-owned club, and to make any other changes in the terms and conditions of the membership or in the Club Facilities. In the event of termination of the Bylaws, termination of a category of membership, recall of a membership or the discontinuance of operation of all or substantially all of the Club Facilities, the Club will refund the initiation fee paid to the affected Member(s) within 30 days. In the event that the Club s interest in the Club Facilities is sold and the buyer/transferee assumes liability for the repayment of the appropriate initiation fee, as provided herein and in the Bylaws, the undersigned shall look solely to the buyer/transferee for repayment of the initiation fee and the seller/transferor shall be released from all liability for the repayment thereof. In the event of a sale or assignment of the Club s interest in the Club Facilities (other than a foreclosure sale), the buyer shall take title subject to the terms and provisions of the then existing Bylaws. The Club may subsequently choose to issue new memberships and change or replace the current Bylaws and Rules and Regulations.

10 I hereby acknowledge that the use of the Club Facilities and any privilege or service incident to membership is undertaken with knowledge of risk of possible injury or loss of or damage to property. I hereby accept any and all risk of injury or loss of or damage to property to myself, my guests and my family sustained while using the Club Facilities or while involved in any event or activity incident to membership in Garden of the Gods Club. I agree to release and indemnify the Owner, the Club, any manager of the Club, officers, partners, members of any limited liability company, shareholders, employees, representatives and agents and the members of the any advisory or other committee from any liability for such injury, loss or damage. Membership Documents I hereby acknowledge receipt of the Garden of the Gods Club Bylaws and Rules and Regulations and that I have read and understand them and agree to be bound by the terms and conditions thereof as the same may be amended from time to time by the Club. I further acknowledge that I am not relying on any oral representations by any employee of the Club or any other person in acquiring a membership in Garden of the Gods Club. This Membership Agreement shall be governed by and construed and enforced in accordance with the laws of the State of Colorado without giving effect to principles of conflicts of law. This membership is non-transferable, and I may not assign or pledge the membership, this Membership Agreement or my rights hereunder. The Club may, however, pledge or assign this Membership Agreement. If the Member is married, the signatures of both the Member and spouse are required. If the membership is to be issued in the names of both spouses jointly, please indicate below, in which case references herein to I, me, my, myself, the undersigned, the Member, and the like, shall be deemed to be both the husband and wife. Upon signing this Membership Agreement, I authorize the disclosure and release of information requested by the Club for investigating my qualifications for membership, including without limitation, law enforcement records and credit history, and shall hold the Club harmless from any and all such acts. I further authorize those persons or entities set forth in this Membership Agreement to furnish all information requested by the Club.
