Changes identified in Bold with a double underline indicate new language. All pages with changes are labeled with REVISED 10/16/2012 in the right hand corner of the documents. 3 REVISED 10/30/12 REQUEST FOR PROPOSAL Notice to Prospective Proposers October 30, 2012 You are invited to review and respond to the California State Teachers Retirement System (CalSTRS), Request for Proposal (RFP), entitled, RFP Number 2P In submitting your proposal, you must comply with the instructions found herein. The proposals must be received by the CalSTRS Procurement Office no later than November 29, 2012, by 2:30 p.m., Pacific Time (PT). Proposals received after the specified date and time may be rejected. 4 Request for Proposal 2P Page 5 of 44 REVISED 10/30/12 In addition to a base salary, each incumbent (with the exception for the General Counsel and the System Actuary) is eligible for an annual performance award. The award ranges of the respective levels are: Chief Executive Officer: 0% 80% Chief Investment Officer: 0% 100% Investment Director: 0% 75% Deputy Chief Investment Officer: 0% 75% Portfolio Manager: 0% 75% Investment Operations Director: 0% 30% The pool of pre-qualified firms from which the CalSTRS Human Resources Branch will draw for services will be established for up to five (5) years, with three (3) one-year options to extend. All services will be requested on an as needed basis. All firms within the pool will report to and be directly accountable to the Human Resources Branch. Inclusion in the pool is not a guarantee that an agreement for specific services will be negotiated. A. PROPOSAL REQUIREMENTS AND INFORMATION 1. Time Schedule CalSTRS will use its best efforts to adhere to the time schedule. However, CalSTRS reserves the right to amend the time schedule, as it deems necessary. Submission of Written Questions Should Proposers have questions regarding the information presented in this solicitation, Proposers must submit questions in writing to CalSTRS Procurement via at contractservices@calstrs.com no later than August 28, 2012 at 10:00 a.m., PT. CalSTRS will answer all questions received by this date in writing while making every effort to not divulge the source of the query. Submit one (1) paper copy and one (1) copy in digital format (e.g., CD/DVD, flash drive, etc.). 1) The paper copy must contain the original signature of the individual(s) who is authorized to bind the Proposer contractually, be labeled Master Copy, and placed in a loose-leaf, three-ringed binder, which displays the Proposer s name on the outside front cover and the spine. (Do not submit the Master Copy with spiral binding.) 2) It is the Proposer s responsibility to ensure the digital copy is complete and includes all material contained in the paper copy. The information contained in the digital copy is reviewed by the evaluation team for purposes of scoring the proposals. If there is an inconsistency between the paper and digital copies, the paper copy will take precedence. 3) Exhibit B, Fee Proposal, shall be a separate document in the digital copy. The remaining proposal documents shall be saved as one PDF document. b. All proposals must be delivered to CalSTRS by November 29, 2012, by 2:30 p.m., PT. Proposals received after this date and time may not be considered. 6 Request for Proposal 2P Page 21 of 44 REVISED 10/30/12 ATTACHMENT 2 MINIMUM QUALIFICATIONS Proposing Firm s Name A proposing firm must meet all of the following minimum qualifications to CalSTRS satisfaction to be given further consideration. Failure to satisfy ANY of the minimum qualifications may result in the immediate rejection of the proposal. As of November 29, 2012, the proposing firm must meet the following minimum qualifications: Proposer firm must have a minimum of five (5) years of full-time experience in conducting executive searches for financial institutions or pension funds. Yes/No OR An officer and/or partnership in the Proposer firm who would be assigned as principal on a CalSTRS engagement must have a minimum of five (5) years of full-time experience in executive searches for financial institutions or pension funds.
