2 EXECUTIVE SUMMARY HFF, on behalf of APP Holdings, LP (the Company ), is pleased to exclusively present an outstanding opportunity for the sale leaseback of 6 missioncritical industrial properties (the Portfolio ) to be occupied by A.P. Plasman, Inc. ( APP or the Tenant ) totaling 697,179 square feet located in Alabama, Ohio and Ontario, CA. The Portfolio serves the operational needs of APP, a leading designer and manufacturer of plastic injection molding for state of the art automated painting and complete assembly operations of Class A exterior trim products and sub-systems to a variety of OEM and Tier 1 customers. Bidders are requested to submit a cap rate on proposed rent for lease terms of 15 and 20 years. 4 INVESTMENT HIGHLIGHTS EXCELLENT TENANT PROFILE APP is a key partner for OEM s in developing the form, finish, and overall aesthetics of new vehicle models. The company offers fully-integrated design, engineering, tooling, molding, finishing (painting and chroming), and assembly capabilities. Founded in 1978 in Windsor, Ontario, APP has developed into a company of over 2,300 employees, operating 11 facilities across North America. The strength of APP s management team is unrivaled in the industry. The CEO, COO and CFO have a combined 70+ years of experience in the industry and have spent over 27 years with the Tenant. APP recently completed two strategic add-on acquisitions. In December 2014, APP acquired the assets of A-Brite Plating Company ( A-Brite ) in December 2014 and purchased the assets of Thermotech, Inc. ( Thermotech ) in April With these acquisitions, APP now operates 11 facilities across North America to serve OEM and Tier 1 automotive customers in Canada, the U.S., and Mexico. The synergies between the businesses are compelling. With A-Brite, APP can control production of parts from molding through painting and/ or chroming. In addition to complementary tooling capabilities, Thermotech s footprint in Mexico provides a platform from which APP can launch Tier 1 exterior trim programs for OEM customers in a market where automotive production is projected to grow much faster than the rest of North America. APP enjoys a diverse customer base comprised of leading global automotive OEM s, as well as a growing set of consumer product manufactures. LONG-TERM NET LEASE STRUCTURE The lease structure will be an absolute net lease with Tenant responsible for the payment of taxes, insurance, utilities, maintenance and repair, including roof and structure. Furthermore, the proposed net rental rate provides healthy EBITDA-to-rent coverage. MISSION CRITICAL ASSETS IN STRONG INDUSTRIAL MARKETS The Portfolio s assets are located in industrial markets that represent high occupancy rates and market rental rates in-line with national averages. In addition to the 2013 APP build-to-suit development in Fort Payne, each of the remaining assets has been operated by the Tenant for several years. The Company has invested approximately $55 million in capital expenditures over the last four years further establishing the Tenant s commitment to the Portfolio. 4
