1 Corporate Finance Forum Committee The Corporate Finance Forum is one of the CISI s longest running forums. It meets at least six times each year at a city venue and also holds a well-attended annual dinner to which members are able to bring guests. "The Corporate Finance Forum aims to bring together professionals from throughout the Corporate Finance industry. We provide a forum for thought provoking debates and industry leader talks to help our members expand their knowledge and networks and develop their careers. We are looking forward to a year of interesting events and welcome new members to the forum. Debbie Clarke, CF, Chartered MCSI Ex-officio Chairman, Corporate Finance Forum Committee Chairman: Clive Garston, CF, FCSI Consultant, Corporate and Commercial, DAC Beachcroft Clive is a Corporate Lawyer specialising in M&A and capital markets. He has been a Non-Executive Director of various public and private companies for over 20 years. Clive is a Fellow of the IOD and holds the corporate finance qualification of the ICAEW. Nicholas Bealer, Chartered FCSI Cornhill Capital Nicholas is Head of Corporate Broking at Cornhill Capital. Previously he worked as Head of Corporate Broking at Alexander David Securities where he looked after smaller companies, listed on AIM and PLUS (now ISDX). He has over three decades experience in the London markets, including time as a jobber on the Stock Exchange floor and ten years as a broker with Teather and Greenwood. 2 Peter Freeman MCSI Director, Jenolan Peter has been Compliance Officer of corporate finance firm Loeb Aron & Co since joining them in Loeb Aron is primarily involved in mining finance, although Peter`s role includes advising and assisting Loeb Aron`s PLUS (now ISDX) and AIM quoted clients who are drawn from a wider range of sectors. He is a Non-Executive Director of Capital Lease Aviation which is an AIM quoted aircraft leasing company and of Cabo Drilling Inc., a TSX-V quoted international drilling services company. Prior to joining Loeb Aron, Peter was Director of Markets and Compliance at OFEX (which became PLUS Markets Group, and is now ISDX) steering it from being an "unregulated trading facility operated by a stock exchange member" to becoming regulated by the FSA and included within the regulatory structure by HM Treasury, but stopping short of becoming a RIE. Dalia Joseph MCSI Dalia qualified as a Chartered Accountant at Deloittes, before moving into corporate finance at HSBC Investment Bank, where she advised on AIM and main market transactions, later specialising in growth companies, in both sponsor and nominated advisory roles. She joined Oriel Securities in 2004 in the corporate finance and broking team and moved in 2011 to focus on a policy and technical role as a Partner in compliance. In 2012 she was appointed as Compliance Officer but maintains a key technical role within the firm. Dalia is a member of the QCA Corporate Advisers Committee and the Corporate Governance Committee, and regularly responds on consultations which affect the corporate finance and broking sector.

3 Antony Legge FCSI Non-Executive Director, Precision Midstream Antony is currently a Non-Executive Director of Precision Midstream having previously worked for four years as the Corporate Finance Director at Daniel Stewart & Company. He has a broad base of experience in advising the boards of growth companies looking to access the London capital markets and has worked with numerous small, growing companies over the last 20 years in a variety of roles (in financial PR/investor relations, as an analyst, a fund manager, corporate financier and a Nominated Adviser). Antony has also advised boards on a comprehensive range of equity capital market issues; IPOs, secondary fund raisings, acquisitions and disposals (both public and private) and had involvement in strategic reviews, unwelcome takeover approaches and crisis situations; including insolvencies, rescues, board changes and hostile EGMs. Trisha Reay, Chartered FCSI Investment Analyst, SVS Securities A versatile MBA and Chartered Fellow qualified investment management professional with a wide knowledge of financial markets having experience spanning corporate finance, fund management, buy and sell side research and investor relations with firms in the West Midlands and London. Trisha also sits on the CISI exam panel for the certificate in corporate finance and has been a member of the CISI Corporate Finance Forum before recently joining its committee. She is also the young Communications Officer and first female committee member of the Stock Exchange Veterans Association. Mauro Tortone, Chartered MCSI Director, P27 Mauro has worked in Italy, Germany and the US. He is a consultant and has worked on projects for UBS. He holds an MBA from Henley Business School.

4 Ex-officio Chairman: Debbie Clarke, CF, Chartered MCSI Corporate Finance Director, CV Capital Debbie is a Head of Corporate Finance at Chantrey Vellacott DFK LLP, leading CV Capital LLP their corporate finance boutique. She has been working in corporate finance since 1996, specialises in private mergers and acquisitions as well as leading a team authorising financial promotions, providing Take Over Code advice as well as undertaking transaction support for public and private clients. She has specialised in corporate finance for over thirteen years working on both international and UK specific M&A. Special Advisers to the committee: John Bridges MCSI Perth Partners John has had a long and distinguished career within the City having started with Barclays Bank in In 1962 he moved into stockbroking where he acted for institutional clients at a senior level, rising to Partner, until In that year he was asked to refinance a company importing personal computers and following this exciting project he moved into the world of corporate finance. Since 1980 he has worked as a director and sometime CEO within the corporate finance industry evaluating, finance raising and floating a large number of companies. John also served as a director and board member of some of these companies. Over his 30 years working in corporate finance he has gained experience in all market industry sectors, and he is a specialist in small to medium sized companies. During 2011 John was a Senior Adviser to the Financial Services Authority. He has also been a committee member of the Compliance Forum of the CISI. As John enters his eighth decade his enthusiasm and energy keep him finding that opportunities abound and that his experience remains in demand to help companies and their management seize those opportunities.

5 Francis De Zulueta FCSI Alpine Risk Services Francis has been on the board of Alpine Risk Services for two years and represents the venture capital sector. He has over 30 years experience in the city. Frank Moxon, CF, Chartered FCSI Managing Director, Hoyt Moxon Frank spent eighteen years as a nominated adviser and sponsor, latterly as head of corporate finance and head of natural resources at Williams de Broë before heading up the mining team at its new parent, Evolution Securities. In January 2008 he established Hoyt Moxon Ltd, to provide corporate finance and other advisory services primarily to oil & gas and mining companies and their professional advisers. During his career Frank has successfully completed over 130 corporate finance transactions (including 39 IPOs) raising well over 1.2 billion in new funds. He is a Non-Executive Director of EastCoal Inc, Imperial Minerals plc, Silvermere Energy plc and Whetstone Minerals Ltd as well as a number of UK charities.
