5 PRÍHOVOR GENERÁLNEHO RIADITEĽA Vážení čitatelia, Komplexné zhrnutie finančných výsledkov Continental Matador Rubber, s.r.o. za rok 2010 môžete nájsť na nasledovných stranách tejto výročnej správy. Predovšetkým by som chcel povedať, že rok 2010 bol rokom oživenia globálnej ekonomiky po jednej z najväčších medzinárodných ekonomických kríz a v rovnakom čase sme prijali výzvu na konsolidáciu, stabilizáciu a prípravu podmienok pre ďalší udržateľný rozvoj našej Spoločnosti. Celkovo môžeme povedať, že za veľkej podpory našich zamestnancov sme sa vrátili na strategickú cestu z prevádzkového i finančného pohľadu. V roku 2010 sme pokračovali v našom trende zlepšovania sa a expanzie výrobnej základne osobných a ľahkých nákladných pneumatík s dobrými výsledkami: procesy a náklady, efektivita a nekvalita výroby boli na lepšej úrovni ako plánované a celková produkcia dosiahla 7,6 milióna kusov, pričom 7,3 milióna kusov bolo očakávaných a plánovaných. To znamená, že z hľadiska výroby boli všetky ciele nielen dosiahnuté ale aj prekročené. Zvýšená výroba priniesla aj nové pracovné miesta. Výsledkom bolo 208 novoprijatých zamestnancov v roku Začala sa výroba pneumatík v novej výrobnej hale, pričom sa konala symbolická oslava otvorenia novej výrobnej haly spolu s oslavami 60. výročia výroby prvej pneumatiky v Púchove. Oslava sa konala za účasti našich zamestnancov a návštevníkov dňa 1. mája. Fakt, že veľký podiel na dobrých výsledkoch možno pripísať nielen inštalácii nových strojov, ale aj zvýšenej pracovnej efektivite v oboch výrobných halách, je veľmi príjemný. Chcem tu vyzdvihnúť úspešné projekty zvyšovania efektivity na konfekčných linkách a lisoch v starej výrobnej hale, kde priame zaangažovanie operátorov výroby bolo kľúčovým elementom zavedenia nových výrobných štandardov. Ďalšie vyzdvihnutie, ktoré môžem spomenúť patrí divízii Dopravné pásy, ktorá dosiahla mimoriadne dobrý výsledok v roku 2010, s rastom tržieb o viac než 29% a prevádzkovým ziskom k tržbám na úrovni viac než 11%. V oblasti financií a kontrolingu, po zavedení systému SAP, sme pokračovali v krokoch, ktoré boli začaté v roku 2009 a ktoré sú namierené na zlepšovanie efektivity a efektívnosti našich procesov. Tento predpoklad bol premietnutý aj do našich ADDRESS OF THE GENERAL DIRECTOR Dear readers, The comprehensive summary of the financial results of Continental Matador Rubber, s.r.o. in 2010 can be found on the following pages of this Annual Report. First of all, I would like to say that 2010 was a year of revival of the global economy after one of the largest international economic crises and at the same time we were challenged by consolidation, stabilization and preparation conditions for the further sustainable development of our company. Altogether we can say that with the large support of our employees we turned back on the strategic path from the operational and financial point of view. In 2010 we continued in our trend of improvement and expansion of production of passenger and light truck tires, with good results: processes and costs, efficiency and scrap are better than planned in the budget and the total production reached 7.6 million units, 7.3 million units being expected and planned. This means that in terms of production, all the targets have been not only achieved but even exceeded. The increased production brought new jobs too. As a result, 208 new employees were hired in Tires production started in the new production hall and there was a symbolic celebration of the opening of the new production hall together with the 60 th anniversary of production of the first tire in Púchov, which was celebrated together with our employees and visitors, on May 1 st. The fact is pleasing that a big share of the good results is attributable not only to the installation of new equipment but also to the increased work efficiency in both production halls. Here I want to highlight the successful projects of increasing productivity in tire building (OKL lines) and in curing area in the old production hall, where the key element was the direct involvement of operators in the production of new production standards. Another highlight that can be mentioned is that the Conveyor Belts Division reached an extraordinary good result in 2010, with sales being increased by more than 29% and operating profit reached the level of more than 11%. In the field of finance and controlling, after the introduction of SAP we continued the steps that have been launched by us in 2009, which are aimed at improving the effectiveness and efficiency of our processes. Even in 2010 we showed that Conti standards have been implemented better and faster by us than by other companies in Continental which provides the basis for future operating results and growth of the Company. Regarding trade, the initial estimates of the markets development assumed more modest recovery in demand. This assumption was projected in our 5

6 PRÍHOVOR GENERÁLNEHO RIADITEĽA výrobných kapacít po páde na trhoch v roku Globálne ekonomické zotavenie, pokračujúci domáci dopyt v Číne, chýbajúca produkcia Ázie vyplývajúca zo zvyšujúceho sa dopytu po autách a pneumatikách, ako aj silnejúci kurz amerického dolára voči euru, boli faktory spôsobujúce nedostatok pneumatík na trhu. Tento trend sa nevyhol ani predaju pneumatík. Výsledkom bolo, že v roku 2010 sme sa ocitli v situácii, kedy dopyt mnohonásobne prekračoval reálne výrobné schopnosti, s výsledným dopadom na predaj pneumatík. Rok 2010 tiež priniesol organizačné zmeny divízie Marketing & Sales. Sedem trhov značky Matador bolo integrovaných do zodpovednosti jednotlivých lokálnych Conti predajných organizácií. Na druhej strane od 1. januára 2011 sme prijali v Púchove zodpovednosť za predaj celého portfólia značiek skupiny Continental v regióne Východnej Európy, v krajinách bývalej Juhoslávie, Bulharska, Albánska, Moldavska ako aj vybratých krajinách bývalého Sovietskeho Zväzu. V praxi to znamená, že zodpovednosť za predaj jednej značky bola zmenená na zodpovednosť za predaj viacerých značiek. V podstate môžeme povedať, že rok 2010 bol v znamení snahy, výsledkom ktorej bolo zmenšenie vzdialenosti voči ostatným závodom skupiny Continental, so základným cieľom byť najlepším závodom v divízii PLT (osobných a ľahkých nákladných pneumatík). Touto cestou si prajeme dokázať sebe a manažmentu skupiny Continental náš potenciál ako aj vrátiť dôveru, ktorá nám bola zverená. This trend did not evade tires sales. As a result, in 2010 we were in the situation the demand was many times higher than real production potential with the resulting impact on sales of tires. The year 2010 also brought organizational changes within the Marketing & Sales department. Seven markets of brand Matador were integrated into the accountability of local Conti sales organizations. On the other hand, since January 1 st 2011 we accepted the responsibility in Púchov, for the sales of the whole brand portfolio of the Continental Group in the region East Europe, i.e., in the countries of the former Yugoslavia, Bulgaria, Albania, Moldova, as well as in selected countries of the former Soviet Union. In practice this means that the responsibility for sales in a single-brand was shifted to the position of a multi-brand responsibility. Altogether we can say that 2010 was marked by efforts to and resulted in the reduction of the distance with other plants of the Continental Group, with the ultimate goal to be the best plants in the PLT Division. In this way we wish to prove our potential to ourselves and to the Continental Group management, as well as to return the confidence that has been entrusted to us. Terézie Vansovej 1054 Púchov História spoločnosti: Continental Matador Rubber, s.r.o., (v ďalšom len Spoločnosť ) bola založená a zaregistrovaná 9.decembra 2006 pod názvom MATADOR RUBBER, s.r.o. (Obchodný register Okresného súdu v Trenčíne, oddiel Sro, vložka č /R). Dňa 23. novembra 2007 bolo do obchodného registra zapísané nové obchodné meno Continental Matador Rubber, s.r.o. Dňa 1. júla 2007 boli gumárenské aktivity z Matador, a.s., vložené ako nepeňažný vklad do spoločnosti MATADOR RUBBER, s.r.o., vrátane všetkých aktivít a hmotných a nehmotných aktív a pasív v rámci nasledujúcich podnikateľských činností: pneumatiky: výroba, marketing, predaj a distribúcia osobných a ostatných pneumatík pre ľahké nákladné autá a pre nákladné autá; dopravníkové pásy: výroba, marketing, predaj a distribúcia dopravných pásov na prepravu tovaru a materiálov; stroje: výroba, montáž, testovanie, marketing, predaj a distribúcia strojných zariadení a technológií používaných pri výrobe pneumatík. MATINVESTMENTS LIMITED, minoritný spoločník, predal 15% z ich 49% podielu väčšinovému vlastníkovi a od júla 2008 Continental Caoutchouc-Export Aktiengesellschaft vlastnil 66% podiel v spoločnosti. V decembri 2008 Continental Caoutchouc-Export Aktiengesellschaft predal svoj podiel inej holdingovej spoločnosti Continental Group: Continental Global Holdings Netherlands B.V. Vo februári 2009 M.I.L. MATINVESTMENTS Limited vyhlásil, že využije opciu dohodnutú v zmluve o kúpe akcií na predaj zostávajúceho 34% podielu spoločnosti Continental AG. Od 10. júla 2009 je Continental AG 100% vlastníkom spoločnosti Continental Matador Rubber, s.r.o.. COMPANY PROFILE Business Name and Seat of Company: Continental Matador Rubber, s.r.o. Terézie Vansovej 1054 Púchov History of the Company: Continental Matador Rubber, s.r.o., (hereinafter: the company ) was founded and incorporated on 9 December 2006 under the name MATADOR RUBBER, s.r.o. (Commercial Register of the District Court Trenčín in Trenčín, Section Sro, Insertion No.17315/R). On 23 November 2007, the new name Continental Matador Rubber, s.r.o. was entered in the Commercial Register. On 1 July 2007, the Rubber activities were entered as a contribution in kind into MATADOR RUBBER, s.r.o., which included all activities and tangible and intangible assets and liabilities belonging to the following scope of business.: Tires: production, marketing, sale and distribution of passenger and other light tires and truck tires; Conveyor belts: production, marketing, sale and distribution of conveyor belts for the transport of goods and materials; Machinery: production, assembly, testing,marketing, sale and distribution of the machinery and equipment used in the tire production. This non-cash contribution was registered in the Commercial Register on 10 July In September 2007, MATADOR a.s. sold its 100% stake in MATADOR RUBBER, s.r.o. to M.I.L. Matinvestments Limited, which on November 2nd 2007 sold a 51% stake to the strategic partner, Continental Caoutchouc-Export Aktiengesellschaft, a 100% subsidiary of Continental AG. In June 2008, M.I.L MATINVESTMENTS LIMITED, the minority shareholder, sold 15% of its 49% share to the other shareholder and from July 2008 Continental Caoutchouc-Export-Aktiengesellschaft owns 66% of Company s share capital. In December 2008 Continental Caoutchouc-Export- Aktiengesellschaft sold all of its shares to another holding company of the Continental Group: Continental Global Holdings Netherlands B.V. In February 2009 M.I.L. MATINVESTMENTS Limited announced it will use the put option as agreed between shareholders in the Share Purchase Agreement to sell the remaining 34% of the shares in the company to Continental AG. Since 10 July 2009 all shares in the company are in the ownership of the Continental Group. 7

Business Focus Business activities of Continental Matador Rubber, s.r.o. are divided into two main areas: Tires: production, marketing, sale and distribution of passenger and other light truck tires; Conveyor Belts: production, marketing, sale and distribution of conveyor belts for the transport of goods and materials; The core activity of the company is the production of passenger, light truck and SUV tires of Continental Group brands. The sales activities can be split between the Replacement market and Original Equipment market. The activities in the Conveyor Belts segment cover the rest of the company s activities. The most significant markets in which the company operates for all activities are: Slovak Republic, Belgium, Greece, Germany, Great Britain, France, Great Britain, the Czech Republic, Poland, Hungary, Ukraine, Russian Federation, Romania, Belarus, Italy, Austria, Spain, China, India. The company has several subsidiaries, joint ventures and financial investments mainly belonging to the tire segment. These subsidiaries represent sales companies in Germany, Russia and Kazakhstan and retail company in Slovakia. The joint venture in Russia and the finacial investment in the company in Ethiopia produce and sell tires for the local market. The other financial investments comprise the minority stake in sister plant Continental Matador Truck Tires s.r.o., the minority stake in company VIPO a.s. and stake in company VIPOTEST s.r.o.. 9

10 CONTINENTAL GROUP CONTINENTAL GROUP Od 2. novembra 2007 sú Continental Matador Rubber, s.r.o. a jej dcérske spoločnosti súčasťou Continental Group. V rámci skupiny Continental sú činnosti spoločnosti a jej dcérskych spoločností integrované do organizačnej štruktúry divízie Rubber skupiny Continental. Profil Continental Group Continental bol založený v Hanoveri v roku 1871 a v súčasnosti je jedným z piatich najväčších dodávateľov pre automobilový priemysel na svete a druhý v Európe. Within the Continental Group the activities of the company and its subsidiaries are integrated in the divisional and business unit matrix organisation within the Rubber Division of the Continental Group. Profile of Continental Group Continental was founded in Hanover in 1871 and is currently one of the five largest automotive suppliers in the world and is the second largest in Europe. As a supplier of tires, brake control systems, driving dynamics control, driver assistance systems, sensors, systems and components for the powertrain and chassis, instrumentation, infotainment solutions, vehicle electronics and technical elastomers, the company contributes towards enhanced driving safety and protection of the global climate. Continental is also a competent partner in networked automobile communication. With its six divisions Chassis & Safety, Powertrain, Interior, Passenger and Light Truck Tires, Commercial Vehicle Tires, and ContiTech Continental is a continuous driving force for future mobility concepts, and not just in the automotive industry. As of 31 December 2010, the group employed approximately 148,228 employees in 46 countries. The activities of the company belong to the following divisions within the Rubber Group: The Passenger and Light Truck Tires division, employing around 28,276 people, develops and manufactures tires for compact, medium-size, and fullsize passenger cars, as well as for SUVs, vans, motorcycles, and bicycles. Extended mobility systems are also included in this division. The Commercial Vehicle Tires division has a workforce of approximately 7,156 and markets a large spectrum of truck, bus, industrial, and off-the-road tires suitable for a wide range of applications and service conditions. The ContiTech division, which employs around 25,833 persons, is a worldwide technology leader when it comes to innovations made from rubber and plastics. The division develops and produces functional parts, components, and systems for the automotive industry and for other key industries. 10

11 KĽÚČOVÉ INFORMÁCIE O SPOLOČNOSTI KEY INFORMATION ABOUT THE COMPANY Stratégia spoločnosti a budúci rozvoj Dlhodobá stratégia spoločnosti spočíva v snahe etablovať Continental Matador Rubber,s.r.o. ako jedného z popredných výrobcov osobných a ľahkých nákladných pneumatík v skupine Continental a optimálne využiť aktíva spoločnosti v oblasti výskumu a vývoja, výroby dopravných pásov, know how, kúpnej sily, štandardov výrobných procesov, manažérstva kvality, manažérskych systémov a vedomostí. Hoci finančná kríza oneskorila niektoré kroky implementácie našej dlhodobej stratégie, vývoj v roku 2010 ukázal, že sa nám podarilo dobehnúť zameškané a vrátiť sa na pôvodnú cestu rastu. Pri súčasnej kapacite výroby na úrovni približne 8 miliónov kusov osobných pneumatík, pokračujeme v našej investičnej stratégii s cieľom dosiahnuť kapacitu výroby na úrovni od dvanásť do štrnásť miliónov kusov v roku V marketingových a predajných činnostiach boli implementované niektoré štrukturálne zmeny s cieľom dosiahnuť vyššiu úroveň integrácie do štandardnej organizačnej štruktúry skupiny Continental pri zachovaní nízkych nákladov našej Spoločnosti, čo sa týka trhov v Západnej Európe. Dôvera v našu Spoločnosť bola potvrdená tiež prevodom plnej zodpovednosti za predaj celého portfólia značiek skupiny Continetal v regióne Východnej Európy - v krajinách bývalej Juhoslávie, Bulharska, Albánska, Moldavska ako aj vybraných krajinách bývalého Sovietskeho Zväzu, čo v praxi znamená zmenu zodpovednosti od jednej značky ku viacerým značkám. Company Strategy and Future Development The long term strategy is to establish Continental Matador Rubber, s.r.o. as one of Continental s leading Passenger and Light Truck tire manufacturing locations and make the optimum use of the companies assets concerning research and development, conveyor belt production, know how and Continental s purchase power, standards of processes, quality, systems and knowledge. Although the financial crisis delayed some steps of implementing our long term strategy, the development in 2010 has shown that we catched up to come back to our original growth path. With current capacity on the level of approximately 8 million pieces passenger tires, we continue our investment strategy to reach the capacity of twelve to fourteen million pieces in In the marketing and sales activities some structural changes have been implemented to achieve a higher level of integration in the Continental Group s standard organization but keeping the low cost base of our company in regard to markets in Western Europe. Also the trust in our company has been confirmed by the transfer of the full responsibility for the sales of the whole brand portfolio of the Continental Group in the region East Europe in the countries of former Yugoslavia, Bulgaria, Albania, Moldavia as well as selected countries of the former Soviet union, in practice this means a change of responsibility from single-brand to multi-brand. The activities for improvement of effectivity and efficiency in the Conveyor Belt Division will be continued. Riadenie ľudských zdrojov Naša spoločnosť sa v roku 2010 postupne vysporiadala s negatívnymi dopadmi hospodárskej krízy a znovu naštartovala proces prípravy na expanziu výroby v súlade s dlhodobým investičnými zámermi. V priebehu roka 2010 bol udržaný sociálny zmier a nevyskytla sa žiadna mimoriadna udalosť, ktorá by viedla k nutnosti redukcie pracovných síl alebo miezd. Prijatím 208 nových zamestnancov a využitím nových technologických zariadení sa vytvorili podmienky pre výrazné navýšenie objemu výroby. V roku 2010 úsek ľudských zdrojov poskytoval všetky štandardné požiadavky pre udržiavanie a rozvoj ľudského kapitálu - marketing a rozvoj, personálne služby, odmeňovanie, organizačný rozvoj a sociálne služby pre zamestnancov. Human Resources management In the course of 2010 our company successively handled the negative impacts of the economic crisis and started-up again the process of preparing the expansion of production in accordance with the longterm investment goals. During the whole year the social reconciliation was being preserved and no extraordinary event occurred which might have given a rise to the necessity of reducing the labour force or earnings. By hiring 208 new employees and by utilising the new technological equipment were created the conditions for significant increase in volume of production. In 2010 human resources provided all the standard requirements to maintain and develop the human capital - marketing and development, personal services, remuneration, organizational development and social services for employees. 11

Priemerný vek zamestnancov bol 40,7 roka, čo korešponduje s dlhodobým trendom vekovej štruktúry personálu v spoločnosti. Charakteru výroby spoločnosti zodpovedá aj kvalifikačná štruktúra personálu. V roku 2010 bolo 47% zamestnancov s úplným stredným vzdelaním a 35% vyučených. Len 3% reprezentujú pracovníkov so základným vzdelaním a viac ako 15% sú vysokoškolsky vzdelaní zamestnanci, vrátane doktorandov (0,5%). V súlade so strategickými cieľmi procesu kultúrnej integrácie do koncernu Continental spoločnosť dôsledne realizovala aktivity cyklu rozvoja ľudských zdrojov dialógy so zamestnancami a vzdelávanie personálu podľa prijatého plánu na rok Vzdelávanie sa sústredilo prioritne na jazykovú a odbornú prípravu. Priemerný počet tréningových dní v pracovnom čase na jedného zamestnanca bol 5,1. Okrem štandardných kvantifikovateľných cieľov sledovaných a vyhodnocovaných cez kľúčové ukazovatele, sú významné úlohy zamerané na organizačné zabezpečenie náboru a výberu nových zamestnancov pre potreby rozvoja výroby osobných a ľahkých nákladných pneumatík. The positive trend in the human resources development is proved also by the selected indicators describing the headcounts in To the company employed 1,962 employees, which means a 6% increase compared to the previous year. The average age of employees was 40.7, corresponding to the longterm trend of staff age structure in the company. The staff qualification structure also corresponds to the character of company production. In 2010, 47% of the employees had a complete secondary education and 35% of apprenticed. Only 3% of the employees have primary education and more than 15% are university graduates, including postgraduates (0.5%). In compliance with the strategic goals of the cultural integration process into the Continental corporation, the company consistently kept carrying out the activities of the human resources development cycle employee dialogues and training of staff in line with the plan approved for Educational training was mainly done in the language and technical/professional preparation. V rámci svojich projektových aktivít sa sústreďuje na oblasť celosvetového vývoja nových dezénových radov zimných, letných i celoročných pneumatík, vývoj produktového portfólia, materiálov, dizajnu foriem a industrializácii dizajnov. Spracovanie technického benchmarku, realizácia simulácií osobných a nákladných plášťov sú neoddeliteľnou súčasťou aktivít Technologického centra. Research and Development The Technology Center Púchov is a separate department in the Company and performs research and development of rubber technologies not only in Slovakia but also worldwide. The activities focus on the area of wolrdwide tire line development (summer, winter and all season), product development portfolio, material development, mould design and design industrialization. Benchmark processing and tires simulation activities are part of the Technology Center s activities. Total costs incurred in the area of research and development comprised 8,400 tsd. EUR in

Environmentálna politika je integrovaná spolu s politikou systému manažérstva BOZP v zmysle OHSAS a je totožná s koncernovou politikou ESH (životné prostredie, zdravie a bezpečnosť). Ukazovatele environmentálnej výkonnosti Na úrovni skupiny Continental sú stanovené tzv. kľúčové indikátory environmentálnej výkonnosti. Ide o vybrané ukazovatele vzťahujúce sa na jednotku produkcie, ktoré sú v polročných intervaloch vyhodnocované a porovnávané v rámci celej skupiny. Na lokálnej úrovni sú tieto indikátory sledované na mesačnej báze. Patria medzi ne spotreba tepla, spotreba elektrickej energie, produkcia odpadov, spotreba organických rozpúšťadiel, miera recyklácie (celkový odpad k zhodnotenému), spotreba vody a emisie CO 2. Indicators of Environmental Efficiency There are so called Key indicators of environmental efficiency set by the Continental group. Those are selected indicators related to unit of production which are evaluated on a half-year basis and compared within the whole group. At local level these indicators are monitored on a monthly base. Included in this are heat consumption, consumption of electricity, scrap production, production of organic solvents, recycling ratio (total scrap in relation to recycled scrap), water use and CO2 emissions. 14 KĽÚČOVÉ INFORMÁCIE O SPOLOČNOSTI Voda Spoločnosť Continental Matador Rubber, s.r.o. je odberateľom podzemnej, povrchovej a pitnej vody a zároveň dodávateľom pre všetky ostatné firmy pôsobiace v jej areáli. Na jednotlivé odbery vôd má stanové limity alebo zmluvy, ktoré boli dodržané. V roku 2010 nastalo zvýšenie odberu vôd spôsobené najmä rozvojom výroby. Tento nárast bude však čiastočne eliminovaný opatreniami na zníženie spotreby vôd, ktoré sa budú realizovať v roku 2011 a Spoločnosť prevádzkuje vlastnú mechanicko-biologickú čističku odpadových vôd (MBČOV), kde sú vypúšťané všetky odpadové vody z celého areálu, vrátane dodávateľských spoločností pôsobiacich v areáli a sesterskej spoločnosti Continental Matador Truck Tires. V celom areáli je vykonávaný pravidelný ročný monitoring podzemných vôd. Výsledky preukazujú hodnoty trvale sa pohybujúce pod hranicou povoleného znečistenia. KEY INFORMATION ABOUT THE COMPANY Water Continental Matador Rubber, s.r.o. is a user of underground, surface and drinking water and supplier to all other companies operating in the area of the Company. There are set limits or contracts for all respective water consumption which were fulfilled. There was an increase of water consumption in 2010 directly related to increase in production. This increase will be partially eliminated by measures for water consumption decrease, which will be realized in 2011 and The Company operates a mechanical-biological sewage water treatment plant (MBČOV) where are released sewage waters from the whole area including affiliated company Continental Matador Truck Tires. Regular monitoring of underground water is annually conducted. Results show that the values are constantly below the permitted level of pollution. 15 KĽÚČOVÉ INFORMÁCIE O SPOLOČNOSTI Ovzdušie Spoločnosť prevádzkuje dva veľké a jeden stredný zdroj znečisťovania ovzdušia. V roku 2010 boli dodržané všetky platné emisné limity. Množstvo vypustených emisií do ovzdušia v roku 2010 predstavuje 77,6 t. Modernizáciou kotolne došlo k zvýšeniu účinnosti kotlov, spoľahlivosti prevádzky, k optimalizácii procesu spaľovania a k dosiahnutiu technológie na úrovni BAT (Best Available Technique). Emisie z energetického závodu sú monitorované automatizovaným monitorovacím systémom, mesačné protokoly sú verejnosti dostupné na internetovej stránke spoločnosti. V roku 2010 bolo do ovzdušia vypustených t CO 2, čo je od začiatku monitorovania emisií skleníkových plynov (od roku 2005) najnižšie množstvo. Tieto skleníkové plyny sa v zmysle príslušných predpisov nezapočítavajú do celkovej bilancie emisií. KEY INFORMATION ABOUT THE COMPANY Atmosphere The company operates two big and one medium source of air pollution. In 2010 all valid emission limits were fulfilled. The amount of emissions released to the air in 2010 was 77.6 tons. Modernization of the boiler room increased the efficiency of boilers, reliability of operation, optimized the combustion process and led to achievement of technology on BAT (Best Available Technique) level. Emissions from the energy plant are monitored by automatic monitoring system, monthly reports are available to the public on the internet page of the company. 43,765 tons of CO 2 were released to air in 2010 which is the lowest amount since the emissions of greenhouse gases have been monitored (since 2005). Spoločnosť aj v roku 2010 recyklovala svoje produkty po dobe užitia. Objem zhodnotených opotrebovaných autoplášťov bol rovnaký ako produkcia umiestnená na trh SR. Nakoľko obidva tieto faktory boli v roku 2010 splnené, pozícia Spoločnosti sa dramaticky zmenila a zlepšila. Počas roka 2010 Spoločnosť realizovala tržby z pokračujúcich činností vo výške tis. EUR (2009: tis. EUR), čo je o 49% viac ako v roku Tento nárast v tržbách bol priamo spôsobený zvýšením výroby a oživením v automobilovom priemysle. Prevádzkový zisk z pokračujúcich činností stúpol z tis. EUR v roku 2009 na tis. EUR v roku Zisk bol ovplyvnený najmä výrazným zvýšením tržieb ako schopnosťou Spoločnosti predať celú svoju produkciu. Finančné výnosy a náklady boli viacmenej vyrovnané, pričom negatívny vývoj v porovnaní s minulým obdobým bol zaznamenaný najmä v oblasti výnosov z činnosti dcérskych a pridružených spoločností, ktorých výsledky roku 2009, takisto ako u ostatných subjektov, boli poznačené ekonomickou krízou. Celkový komplexný zisk Spoločnosti bol vo výške tis. EUR (2009: tis. EUR). V roku 2010 Spoločnosť nevykazovala žiadne ukončené činnosti (2009: tis. EUR) nakoľko tieto boli plne uzatvorené v roku Aktíva spoločnosti dosiahli úroveň tis. EUR (2009: tis. EUR). Investície v roku 2010 dosiahli úroveň tis. EUR a primárne sa vzťahovali k rozšíreniu výrobných kapacít pre produkciu osobných pneumatík. Proces precízneho riadenia pracovného kapitálu pokračoval aj v tomto roku. Odhliadnuc od preddavkov k nehnuteľnostiam, strojom a zariadeniam vo výške tis. EUR (2009: tis. EUR), vzťahujúcich sa k investíciám do dlhodobého majetku, sa podarilo znížiť obežné aktíva o tis. EUR. The economic and financial position of the company is directly related to the improved positive situation mainly in the automobile industry (as an external factor) and results of the company to implement its expansion plans and cost savings measures (as an internal factor). Since both factors were fulfiled in 2010 the position of the company was dramatically changed and improved. During 2010 the company realized sales from continuing operations in amount of 385,939 tsd. EUR (2009: 258,661 tsd. EUR), what is by 49% more than in This increase in sales was directly caused by the growth of output and the recovery in the automotive business. The continuing operations operating profit of the company increased from -4,497 tsd. EUR in 2009 to 2,843 tsd. EUR in The profit was particularly influenced by considerable increase in sales as an ability of the company to sell its whole production. The financial income and cost was more or less balanced, negative development in comparison with previous period was recorded particularly in area of income from investments in subsidiaries and associates, which results in 2009 were marked by economic crisis. The total comprehensive profit of the company amounted to 1,952 tsd. EUR (2009: -9,706 tsd. EUR). In 2010 the company reported no discontinued operations (2009: -7,394 tsd. EUR) as the discontinued operations were fully closed in 2009 Total assets of the company reached a level of 359,308 tsd. EUR (2009: 317,313 tsd. EUR). The investments in 2009 reached a level of 73,472 tsd. EUR, which were primarily related to investments in the increase of passenger tire capacity. The process of strong working capital management continued also in this year. Apart from prepayments for property, plant and equipment in amount 18,830 tsd. EUR (2009: 3,830 tsd. EUR) related to investment in non-current assets it was managed to reduce the current assets by 4,090 tsd. EUR. 17

18 EKONOMICKÁ A FINANČNÁ POZÍCIA Dôvodom nízkeho pracovného kapitálu a vyšších krátkodobých záväzkov voči krátkodobému majetku sú krátkodobé úvery v rámci skupiny Continental od materskej spoločnosti, ktoré sú použité na bežnú prevádzku spoločnosti, ako aj na jej ďalší rast. Z celkových krátkodobých úverov v hodnote tis. EUR, čiastka tis. EUR predstavuje úvery v rámci skupiny. Čisté peňažné toky z prevádzkovej činnosti dosiahli hodnotu tis. EUR najmä kvôli spomínaným opatreniam v riadení pracovného kapitálu a tiež opatreniam na šetrenie nákladov. Zvyšné požiadavky financovania boli kryté hlavne pôžičkami zo skupiny vo výške tis. EUR. ECONOMIC AND FINANCIAL POSITION The reason for the low working capital and current liabilities greater than current assets is intercompany short term loans within the group Continental from parent company which are used to finance both operations and expansion of the business. Out of total short term loans of 128,624 tsd. EUR, 111,793 tsd. EUR are loans within the group Continental. Net cash flow from operating activities amounted to 41,605 tsd. EUR particularly due to these working capital management measures and strong cost savings measures. The remaining funding requirements have been received from the group in amount of 24,689 tsd. EUR. Výhľad Continental Matador Rubber, s.r.o. na rok 2011: V roku 2011 bude pokračovať expanzný plán s cieľom dosiahnuť kapacitu výroby 12 miliónov kusov, pričom produkcia roka 2011 by mala byť 10 miliónov kusov za súčasnej stabilizácie fixných nákladov. Ekonomický výhľad je celkom optimistický, dopyt po pneumatikách a dopravných pásoch sa dvíha silnejšie ako bolo očakávané. Tlak zo strany základných surovín zvýši ceny a náklady, ktoré budú musieť byť kompenzované úsporami nákladov a zvyšovaním predajných cien. Zároveň vysoký dopyt bude mať pozitívny dopad na peňažný tok a solventnosť Spoločnosti. Outlook Continental Matador Rubber, s.r.o. for 2011: In 2011 the expansion plans will continue to reach a capacity of 12 million pieces and an output in 2011 of 10 million pieces, while stabilizing the fixed cost. The economic outlook is quite optimistic, demand for tires and conveyor belts is picking up stronger than expected. The tightness of raw materials will drive up prices and cost which need to be compensated by cost savings and price increases. High demand will have positive impact on our cash flow and solvency. Predovšetkým oživenie predaja v Západnej i Východnej Európe, súvisiace s oživením v automobilovom priemysle, výrazne ovplyvnilo hospodárske výsledky v roku Podstatné nárasty sme zaznamenali vo všetkých segmentoch predávaného sortimentu najmä v segmente osobných pneumatík PLT o viac ako 50%, v segmente nákladných pneumatík CVT o 19%, ako aj v celkovom objeme predaja. From territorial structure point of view, sales have increased in Western Europe, especially on German market. Stable and growth development keep sales performance also on the Poland market. Contrariwise a drop of sales was recorded on the Czech market, which was caused by the change in the structure of market responsibility within the Continental group. 20 EKONOMICKÁ A FINANČNÁ POZÍCIA ECONOMIC AND FINANCIAL POSITION Výhľad na rok Pneumatiky: Predaj v roku 2011 pokračuje v nastavených trendoch z roku 2010, kde sa prenáša reálna potreba plášťov z obdobia počas finančnej krízy, kedy nákupné správanie zákazníkov bolo veľmi opatrné. Zaznamenávame výrazný dopyt nad rámec kapacitných možností v celej Európe na trhoch náhradnej potreby, ale aj prvej výbavy. Uvedený vývoj v náraste predaja sa dotýka aj zvýšenej spotreby vstupných surovín, čím vzniká ich nedostatok a výrazne vzrastajú ceny týchto komodít, z čoho vyplýva aj následný tlak na rast predajných cien. Z hľadiska trhového smerovania bude pokračovať orientácia predaja na trhy s rastovým potenciálom ako je Stredná a Východná Európa a krajiny bývalého Sovietskeho zväzu a snaha o stabilizáciu na trhoch Západnej Európy. Outlook for Tires: The sale in 2011 continues with set trends from 2010, where the real demand for tires is coming from the period during the financial crisis, when the purchase behaviour of our customers was very careful. We see strong demand over the production capacity in replacement markets across Europe, but also in original equipment. This growing sales development also causes increasing consumption of raw materials, resulting in their shortages and substantially increasing prices of these commodities and followed by the pressure to increase selling prices. From market orientation point of view we will continue with focus on markets with growth potential as are Central and Eastern Europe and countries of former Soviet Union and pursuit of stabilization on the markets of Western Europe. 21 EKONOMICKÁ A FINANČNÁ POZÍCIA Ekonomická a finančná pozícia dopravné pásy Silný dopyt po dopravných pásoch v roku 2010 bol vo všeobecnosti indikátorom znovuoživenia v ťažobnom, hutníckom, strojárenskom a automobilovom priemysle. Prudký nárast dopytu po Matador dopravných pásoch znamenal, že sme realizovali radu opatrení za účelom poskytnúť väčšiu flexibilitu našim zákazníkom a prispôsobili sa tak situácii na trhoch. Ťažiskovými trhmi boli ako obyčajne trhy Strednej a Východnej Európy. Ukazuje sa, že kvalita, popredajná spolupráca a dlhá životnosť Matador dopravných pásov sú hlavnými dôvodmi, prečo si zákazníci vyberajú práve naše produkty. Tržby medziročne vzrástli o 30% a zisk o 106%, čo vytvára vynikajúce predpoklady pre ďalší rozvoj podnikania v tejto oblasti. Okrem pozitívneho vývoja týchto ukazovateľov bol záver roka negatívne ovplyvnený rastom cien surovín. Toto spôsobilo nárast predajných cien ako aj realizáciu úsporných opatrení vzťahujúcich sa na optimalizáciu nákladovosti jednotlivých výrobných procesov. ECONOMIC AND FINANCIAL POSITION Economic and Financial Position Conveyor Belts Strong demand for conveyor belts in 2010 was generally speaking performance regaining indicator in mining, metalurgical, industrial and automotive sector of the markets. Steep increase of demand for Matador belts meant that we have realized many measures to secure even better flexibility to meet requirements from our customers and we have adopted to the situation on the markets. Major markets were as usual Middle and Eastern Europe. It shows, that the quality, after sales cooperation area and the long lifetime period of Matador conveyor belts are the main reasons why customers are chosen our products. The increase in sales by 30% and the increase in profit by 106% creates outstanding prerequisite for further growth in this line of business. Instead of positive development in these parameters the end of the year was negatively influenced by the increase in raw materials prices. This caused that our prices have gone up and we have also applied the cost saving measures related to optimization of costs of production processes.
