13 ALLIANCE REMANUFACTURING, INC. WARRANTY POLICY AND REMANUFACTURED CYLINDER HEADS The limited warranty policy of Alliance is as follows: 1. Alliance expressly warrants that its unit will, when shipped by us to the original purchaser, be free from defects in material and workmanship. This express warranty shall apply only to cylinder heads with NEW components, which are properly installed and maintained in the type of vehicle which has been prescribed for their use, and in which defects in material and workmanship shall appear within 12 months of purchase date. Cylinder heads with RECONDITIONED components will carry a warranty for six months. Bare cylinder heads are warranted on castings only. Loaded cylinder heads are warranted for the casting and loaded components. 2. Alliance's obligation under this express warranty shall extend only to the repair or replacement, at our option, of any part or parts of any unit which has been returned to us, transportation charges prepaid, with a written statement of the reason therefore, promptly after any claim of breach of warranty shall arise, and which upon examination by us, shall appear to have been defective in material and workmanship. In lieu of such repair or replacement, this company may, at its option refund to the person having the benefit of this warranty the amount such person shall have paid for the unit. Under no circumstances will Alliance be liable for any consequential or incidental damages including claims for labor charges, transportation and loss of revenue. Replacement of cylinder head and labor will be according to OEM flat rate guide. Warranties implied by law shall also apply to each unit but only for such time as the foregoing express warranty shall apply to that unit. The factory's obligation with respect to a breach of any implied warranty shall be the same as in the case of a breach of the foregoing express warranty. EXCEPT FOR THE EXPRESS WARRANTY STATED ABOVE AND FOR SUCH LIMITED IMPLIED WARRANTIES, THERE ARE NO OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTY OF MERCHANTABILITY OR OF FITNESS FOR PURPOSE, WHICH SHALL APPLY TO ANY UNIT AND THE FACTORY HEREBY DISCLAIMS ANY AND ALL SUCH OTHER WARRANTIES. The obligations of the factory shall not exceed beyond the obligations undertaken above. THE FACTORY SHALL HAVE NO LIABILITY OR RESPONSIBILITY FOR ANY INCIDENTAL OR CONSEQUENTIAL DAMAGES. Any action based on any breach of any of the said warranties shall be presented within 12 months after cause of action therefore accrues. Any action brought thereafter shall be barred- if any unit shall be disassembled, modified, or otherwise tampered with, all the foregoing warranties shall lapse and become null and void. Every cylinder head is fitted with an overheat sensor. If the sensor has dissolved, been removed, or tampered with, in any way, all warranties are null and void. The laws of Pennsylvania shall govern this Limited Warranty. NO PERSON IS AUTHORIZED BY THE FACTORY TO AGREE ON ITS BEHALF TO ANY MODIFICATION OF THE FOREGOING. 3. All units sent for Warranty/Defect must be tagged using Alliance Warranty Claim Tag and have an RGA number assigned. All defective cylinder heads must be returned unclean. The cylinder head must be shipped as junk parts by transportation services.. No warranty credits will be issued until a complete analysis of unit is performed by Alliance's Quality Control Department. 5. Account pays inbound freight. Freight will be reimbursed if unit is found to be defective.. Any units returned to Alliance for Warranty/Defect that have not been remanufactured by Alliance will be returned to account. Every effort will be made to return unit in the same box and condition that it was received, although this cannot be guaranteed, in the most efficient manner. Any deviation from this policy must be approved by Alliance Sales Department. 7. As stated above, any Alliance units sent in for Warranty Defect that upon inspection are found to have been tampered with, altered, disassembled, modified Or damaged during Installation will render the unit null and void of all warranty provisions.

14 ALLIANCE REMANUFACTURING, INC. FREIGHT POLICY The following Freight and Shipping Policy pertains to all Alliance shipments: 1. Freight is prepaid by Alliance on all orders of $5,000 net exclusive of core charges. (See chart for average costs and unit requirements for freight prepaid.). See freight policy. 2. Freight on core returns is reimbursed by Alliance when returns exceed 1000 lbs. Accounts should return cores to: Alliance Remanufacturing, Inc. Attn-. Core Department 50 E. Luzerne St. Philadelphia, PA 1912 See chart for designated freight carriers. Current carriers authorized by Alliance and areas covered are NEW PENN TRANSPORT - CONWAY - ROADWAY EXPRESS 3. Freight to Hawaii, Puerto Rico, Canada and other export markets will be shipped in most efficient and cost effective manner. Alliance will designate carrier.. Failure to use Alliance authorized carriers or meet weight requirements will result in charge back to customer for freight charges. 5. Alliance does not receive freight shipments that are sent C.O.D.. All returns to Alliance should include: - Account Name and Address - Account Packing Slip - Quantity of Units Returned - RGA number listed on paperwork for tracking 7. All orders sent to Alliance will be shipped with backorders held- No backorders will be canceled unless Alliance is notified in writing or it is stated on P.O. 8. All orders will be palletized and shrink wrapped. Accounts not wanting units palletized should contact Alliance's Customer Department. 9. 15 ALLIANCE REMANUFACTURING, INC. CORE POLICY The following is Alliance's Core Policy and Procedure information: 1. Core credits will be issued only on cores taken in from the sale of Alliance units. 2. Only as many units as purchased may be returned for credit. Example-. If 200 units are purchased, up to 200 old units may be returned for credit. Units should be of the same type and configuration. 3. Dollar value on core credits may not exceed dollar value on cores purchased. Example: If $200 cores are purchased, up to $200 core credits will be allowed.. Only units that are received as a result of the sale of our rebuilds may be returned for credit. Please do not obtain old cores from other sources. This policy helps maintain properly balanced inventories. Only identical exchange units will be accepted for credit. 5. The total quantity of core value of old units acceptable for core credit is limited to the total quantity of core value of units purchased on outright basis during the previous twelve-month period. All claims for shortage must be made within 5 days after receipt of merchandise.. Excess customer units will be listed in a core bank these units will be used against future purchases or may be claimed by customer within one year. All units in our possession after one year are considered property of the factory. 7. Credits are issued against current price sheets, and may only be liquidated by a merchandise purchase. 8. Cores sent back that are not acceptable will receive reduced value or no core value. (See Core Checklist for devaluation causes by product). 9. Any units returned will be treated as cores, unless, noted on account paperwork. 10. Alliance will not be responsible for units lost in transit. Credit will be given for units received, checked in and verified by Alliance Core Department. Any shortage claims resulting from transit problems are the responsibility of the returning account to make a claim against trucking company. 11. Core credits for less than full value will not be returned to account, unless request is made in writing and on file with the Alliance Core Department. Core deductions will be taken according to the following a. Calipers ½ Core value for damaged/broken casting. Missing pistons. b. Engine Heads No core deductions. A core that is damaged beyond repair will not be accepted. 12. All cores must be returned in original box. RGA is required for all core returns. 13. Freight is prepaid on 1000 lbs. of cores. Core returns should be listed as Class 50 on shipping documents. (See Weight Chart and Authorized Carrier Chart in Section E - Shipping Policy.) 1. Account should attempt to list all cores returned with Alliance part numbers and group the same numbers together. However, it should be noted that Alliance will identify units with exact part number at time of check in. 15. No customer should make a deduction for core credit from statement prior to Alliance's issuance of credit memo. Alliance will make every effort to issue core credit within 15 days of receipt.
