3 SECTION 1 - CORPORATE OVERVIEW Headquartered in Houston, Texas, Kestrel Engineering, Inc. was organized in 2007 to provide engineering, project and construction management and inspection services to the oil and gas industry. Gary Clarke, President, is the principal contact in the company. Services are offered from offices in Houston, Texas providing personnel to both domestic and international projects. Kestrel Engineering, Inc. is a privately held corporation registered in the state of Texas. Kestrel Engineering, Inc. offers personnel on a contract basis with experience in QA/QC services, construction management and coordination, construction inspection services and materials management. Kestrel provides qualified personnel for total projects or on an asneeded basis. Regardless of how large or small the project, Kestrel provides single source staffing for all phases of fabrication and construction. Kestrel s organization consists of employees with many years of experience. Our employees, many with engineering and technology degrees, can provide innovative solutions to difficult technical, fabrication and construction problems while coordinating all phases of your project. 5 SECTION 2 - RESPONSIBILITIES AND QUALIFICATIONS OF COMMON CLASSIFICATIONS Construction Management & Inspection Capabilities Overview Kestrel construction management and inspection personnel have the experience and knowledge to support the customer during all phases of the project life cycle if necessary. Whether it is front end support for potential design considerations or ensuring the construction phase of the project on completed on time and within budget, Kestrel personnel have the tools to customer specifications are adhered to and each project is performed in compliance with all applicable regulatory requirements. Personnel may be provided on an individual basis or a team based group of various classifications. 7 Chief Inspector A. RESPONSIBILITIES The purpose of the Chief Inspector is to inspect and coordinate the construction project and ensure the contractor performs in a workmanlike manner in accordance with Company specifications. The Chief Inspector ensures that the project proceeds in accordance with the contract document requirements and construction drawings and that all necessary forms are completed and transmitted to the Area Construction Office. The Chief Inspector works under the direction of the Area Construction Office. The responsibilities assigned to the Chief Inspector will include but not be limited to the following: Familiarizing himself thoroughly with the scope of work, project requirements, construction drawings and contract documents. Interview inspectors, issue reference manuals, defining required conduct, expectations, duties, Company policy, and the forms involved with the project. Review the project scope with the inspectors and determine which inspectors are qualified for the various phases of construction. Establish contact with state and local agencies associated or impacted by the project. Verification through the right-of-way agent and or the Area Construction Office that all permits and agreements necessary to perform the project have been acquired, and that any special requirements associated with these permits and or agreements are performed. Perform a material take-off to assure that materials are available to complete the project. Review the certifications of the contractor s hydrostatic test and welder testing instruments and equipment. Verify that approval has been obtained for any proposed subcontractors prior to their initiation of work. Make arrangements with the Area Construction Office for the pre-job meeting. 7
8 Establish welding procedures to be required for the project. Assure that the radiographer s certification is complete and correct, that acceptable radiographic procedures are established, that the technicians(s) has a copy of the Company specification and current API-1104 edition, and that the technician is familiar with Company procedures for film identification, form completion, documentation for the disposition of rejects, etc. Assuring that the qualified radiographic procedure is utilized, the quality of radiographs is acceptable, and proper documentation is maintained by the radiographic crew(s) including the disposition of each rejected weld and repair of same. Verify that the survey party chief(s) is familiar with pipeline construction, has a copy of the survey standard, and has the proper materials and equipment to perform the work. Advance planning and organization of inspection duties, survey duties, utilization of Company furnished materials, construction activities, and tie-in activities. Inspecting the activities of the Contractor and assuring that all work is completed in accordance with the construction drawings and contract documents. Assuring that all proposed design changes or material substitutions are discussed with the Area Construction Office and proper approval is obtained prior to proceeding with the work. Communicating with contractor on any accident during the project and obtaining a copy of the contractor s accident report. Assuring that each welder is qualified for the work he is performing, a sound weld is established at each joint, and the correct welding procedure is being utilized. Assuring that proper documentation is secured before the contractor performs any work off the right-of-way, and working with the right-of-way agent to resolve any landowner problems. Maintaining communications with and updating the Transmission Area Superintendent on the project progress; scheduling personnel to be present when excavating existing pipelines; scheduling tailgate meetings for hot tie-ins; and verifying that the pipeline is coated and backfilled before being placed in-service. Assuring that all Company documentation and reports are completed and forwarded to the Area Construction Office in a timely manner. Having unqualified personnel removed from the project. 8
9 Work with the contractor to complete progress billing invoices, monitor any possible extra work activities and verifying the hours worked. B. QUALIFICATIONS The minimum qualifications include a good general working knowledge of pipeline construction and regulations in the natural gas industry. A degree is not required. 9
10 Welding Inspector A. RESPONSIBILITIES The Welding Inspector must assure that proper welding and radiographic procedures are qualified and utilized, that radiographers are certified, that welders are qualified, that sound welds are produced, and that proper documentation is maintained. These activities must be performed in accordance with the appropriate Company specifications and the approved-forconstruction drawings. The Welding Inspector works under the direction of the Chief Inspector. The responsibilities assigned to the Welding Inspector will include but are not limited to the following: Familiar with the approved-for-construction drawings and the Company specifications. Planning and organizing inspection duties in advance. Assuring that any design changes or material substitutions are discussed with the Chief Inspector and that proper Company approval is obtained. Verifying that all materials used in the installation are in compliance with Company requirements. Notifying the Chief Inspector of any daily problems or anticipated problems with project. Assuring that a welding procedure is established and that each welder is qualified for the work he is performing. Observing that x-ray procedure (including developing and handling) being used to assure that it is appropriate for the application and the procedure is producing acceptable radiographs. Assuring that the Radiographer s certifications are current and in accordance with SNT- TC-1A. Continuously observing the welding technique and radiographic procedure to assure that proper procedures are being followed. Coordinating the radiographic crew s activities with those of the contractor. Monitoring the quality of the welds being made and of the radiographic film to assure that sound welds are being made at all joints. 10
11 Assuring that the repairs made to correct defects in a pipe weld sufficiently correct the defect and that the weld satisfies the requirements as outlined by the appropriate codes and Company specifications. Assuring that proper documentation is maintained by the radiographic crew including the disposition of each reject. Assuring that all welding materials are of proper type, quality, and has been stored according to manufacturer specifications and inferior materials are not used in the welding of the pipe. It is not the Inspector s responsibility to interpret the radiographic film; however, any concerns regarding interpretation should be addressed to the Chief Inspector. B. QUALIFICATIONS The minimum qualifications include two years of general pipeline or plant experience with emphasis in welding or pipeline construction methods. In addition, inspector should be familiar with Department of Transportation (D.O.T.) rules and regulations. 11
12 Utility Inspector A. RESPONSIBILITIES The Pipeline Utility Inspector is responsible for the completion of all activities in his area of assignment in accordance with the appropriate Company specifications and approved-forconstruction drawings. The area of inspection will include but is not limited to the following: * Right-of-Way Clearing and Grading * Ditching, Stringing and bending * Coating, Lowering, Padding and Backfilling * Road Boring * Tie-Ins. * Clean-Up * Other Inspection Areas The Utility Inspector works under the direction of the Chief Inspector who may assign additional responsibilities to the Inspector as needed. The general duties and responsibilities of the Utility Inspector are as follows: Familiar with the approved construction drawings and the appropriate Company specifications, assuring the work is performed in accordance with these requirements. Planning and organizing inspection duties in advance. Assure that any design changes or material substitutions are discussed with the Chief Inspector and that proper Company approval is obtained. Informing the Chief Inspector of any daily problems or anticipated problems with the job. May assist and/or perform hydrostatic tests in the field (see 4. Test Engineer). B. QUALIFICATIONS The minimum qualifications include field experience in construction and regulations in the natural gas industry with expertise in such areas as electrical, structural, mechanical, nondestructive testing, welding and instrumentation. A degree is not required. 12
13 Material Coordinator A. RESPONSIBILITIES The primary responsibility of the Material Coordinator shall be to plan, schedule and coordinate the material procurement program to meet the area construction schedule. The Material Coordinator shall maintain control of all construction materials for the project. The responsibilities assigned to the Material Coordinator will include but not be limited to the following: Plan, schedule, review and coordinate material procurement to meet the area construction schedule. Maintain administrative control of all construction materials as required for construction project. Initiate purchase requisitions for critical materials as necessary to meet construction needs and contract obligations. Supervise procurement of materials not ordinarily procured by the Purchasing Department. Ensure all material procured meets D.O.T., OSHA and Company requirements. Participate in training of Material Clerks. Submit periodic project material status reports. Coordinate flow of material to construction sites. Identify and monitor problems in the material delivery program and recommends and implements corrective action. Maintain contact with stores, purchasing, design and construction personnel as well as outside vendors to discuss matters relating to the procurement of materials. Verify accuracy of material ordered on authorization and purchase orders to the construction drawings. Corrects and procures material missed or ordered incorrectly. Maintain contact with Project Accounting regarding work order differences. Work with Material Clerks regarding completion reports and unitizing of various items. Ensure that all completion reports are received by Project Accounting within a reasonable time after completion of a project to verify that all materials are accounted for. 13
14 B. QUALIFICATIONS The Material Coordinator should have a minimum of two (2) years prior experience working for the Company, a thorough knowledge of the Company s Material Control System, previously generated several Company completion reports, able to perform duties of the Senior Material Inspector and demonstrated an ability to work without close supervision. NOTE: The Material Coordinator will be required to have a pick-up truck. 14
15 Office Manager A. RESPONSIBILITIES The Office Clerk shall be versed in the operation of a PC with Microsoft Office software. The Office Clerk may be assigned to one or more projects or all projects performed through an Area Construction office. The Office Clerk is responsible for maintaining and operating a functional office at the project site. The Clerk is considered a representative of the Company and should conduct himself or herself in a manner that is conducive to good relations with employees of the Company as well as anyone outside the Company. The Office Clerk may perform some duties as outlined in Section 2.13, Material Clerk responsibilities, on projects of a smaller nature. Tracking by project work order the monthly construction cost and forecasting the final cost for the following: Prime Contractor Contract Work Prime Contractor Change Orders Survey Radiographic Third Party Inspection Other On-Site Services Field Purchased Materials Overhead Input of the above forecasted costs by project work order in the Company Capital Expenditure Forecasting system. Maintain a database to accumulate the above-mentioned costs on a monthly and to date basis. Maintain contact with field and area office personnel to acquire information pertaining to potential changes in the project which may affect the schedule and or forecasted cost. Track the monthly expenditures for the Area Office overhead and clearing account budgets. Assist with the preparation of the Area Construction Office budget. Generate and maintain a database for prime contractor change orders by contract and project work order numbers. Assist with the initial generation and the preparation of prime contractor progress billings. 15
16 Assist with the verification of invoices for payment. Verify and assist with the coding of invoices to the Company Account Distribution system. Maintain daily contractor manpower and equipment loading on time and material projects. Setting up and organizing the construction site office at the beginning of a project. File all correspondence, reports and forms related to the project. Type all forms, letters and reports originated at the site. Handle mail, which is received from or sent out from the construction site office. Collect, prepare and transmitting progress reports to the Area Field Construction Office. Calculate footage for daily progress reports and invoice quantities. Verification and coding of invoices. Answer telephones and delivering messages. B. QUALIFICATIONS The Office Clerk should have two (2) to three (3) years of general clerical experience with exposure to field construction procedures and exhibit an introductory knowledge of gas pipeline construction. 16
