2 TERMS OF REFERENCE FOR SELECTION OF AGENCY TO PRODUCE CORPORATE FILM ON THE INDIAN COUNCIL OF AGRICULTURAL RESEARCH I Background The Indian Council of Agricultural Research (ICAR) is an apex body, under the Ministry of Agriculture, Govt. of India, responsible for conducting and coordinating research and education in agriculture, including crop sciences, horticulture, animal husbandry and fisheries, since It will be completing 79 years of existence on the 16 th July, The Council is interested in having a corporate film produced on the organization, through the Directorate of Information and Publication of Agriculture (DIPA), to bring about significant visibility for the ICAR as a whole, and also to enhance the awareness amongst the common citizen about the ICAR. II Objective of the Work To produce a corporate film on ICAR, highlighting its historical perspectives, organizational structure, achievements and significant contributions, not only for Indian agriculture and the farming community, but also for the nation as a whole. III Scope of Work The services of agencies / producers of video programmes already empanelled with the Directorate of Extension (DOE), Department of Agriculture and Cooperation, Ministry of Agriculture, Govt. of India, would be hired to undertake the following tasks: a) To produce a suitable video film of minutes duration, with appropriate visuals, music and voice-over, on the material indicated by the ICAR. The Agency shall be responsible for undertaking all works required for production of the film, subject to the following: The production should be new, using state of art technology and free of any infringement of IPR (Intellectual Property Rights) of any third party (ies). The decision of ICAR about the quality of services will be final and shall not be challenged by the Agency on any ground whatsoever. For any violation of IPR, the Agency is liable for compensation and the Agency shall be responsible to and indemnify ICAR and shall be required to pay license fee to the other party and any other payment required squaring up the matter regarding any infringement of Intellectual Property Rights (IPR) of any third Party (ies).

3 2 b) The ICAR, through DIPA, will provide some written text, broadly indicating the historical perspective, organizational structure, and achievements etc., which are to be conveyed in the video. The Agency shall develop a suitable script with the help of its technical experts and submit the same for approval of ICAR. The script shall be submitted to the ICAR within Ten days of the award of work. c) Printed version/cd of the logo for the film on ICAR would be provided by the ICAR. The Agency shall develop it and incorporate it suitably in the video spot. d) The Agency shall submit rough-cut of the film for review of the ICAR. The rough cut shall be submitted by the Agency within one month of approval of the script. e) The Agency shall unconditionally incorporate guidance given on the rough cut by the ICAR and submit the final cut for approval of the ICAR. f) The Agency may have to prepare more than one rough cut if the earlier guidance given by the ICAR is not incorporated in the revised version of the rough cut to the satisfaction of the ICAR. g) The revised version of the rough cut/final cut shall be submitted within five working days of the guidance given by the ICAR. IV Expected Outcome The output of the assignment would be Suitable and Distinctive Corporate Film on ICAR, suitable for telecasting on various platforms, including TV. V Eligibility Criteria Since ICAR and the DOAC are under the same Ministerial control, the Agencies/Producers who have been empanelled for production of video films/spots or video-cum-audio films with the Directorate of Extension, DOAC, Ministry of Agriculture, under the Guidelines for Empanelment of Producers of Films/Audio-Video Spots and Productions Thereon vide letter No. 20(14)/2005-FI(I), dated 18 th April 2006 shall be eligible to apply. VI Selection Process a) The technical proposal, (consisting of brief, concept note and treatment), together with examples of previous similar work (on CDs), preferably on organizational profiles, shall be submitted in sealed envelopes. The proposals shall invariably include details of the

4 3 agricultural subject matter experts and creative team of the Agency to be responsible for the work, with a complete profile of each one of them and audio video production script /story board. It is emphasized that the selected Agency shall provide in its technical proposal, the names and CVs of the agricultural experts who would be assisting them in the design of the film. b) Technical proposals, not meeting the required specifications shall be summarily rejected. c) The technical evaluation of the proposals from the quality angle shall be undertaken by a Committee constituted for the purpose of taking into account; (i) the concept & treatment (ii) audio video production script / story board and (iii) agricultural experts and the creative team of the Agency. The objective of Technical Evaluation would be to shortlist one Agency, which is found qualitatively best from among all the bidders and the remaining proposals, would be treated as unsuitable for the assignment. d) The ICAR shall notify the agencies whose proposals have not been short-listed during technical evaluation for further consideration. e) The ICAR shall have the right to reject the proposals at any time without assigning any reason at any state, without thereby incurring any liability to be affected bidders or any obligations to inform the affected bidders of the grounds for such decision. VII Award of Contract a) Final award shall be subject to the discussions on the terms of reference, concept & treatment, agriculture experts and creative team, inputs of ICAR and any special conditions needed. The discussions, however, shall not substantially alter original TOR. The final TOR and agreed methodology shall be incorporated in the Technical Specifications Annexure-I, which shall form part of the contract. b) The selected Agency/Producer will not be allowed to substitute core staff without the consent of ICAR. If it is established that the core staff were offered in the proposal without confirming their availability, the Agency/Producer will be disqualified. c) If for any other reason, the process failed to result in an acceptable contract, ICAR shall terminate it and make the selection from amongst the remaining proposals, which had crossed the technical evaluation stage. VIII Deliverables Minute Corporate Film on ICAR on (i) Two VHS cassettes

5 (ii) (iii) (iv) (v) (vi) (v) (vii) 4 Two CDs Two DVDs One master copy in DVC Pro-50 format One telecast copy in DVC Pro-50 format One master in international track One telecast copy in DVC Pro-50 format, duly dubbed in English, as specified by the ICAR All raw footage obtained by the Agency / Producer to be submitted in Beta SP format to ICAR; the Agency / Producer shall not retain any footage in original / copy on any medium whatsoever. IX TIMELINES The Agency shall adhere to the following timelines: 1. Script for the Video Within ten days of award of work 2. Rough cut of the film Within one month from the approval of script 3. Revised version of the rough cut /final cut Within five working days of guidance given by ICAR on the rough cut. X Payment Schedule Payments to Agency/Producer shall be made only on completion of work. No advance payment will be considered. The payment will be made by way of cheque in Indian rupees on production of bill after completion of activities to the full satisfaction of the ICAR. XI Default and Termination If the Agency delays, fails to perform the work awarded to the full satisfaction of the ICAR, the work order may be cancelled by giving 15 days notice. ICAR may recover from the Agency the damages for breach of contract, as agreed Liquidated damages (and not by way of penalty), a sum equivalent to 1% of the contract value for each week or a part thereof, for delay beyond the stipulated date of completion given in above Timeline, subject to a maximum of 10% of the contract value. In case of any delay beyond three months of the agreed time frame, ICAR will have the option to encash the Bank Guarantee, without any notice to the producer/the Agency. XII Selection, Review and Monitoring Arrangements The Committee constituted by the ICAR for the purpose, would select the Agency and supervise, monitor and review the progress of the work awarded to them. The Committee may relax the eligibility criteria in deserving cases for reasons to be recorded in writing.

6 5 XIII Contract Period The task has to be completed in forty-five days. The timeline for the submission of work at different stages indicated has to be strictly adhered to. Time taken by the ICAR to give comments at various stages of the work will not be counted towards this duration. XIV Future Work It is expected that films on different Subject Matter Divisions of ICAR may have to be produced subsequently. As an added incentive, and to maintain continuity in the awareness campaign, the Agency selected for the first film may be awarded the work for development of such subsequent films also. However, ICAR reserves the right to have the second and subsequent films developed through some other Agency, again on a competitive basis. XV Other Terms and Conditions The selected Agency / producer will have to abide by the various other terms and conditions as laid down in the agreement format The Agency shall fully indemnify ICAR against all liability arising out of action, demands, and proceedings resulting from negligence or breach attributable solely to the Agency. Similarly, the ICAR shall fully indemnify, the Agency against all liability arising out of action, demands, proceedings resulting from negligence or breach attributable solely to the ICAR This Clause shall survive the termination or expiration of the Agreement executed by the parties Provided there shall be no indemnity on either side in cases of indirect, remote or consequential damages including loss of profit or loss of business, by the other party. The title rights, copyrights and all other rights of whatsoever nature to the script and video film made or produced under this Agreement shall be vested exclusively with the ICAR for perpetuity and the Agency shall have no claims on such scripts, films, spots or other material or against ICAR other than the consideration as made upon in this Agreement

7 Annexure-I 6 Technical Specifications 1) The production should be new using state of art technology and free of any infringement of IPR (Intellectual Property Rights) of any third party. 2) The production should be using suitable music and background voices for the film. 3) The lead models / anchors should be of good looks and well experienced. 4) The producer should use modern audio-video editing techniques, including rendering of text / visuals, multi-layering, composting, chroma key, special effects, etc. to make the film visually very rich. 5) The film should meet the international telecast standards of all public and private channels, where quality is concerned. 6) The Producer should submit the film in two VHS, two CDs, two DVDs, one master in DVC Pro-50 format, one Master in international track, and one telecast copy in DVC Pro -50 format and one telecast copy in DVC Pro-50 format, duly dubbed in English, as specified by the ICAR. All raw footage will be submitted to ICAR in BETA SP format.
