2 Background Note INVITING EXPRESSIONS OF INTEREST 1. In pursuance of Kisan Vision Yojana of the Ministry of Railways, Container Corporation of India (CONCOR) has taken over a Centre for Perishable Cargo (CPC) from Siliguri Jalpaiguri Development Authority (SJDA), for facilitating handling and storage of perishable cargo for onward carriage by rail / road and air. The CPC is located at Bagdogra airport. 2. CONCOR has also developed a 65 sqm. Air conditioned shed at New Jalpaiguri (NJP) Railway Station of Northeast Frontier Railway for transit storage of perishable cargo, to be dispatched by rail across the country. The CPC at Bagdogra will also work as a backup storage hub for rail bound cargo. It will be connected to the shed at NJP railway station by means of ordinary as well as refrigerated road vans. 3. CONCOR desires to operate both these facilities including CPC as multimodal transportation hub for storage and onward dispatch of perishable cargo by air, rail & road. Notwithstanding this, the primary focus, of the use of the CPC, will be to develop air bound perishable cargo exports from the region. 4. Needless to say, for the aforesaid purpose, liaison will be required to be maintained with SJDA, AAI, BCAS, Railways, and Road Transport Agencies etc. 5. Towards above, CONCOR wishes to appoint a Service Provider to (i) market, operate and maintain the CPC at Bagdogra Airport, ii) carry out road transportation of perishable products in both ordinary as well as reefer vehicles between CPC Bagdogra and NJP rail station, and iii) market, operate and maintain the 65 sqm air-conditioned shed at the NJP rail station and arranging handling of cargo at Station inclusive of unloading from road vehicles, storage (if required) and loading in BCNs/ VPUs/ rail cars arranged by CONCOR/ Other parties. CONCOR, accordingly, invites Expressions of Interest, for the aforesaid purpose, from eligible parties. The eligibility criteria, scope of work, along with other terms & conditions are enclosed. 3 Eligibility Criteria Mandatory 1. The applicant (forwarding EOI), must be a Registered company. 2. The company should have been in the business of logistics, including, warehousing, transportation, etc., for the last 03 years. 3. The company should have at least 03 years experience in: transportation by air, rail & road. servicing air cargo shipments. handling refrigerated cargo. booking & distribution of international & domestic cargo. 4. Financially, the company should have total turnover of at least ` 12 crores during the preceding three years. Positive net worth. 5. The company should have an operational business presence in the Siliguri Jalpaiguri region. 6. The company should have strong marketing presence in India with a dedicated team for sales and business development. Eligibility Criteria Preferred 1. The company should be an IATA registered freight forwarder / cargo agent. have a fleet of at least 25 road vehicles. have experience of handling & booking of perishable cargo shipments. have access to ready availability of refrigerated road vans / trucks / trailers. have Information Technology integration facilities.

4 Scope of work CONCOR S FUNCTIONS 1. Overall supervision and overriding authority in management and accounting. 2. Unhindered access, during the contract period, subject to the conditions of the agreement, will be provided to the service provider and his authorized personnel. 3. Assist the service provider in liaison with AAI, SJDA, Railways, other government authorities, etc. 4. CONCOR shall take a comprehensive insurance cover, covering both the facilities, two reefer vans and other equipments for all types of risks & damages. SERVICE PROVIDER S FUNCTIONS 1. Generate business for the Centre for Perishable Cargo by marketing the facility as a multimodal transportation and storage hub. 2. Operate, manage and maintain the entire facility, including, plant & equipment at Centre for Perishable Cargo as required by various laws/accredited institutional/good agriculture practices, requirements/specifications, etc. In particular, BCAS regulations must be followed. 3. Provide the manpower required, as per the industry norms, at their own cost for operations, maintenance, management, business development, office work, maintainence of equipment, utilities, buildings, security, etc., 4. Bear the electricity, water & fuel charges towards energy consumption at Centre for Perishable Cargo & NJP rail station shed, for running the facilities. 5. Purchase and maintain required crates, pallets, supplies, gas and other consumables for regular operation and maintenance. 6. Meet the finances required for operations and maintenance from the revenue of the project and if it is insufficient, then from their own sources. 7. Handle Potatoes, fruits and vegetables, other food products and temperature controlled products, as permitted, as per the national and international best practices for export to international destinations as well as for sending to local/domestic & national destinations by rail, road or air. 8. Operate manage & maintain, 2 nos. refrigerated road vans for local transportation to pick up or drop points, interalia, NJP rail station etc., at operators own cost. 9. Adequately stock spares to ensure continuous running and maintenance of CPC facility and equipment at all times. 10. No harmful effluents are to be generated in the operations and maintenance process. However, the lessee shall make suitable arrangements for disposal for spillages/waste, as per guidelines of the West Bengal Pollution Control Board, at their own cost. 11. Hand over the premises with the fixtures, fittings, and all the equipment including two reefer vans as per inventory at the time of handing over and additions made, if any, as per contract, in working condition at the time of cessation of contract/agreement.

5 Other Terms & Conditions 1. The agreement will be for a period of 3 years, extendable on mutual consent. 2. The service provider will market, manage, operate, & maintain the i) CPC at Bagdogra ii) 2 reefer road vans & iii) Air conditioned shed at NJP rail station, on behalf of CONCOR. No ownership or lease rights will accrue to the service provider. 3. The service provider will carry out the activities by running the aforestated assets as Common user facilities. 4. All invoicing will be done on CONCOR s behalf, in its name. All revenue, including Service Tax, will be collected by the service provider by cheque/dd in favour of Container Corporation of India Ltd. and deposited into CONCOR bank account. 5. The service provider will maintain the books of accounts in a transparent manner and will keep the accounts open for inspection by CONCOR at all times. The books will be maintained in the manner prescribed by standard accounting practice. 6. This agreement envisages i) clearance of exports & imports by customs on a merchant overtime basis which charge to be directly paid by the exporter/importer/ their representative. ii) security clearance for air cargo, through x-ray screening will be carried out by the concerned airline. Any charge to this procedure will have to be mutually agreed upon. 7. The service provider will receive the agreed percentage share of the revenue towards his operating costs & margins on a fortnightly basis. 8. The final selection will be based on the least amount of percentage share of revenue, asked for, subsequently, by the shortlisted applicants to the EOI. 9. Twelve calendar months after the date of commencement of operations/agreement, by/with the service provider, the service provider will be required to pay a sum of ` 20,000/- per calendar month, in addition to the share of revenue retained by CONCOR. 10. Any dispute between the service provider & CONCOR will be referred to an arbitrator to be appointed by Managing Director/CONCOR. Notwithstanding this, CONCOR reserves the right to terminate the agreement, at any time during its validity, if there is a breach of i) any of the terms of the agreement ii) any statutes, rules, laws, bye laws, etc. on the part of the service provider. * * * * *
