3 Exhibit A SCOPE OF SERVICES TURNPIKE TRAFFIC ENGINEERING CONSULTANT FPN: , etc. I. Purpose Florida s Turnpike Enterprise of the Florida Department of Transportation requires professional services of the Traffic Engineering Consultant, hereinafter referred to as the Consultant. These services shall include a mix of toll studies and finance, travel forecasting, project planning, traffic engineering, and program management and administrative support. The Consultant shall provide direct staff support to the Turnpike Finance Office and the Turnpike Transportation Development Office. The Consultant will work closely with other business units and other General Consultants at the Turnpike. The Consultant shall provide qualified technical and professional personnel to perform to Department Standards and Procedures the duties and responsibilities assigned under the terms of this Agreement. The Department, at its option, may elect to expand, reduce, or delete the extent of each work element described in this Scope of Services document, provided such action does not alter the intent of this Agreement. The Department shall request consultant services on an as-needed basis. There is no guarantee that any or all of the service described in this Agreement will be assigned during the term of this Agreement. Further, the Consultant is providing these services on a nonexclusive basis. The Department, at its option, may elect to have any of the services set forth herein performed by other consultants or Department staff. II. Location and Equipment The Consultant shall establish and maintain a primary field office within the Turnpike s headquarters building, which is at the Turkey Lake Service Plaza on Florida s Turnpike. Unless otherwise agreed, this field office shall be staffed with the Program Director, Functional Managers, and core staff to provide work of a continuing nature in the following program areas: Toll Studies and Finance Project Planning Travel Demand Forecasting Traffic Engineering Program Management and Administrative Support A-1
4 The Consultant shall also establish field offices at locations approved by the Department as necessary to effectively carry out its responsibilities under this Agreement. If the field office is not located within a Department building, the Consultant s field office(s) shall clearly be identified as the Consultant s office(s). The Consultant will be required to obtain written approval from the Department of all proposed staff additions or replacements to the initial field office staffing, including associated salary rate, prior to staff assignments to the field office. The Consultant shall also be required to obtain written approval from the Executive Director of Florida s Turnpike Enterprise prior to granting any salary increase to approved field office staff. It is understood and agreed that the Principals of the Consultant and its subconsultants shall not perform billable services unless specifically requested by the Department. The field office(s) shall be of sufficient size and equipped to effectively carry out its responsibilities under this Agreement. The Consultant shall furnish the field office(s) with all necessary furniture and equipment, which shall include, but not be limited to, desks, chairs, tables, bookcases, file cabinets, calculators, personal computers with software and printers, telephones, and other essential items. The Department reserves the right to provide a portion of these furnishings to the Consultant for the Consultant s use during the term of this Agreement. All office furnishings and equipment mentioned herein and purchased by the Consultant shall be for use by the Consultant and shall become the property of the Department when reimbursement is made to the Consultant. The Consultant shall use all such furnishing during the term of the Agreement and the Consultant shall retain responsibility for risk of loss or damage to furnishings and equipment until they are returned to the Department. Any equipment not eligible for coverage under the Department s insurance policies will be the responsibility of the Consultant. The field office(s) may be supported by the Consultant s other home or branch offices when directed and approved by the Department. III. Term and Commencement of Work A. Initial Term This is a continuing contract subject to Department periodic review, approval, and satisfaction with the Consultant s performance, and may be terminated by the Department at any time in accordance with paragraph 6 of the Standard Professional Services Agreement Terms. This Agreement shall have an initial term commencing on the effective date of the first Task Work Order (TWO) and continuing for a period of five (5) years. B. Authorization Services to be provided by the Consultant will be initiated and completed as directed by the Executive Director, Florida s Turnpike Enterprise, for each assignment authorized A-2
5 IV. Services under this Agreement. The Executive Director shall furnish the Consultant with Task Work Orders (TWOs), outlining the services to be performed. The TWOs shall enumerate the compensation to be paid for these services, which have been authorized in accordance with the scope of services attached to the TWO. No payment for work performed shall be made to the Consultant unless a TWO has been issued. Under the terms of this Agreement, the following types of work identified by program area may be assigned: A. Toll Studies and Finance The Consultant will provide services as the Independent Traffic Engineer, as defined in the Turnpike System Bond Resolution. The Consultant will also provide Support Services to the Turnpike Finance Office. In these two roles, the Consultant will perform a variety of services in the toll study and finance areas, including, but not limited to, the following: Independent Traffic Engineering Services: Periodically report on actual traffic as well as indicated and actual toll revenues by component and by method of payment; Provide annual traffic and revenue forecasts and analysis for the Turnpike System and other Department-owned toll facilities including the Pinellas Bayway, Sunshine Skyway, and Alligator Alley, by component and by method of payment; Prepare a Traffic Engineer s Annual Report for Department-owned toll facilities providing information including, but not limited to, history of the facility, analysis of historical traffic and revenue results in total and by method of payment, comparison of budget to actual operating and maintenance expenses (routine and periodic), and disclosure of facility flow of funds. For facilities in which the Traffic Engineer prepares the toll revenue forecast, the forecast will be presented in the report. Additionally, forecasts developed by other consultants for Department-owned toll facilities will be incorporated into the report as appendices. Report on Turnpike concession revenues and provide annual concession revenue forecast; Prepare net revenue forecasts for proposed Turnpike projects for economic feasibility tests and return on investment analyses; Analyze the traffic and revenue impacts of changes in toll rate, location of collection points or removal thereof, collection methods, and the design, alignment, or location of Turnpike projects; Analyze the traffic and revenue impacts of implementing Express Lanes on existing and proposed Turnpike System facilities; Perform desk and field toll transaction reviews from the toll lane to the back office; A-3
6 Conduct Turnpike traffic and revenue studies as part of project development including sketch, planning, and investment grade studies; Prepare a Traffic and Earnings Report for each Turnpike bond sale Official Statement; Prepare a Traffic Engineer s Annual Report for the Turnpike System; Certify Turnpike toll rate and net revenue sufficiency to meet bond resolution requirements; Review the proposed sale or disposition of Turnpike System property to assess the impact on the collection of tolls and provide a report to the Department regarding such; and, Prepare estimates of toll revenue loss due to unexpected events. Finance Office Support Services: Monitor, report on, and forecast Cash, SunPass and Toll-By-Plate participation rates by component; Monitor SunPass transponder sales and other marketing and incentive programs; Monitor and periodically report on toll evasion by component, and assist in the development of traffic and revenue variance tools and reports; Provide support services for the production of the Comprehensive Annual Financial Report (CAFR) for the Turnpike System; Analyze and annually report on Turnpike System net toll revenue collections attributable to South Florida, (Miami-Dade, Broward, and Palm Beach counties), and other regions within the State, as requested by the Department; Perform additional traffic and revenue analyses based on toll rate, facility type, vehicle mix, and payment method, as needed; Prepare correspondence and reports on toll rate, traffic, revenue and finance issues; Prepare presentation materials for the annual review of the Turnpike bond program with credit rating agencies, as well as a variety of other topics, as requested by the Department; Review and provide comments on bond Official Statements and credit rating agency statements prior to each Turnpike bond sale; Provide finance and accounting technical support including, but not limited to, the development and maintenance of various schedules and financial reports, reviewing journal entries and audit schedules, performing periodic revenue reconciliation, calculating accrued revenues for various reporting periods, researching new accounting pronouncements and assisting with the implementation of such; and tracking monthly bonded project expenditures by bond fund; Assist in the development, preparation, and implementation of toll rate schedules; Develop presentation materials and coordinate public workshops for establishing and changing toll rates in accordance with administrative rulemaking procedures; Review and provide analysis on proposed legislation, agreements, and administrative rules for potential impacts to the Department s tolling process and projected traffic and revenue; A-4
7 Analyze existing and proposed toll interoperability plans between the Department and other toll agencies, both in Florida and nationally, for impacts to projected traffic and revenue; Prepare analysis of the feasibility of business development proposals; and, Identify, define, establish and monitor financial performance measures as requested by the Department. B. Project Planning The Consultant will provide various transportation project planning services in support of potential Turnpike projects. Potential projects include, but are not limited to, widening projects, safety, and operational improvements, express lanes, interchange modifications, new interchanges, cross street improvements, toll plaza and service plaza improvements, and expansion projects. Project coordination and Geographic Information Services (GIS) will also be provided. Specific services may include: Project Planning and Coordination Services: Identify safety, operational and capacity needs for potential projects and screen projects for major social, environmental, and engineering issues; Develop and evaluate project alternatives at a conceptual level; Prepare planning studies, concept reports, feasibility studies, traffic and revenue studies, technical papers, and other work efforts; Prepare specialized planning reports for short-, intermediate-, and/or long-term evaluations of projects. Prepare all documentation and complete all activities necessary for toll rate rule making; Prepare correspondence in response to requests for information, and assist Turnpike staff in document research; Prepare the annual update to the Turnpike Master Plan and other project summary documentation; Prepare the annual update to the Legislative Briefing Document; Conduct various customer surveys including the annual survey of service plaza patrons, and prepare the Annual Service Plaza Survey Report; Maintain and update the Turnpike Toll Rate Calculator Website and Mobile Application; Maintain all project files in each program area; Perform project coordination both within the Department including with the Districts and Central Office, and externally with other agencies and interested parties. Review local agency plans for consistency with Turnpike Plans, including the Work Program; and Conduct public hearings, meetings, and workshops. A-5

9 Geographic Information Services (GIS): Perform system administration in support of the maintenance and development of the Turnpike GIS including the identification and integration of hardware and software necessary to provide adequate access to the data in the Turnpike GIS; Conduct database development, data collection, and data distribution to ensure data compatibility with the ARC/INFO software, ARCVIEW software, the current sources of available data, and emerging data standards being developed by the Department; Obtain and assemble data from internal and external sources to support the overall operation of the Turnpike GIS. This includes documenting and publishing data sources, and supporting information, and verifying all identified coverages (or portions thereof) for the specified positional accuracy; Utilize free or low-cost options for maintaining current aerial photography of the Turnpike System; Respond to requests from business units at the Turnpike, Central Office, other Districts and General Consultants for the distribution of any non-proprietary data or applications that have been developed during the development of the Turnpike GIS; Maintain documentation on database files and sources and provide training for Turnpike staff to access and utilize GIS and mapping features; Create and produce specialized maps to be included in various Turnpike work products and documents and in response to specific map requests from Turnpike staff; and Perform internet and intranet updates. C. Travel Demand Forecasting The Consultant will provide various support services to prepare all the travel demand forecasts as assigned to complete planning projects and other Department work efforts. Specific services may include: Perform model coordination and review through participation in regional and statewide travel demand model development and application activities; Perform model development and updates through the preparation of new or updated calibrated and validated travel demand models at various levels of analysis, including but not limited to, statewide, regional, and project-level models. All model validations will be developed per Department standards and procedures, and will include written documentation of the validation process, model assumptions, and results; Perform maintenance of Florida models by keeping an up-to-date travel-demandforecasting library. The library will include the full extent of operational models and model components in Florida including, but not limited to, the Express Lanes Time-of- Day Model (ELToD); A-7
10 Review and modify travel demand models, as needed, to ensure compatibility with new versions of the Florida Standard Urban Transportation Model Structure (FSUTMS) and protect from data set obsolescence; Perform model data collection to support Turnpike s model development needs; Prepare design traffic forecasts by utilizing the Turnpike s travel demand models to prepare forecasts of Annual Average Daily Traffic (AADT) and Directional Design Hourly Volumes (DDHV) for the typical weekday peak hour or the 100 th highest hour of project opening year, interim year and design year per FDOT procedures. These forecasting activities will be completed in coordination with Systems Planning Studies, Planning Concept Studies, PD&E Studies, Design Traffic Studies and other planning and project development activities. Produce written documentation of the travel demand forecasting process, assumptions, results, and other relevant information; Prepare revenue traffic forecasts for the preparation of independent traffic forecasts that will be used to estimate future toll revenues associated with potential Turnpike projects. Produce written documentation of the model adjustments, network and tolling assumptions, and other relevant information considered in developing the revenue forecasts; and Conduct research and development for the creation of improvements and innovations in travel demand models. This may include, but is not limited to, the development of activity-based models and use of dynamic traffic assignment (DTA). D. Traffic Engineering The Consultant will provide various traffic engineering services in support of the implementation of Turnpike projects and the development of potential projects. Specific services may include: Maintain system-wide traffic counts including assembling, reviewing, correcting, and publishing traffic data from a variety of sources, including the Department telemetered traffic data, traffic data supplied by others, and original traffic counts collected under the Consultant s direction; Conduct traffic monitoring of conditions on the Turnpike System with the collection and evaluation of traffic counts, origin-destination surveys, aerial photography, microsimulation models, and crash data; Maintain all roadway and traffic characteristics data. Roadway and traffic characteristics will be collected or assembled to facilitate the traffic analysis and verify there are no additional problems associated with the construction of the project. Department Databases (e.g., RCI and FTI) or data from other sources (e.g., District Offices and local governments) can be used but field visits might be necessary. Prepare the Annual Traffic Trends Report using inputs from traffic count data and travel demand models to develop estimates of future traffic suitable for assessing the need for future improvements. The Annual Traffic Trends Report will contain a 20- A-8
11 year unconstrained forecast of demand and level of service analysis on the Turnpike System; Conduct traffic and operational analyses to produce required Project Traffic Memoranda (including Design Traffic Reports) for PD&E Studies and Design Projects; Prepare or support the preparation of Methodology Letters of Understanding (MLOUs), Interchange Justification Reports (IJRs), Interchange Modification Reports (IMRs), System Interchange Modification Reports (SIMRs), and Interchange Operational Analysis Reports (IOARs); and Perform access management and development reviews to help the Turnpike assess the likely impacts of proposed changes in access within and adjacent to the Turnpike s limited access boundaries, and the impacts of proposed developments. E. Program Management and Administrative Support The Consultant will provide program management services. This will include, but is not limited to, managing program staff, managing subconsultant services and activities, providing management with regular program status updates, preparing TWOs, and completing authorized purchases. The Consultant will provide special graphics support services, including the production of high quality reports, brochures, presentations, and videos. These services will also include special types of animation useful in explaining the Turnpike program and specific projects. In this regard, the Consultant will directly support activities of Turnpike Transportation Development and Finance. The Consultant will also assist the Turnpike Public Information Office, Business Development and Concession Management, Toll Operations, as well as the Executive Director of Florida s Turnpike Enterprise. V. Responsibilities of the Department The Department will furnish, without cost to the Consultant, the following services and data to the Consultant in connection with services authorized under terms of this Agreement: Provide all criteria and full information as to the Department's requirements for consultants' and contractors' services including objectives, constraints, budgetary limitations, and time restraints. Furnish all Department procedures, standards, forms, and policies applicable to the Services. Furnish drawings, specifications, schedules, reports and other information prepared by and/or for the Department by others which are available to the Department and which Department considers pertinent to Consultant's responsibilities, as described herein. Provide existing structural, roadway, and other plans, as available. Furnish available traffic, safety (accident), and planning data. Advise the Consultant on all engineering requirements and Department updates. A-9
12 VI. Subcontracting Services assigned to subconsultants must be approved in advance by the Department in accordance with Section 7 (Assignment and Subcontractors) of the Standard Professional Services Agreement Terms. All the subconsultants must be qualified by the Department to perform all work assigned to them. The Consultant acknowledges its commitment to the Department of the Consultant s intention to subcontract at least 10% of authorized contract dollars to Disadvantaged Business Enterprise firms certified through the Florida Department of Transportation Certified Disadvantaged Buisness Enterprise Program. In the event services of a subconsultant are to be authorized, the Consultant shall obtain a schedule of rates, and the Department shall review and must approve any rates, including overhead, to be paid to the subconsultant. The Consultant shall not have a subconsultant render services until such time as the Department establishes the subconsultant as an authorized subconsultant in the Agreement with the rates to be paid. A. Professional Engineers, Architects, Landscape Architects, Registered Surveyors and Mappers, Transportation Planners, and consultants providing Right-of-Way services. 1. Field Office Services If the Consultant plans to use the services of architects, professional engineers, landscape architects, registered surveyors and mappers, transportation planners, and consultants providing right-of-way services, as subconsultants performing services in a field office, the subconsultant must submit and maintain on file with the Department each year, an audit report, found acceptable to the Department and prepared by an independent certified public accountant or governmental agency, which meets the requirements of Rule , Florida Administrative Code. Subconsultants will not be permitted to provide services from field office locations established as a requirement of this contract or from office space provided by the Department unless the audit report establishes both a home office and field office overhead rate. 2. Home/Branch Office Services Except as otherwise provided by this paragraph, if the Consultant plans to use the services of architects, professional engineers, landscape architects, registered surveyors and mappers, transportation planners, and consultants providing right-ofway services as subconsultants performing services from the subconsultant s branch or home office, the subconsultant must submit and maintain on file with the Department each year, an audit report prepared by an independent certified public accountant or governmental agency, which meets the requirements of Rule , Florida Administrative Code, if anticipated contract fees are expected to exceed $250,000. When anticipated contract fees are expected to be less than A-10
13 $250,000, a self-certified overhead audit report and statement describing the accounting system certified by a firm s principal may be submitted to the Department for approval in lieu of an audit report and accounting certification prepared by an indepent certified public accountant or governmental agency provided such audit report is in the format specified in the Department s Reimbursement Rate Audit Guidelines in effect at the time of the audit. Projected overhead rates and other projected reimbursement rates will be permitted when the firm has operated as a business less than one complete fiscal year or the firm has established and operated an accounting system in accordance with the minimum standards provided in the Department s Reimbursement Rate Audit Guidelines in effect at the time of the audit. Subconsultants who bill exclusively all clients on a unit-rate basis or published price lists are not required to have a formal job-cost accounting system but still must maintain an accounting system acceptable to the Department which segregates direct and indirect costs, can trace and support services provided to individual contracts, and meet the requirements set forth in the Department s Reimbursement Rate Audit Guidelines in effect at the time of the audit. B. Other Subcontractual Services Subconsultants who are not architects, professional engineers, landscape architects, registered surveyors and mappers, transportation planners or consultants providing rightof-way acquisition services are not required to have audit reports prepared by independent certified public accountants or governmental agencies. Such subconsultants are required to support all costs for services to the extent required by the Department for the Department to make a determination that such costs are fair, reasonable and competitive. VII. Computer Services The Department will allow the Consultant to utilize the Department's data processing and computer resources for programs requested by the Consultant and approved by the Department in accordance with Department procedures for access to the Department s local area networks and the Department s procedure for access to the Department s mainframe computers network and data (presently found in procedures Nos a and b). Computations based on computer programs other than the Department's must conform to the Department's general format. The Consultant may be required to provide and maintain an Information Technologies staff with sufficient expertise to primarily perform any and all IT support and initiatives associated with performance of the professional services herein. IT staff capabilities should include, but not be limited to: network file server installation, configuration, and maintenance; end-user A-11
14 software support and training; end-user hardware configuration, trouble-shooting and maintenance; and web-based programming and database support. In performance of IT support and initiatives for performance of the contracted professional services, the Consultant shall comply with the following requirements: The Consultant is to support Turnpike s Information Systems Office by adhering to the Department s policies and procedures, which govern the use of technology, computers, infrastructure, acquiring of resources, and the Internet/Intranet. The Consultant is to coordinate with Turnpike s Information Systems Office their technology purchases and process an Information Resources Request (IRR) or seek a statement from the District Information Systems Office stating that an IRR is not required for such purchases. The Consultant shall promote efficient and effective use of technology staff and resources. The Consultant is to coordinate with the Turnpike s Information Systems Office for network infrastructure improvements, equipment relocations, travel, staffing, and hours worked to prevent absence or of duplicate information System support. VIII. Specifications for Work The Consultant shall ensure that all services and work products, including but not limited to, work activities, documents, studies, and construction plans are performed or prepared in accordance with the latest standards, procedures and policies utilized by the Department. Information regarding the Department s standards, procedures and policies can be found on the Department s website ( It is the Consultant s responsibility to keep up with the latest documents. The Consultant shall perform an annual quality assurance review to verify compliance. The Consultant shall comply with all applicable federal, state, and local regulations in performance of services. Conflict of Interest The Consultant and its subconsultants shall not enter into any other contract with the Department's Turnpike Enterprise during the term of this Agreement which would create or involve a conflict of interest with the services provided herein (please refer to the Department s Procedure No , Restriction on Consultant s Eligibility to Compete for Department Contracts, for additional guidance). Questions regarding potential conflicts of interest shall be addressed to the Executive Director, Florida s Turnpike Enterprise for resolution. A. The Consultant is not eligible to pursue any advertised Planning Studies, Project Development and Environmental Studies or design projects of Florida s Turnpike Enterprise as either a Prime or subconsultant, without approval of the Executive Director of Florida s Turnpike Enterprise. B. The Consultant is not eligible to pursue any advertised Public Private Partnership (PPP) projects of Florida s Turnpike Enterprise as either a Prime or subconsultant. Subconsultants to the Consultant who had a role in the development of the Turnpike PPP project may not directly or indirectly serve in any capacity for any PPP proposer team. A-15

The Consultant or any affiliate is not eligible to pursue any advertised work in the Consultant s area of oversight or for any project which the Consultant developed the solicitation documents or Scope of Services. Subconsultants are also ineligible to pursue projects where they participated in the development of solicitation documents or Scope of Services or have an oversight responsibility. The term affiliate shall mean business concerns, organizations, or individuals where, directly or indirectly, either one controls or has the power to control the other, or a third party controls or has the power to control both, regardless of whether the entities have separate vendor IDs. Indicia of control include interlocking management or ownership, identity of interests among family members, shared facilities and equipment, and common use of employees. X. Personnel Qualifications and Training The Consultant shall assign only competent technical and professional personnel qualified by the necessary experience and education to perform assigned work. The Consultant is responsible for ensuring that staff assigned to work under this Agreement has the training established by the Department as a prerequisite for Consultant staff to perform work. If the required training is such that it can be applied by the trainee to work the Consultant performs on other contracts of the Consultant, regardless of whether the trainee would work on other contracts of the Consultant, the cost of the trainee s time and expenses associated with the training is not billable to the Department and shall be a Consultant cost. If the training is associated with training requirements unique to this Agreement and not a requirement of Consultant staff assigned to work on other contracts of the Consultant, the cost of such training for time and expenses is reimbursable to the Consultant by the Department. The aforementioned also applies to new training requirements established by the Department for any work assigned during the term of this Agreement. In summary, training requirements established by the Department during the term of this Agreement as a prerequisite for Consultant staff to perform work on this Agreement at either a field, branch or home office of the Consultant, is an indirect cost of the Consultant unless the requirement for training is unique to this Agreement and not required for work on any other contract of the Consultant. The Consultant shall ensure that field office personnel assigned to work under this Agreement have the same opportunities for training as those the Consultant provides for home and branch office personnel. For work assigned by the Consultant to authorized subconsultants, the requirements set forth herein for staff qualifications and training shall also apply to subconsultant staff performing work under this Agreement. Refer to Attachment A Preferred Qualifications and Experience for Consultant Personnel for additional guidance regarding personnel requirements for this contract. XI. Project Cost Accounting A-16
19 Although the Consultant is assigned work by Task Work Order and each TWO is assigned a single general financial project identification number for billing purposes, the Consultant and its subconsultants shall have staff performing work on this Agreement charge their time to the nearest quarter hour to each specific project on which work is being performed. The Department shall provide the Consultant and its subconsultants the eleven digit project number assigned each specific project in which the Department requires the Consultant to capture time and cost. At any given time, there may be several hundred specific projects in which staff would be charging time. The Consultant shall provide the Department with each invoice, the cost incurred for each specific project. Time expended by accounting personnel of the Consultant in preparation of invoices associated with this Agreement is an unallowable direct project cost. For its monthly billing to the Department, the Consultant may invoice separately for salary related costs separately from expenses only if (1) the Consultant s billings for salary related costs include the billings for salary related costs of its subconsultants, (2) the Consultant s billings for expenses include the billings for expenses for its subconsultants and (3) subconsultant invoices are no more than one month in arrears. For purposes of this Agreement, salary related costs shall include direct salaries and wages, administrative overhead and fringe benefits, facilities capital cost of money, and operating margin. The Consultant shall at all times monitor subconsultant invoicing to ensure that subconsultant invoices are no more than one month in arrears at any given time. The Consultant shall not invoice for its salary related costs or expenses if such billing would result in a subconsultant having a delinquent billing. The Consultant may request removal from this Agreement those subconsultants which prevent the Consultant from submitting timely invoices to the Department. XII. Use of Department-Owned Vehicles Consultant employees may drive Department-owned vehicles only if all of the following conditions are met: 1) The Consultant employee is assigned to a Consultant field office for Florida s Turnpike Enterprise. 2) Use of the vehicle is only in performance of their job duties under this Agreement. 3) The Department has on file a Certificate of Acceptable Driving Record, Form , for each person driving a Department-owned vehicle. 4) The Consultant employee possesses a valid Florida Driver s License and the Consultant performs periodic driver s license checks on a quarterly basis. The Consultant shall maintain a record of each license check in the employee s personnel file and provide the license check to the Department upon request. In the event an employee is found to have an unacceptable driving record, as defined in Form 374- A-17
20 040-39, the Consultant shall immediately notify the Department and the employee will cease to perform duties that require the use of a Department-owned vehicle. Consultant employees who have failed to notify the Consultant or Department of a driver s license suspension and has operated a Department-owned vehicle, shall be subject to immediate removal from this Agreement. 5) The Consultant shall maintain and provide proof annually of automobile liability insurance covering all Department-owned vehicles with a minimum combined single limit for bodily injury and property damage of at least $500,000. All such policies of insurance shall name the Department as an additional insured, as its interests may appear, and shall not be cancelled without thirty (30) days written notice to the Department. 6) The Consultant shall be responsible for any and all damages caused by its employees, agents or subconsultants as a result of the operation of any Department-owned vehicle. XIII. Other Services At the direction of the Department, the Consultant may be required to prepare reports and documents, as well as perform other analysis and special studies to support Turnpike planning and project development activities in particular during the term of this Agreement. The Department may require professional services of the Consultant for a wide range of engineering, architectural, environmental, landscape architecture, and registered land surveying in support of Turnpike s program areas not otherwise identified in this Agreement to supplement or replace the services being provided to Florida s Turnpike Enterprise by other consultants.
