1 EXHIBIT A DISTRICTWIDE PUBLIC TRANSPORTATION CONSULTANT SERVICES FM NO SCOPE OF SERVICES 1.0 INTRODUCTION &PURPOSE The objective of this contract is to provide professional services, on a task work order basis, to assist the Florida Department of Transportation (Department) District Four Office of Modal Development (OMD). The Consultant shall act as an extension of OMD staff by providing professional and technical personnel to perform a variety of work in the areas of public transit and paratransit development, grant administration, transit system safety, security, vehicle maintenance, third-party procurement, Title VI programs compliance and other transportation related services. A Department project manager will manage the consultant work. The Department project manager will provide definition of the work for each task to be performed by the Consultant, as described in this Scope of Services, through the preparation of task work orders. The Consultant may assist in preparing task work orders. It shall be the Consultant s responsibility to utilize the best judgment, practice and principles during the act of the work commissioned under this contract. These include frequent communication with the Department and others as necessary, management of time and resources, and documentation. The Department will provide current standards, policies, manuals, files and any other data available for use on this contract. When necessary, the Department will provide letters of introduction to other persons or agencies, such as to property owners for access to private properties, or to railroad companies for information requests. The Department will provide general philosophies and guidelines to be used in the fulfillment of this contract. Objectives, constraints, and limitations will be defined by the Department. The Consultant should be familiar with all applicable federal guidelines and regulations, Florida statutes and codes, and Department procedures and standards that pertain to tasks and functions described in this scope of service. 2 2.0. TASK AREAS FOR WHICH CONSULTANT SERVICES MAY BE REQUIRED 2.1 TECHNICAL SUPPORT FOR PUBLIC TRANSIT AND PARATRANSIT DEVELOPMENT The Consultant will provide technical support for our rural and urban agency partners. Examples of tasks where assistance may be required include, but are not limited to: Enhancement of transit system efficiencies and program management; Development and implementation of strategies to organize and leverage regional opportunities; Identification of coordination and resource sharing opportunities; Research into supplemental and alternative funding strategies or revenue generation; State and Federal program compliance; Facilitation of meetings or representation of the Department at agency or public meetings; and, Identification and analysis of needs and emerging issues. 2.2 GRANT ADMINISTRATION The Consultant will provide technical and administrative support to the Department for oversight of state and federal grant programs including: Block Grants, Service Development Grants, Transit Corridor Grants, Section 5307 Formula Grant Program, Section 5309 Fixed Guideway Capital Investment Grants, Section 5339 Bus and Bus Facilities Program, Section 5310 Enhanced Mobility for Seniors and Individuals with Disabilities, Section 5311 Rural and Small Urban Areas Formula Grant, and others. Examples of task to be performed as part of grant administration activities include, but are not limited to: Annual site visits to grant recipients; Grant solicitation activities (scheduling, conducting workshops, grant review); Administrative support (on-site services, audits, contract compliance, invoicing); GIS data collection procedures and development of maps and management tools; and, Policy & Program tracking (track and evaluate all relevant changes to rules, circulars, and procedures). The services performed by the Consultant shall be in compliance with all current federal circulars and applicable FDOT manuals and guidelines. A-2

3 2.3 TRANSCIP MANAGEMENT The Consultant may be directed to work with Panther International, the consultant that manages the webbased grant management software TransCIP, SeaCIP, and JACIP for updates, improvements, training to agencies and internal FDOT staff. The goals of District Four Office of Modal Development include streamlining many administrative grant processes and requirements through TransCIP. 2.4 SAFETY, SECURITY, VEHICLE INVENTORY, MAINTENANCE AND OTHER COMPLIANCE PROGRAMS Task included but not limited to, under these program areas: Transit agency safety compliance reviews in accordance with guidelines provided in the Bus Transit Safety Program Procedure No and the Fixed Guideway Transportation Safety Program Procedure No and Procedure Topic No Public Transit Substance Abuse Management Program; Annual vehicle inspections in accordance with Procedure Topic No , Transit Vehicle Inventory Management; and, Technical assistance to non-profit/human service agencies that have received vehicles under the Section 5310 grant program to develop and maintain safety, security and vehicle maintenance programs. Other Program compliance including, Single Audit, ADA, DBE, Title VI, Procurement, Charter and School Bus, Asset Management, Construction Oversight, Environmental Reviews, and Davis Bacon Act. 2.5 OTHER TRANSPORTATION RELATED SERVICES The Consultant should recognize the potential for other task assignments relating to Transit, Aviation, Rail, and Commuter Assistance/Transportation Demand Management that may be required in addition to those enumerated in this Scope. The Consultant shall provide miscellaneous services for the Modal Development Office including, but not limited to, public involvement activities, workshops, review of studies, cost estimates, reports, engineering documents and financial plans, data collection and entry, administrative services, project management services, technical support, and in-house support as needed. 4 2.6 COMPUTER SERVICES The Consultant may be required to use the following software: T-BEST Highway Capacity Software, latest available version. ART_PLAN, ART_TAB and all other FDOT Level of Service spreadsheets. FSUTMS/TRANPLAN & CUBE Latest available transit modeling/evaluation software Any other traffic operations or planning software as indicated in the individual Task Work Orders. ESRI s Geographic Information Systems (GIS) software. Any programs written in ArcGIS must be in compatible programming software (i.e. Python, VB). The Department will not be responsible for providing proprietary software packages to the Consultant. Should the Consultant desire to use any other Department programs, permission must be granted in accordance with this contract. Computations based on computer programs other than the Department's must conform to all Department format requirements. 3.0 RESPONSIBILITIES 3.1 RESPONSIBILITIES OF THE DEPARTMENT The Department will provide a Project Manager who shall be responsible for day-to-day management of the contract, coordination with the Consultant on the development and execution of Task Work Orders, defining specific work to be performed and the schedule for completion of such work, agreeing on Consultant staffing and availability (including substitutions from the available staffing list provided), and processing of Consultant invoices for payment. The Department will also provide task work order managers, when required, to provide support to the Project Manager for various Tasks The Department shall provide, prior to the initiation of any work on any of the tasks defined in this exhibit, a specific task work order for the task defining the work to be accomplished and the total reimbursement due to the Consultant. 5 3.1.3 The Department shall furnish, without charge, the following services and data to the Consultant for the performance of the requested services: I. All criteria and full information as to the Department s requirements for the Consultant's services including objectives, constraints, budgetary limitations, and time restraints. II. III. IV. All Department policies, procedures, standards, and other information applicable to the services. All specifications, schedules, reports, and other information prepared by or for the Department, by others, which are available to the Department and which the Department considers pertinent to the Consultant s responsibilities described herein. Available traffic and planning data to assist the Consultant in performing tasks. V. Limited training of the Consultant, if required, on applicable software and Department standards and procedures. 3.2 RESPONSIBILITIES OF THE CONSULTANT The Consultant shall provide an overall project manager who will be the primary point of contact for the Department project manager for the scope of services, schedule, staff coordination, negotiation of task staff hours, and progress on all task work orders. The Consultant may also assist the Department project manager in preparing task work orders. The Consultant Project Manager shall meet with the Department Project Manager on a regular basis and shall provide progress reports by Task Work Order on a monthly basis or more frequently if needed. These progress reports shall be the basis for the evaluation and processing of invoices for payment It shall be the responsibility of the Consultant to utilize the very best judgment, practices and principles possible during the execution of the work commissioned under this contract. The Consultant shall demonstrate good project management practices while working on this contract. These include communication with the Department and others as necessary, management of time and resources, quality assurance, and documentation The Consultant shall provide staff necessary to complete all assigned work in a timely manner and within the Task Work Order schedule. If, at any time, the Department Project Manager determines that the number or expertise of particular staff assigned to a specific task is inadequate, the Department Project Manager shall coordinate with the Consultant Project Manager to remedy the situation to ensure the timely completion of the work. 6 3.2.4 To maintain continuous interaction, the Consultant shall attend coordination meetings as required by the District Project Manager to discuss the status of the work schedule(s) and project(s) in progress. The Consultant shall be available with no more than a one (1) weekday notice to attend meetings at the request of the Department The Consultant shall provide and maintain a list of staff of the following classifications that would be available to be assigned to specific Task Work Orders: I. Chief Engineer II. III. IV. Project Manager Senior Engineer Senior Transportation Planner (Senior Planner and Multimodal Planner) V. Project Engineer VI. VII. VIII. IX. Engineer Intern Project Transportation Planner Planner (Environmental and Community Involvement Planner) GIS/CADD/Graphics Technician X. Engineer Technician XI. Clerical All classifications and rates will be negotiated prior to beginning the contract. Notwithstanding the list of staff above, the Consultant shall consider the full complement of personnel resources/expertise available through its firm or subcontractors to assign the most qualified staff to perform services for each Task Work Order The Consultant shall perform all analyses, develop recommendations, and document all work within the required time schedule as defined in the Task Work Orders The Consultant will perform all tasks in accordance with all FDOT guidelines and standards and applicable federal and state laws, regulations, rules and policies. 4.0 SUBCONTRACTING SERVICES Due to the nature and scope of the required services, it may be desirable for the Consultant to subcontract portions of the work. The Consultant shall request authorization from FDOT to subcontract any services under the provisions of this agreement. Subcontracting firms must be approved and pre-qualified by the Department prior to initiation of any work and must be named in the agreement or any amendment thereto. A-6
