Caesarstone manufacturing plant is located in Kibbutz Sdot-Yam situated on Israel s beautiful Mediterranean coast, next to the ancient Roman city of Caesarea. With quartz being one of nature s most abundant minerals, Caesarstone believes that being a responsible environmental partner is paramount to providing a quality product. Caesarstone puts the environment first. Ami Dreifuss, CFO Ami was appointed to the position of Chief Financial Officer in January 2011 and has been instrumental in the company s substantial sales and revenue growth. Ami is responsible for all aspects of internal and external accounting, financial reporting, tax planning, as well as compliance and administration. Before joining Caesarstone Canada Ami was Vice President, Finance at Infogin Ltd. ( ) and CFO at Verix Ltd. ( ), where he was responsible for worldwide financial operations with experience working with U.S., Belgian, Hungarian, Israeli and Japanese markets. At the age of 19, Ami joined IDF (Israeli Defense Force) where he served for three years. He is a graduate of the Bar Ilan University, (MBA) and the Haifa University (BA, Accounting & Economics) and is a Certified Public Accountant.

4 2 Canadian Gift Concepts Canadian Gift Concepts (CGC) paves the way for trendy and innovative products to the Canadian marketplace as a stocking distributor. Specializing in elevating products to a new level, CGC maximizes sales through packaging design, branding, concept display and taking advantage of various market venues. Images of CGC s trade shows reflects great artistic ability and vision and brings a breath of fresh air to the gift industry with eye catching designs. In addition to sales through its own website, CGC maintains strong relationships with retailers, drugstores, hardware stores, gift stores, fashion retailers and more, for the benefit of its product offerings. CGC is currently interested in sourcing additional unique products related to the gift industry for distribution in North America. The products should be distinctive, mass-produced and low-tech, while needing assistance with marketing abroad. Notable target product groups include: travel accessories, drinkware, jewelry, children s products, fashion accessories, etc. Eli Cohen, President With a passion for the arts, Eli competed, choreographed dance groups and taught dance until deciding to pursue a career in business. After receiving his Bachelor of Economics and Marketing at the University of Tel Aviv in his late 30s, Eli moved to Canada in Every aspect of business Eli deals with filters through his artistic vision while being meticulous and disciplined from his days as a competitive dancer. With over 20 years of experience as a business owner, Eli`s passion for the arts greatly reflects on his company. A visionary with the ability to produce ideas that transform simple products into something marketable, Eli`s knowledge in economics, marketing and arts became the necessary ingredients for CGC`s success. Not only is Eli the owner of Canadian Gift Concepts, he is also the father of four beautiful girls.

5 3 Coldspring Commerce Inc. ColdSpring Commerce joins forces with innovative technology companies to address the North American marketplace. Interdisciplinary services to offshore and North American companies covering: alliance and channel partnering commercialization and transactions marketing and technology management ColdSpring Commerce exploits the various methods to achieve its goals. It uses strategic methods to accelerate time-to-market, and revenue generation by integrating separate disciplines. Added to this, it forms and leverages alliance ecosystems. Finally, it leverages its skills in international trade, such as multinational trade agreements and defense partnerships. Beyond its strategic methods, ColdSpring Commerce uses a series of tactical methods. The firm takes a hands-on approach in working with clients, management, founders, and shareholders. It has a particular focus on high-tech North America-Israel business linkages. It also provides a most important resource of feet on the ground in North America. Jeremy Nickerson BASc, MBA President Jeremy brings a wide range of business and high-tech expertise to ColdSpring Commerce and its partners. He is a seasoned marketing and technology professional, having held roles in product management, business analysis and engineering. Jeremy has a particular expertise in interdisciplinary technology-business issues: new product introduction (NPI) product management and marketing commercialization readiness business and competitive analysis Prior to founding ColdSpring Commerce, Jeremy was the VP of Product Management for TeknoScan Systems, a next generation homeland security technologies developer, where he drove new product introduction and marketing. As Director at Helix Commerce International, a boutique management consulting firm, he serviced a wide variety of large organizations to solve complex challenges. Jeremy also worked in investment banking at D&D Securities and functioned in two startups as product manager. Earlier in his career, he held a broad range of roles at Nortel Networks, including R&D portfolio management, project management, engineering and business analysis. Jeremy holds a Master of Business Administration (joint MBA), Kellogg-Recanati; and a Bachelor of Applied Science (BASc - Engineering), University of Toronto.

6 4 Sheldon Potter LL.B Managing Director In his position at ColdSpring Commerce, Sheldon brings an integrated perspective to his role. He has over 26 years experience in business development, deal making, strategy development and tactical approaches. He combines this with an in-depth understanding of laws affecting taxes and corporate plans for business. He has strong leadership skills and the ability to conceptualize, communicate, execute and run transactions. Sheldon has been involved in cross border transactions around the globe. Sheldon specializes in: guiding companies in start-up mode structuring and negotiating financing effecting acquisitions and mergers structuring international joint ventures developing joint venture, shareholders, partnership arrangements creating strategic solutions In a key leadership role, he spearheaded the Fogler Rubinoff Israel initiative, working with Israeli companies to develop strategic alliances in North America, including raising capital, creating marketing channels and joint ventures. His prior work also covered many M&A, shareholder and partnership agreements. In these positions, he grew various businesses as inhouse counsel, drafting and negotiating commercial contracts, formulating corporate strategy, assembling management teams, performing real estate financing and instituting financial controls. Sheldon was called to the Ontario Bar in 1984, having received a LLB from Osgoode Hall Law School in He attended the undergraduate Program in Science and Mathematics at the University of Manitoba He also completed the Canadian Securities Course. Harvey Nickerson Managing Director In his position at ColdSpring Commerce, Harvey provides his deep experience in integrating marketing, alliances, joint ventures, and engineering. He combines this expertise with his knowledge of intellectual property transactions and his exposure to many domestic and international transactions. His expertise extends to both domestic and international aspects of: product planning and marketing M&A licensing technology contracting (sales and outsourced development) technology business start-up advisory Formerly, Harvey was Executive Vice President, Corporate and Commercial Affairs at TeknoScan Systems, a next generation homeland security technologies developer, where he developed agreements for the business, conducted due diligence activities and assessed and advised on government regulations. At D&D Securities, he advised on matters related to the financing of clients. Prior positions covered licensing, alliance formation and trade regulatory compliance and product systems software design. Harvey holds a Bachelor of Arts, specializing in Psycho-linguistics and Psycho-cybernetics. Following his undergraduate degree, he studied Law at the McGill Faculty of Law. During that period he was also a Research Associate to the Quebec Cabinet Committee on Registration, advising the Chairman and the Minister of Justice on related matters.

InteliComp is primarily targeted to the insurance and financial planning markets and also can be effectively used as an advertising tool. The android version of InteliCop is available for download from the GooglePlay store whereas the ios versions (icompete and QuotesOnTap ) are available for download from the Apple AppStore. The desktop versions are distributed directly by CompuOffice. Ami Maishlish, President Ami Maishlish is President of CompuOffice Software Inc. He was one of the founders of this vibrant and rapidly growing professional specialty software design and development firm. He has guided the firm in the design and development of several highly successful projects, including the LifeGuide Professional Software now subscribed to and used by thousands of financial planners and life insurance professionals in Canada. Other projects included but were not limited to CompeteUS, ProFin, CompeteCA, WinQuote, QuotesOn- Tap, icompete, InteliComp, and more. Prior to this position he was owner and manager of E. Maishlish Insurance Brokers. Ami Maishlish founded, established and ran the brokerage starting as a one-person business in 1981 and growing the company into a Canada-wide brokerage firm engaging and managing life insurance brokers in every province in Canada, except Quebec.

Michal Ben-Aharon, President After establishing herself as a highly skilled professional with over a decade of experience in investment management and business development, Mrs. Ben-Aharon currently serves as VP Finance for Bond Street Mercantile (BSM) Capital Corp. Most recently, she excelled in the position of Deputy Chief Representative of Bank Hapoalim in Canada, where she directed high net worth private banking and international investments. Her accomplishments extend beyond the realm of her business career, evidenced by her service as a Lieutenant in the Israel Defense Force (IDF). She joins BSM Capital Corp after being highly recommended for her professionalism, leadership and integrity. Involved in many Israeli and Jewish initiatives including the Canada-Israel Chamber of Commerce, Mrs. Ben-Aharon also supports the Jerusalem Foundation and her alma mater, Tel Aviv University, where she studied Economics, Statistics and Operations Research.

Groundheat is a Canadian company founded in 1985 by Gino Di Rezze, a pioneer in the geothermal industry since Groundheat has been a leader in renewable energy systems innovation, completing hundreds of large and small scale projects, developing superior proprietary technologies and methodologies, and providing unparalleled expertise to its strategic partners and clients in North America, Europe and Asia. Groundheat owns patented technologies in geothermal energy from its various research and development activities. Eng. has been extensively engaged with geothermal since 1979 and is the President of Groundheat International, and one of the North American Pioneers of the industry. In 1985 he founded Groundheat to integrate his experience and exclusively develop the geothermal market. Gino oversaw the largest geothermal commercial installation in Canada, largest residential subdivision in North America, and recently in Italy, the largest residential district heating geothermal project in the world. He is recognized for his expertise throughout North America, Europe and Asia. He is a member of the Canadian Standard Association, a member of the Association of Energy Engineers, the Earth International Ground Source Heat Pump Association, the Geothermal Heat Pump Consortium, and appointed by the Province of Ontario as a committee member of the Ontario Manufacturing Council. Mr. Di Rezze s previous work experience was at General Electric, as National HVAC Service and training Manager. Academically, Mr. Di Rezze is qualified as an electrical engineer having graduated from Ryerson University, University of Akron and thesis with the University of Toronto. Mr. Di Rezze has memberships with the Ontario Professional Engineers Association, Ashrae and the Association of Energy Engineers (Atlanta based).

Gulf & Pacific Equities Corp. is a Western Canadian real estate company focused on the acquisition, management and development of grocery store anchored shopping centres in rapidly expanding communities in northern Alberta and British Columbia. The present portfolio of five properties were acquired at double digit cap rates, far below current replacement value. The company is well positioned in western Canada s growth economy. Anthony Cohen President & Director Mr. Cohen received a Bachelor of Science, Business Administration (BSc. BA) degree from Creighton University, Omaha, Nebraska in He has wide involvement in a variety of different businesses. In 1985, Mr. Cohen founded Ceyx Properties Ltd., a private real estate and investment company based in Toronto, Ontario. In 1996, Mr. Cohen founded Plato Gold Corp. Plato holds a group of claims in the Northern Ontario Timmins/Harker/Holloway Gold Camp. As well, Plato has optioned the advanced exploration Nordeau project in Val d Or, Quebec where the company has an NI compliant gold resource. In Argentina the company has the Lolita project, a 73,000 acre very prospective property in Santa Cruz. Mr. Cohen also founded Gulf & Pacific Equities Corp. and today it is a public company listed on the TSX Venture Exchange engaged in commercial real estate activity. Mr. Cohen was a director of Gendis Inc., a public merchandising and energy company listed on the Toronto Stock Exchange from May, 1993 to May, 2001 and was also a director of Chauvco Resources Ltd., a public international oil and gas company listed on the Toronto Stock Exchange and the Montreal Exchange from July, 1992 to April, Mr. Cohen has lectured at Federated Press Conferences and to geology students at the University of Toronto about mining and finance.

12 10 Hughes Decorr Hughes Decorr is a designer and manufacturer of permanent, semi-permanent, temporary and counter displays incorporating marketing strategies and focus into all our products. Planet Paper Box Inc. Planet Paper is a converter and manufacturer of corrugated cartons, die cuts and displays. We convert sheets from our affiliated Corrugator into various sizes, shapes and patterns of anything from simple shipping boxes to more complex store-ready and larger format displays. Our facility is equipped with amongst the most modern equipment the market has to offer with more than 12 production lines and four color process printing and laminating all feeding into a fully automated conveyor and strapping system. We offer complete design, sampling and production with production run sizes from the smallest sampling to large production run capabilities. Jason Berns, President Jason Berns is a 14 year President of Planet Paper Box Inc.; a successfully growing corrugated manufacturer t o the Greater Toronto Area. A graduate of the University of Toronto, Mr. Berns enthusiastically pursued an upgrade to his BSc by completing his MBA at the University of Detroit. With the knowledge he gained through over a decade in the industry, Mr. Berns has managed to continuously increase revenue and become one of Canada s largest independent corrugated sheet converting operations. His experience has been instrumental in his acquirement of Hughes Decorr Design and Display, as well as in his development of a co-packaging and fulfillment operation. With a master plan of providing his customers with an integrated packaging experience, Mr. Berns has managed to cohesively meld three separate companies into one unified operation. Mr. Berns is always looking for new ways to grow and prosper and he sincerely hopes his in depth involvement in packaging and manufacturing across Ontario and Quebec will be a key factor in his expansion process across Canada and the United States.

Mark Falbo, President Mark Falbo BA, LLB, MBA is President and Principal of the Mircom Group of Companies. A family-owned company, it designs, manufactures and distributes fire detection and alarm equipment and related life safety products. The company has been named one of the best managed Canadian companies. His key responsibilities include strategic, operational, legal, financial and human resources area comprising all facets, geographies and markets of the business. Previously he was Vice President and Partner of Orenda Financial (now part of Orenda Ernst & Young Corporate Finance).

14 12 Slgoldberg Consulting Inc. Valanim Consulting Inc. Sam Goldberg, Consultant As a results-oriented Business Development Executive with over 20 years of sales and marketing experience, he has a large network of contacts in the renewable energy and energy savings industries. Currently, Mr. Goldberg is consulting with Groundheat Systems introducing ground source heating and cooling to both Israeli firms and the condominium development market in Toronto. Of late he worked within Ameresco proposing renewable and energy services solutions such as geothermal to commercial, intuitional and industrial clients. Following this position Mr. Goldberg aligned with Canadian Solar to develop 30 MW of groundmounted photovoltaic solar farms worth approximately $150 million. Most recently he developed and delivered a sustainable engineering course on energy modeling systems at Georgian College applying RETScreen and other software to model viability of conservation and demand management, photovoltaic s, wind and geothermal, biogas systems. Recently he has worked with the City of Toronto integrating Smart-Grid technology with the Ontario Power Authority s Demand Response program. Mr. Goldberg holds an MSc. in Computer Science and a Bachelor of Education from Queen s University plus a BA Honours in Geography from Carleton University.
