3 CONDITIONS AND UNDERTAKINGS BY TENDERER IN RESPECT OF THIS TENDER 1. Proprietary Information: Industrial Development Corporation of SA Ltd (IDC) considers this Tender and all related information, either written or verbal, which is provided to the respondent, to be proprietary to IDC. It shall be kept confidential by the respondent and its officers, employees, agents and representatives. The respondent shall not disclose, publish, or advertise this specification or related information to any third party without the prior written consent of IDC. 2. All the documentation submitted in response to this tender must be in English. 4. Vendor should check the numbers of the pages to satisfy themselves that none are missing or duplicated. No liability will be accepted by IDC in regard to anything arising from the fact that pages are missing or duplicated. 5. Validity Period Responses to this tender received from vendors will be valid for a period of 90 days counted from the closing date of the tender. 6. Supplier Performance Management Supplier Performance Management is viewed by the IDC as critical component in ensuring value for money acquisition and good supplier relations between the IDC and all its suppliers. The successful bidder shall upon receipt of written notification of an award, be required to conclude a Service Level Agreement (SLA) with the IDC, which will form an integral part of the supply agreement. The SLA will l serve as a tool to measure, monitor and assess the supplier s performance level and ensure effective delivery of service, quality and value-add to IDC s business. Bidders are required to comply with the above condition, and also provide a scorecard on how their product / service offering is being measured to achieve the objectives of this condition. Submission of Tenders 7.1 Tenders should be submitted in duplicate all bound in a sealed envelope endorsed, T03/01/12: FOR THE SUPPLY AND IMPLEMENTATION OF A WEB-BASED INNOVATION MANAGEMENT SOLUTION. The sealed envelope must be placed in the tender box at the Main Reception area of the IDC Building, 19 Fredman Drive Sandton by no later than 12:00 noon on Friday, 27 January The closing date, company name and the return address must also be endorsed on the envelope. 7.3 If a courier service company is being used for delivery of the tender document, the tender description must be endorsed on the delivery note/courier packaging to ensure that documents are delivered into the tender box. 7.4 No tender received by telegram, telex, , facsimile or similar medium will be considered. 7.5 Where a tender document is not in the tender box at the time of the tender closing, such a tender document will be regarded as a late tender. Late tenders will not be considered. 7.6 Amended tenders may be sent in an envelope marked Amendment to tender and should be placed in the tender box before the closing time. 7.7 The tenderer is responsible for all the cost that they shall incur related to the preparation and submission of the tender document. 7.8 A list of all references (minimum of 3) must be included in the tender document. 7.9 A valid tax clearance certificate must be included in the tender document A copy/s of any affiliations that you are affiliated to Kindly note that the IDC is entitled to amend any tender conditions, validity period, specifications, or extend the closing date of tenders before the closing date. All tenderers, to whom the tender documents have been issued, will be advised in writing of such amendments in good time The IDC reserves the right not to accept the lowest tender or any tender in part or in whole. It normally awards the contract to the tenderer who proves to be fully capable of handling the contract and whose tender is technically acceptable and/or financially advantageous to the IDC The IDC also reserves the right to award this tender to a purely empowerment company or may award this tender on condition that a joint venture with an empowerment company is formed. This will be added to the criteria when evaluating the tenders The IDC also reserves the right to award this tender as a whole or in part without furnishing reasons 7.15 The tenderer hereby offer to render all or any of the services described in the attached documents to the IDC on the terms and conditions and in accordance with the specifications stipulated in this Tender documents (and which shall be taken as part of, and incorporated into, this Proposal at the prices inserted therein). 5 7.16 Tenders submitted by Companies must be signed by a person or persons duly authorised thereto by a resolution of a Board of Directors, a copy of which Resolution, duly certified be submitted with the Tender The tenderer shall prepare for a possible presentation should IDC require such and the tenderer shall be notified thereof no later than 4 (four) days before the actual presentation date The tenderer hereby agree that the offer herein shall remain binding upon him/her and receptive for acceptance by the IDC during the validity period indicated and calculated from the closing hour and date of the Tender; this Proposal and its acceptance shall be subject to the terms and conditions contained in this tender document The tenderer furthermore confirm that he/she has satisfied himself/herself as to the correctness and validity of his/her Tender response that the price(s) and rate(s) quoted cover all the work/item(s) specified in the Tender response documents and that the price(s) and rate(s) cover all his/her obligations under a resulting contract and that he/she accept that any mistakes regarding price(s) and calculations will be at his/her risk The tenderer hereby accept full responsibility for the proper execution and fulfilment of all obligations and conditions devolving on him/her under this agreement as the Principal(s) liable for the due fulfilment of this contract. RESPONSE FORMAT Tenderers shall submit their responses in accordance with the response format specified below (each schedule must be clearly marked): 8.1 Cover Page: (the cover page must clearly indicate the tender reference number, tender description and the tenderer s name) 8.2 Schedule 1: Executive Summary (clearly indicating the bidding structure and the responsibilities of each member of the bidding structure) 8.3 Schedule Conditions of Bid and Contract: Section 1 - Pages 3-5 of this tender document (duly signed); Original and Valid tax clearance certificate(s); Certified copies of your CIPRO company registration documents listing all members with percentages, in case of a CC. EVALUATION CRITERIA Tenders shall be evaluated in terms of the following parameters: 9.1 Technical Bids will be evaluated in accordance with the following technical criteria: ELEMENT WEIGHT Proposal (as per the requirements below) 75 Proposal for Open Innovation 5 Experience 20 TOTAL 100% Note: The minimum qualifying score for functionality is 70%. Special instructions to bidders 1.1 Should a vendor have reasons to believe that the requirement Specification is not open and/or is written for a particular brand or product or service provider; the bidder shall notify IDC Procurement within five (5) days after publication of the bid. 1.2 Bidders shall provide full and accurate answers to the questions posed in this document, and, where required explicitly state either Comply/Not Comply regarding compliance with the requirements. Bidders must substantiate their response to all questions, including full details on how their proposal/solution will address specific functional/ technical requirements. All documents as indicated must be supplied as part of the bid response. 2. Background Information The IDC wishes to acquire a software solution to manage innovation ideas submitted to the Innovation Department by IDC employees. The solution should integrate with SharePoint 2010 and have a web-based user interface. The purpose of the solution would be to promote collaboration and for staff (750 members) to submit and track innovative ideas within the organisation. Bidders can propose a bespoke development or Commercial-Off-the-Shelf solution as long as the solution can comprehensively address IDC requirements. 3. Solution Overview 3.1 Introduction The solution should allow for specific business requirements as specified by the IDC. These requirements will be in the following areas: Application Interface (look & feel); Home Page and imbedded pages; Classification Structure; Roles and Permissions; Rating Sessions; Innovation Challenges; All Ideas page (list); Innovation Process; Innovation Collaboration; I-Points and Redemption; Search Functionality (IDC & Innovation Site); Notifications; and Reporting. 10 3.2 Role Players and Responsibilities The innovation process consists of the following role players: ROLE NAME Originator : Innovation Ambassador: Idea Leader: Innovation Manager: Team Site Administrator : Idea Member: Team Implementation Team Leader: Implementation Team Member: IRC Member ROLE DESCRIPTION The originator is the person who submitted the idea on the Innovation web. This could be any IDC employee. The Innovation Ambassador will be responsible for the progression of an idea during certain stages of the innovation process. Ideas are assigned to the Ambassadors associated to the Organisation Source and Impact classification (SBU). The Idea Team Leader will be responsible for the progression of an idea through the innovation process up until and sometimes including the Implementation stage. The Innovation Manager will be responsible for the overall management of ideas through the entire innovation process. The Innovation Manager will also have access to administrative functionality. The Site Administrator will be responsible for managing content, classifications, roles, configurable forms, configurable default template content, rewards, etc. The Idea Team Member will provide critical assistance to Idea Team Leader during the progression of an idea through the innovation process up until and sometimes including the Implementation stage. The Implementation Team Leader will provide the necessary resources to ensure the successful implementation of an idea. The Implementation Team Member will provide critical assistance to the Implementation Team Leader during the Implementation stage. The Innovation Review Committee Member will provide critical advice on the feasibility and suggested implementation path of an idea. The proposed solution should automate the assigning of ideas to responsible Innovation Manager on submission. 3.3 Application Interface It is imperative that the following elements are included when building the web-based Innovation Management System: Innovation theme colours and navigation elements Appropriate visual images, less text The capacity for regular updates of images and content 3.4 Home Page The web-based Innovation Management Solution must have the following standard functionality which should be available from the navigation (in order specified below): Menu Items Page 10 of 35

When users use the Innovation web for the first time, their location according to the organisational taxonomy will be automatically populated by means of the existing IDC active directory. If a new idea is submitted by an existing user, the idea will inherit the associations from the idea s Originator. The Idea will also be automatically populated according to the source of the idea. The focus areas will have pre-defined scores or weightings (not visible to the originator) Impact indicator will be activated based on weightings and will highlight Low, Medium or High. Group ideas: According to the overall ranking per SBU In collaboration with the SBU, decide on most important Assign the ideas to relevant Ambassadors 3.9 INNOVATION CHALLENGES The Innovation Challenge functionality is similar to the idea submission functionality, but only configurable by the Innovation Managers, and Site Administrator. 21 The objective of these challenges (aimed at the entire organisation) is to assist in solving critical business issues at hand. The challenge originator (typically SBU heads) will define the challenge rationale and be part of the solution review process.
