SAMPLE PRELIMINARY DUE DILIGENCE CHECKLIST IN A CORPORATE TRANSACTION (e.cr.. Also include any amendments or riders or any proposed amendments or riders and any resolutions adopting the plans and/or amendments. 2.11 Description of bonus plan and procedures to include all employees 2.12 Summary of most recent 401K plan nondiscrimination test - ADPIACP 410(b) and 415 tests 2.13 IRS determination letters for any qualified retirement plan

2.14 Correspondence pertaining to any IRS plan discrimination 2.15 Contracts with all benefits carriers to include current rates.
