As a leader in global offshore acquiring Alfa capital group and its affiliated bank WEST COAST NATIONAL BANK is committed to assist your company, your sales personnel and your merchants in achieving financial success. We have compiled this comprehensive training manual to ensure that your organization has all the tools and information needed to achieve that goal. Doing business online requires a different approach from normal, off-line retail sales. The Internet has specific rules that merchants must follow, especially when payment processing is involved. Alfa capital Internet Merchant Accounts are designed to effectively process card-notpresent sales within a secure and sophisticated platform. Multi Currency Processing ALFA CAPITAL GROUP offers a comprehensive suite of credit/debit card payment processing solutions in cooperation with several major Mexican, European, and American banks,but however our main services accept USD with WEST COAST NATIONAL BANK,and up to 60 currencies with our corresponding banks worldwide.we offer very competitive rates and can be deployed worldwide. All credit/debit card transaction information is delivered to the banks platforms over a secure, PCI-compliant SSL connection. ALFA CAPITAL GROUP provides transactional processing for the following credit card capabilities: I. PRODUCTS/SERVICES E Commerce and MOTO Alfa capital group has successfully addressed the special processing needs of those merchants who process transactions without the physical swipe of a credit or debit card with its Card-Not-Present Merchant Account Services. Whether sales are transacted via the Internet, mail or telephone, we offer superior processing standards for all these types of transactions. * A separate acquiring partner is used specifically for merchants with high volume of American Express transactions. The merchant must apply with American Express directly in the country of each respective currency. There is also a set-up fee and monthly fee that is charged for each currency. Please contact your Account Manager for the details. Comprehensive Reporting As part of our commitment to providing the highest quality of service, ALFA CAPITAL GROUP offers several outstanding reporting services to our Partners Reporter is a software application providing complete transaction management and flexible report generation. Since knowing the status of transactions is critical to the success of Page 3 of 14
every merchant, our robust reporting application captures and logs all billing and settlement activity in detail. Once the data is implemented, a variety of management reports can be generated instantly. All communication is encrypted with SSL. All reports are delivered online and the standard data captured includes: o Country o Transaction Amount o Username (if required) o Transaction ID o Phone Number o Date and Time Last 4 digits of card CVV NUMBERS Reports API consists of different interoperable web services that group several methods by related business logic including transactions, reconciliations, declines and chargebacks. ttlement from the acquirer to the merchant. Our Corresponding bank will provide you with a detailed reconciliation report containing an overview of the settlement amount (number of transactions, charge backs, refunds, etc.). At the same time a digital CSV/Excel file will be provided specifying all out paid transactions into detail. You, could use these files as our Premium Partner, to generate reports for your merchants. II. PARTNER ISSUES Division of tasks The Partner will be responsible for: Gathering all application documents maintaining all communication with the merchant enabling the merchant to carry out the technical integration to Gateway (not the BANKS gateway) ALFA CAPITAL GROUP will take care of: rebranded WEST COAST NATIONAL BANK & ALFA CAPITAL GROUP forms and documents issuing the merchant account (except in case of emergencies) basis Residuals Premium Partners receive residual revenue earnings from ALFA CAPITAL GROUP monthly. Residuals are paid by the end of the month for each preceding month via international bank wire transfer. Pricing Pricing an international merchant is highly dependent upon various factors, such as the registered and where their customers are located. Pricing in multiple currencies can be different than national (USD) pricing. It is similar in that there are different rates for Visa and MasterCard, commercial and consumer cards, ecommerce, MOTO, etc. While we can price using the prefer to price a blended single discount rate known a Pricing for your merchant will be determined on a case-by-case basis by you, Access Global and our acquiring banks. You are asked to provide a proposal of the pricing you would like to see used. It is not unusual for most merchants to be priced between 2.5% 15%. Depending on the acquirer, other pricing includes: o Low Risk o High Risk (charged by acquirer to merchant). a complete list of high-risk merchants Dependent on contractual arrangements (charged by Access Global to Partner) Dependent on contractual arrangements (charged by acquirer to merchant) Dependent on chargeback percentages (charged by acquirer to merchant) Dependent on contractual arrangements (charged by ALFA CAPITAL GROUP to Partner) - up Fee: Dependent on contractual arrangements (charged by the bank and ALFA CAPITAL GROUP ) Merchant Registration Policy We do not pre-register a merchant in order to referral partner. The partner who submits a completed application for approval manages that Page 5 of 14
merchant relationship through its contract. We will not move one merchant relationship from one referral partner to another, unless at the written request of the merchant. Reseller Sub- Agent Policy ALFA CAPITAL GROUP does not register sub-agent sales personnel of partners. Alfa capital group only contracts with the corporate entity, and deals directly with the bank CHARGE BACK ISSUES Chargeback Penalties: Chargeback costs applied: 35 USD / more than 1% 65 USD ALFA CAPITAL GROUP reserves the right to close any account due to a chargeback issue as per banks and ACG best knowledge, or in consideration of Credit Card association guidelines. In addition, the Merchant will be charged for any fine that will be imposed by Credit Card Associations in connection with its account or as a result of its activities. Page 6 of 14
III. MERCHANT ISSUES Deposit Timeframes - Merchants Merchants will be settled (paid out) directly by the respective acquiring bank. Normally, this will happen on a weekly basis with one or two weeks in delays.5 days funding is available to currency high-volume merchants only. Please note that receiving deposits on this basis will be more costly as wire transfer fees apply for this process. Fee depends on amount of transfer, country of designation and receiving bank. Depending on the conditions agreed upon between the merchant and the acquiring bank, a payment delay may apply and will generally be between 0 and 60 days. If the acquirer settles weekly, there is a fixed day the settlement occurs. The settlement day is usually Friday, but may differ per acquirer. If a delayed payment period applies, this time frame is added to the normal settlement date. In addition, international bank transfers may account. Example: Merchant X Settlement Schedule: Weekly Delayed Payment Period: 7 days Transactions done between Thursday, July 4, (00:00:00 UTC) and Wednesday, July 9th (23:59:59 UTC), will settle on Thursday, July 10th. Since a 7-day payment delay applies, funds during that settlement period will be held for 7 days and will be released on Thursday, July 17th. Allowing several days for the international bank bank account by Monday, July 21st. Settlement/Statements/Billing/Rolling Reserve Thursday 00:00:00 (UTC) through the following week Wednesday 23:59:59 (UTC) Wire transfers are initiated every Thursday. International bank transfers may take a few days it will arrive Monday or Tuesday on the following week depending on the receiving bank. The originating bank will not charge a wire fee, but the receiving bank may charge an incoming fee for international bank transfers. No such fees will apply for Euro settlements to European bank accounts (provided the provided IBAN and BIC code are correct). Statements are available online to the merchant period. Transaction and setup fees are invoiced to you on a monthly basis. Invoices are emailed every 1st week of the month for transactions done on the previous month. Rolling reserve (6-12 months): 10%-20% (Very High risk ) applied against actual sales for the life of the account.. Page 7 of 14
International Transaction/Cross Border Fees Issuers of Visa worldwide hold the right to charge an international transaction fee (also known as a cross border fee) when a transaction is authorized in one currency and settled in another. Issuers of MasterCard worldwide retain this right except in Europe, due to the concern for the violation of EU rules on fair competition. These fees may statement to be slightly higher than the original transaction amount. Since the card issuer sets the fees, they are outside the control of ALFA CAPITAL GROUP or our acquirers. PCI Compliance We work with a technology and partnered up with getaway providers that are completely PCI compliant and has organized its operations and infrastructure accordingly. It embraces the highest security standards in the global marketplace and functions according to the security standards defined by Visa and MasterCard. All our acquiring banks terminals are built with the latest proven technologies as well as the highest security standards. By using redundant technologies like database mirroring, together with clustering and load balancing, databases are replicated within milliseconds, ruling out single points of failure and ensuring reliability. Security/Fraud/Authentication The ALFA CAPITAL GROUP payment platform utilizes a range of security features that include blacklisting, fraud scrubbing, GEO (open) IP check, BIN checks and proactive fraud monitoring. WEST COAST NATIONAL BANK provides this system. ALFA CAPITAL does not recommend any specific fraud monitoring systems, but does encourage merchants to choose and use the most appropriate service for their requirements. The following companies offer specialized fraud prevention solutions that must be integrated by the merchant: o Retail Decisions o 41st Parameter hentication. Our affiliate bank supports 3- D secure transactions. MasterCard Secure Code, Verified by Visa and JCB J/Secure are authentication services that have been developed by the card associations to provide a more secure approach to credit and debit card transactions over the Internet. The programs, often referred to - eliminate chargeback risk for the merchant by identifying the rightful cardholder and generating proof of the transaction. Merchants who wish to make use of these programs need to possess and integrate their own MPI (Merchant Plug-in). Application Documentation/Approval The following documents need to be filled out and sent back to ALFA CAPITAL GROUP to set up a merchant account with one of our banking partners. Complete and detailed information is essential since it will help speed up the entire application process. Page 8 of 14
Merchant Application Form. This form enquires company information compliance with our initial requirements, and identify their business needs. Please make sure the merchant application form is complete and the information provided is The following documents must be enclosed along with the above-mentioned applications: o Certificate of Incorporation/Articles of Incorporation. To accept payments in certain or multiple currencies, the company must be registered in Europe. Registration address, corporate tax ID numbers and Directors must be declared in one of these documents. If your merchant is not yet registered in Europe, please contact your dedicated Access Global account manager. o voided check or copy of latest bank account statement. Settlement account must be under the check or copy of a bank statement must be provided for each separate settlement account. o Credit card processing statements for the last six months (if applicable) o A copy of the Terms & Conditions as listed on the merchant website o Additional requirements may apply for certain (high risk) merchant categories. Please send all application documents digitally (via email) to your dedicated ALFA CAPITAL account manager. Approval Process Timeline This is the typical approval process timeline, provided that all necessary documents have been submitted. Important: Always make sure that all information contained in the application forms and documents is completed, cohesive and correct. Incomplete applications cannot be processed and will cause delay. Signed contracts are sent to the acquirer and MID(s) are issued (3-5 days from receipt of signed contracts) Once the MID(s) are issued by the acquirer, live account details are prepared. Live credentials and welcome letter are sent to Premium Partner. The information submitted will be reviewed and points below will be verified to meet the policies and regulations of our banking partners. Consequently, the application is submitted to one of our banking partners where they will conduct a final check of the paperwork Risk Management/Underwriting/Assessment Set forth below is a comprehensive list of merchants that Alfa capital group underwrites, including those that are conditional and those that are prohibited. Please note that stricter payment terms are likely to apply to high-risk merchants. These terms include higher annual fee, higher discount rate/disagio and/or longer payment delay. Page 10 of 14

Any illegal Internet content RASISM, RELIGIOUSE PROPAGANDA, POLITICAL PARTIES Any Gambling /Gaming which is considered as Un coded. Please note that other business types may also be classified as High Risk after analysis of the business model. The acquirer reserves the right to do this at any time. Guidelines for Reserve/Delays/Deposits For each merchant, some kind of security measure will apply. Measures are applied on a case-by-case basis with the decision involving a combination of factors including volume of merchant, previous processing, number of charge backs and type of business. There are several options: -15% for 6-12 months;; only with processing volumes >1M per month) days for merchants without previous credit card acceptance history) In some cases, a combination of the above-mentioned security measures may apply. Pre- Check If you prefer to pre-qualify your merchant before compiling all the required documents, please fill out our Merchant Pre-Check form and submit the information digitally (via email) Contracts As soon as the application is approved by any of the acquiring banks in portfolio, final contracts are prepared and sent to the Premium Partner for signature by the merchant. Signed contracts are then sent back to the corresponding acquirer and a MID number is issued with Merchants descriptor name. REPRESENTATIONS AND WARRANTIES Merchant hereby represents and warrants ALFA CAPITAL GROUP that: (a) it shall not knowingly do anything or allow anything to be done which is likely to harm the reputation of ALFA CAPITAL GROUP ; (b) it shall not use the Services in connection with any illegal or fraudulent Business activities; (c) it has the power to execute, deliver and perform this Agreement, and this Agreement is duly authorized, and will not violate any provisions of law, or conflict with any other agreement to which such party is subject; and to the best of its knowledge, there is no action, suit or proceeding at law or inequity now pending or threatened by or against or affecting Merchant which would substantially impair its right to carry on its business as now conducted or adversely affect its financial condition or operations.
