3 Introduction Headquartered in Amsterdam, with offices worldwide, Payvision is delighted to welcome your organization as a Reseller of our global Card payment solutions. As a leader in global domestic acquiring, Payvision is committed to assist your company, your sales personnel and your Merchants in achieving financial success. We have compiled this comprehensive training manual to ensure that your organization has all the tools and information needed to achieve that goal. Depending on the Acquirer(s) with whom we connect you, a separate Acquirer Training Supplement will be provided to you, describing all the specific information related to that particular Acquirer. Features of the Strategic Partnership Payvision offers several Partnership types. Each Partnership type differs in certain aspects. The attributes of the Strategic Partnership are the following: Gateway: Generally, Strategic Partners do not possess their own Gateway; Payvision provides direct access for the Merchants to utilize the Payvision Gateway. Billing: Payvision invoices the Merchant directly for transaction fees or the Merchant is invoiced by the Partner. Pricing: Pricing will be determined by the strategic Partner. Payvision can support the Partner in determining the pricing if needed (in line with Acquirer guidelines and Merchant conditions). Communication: Payvision communicates with the Merchant via the Partner or directly with the Merchant while keeping the Partner in the communication loop Partner earnings: The Strategic Partner earns a percentage of Payvision s revenue on each processed transaction. Duration: The Strategic Partner will receive residuals for the period described in the Partnership Agreement. Responsibilities Responsibilities are clearly defined. The key responsibilities of the Strategic Partner and of Payvision are specified in this document. Communication The Strategic Partner is responsible for all communication with the Merchant regarding issues which concern acquiring, risk and support. Payvision will not communicate with the Merchant directly and should remain undisclosed in the entire relationship. If there are issues that the Partner cannot resolve for a Merchant, the Partner can contact their dedicated Payvision Account Manager for assistance. Payvision will not contact the Merchant directly at any time. Payvision will manage communication with the Acquirer and will facilitate the flow of information between the Acquirer and the Partner if deemed necessary. The Partner will not contact the Acquirer directly nor will the Partner instruct the Merchants to contact the Acquirer directly. In this way Payvision Payvision Strategic Partner Training Manual 3
4 provides consistent, streamlined communication for Strategic Partners and their Merchants. Billing Payvision will invoice the Merchants directly for costs associated with the Merchant s account, including transaction costs, monthly maintenance costs and, if applicable, setup costs. It can be agreed upon, that the Strategic Partner may invoice the Merchant for the applicable costs or any other costs the Partner wishes to invoice. In this case Payvision will charge the Strategic Partner hard costs per transaction. The Acquirer will deduct the Merchant discount rate fees from the Merchant s settlement funds directly. Payvision Account Manager. This allows the Payvision Risk Department to re-evaluate the Merchant s processing activity and take the necessary precautions to protect the financial position of the Acquirer, the Partner and Payvision. Gateway Service The Merchant integrates with the Payvision s Gateway service directly. The Payvision Technical Support team will provide the integration manual and a test account to the Merchant; the Merchant needs to perform regular integration or certification updates to make the best use of all the Gateway functionalities Payvision can offer. More on this topic can be found under Technical Integration on page 11. Risk The Strategic Partner should provide Payvision with all relevant information related to a Merchant, both during the underwriting/activation stage and for the duration of the time that the Merchant is processing with Payvision. If the Partner is informed about a change in processing volume, increase or decrease, or other relevant details affecting the risk profile of the Merchant, the Partner should inform their dedicated Payvision Strategic Partner Training Manual 4

PRODUCTS/SERVICES Multi-Currency Processing Payvision offers a comprehensive suite of credit/debit Card payment processing solutions in cooperation with several major European, American and Asian banks. Payvision s payment processing services accept more than 150 currencies, offer very competitive rates and can be deployed worldwide. All credit/debit Card transaction information is delivered to Payvision s network over a secure, PCI Level I compliant SSL connection. As a means of optimizing Interchange costs, Payvision may send multiple-currency transactions to a number of Acquirers worldwide. Please note that not every Acquirer partnering with Payvision can support every country or currency or payment type. In addition, not every Acquirer partnering with Payvision will approve all Merchant categories or payment types. The possibilities for each individual Acquirer are described in their respective Acquirer Training Supplement. Payvision s dedicated Account Managers can assist Partners in determining if a multi-currency processing option may be a beneficial solution for individual Merchants. ecommerce Payvision has successfully addressed the special processing needs of those Merchants who process transactions without the physical swipe of a credit or debit Card with its Card-Not-Present Merchant Account Services. Whether Sales is transacted via the Internet, mail or telephone, Payvision offers superior processing standards for all types of transactions. Doing business online requires a different approach from normal, Card-present retail sales. The Card Associations have defined specific rules which Merchants must abide to when processing e-commerce and other Card-not-Present transactions. Payvision s Internet Merchant Accounts are designed to effectively process Card-not-Present Sales within a highly secure and innovative platform. Recurring Payments Payvision s processing platform facilitates recurring payments transactions for Merchants. These may be processed via one of the following two methods: The Payvision interface allows for recurring transactions to be sent without Card details (Card number, CVV, etc). Some Merchants prefer not to store Card details and leverage Payvision s recurring web service by sending the Payvisionsupplied CardID and CardGuid to identify the card. Merchants not storing the card details must use the Recurring Web Service. A new account s 1st transaction should be sent as an ECOM transaction, containing all of the required card details for this transaction type. Payvision s Acquiring Partner uses these details to validate the card, after which Payvision returns the Card ID and Card Guid details to the Merchant to be stored and used for all subsequent recurring transactions. Detailed information, related this (recurring) functionality is outlined in the Payvision Technical Documentation. Merchants who choose to store the card details instead, can use the BasicOps functionality and ignore the CardID and CardGuid which the Payvision Gateway returns for initial ECOM Payvision Strategic Partner Training Manual 5
6 transactions. Those Merchants who want to make use of BasicOps need to be PCI Level 1 Certified. Payvision will request ongoing PCI Certification documentation to assure that the Merchant remains in compliance with Card Association regulations. Comprehensive Reporting As part of our commitment to provide the highest quality of service, Payvision offers several outstanding reporting: Payvision Reporter, Reports API and Periodical Reconciliations. Payvision Reporter. Payvision Reporter is a software application providing complete transaction management and flexible report generation. As it is crucial to a Merchant s success to know the status of each individual transaction, Payvision s robust reporting application captures and logs all billing and settlement activity into great detail. Once the data is implemented, a variety of management reports can be generated instantly. All communication is encrypted with SSL. All reports are delivered online and the standard data captured includes: used by the Merchant and the Strategic Partner itself. Reports API. Reports API consists of different interoperable web services that group several methods by related business logic including transactions, reconciliations, declines and chargebacks. Periodical Reconciliations. Payvision will provide a detailed reconciliation report of each settlement from Acquirer to Merchant, including an overview of the settlement amount, number of transactions, chargebacks, refunds, etc. An additional digital CSV/Excel file will be provided, specifying all (settled) transactions into great detail. Virtual Point-of-Sale The Payvision Virtual POS is a Windows-based software application which provides all the necessary features required to facilitate quick and easy processing of credit and debit Card transactions in situations where Cards are not present. Such transactions are often referred to as Mail-Order/Telephone-Order (or MOTO) transactions. o Country o Transaction Amount o Username (if required) o Transaction ID o Phone Number o Date and Time o Last 4 digits of Card The Payvision Reporter is not designed to be rebranded for our Partners and will Remain Payvision branded. The Payvision Reporter can be Payvision s Virtual POS is a straightforward, powerful and effective tool that helps companies boost sales and is designed for Merchants who need to automate transactions with a deep level of integration and a high degree of flexibility through their system. Payvision s Virtual POS is based on a multi-tiered architecture that ensures future functionality and requirements can be implemented easily by a team of talented developers. The only requirement for using Virtual POS is a PC with an Internet connection and a Payvision Strategic Partner Training Manual 6
7 Microsoft Windows version that supports.net Framework 2.0. II. PARTNER TOPICS Pricing for Merchants will be determined on a case-bycase basis by the Strategic Partner. Payvision s global Sales team and Account Managers can support in determining the pricing if needed (in line with Acquirer guidelines and Merchant conditions). Residuals Strategic Partners receive residual revenue earnings (commission) from Payvision on a monthly basis. Commission is paid at the end of each previous month via international bank wire transfer. Pricing Pricing an international Merchant depends on a variety of factors. These can include, but are not limited to: the Merchant s business type, the Merchant s prior processing history, the Merchant s business location and where the Merchant s customers are located. Pricing for multiple currencies can differ from singlecurrency pricing and additional pricing consideration must be made when the Merchant s customer base is multi-national compared to domestic only. Additionally, Interchange costs will vary and pricing considerations should be given with respect to different rates for Visa and MasterCard, commercial and consumer Cards, e- Commerce, MOTO, and other qualification levels, etc. Depending of the Payvision s global acquiring Partners, Payvision connects with, Merchant Discount Rate using the interchange plus model can be offered. However, most of our Partners prefer to offer a price in the form of a blended single discount rate, or flat rate, which gives the Merchant ease and certainty when calculating costs. The capabilities and/or various options for each individual Acquirer are described in their respective Acquirer Training Supplement. Merchant Registration Policy Once Payvision receives a full application package, as described in the application checklist, a Merchant is locked. The Merchants is appointed to this one specific Partner for a period of three months. Simply submitting the PreCheck form or receiving a preapproval is not sufficient to lock a prospective Merchant. If an account is not live after three months the prospective Merchant is considered unlocked and can be promoted by another Partner. Reseller Sub-Agent Policy Payvision does not register any sub-agent sales personnel or third-party entities associated with the Partner. Payvision only contracts with the Partner s corporate entity. Rebranded documents Upon request, Payvision can provide the Strategic Partner with rebranded application documents. The standard Payvision Merchant intake documents (Pre- Check form, Merchant Application form, MOTO/ECOM form, Change form and Merchant application Checklist) will be rebranded with the logo and contact details of Payvision Strategic Partner Training Manual 7
8 the Strategic Partner. In other cases white label application documents will be provided. In order to rebrand the application documents, Payvision requires the following information: platform, built with the latest proven technologies according to the highest security standards. Payvision Infrastructure and all Operations are in Compliance with this high-security Business Standard. Company logo in a JPG or high res EPS format Return -address where completed applications should be mailed by your Merchants. (For example: applications@...com) Customer service telephone number (if applicable) Security/Fraud/Authentication Security. Payvision payment platform includes a range of security features such as; blacklisting, fraud scrubbing, GEO (open) IP check, BIN checks and proactive fraud monitoring. III. MERCHANT TOPICS International Transaction/Cross Border Fees Issuers of Visa worldwide hold the right to charge an international transaction fee (also known as a Cross Border Fee) when a transaction originates from a credit Card issued in a different country (or, in some instances, a different Visa region) from the Merchant s country. Issuers of MasterCard worldwide also retain this right, except in Europe. This is due to the concern for the violation of EU rules on fair competition. Not all Card issuers charge this fee, but if an issuer charges the fee then the Cardholder may see a separate Cross Border Fee on their credit Card statement in addition to the original transaction amount. Since this fee is charged by the Card issuer, not by Payvision or by our Acquirers, Merchants need to advise the Cardholder to contact their Card issuer directly regarding Cross- Border Fees. PCI Compliance Payvision is PCI-DSS Level I Compliant. Payvision offers its Partners a technically innovative payment Merchant Fraud Monitoring. Payvision does not recommend one particular fraud monitoring system, but Payvision does encourage Merchants to choose and use the most appropriate service for their requirements. The following companies offer specialized fraud prevention solutions which may be integrated by the Merchant itself: o Retail Decisions o 41 st Parameter o G2 Authentication. The Payvision platform supports 3-D secure transactions. MasterCard SecureCode, Verified by Visa and JCB J/Secure are authentication services that have been developed by the Card associations to provide a more secure approach to credit and debit Card transactions over the Internet. The programs, often referred to as 3-D Secure, may reduce but not completely eliminate chargeback risk for the Merchant by identifying the rightful Cardholder and generating proof of the transaction. Merchants who wish to make use of these programs can integrate their own MPI (Merchant Plug-in), or use the integrated Payvision MPI provided by Cardinal Commerce. 9 Additional fees may apply. Your dedicated Account Manager can tell you more about this feature. Application Documentation/Approval Application Documents. The following documents need to be filled out and sent back to Payvision in order to set up a Merchant account with one of our banking Partners. Complete and detailed information is essential since it will help speed up the entire application process. o Payvision Merchant Application Form. This form requires company information that will allow us to verify Merchant s compliance with our initial requirements and identify their business needs. Please make sure the Merchant application form is complete and the information provided is both cohesive and correct. o Payvision MOTO/E-commerce Form. This form requires some more specific information about the Merchant s Card-not-present business and its procedures to set up the Merchant account. The following documents must be enclosed along with the above mentioned application forms: Manager. o Copy of ID of company director(s) (Passport or US driver s license) o Copy of latest bank account statement and, if applicable, a voided check. The settlement account must be under the applying company s name, not an individual. A copy of a bank account statement must be provided for each separate settlement account. o Credit Card processing statements for the last six months (if applicable) o A copy of the Terms & Conditions as listed on the Merchant s website o Additional requirements may apply for certain (high risk) Merchant categories or as determined by Payvision s Underwriting Department. These requirements are also described in the Payvision application checklist. Before sending an application package to Payvision, please use the Merchant Application Checklist to ensure that all required documents are provided. o Certificate of Incorporation/Articles of Incorporation, for applying company and all related companies, registration address and corporate tax ID numbers, if applicable. Directors and shareholders must be declared in one of these documents. For assistance in incorporating a Merchant in Europe or Asia, please contact your dedicated Account Important: Always make sure that all information contained in the application forms and documents is complete, cohesive and correct. Incomplete applications cannot be accepted and will cause delay. Payvision Strategic Partner Training Manual 9
10 Please send the complete package of all application documents digitally (via ) to your dedicated Payvision Account Manager. Rolling reserve (5%-10% per month for 6-12 months) Delayed Payment Period (0-60 days) Application Approval. The information submitted will be reviewed and verified to meet the policies and regulations of our banking Partners. Consequently, the application is submitted to one of our banking Partners who will conduct a final check of the paperwork provided and perform compliance of the Merchant s website. Risk Management/Underwriting In the respective Acquirer Training Supplement you will find a comprehensive list of Merchant types which Payvision underwrites, including those that are conditional and those that are prohibited. Please note that stricter payment terms are likely to apply to high risk Merchants. These terms may include a higher annual fee, higher discount rate and/or longer payment delay/reserve. Guidelines for Reserve/Delays/Deposits For each Merchant, financial security measures will apply. These security measures are applied on a caseby-case basis, with the final decision involving a combination of factors including but not limited to: projected processing volume, previous processing history, chargebacks profile, Merchant s financial strength, and type of business or products. Payvision may require a financial security by a variety of methods including: Upfront deposit (equaling 1-2 months processing volume) In some cases, a combination of the abovementioned security measures may apply, or extended security measures may be put into place. Merchants do not earn interest on funds that are held as a security reserve or payments that are delayed as a security requirement. Website Compliance Payvision will review and validate a Merchant s website to comply with the Card Associations requirements for e-commerce Merchants, including the following items: The company s official details (e.g. official name, address, contact info) must be displayed on their website(s). Clear posting of the Customer Service telephone number and/or address Clear posting of the Refund and Return Policy Clear posting of delivery methods and timing Listing of products with pricing stated in their processing currency Website order page must be SSL secured. The domain name should be registered under the company s name. If the website is still under construction, Payvision requires a username and password which enables Payvision and the Acquirer to access the BETA site and carry out the due diligence for general underwriting. Merchants cannot receive account activation details until the live website has been verified as compliant. Payvision Strategic Partner Training Manual 10
11 Pre-Check If you prefer to pre-qualify your Merchant before compiling all the required application documents, please fill out our Merchant Pre-Check form and submit the information digitally (via ) to your dedicated Payvision Account Manager. Contracts As soon as the application is approved for one or more of the acquiring banks in Payvision s portfolio, final contracts are prepared and sent to the Partner to obtain the Merchant s signature. Once the signed contracts are returned and final checks have been performed, a MID number is issued. Once the MID is issued, live member details are created by Payvision s Technical Support Team and the information is sent to the Partner. The Partner will enable the live details in its Gateway and forward the live details to the Merchant. Static Descriptor or Dynamic Descriptor. MPI used for 3D Secure, if applicable IV. Payvision Account Management Team Technical Integration Merchants which are promoted by Strategic Partners will connect to the Payvision Gateway. The Payvision Technical Support team will supply the Merchant with the Integration manual and Test Account details upon request. The following information is required to set up a test account and the certification.
