We were looking for a program that would allow us to produce reports showing the status of our companies at a given point in time. GCM was the only web-based software that allowed us to do this. What is Global Corporate Manager? Global Corporate Manager (GCM) is the world s first web-based, multi-jurisdiction, corporate entity management application. GCM is ideally suited for large corporations that manage a number of subsidiaries around the country or around the world. Corporations are increasingly recognizing the growing need for Internet and Intranet technology to ease communication between departments and with outside organizations. Datacare Software Group has met client demands by providing a software solution that is not only desired, but necessary for corporations and global departments managing a world of information. GCM is web-based software that allows users around the world to retrieve and manage data without having to work around time zones, database software incompatibility and language barriers all with the highest encryption available to ensure secure communication. A benefit of which is that all data related to an entity is stored in one central location. A number of other entity management products on the market have simply web-enabled their old software by adding in limited web-browser functionality. This method leaves little room for expansion and future upgrades to the software expansion will mean purchasing new software, converting data all over again, and retraining staff. A costly and time-consuming process. Datacare is proud to have set the new standard for entity management software. GCM has been designed from the ground up as a webbased product. Using the latest XML and Microsoft Windows DNA programming standards, GCM represents true n-tier architecture combining the highest encryption with the simplicity of an Internet browser. Return on investment As the need for tracking vast amounts of data within applications such as GCM grows, so does the cost of delivering the information to a global audience. This is where GCM's web-based architecture becomes a necessity. GCM is installed directly on your server once and is available globally 24/7. Security is maintained to the highest standards because clients maintain their information behind their own firewalls. Upgrades are made directly to the client s Intranet server and are available to all users immediately. No need to upgrade each PC separately saving your IT department time and money. GCM represents a lower Total Cost of Ownership when compared to alternative entity management software. Including regional versions of your current corporate secretarial software or the merging of your entity management software with your contracts or banking (for example) software. Managing a world of information R Full transactional history, including stock splits, reverse splits and many other transaction types. Determine 'who held what and when' queries on the fly. Track external and 'arms length' investments alongside group holdings. Track future and historical filings. Link the documents to the data. Receive email reminders directly or assign reminders to others. Track SEC, FCC, FDC or any other license registration that applies to your organization. Receive reminders about upcoming filings. Analyze data by entity, by registration type or by the regulator. At the core of GCM are business entity profiles and the people associated with them: incorporation details, addresses, contacts, directors, officers, committees, etc. GCM's Custom Field feature allows for virtually unlimited data retention. Track leases, employment agreements, internal service agreements, transfer pricing contracts and any other contracts. Set up email reminders for renewal or expiry dates. Track associated parties of contracts and link electronic copies of contracts.

Full tracking of mergers and acquisitions activity. View from the perspective of the surviving or dead entities. Use the Merger Wizard to have GCM resign principals, cancel certificates and transfer subsidiaries. Fully searchable document repository that is available globally 24/7, 365 days a year. Search by entity, document type, date and many other criteria. Use free-text searching for key phrases. Link to an existing document repository. Maintain entire stock option plans, or just track the data relating to Insiders. Use GCM s Section 16 Wizards to automatically generate the SEC 3, 4 and 5 forms. Manage patent, trademark and copyright information, view images and receive filing/renewal reminders in your email. GCM also allows for the tracking of domain name registrations and renewals. Track all banking information, including signing authority signatures, and account information.

GCM features and benefits International functionality The GCM database can track your international entities, addressing the various data and output requirements as and when needed. Each user selects their preferred view of the data, including local terminology for field names, local business rules and local output. Users can also select their preferred language switching from English to German to French and back within the web browser. Integrated corporate governance and workflow management GCM's Wizards, Task Management and Pending Transaction features ensure that changes to the data are made in a smooth and consistent manner. Managers can monitor on-going transactions, send out email reminders and assign tasks to colleagues. By linking these elements together, organizations can also apply their own corporate governance and change approval procedures and controls, establishing GCM as more than a database it's a powerful business tool. Simplified document production and storage Departments within a corporation are now able to share information. GCM manages intellectual property, tax, banking and finance data, as well as corporate record information. Each department/jurisdiction/subsidiary can manage their own information. GCM is supplied with an extensive library of forms, reports and other legal templates. All can be completed, printed, or emailed directly from the web browser. In addition, they can be saved to the GCM Document Repository a central storage location for all documents, either those produced by GCM or those uploaded to the server from another source. As with all information tracked within GCM's database, the documents are available globally, 24 hours a day, 7 days a week. Converting your data Datacare understands the investment that corporations have in their existing databases. That s why we offer free data conversions from many proprietory legacy databases. Peace of mind data conversions at no extra charge a Datacare advantage. Multi-tier select audience security Each entity, field, document, or piece of functionality can be locked down within GCM. Any combination of edit, read-only and no-access can be assigned to any one user or group of users established using GCM s Security Roles feature. In addition, GCM's Audit Trail feature tracks when and what changes have been made and by whom.

More features and benefits Flexible group charting GCM's on-line chart viewer allows for a customized view of the entire group structure, or a simpler vertical view up or down the tree. Each user can determine their own settings, including content and colour/shape attributes based on entity type, status, division, etc. Unique to GCM is the ability to accommodate multiple views of the group chart. That is, a chart can be created from a legal ownership perspective, a tax structure perspective, an operational perspective, or all three. All this data can then be exported and manipulated in the most common third-party charting tools. Implementation services When implementing any new system, proper management is crucial to its future effectiveness within an organization. Datacare will assign a qualified lead Project Manager that will work with you during all stages of implementation to ensure a smooth rollout.
