Preferred Partners Current from 1 st November 2014 to 30th January 2015 Q4 FY15 the Quarter * WSSPs only Only Eligible Spend on an individual country and individual Partner registration basis will count towards the Spend Threshold. That is spend via Premier Pages or off line on Dell offerings in the relevant identified Classes where such products are both ordered and shipped within the relevant Quarter and where Dell has invoiced Partner s trading account(s) subject to various exclusions such as purchases made in relation to framework agreements and specific low priced deals (e.g. via deal registration) and additional exclusions detailed in the rebate program terms ( Eligible Spend ). Rebates are discounts, i.e. a form of deduction calculated and applied to the Partners trading account by Dell (typically within 30 days following the end of the relevant Quarter). Standard Rebate: Only if Partner s Eligible Spend for the relevant Quarters in the relevant Classes exceeds the Spend Thresholds will the Standard Rebate percentage apply and be calculated on the Eligible
Spend, otherwise no rebate applies. However, should Partner achieve less than the Eligible Spend but achieve $50k in Class IV the standard Rebate for Class IV shall be 2%. Growth Target Rebate: Only if Partner s Eligible Spend for the Quarter or Dell fiscal year to Date in the relevant Class has increased sufficiently compared with the same Quarter or Dell fiscal year to date in the previous year as relevant will the Growth Target Rebate percentage apply and be calculated on the Eligible Spend (based on the higher percentage growth of the two comparisons per Class). Attach Rebate: Only if Partner s Eligible Spend for the Quarter in the relevant Class(es) (here Storage and Networking) has the target mix percentage compared to the relevant Eligible Spend that Quarter will the Attach Rebate percentage apply and be calculated on the Eligible Spend per class. Partners will not be paid rebate in any of the Server, Storage or Networking categories, if the Partner is not certified in that category on the first day of the Quarter. Partners will not be paid any Growth Target Rebate and/or any Attach Rebate and /or any Premier Rebate unless they have also met the Spend Threshold for Standard Rebate. Dell is not obliged to renew or continue this (or any other) rebate program after 30 th January 2015. Partners may only participate in one rebate program at any one time. Additional terms relevant to this rebate program are detailed below
1: Introduction Terms and Conditions for Preferred, Premier and Qualifying Large Registered Partners These rebate terms apply to any EMEA GCC Dell Channel Partner rebate program for Preferred, Premier, Large Registered Partners that Dell (in its sole discretion) may offer from time to time to reward partners who achieve certain criteria of sales focused on products and service ranges that Dell is most keen to encourage partners to sell. 2: Scheme Eligibility All Preferred, Premier and Large Registered Partners who meet the following eligibility requirements are eligible to participate in the rebate program subject to being notified by Dell:- they have met the criteria for becoming a Preferred, Premier or Large Registered Partner; they are not subject to an existing form of agreed pricing or rebate arrangement in respect of the relevant Quarter ; they are not subject to a floor-planning or debt factoring arrangement; they have agreed with their Dell Account Manager a business plan (to be based on a template provided by Dell) in respect of the Quarter in accordance with any timing or deadline requirements for submission as notified to the Partner by their Dell Account Manager; and they are certified according to the current Dell Enterprise certification requirements, meaning for Preferred Partners they have at least one certification and for Premier Partners they have at least two certifications. 3: Rebate Eligibility The Spend Thresholds will be calculated in the Partner s trading currency with Dell using Dell s applicable currency hedge rate applying on the first working day of the Quarter, rounded up to the nearest 5 000 of the applicable currency. If a Partner becomes eligible to participate in the Standard Rebate program part way through a Quarter Dell may at its discretion include the Partner within the relevant quarter s Standard Rebate Scheme. Partners will not be eligible to receive Rebates in both the current Quarter and the subsequent quarter if:- they are late in payment of any invoices (except for disputed parts only of an invoice that have been brought to Dell s attention; or they have been subject to corrective invoicing as a result of deliberately or negligently misinforming Dell in order to obtain an unmerited price or discount; or they are otherwise in material breach of the terms of the Dell Channel Partner Agreement or other trading agreement with a relevant Dell entity.
4: Rebates Rebates shall mean either Standard Rebates and/or Growth Target Rebates and/or Attach Rebate and/or Premier Rebate as the context so permits Rebates shall be applied by way of invoice credit against sums due from the Partner to Dell at the end of the first month of the Quarter, following the Quarter to which they relate. If the invoice credit is larger than the Partner s Eligible Spend in that month, then the invoice credit will continue to apply (to the extent not already applied) to the Partner s subsequent months spending until exhausted. Note however that no Rebates will be paid or applied to a Partner s trading account unless the account remains active meaning orders are continue to be placed on the account in subsequent quarters. For partners who predominantly purchase from distributors, Dell may decide to issue a cheque direct to the Partner. If a Partner has only recently become a Partner to Dell and therefore does not have previous revenue for comparison then no Growth Target Rebate will be paid. 5: Eligible Spend Excluded from Eligible Spend is: all WebStore purchases; all, Studio, Inspiron, Vostro product and all imaging or display product purchases; products purchased other than for resale (i.e. for Partner s own or internal use or as demo or seed units) all component product, consumables and software purchases; any product purchases made direct with Dell by the Partner s customers rather than the Partner, regardless of any consultancy or advice provided by the Partner; and all product purchases made under the terms of any Framework Agreement or other resale or distribution agreement entered into between Dell and the Partner and not solely on the basis of Dell s standard Channel Partner Program documentation. product purchases which are concluded on the basis of pricing specifically agreed by means of any applicable deal registration or where Dell has otherwise agreed specific low pricing for a specific quantity of Dell products and/or services designated for a specific end user. Dell reserves the right, in its sole discretion, to adjust the order and delivery criteria where a force majeure event or a Dell act or omission delays delivery by more than 10 days from the estimated delivery date quoted by Dell at time of purchase, resulting in the products being delivered after the end of the Quarter. Eligible Spend is calculated excluding VAT and after deduction of service credits, invoice credits (other than in respect of Rebates), deal registration discounts, other volume discounts and other agreed reductions. Rebates from prior Quarters will not be treated as deductions for the purposes of calculating Eligible Spend. In some countries Dell may at its discretion count towards Eligible Spend additional revenue for the relevant Classes that a distributor places with Dell in relation to sales by the distributor to the Partner. In such instances the Partner hereby agrees for Dell to pass relevant Partners details (such as company name, Dell ID) on to its distributors and agrees also to Dell obtaining from such distributors details of Partners purchases (tag numbers) from such distributors as relevant. All Eligible Spend calculations will be based on data recorded on Dell s order management systems on the first working day following the end of the relevant Quarter combined, when needed, with proof of delivery records held by Dell or by its logistics agents.
6: Disputes In the event of a dispute as regards application of the rebate program or these terms (e.g. as to whether spending is Eligible Spend and/or whether data has been correctly recorded on Dell s order management systems and/or whether a delivery was made within the relevant Quarter), the Partner is welcome to request an email or phone dialogue or meeting with their Dell Account Manager to discuss the issue and to provide evidence to support the Partner s dispute, within a 4 week period following completion of the Dell Rebate calculation. Dell will act reasonably in respect of the evidence provided to it but will use its sole discretion to make a final decision as regards Eligible Spend and/or payment of Rebates. 7: Rebate Scheme Applicable Countries Austria, Belgium, Denmark, Finland, France, Germany, Ireland, Italy, Luxembourg, Netherlands, Norway, Portugal, Spain, Sweden, Switzerland, UK.
