1. Operations WiValley is an Internet server provider (ISP), operating on both Fiber and Wireless networks. We are committed to building partnerships with communities that bring affordable and open accesss broadband coverage to unserved or underserved rural communities throughout North Central Massachusetts, Southwestern New Hampshire and the Southeastern portion of Vermont. Our company is located in Keene, NH and we focus our energy on serving communities within a 1000 mile radius of Keene. WiValley has formed open and transparent collaborations with other Internet servicee providers, local and state government, and granting organizations to ensure cost-effective and affordable broadband access to the communities we serve. In 2007, WiValley connected its first customerss through a grant awarded, by the NH Department of Resources and Economic Development. Currently, WiValley serves homes and businesses in 32 towns in Cheshire, Hillsborough, and Sullivan counties in New Hampshire, with additional coverage and customers in a number of border towns in Massachusetts and Vermont. WiValley has been awarded a National FCCC License for 3.65GHz WIMAX; and has raised equity funding establishing a solid financial base for the company. Operating on open access networks such as the Axia MassBroadband 123 Network, and on new fiber and wireless extensions, we will continue to expand our services into communities with business grade and residential services thatt surpass traditional copper wire line technologies. 1.1 General Information WiValley is a Corporation registered in the State of NH with a physical place of business at 310 Marlboro St Keene, NH03431 866-946-2999 corporate@wivalley.net, www.wivalley.net 1.2 Company Overview WiValley was established in 2007 in response to the unserved broadband needs in Southwestern NH. WiValley operates out of the new Data Center at 310 Marlboro St in Keene NH. This Tier II Dataa Center is a connectionn point for a number of backhaul service providers ncluding most recently Axia NGN Networks USA. WiValley has been instrumental in establishing the core bandwidth and increased capacity at reduced pricing for the Southwest Region of NH. In addition, we are expanding our services to provide retail fiber based broadband solutions directly to Anchor Institutions, es and FttH ( Fiber to the Home) customers on the NH FastRoadss Network. Our company s strategic plan is to provide hybrid wireless and fiber solutions that optimize performance and cost as appropriate. Such collaborations allow WiValley to continue to provide broadband at a higher performancee and competitive cost,providing unmatched speeds in areas with limited competition. Fiber to the Home WiValley is a Servicee provider for two Fiber to the Home communities in NH. The Towns of Rindge, and Enfield NH. In addition, we are involved in planning Fiber to the Neighborhood expansion projects that take advantage of both Fiber and Wireless technologies to provide next generation speeds and broadband performance. Specialties WiValley specializes in engineering and deploying community broadband solutions using a hybrid fiber and wireless approach. We have made a significant investment in the ability to deploy a solution to a customer with automated equipment provisioning, invoicing and network monitoring. Cost-effective and Affordable Solutions After researching alternative solutions, WiValley continues to invest our own resources intohybrid fiber and wireless solutions because of their lower deployment costs, lower infrastructure and maintenance costs, and higher resistance to network outages (from weather, accidents, and other interference). Wireless is the most cost-effective solution for rural communities throughout New England. Our expansion plans include offering Gigabit solutions across the NH FastRoads Network, and to customers across the MBI fiber availablethroughout Massachusetts. 3

Speeds, Performancee In all of our wireless network areas, we offer service speeds for residential customers up to 20 Mbps. For our customers off of the MBI or the NH FastRoads fiber networks, we offer residential speeds of 50Mbps and 100Mbps while businesses can get speeds of Gigabit solutions. Scalable, Value-Added Solutions WiValley has already invested in the infrastructure to build and operate a professional network. Key aspects of operating a successful network such as bandwidth provisioning, network security, infrastructure monitoring, and customer billing are fully operational. By focusing on hybrid wireless and fiber broadband technologies, we have chosen technology that is scalable. Our existing strengths in network provisioning and monitoring enable immediatee operating capabilities to expand with Hybrid Wireless and Fiber solutions on the Axia MassBroadband 123 Network. Least Environmental Impact Where feasible, WiValley reuses existing infrastructure. A core philosophy of WiValley is that larger taller towers are not the best solution for increasing coverage. Our engineered analysis of the mountainous New England region makes it clear that the best solution is a largerr number of smaller structures strategically placed towers to provide the optimal coverage for the unserved and underserved communities. This solution is more consistentt with the spirit of the community and the region. Cooperation with and with Government WiValley is committed to working cooperatively with the community and with local and state governments. WiValley has helped communities by drafting a model fixed wireless broadbandd facility ordinance that is now utilized in the State of NH. Additionally, the NH Model was reviewed in a recent project with the Town of Royalston and the Montachusett Regional Planning Commission (MRPC) to establish a recommended ordinance for Fixed Wireless Technology for the Town. WiValley was directly involved with the town of Royalston and the MRPC. Thesee ordinances distinguish wireless broadband facilities from wireless telecommunications facilities, such as cell towers, which are generally two times higher than broadband towers. By allowing fixed wireless transmitter structures within the town s zoning districts, communities receivee Internet access with an approved processs and maintaining the town s overall spirit relative to adopting new structures. 4

wivalley.net 1.3 Interconnection Agreement WiValley has signed a letter of intent and is interested in offering services. We expect to executee the formal interconnection agreement to use the Axia MassBroadband123 network. 1.4 Entity Status WiValley is a C Corp registered in the state of NH. For evidence of our entity status go to https://www.sos.nh.gov/corporate/soskb/csearch.asp and enter WiValley as the search string 1.5 Customers in Massachusetts Currently WiValley provides broadband service to a number of customers North Central Massachusetts. We provide service in the states of Massachusetts, New Hampshire and Vermont 1.6 Massachusetts Statewide Contract Currently WiValley does not provide services throughh the Massachusetts governmental bodies. 1.7 E-Rate Statewide Contract to WiValley has applied for a Service Provider Identification Number so we can provide E-Rate Services to schools and libraries in MA, NH & VT. 1.8 Support Services WiValley currently provides support to residential customers Monday through Saturday during extended business hours 7:00AM to 7:00PM and Sundays / Holidays based on the urgency of the service needed. Services receive 24-7 technical support through a priority businesss phone number and online support ticket system. 1.9 Emergency Response Protocol WiValley has a core belief that communications to Anchor Institutions and Emergency Responsee teams must have the highest priority. Our networks are designed to always provide priority Quality of Service (QoS) to these types of organizations. WiValley has a strong relationship 5

with the Regional and county EMS organizations in New Hampshire and we are active in the design of the next generation communications including Radio over Internet Protocol (RoIP) and future compatibility with FirstNet. During an emergency, WiValley and our Employees are prepared to respond. At our operations center, we carry significant spare inventory to create new wireless networks to support the community in the event of lost communications 1.10 Billing Services WiValley has made a significant investmentt to deploy a platform solution that enables us to streamline our billing, order management, customer provisioning, network performance and monitoringfor each customer. WiValley does not outsource any of these activities and we provide each customer with online customer portal access where they can view all past and current invoices, payments, as well as their own network usage statistics. While we strongly encourage online payment for services, we do allow payment by check for residential or business customers who prefer or are equired to process a check payment. 1.11 Number of Years in WiValley Inc was established in over 4 years. CAI Services 2.1 Geographic Area WiValley offers service in Massachusetts, New Hampshire and Vermont. Our corporate office is in Keene NH. WiValley is able to provide service to ANY CAI on the Axia MassBroadband Network. Our primary area of interest is in the North Central and North Western portions of Massachusetts 2.2 Telephone Services WiValley currently offers VoIP services to Residential and Small to Medium sized businesses. Engineered Services for Fiber or Wireless Extensions Engineered Services for Broadband Solutions 3. Municipal and School Facilities not connected as CAI s 3.1 Municipal Extensions 3.1.1 Technology The technology used to deliver municipal extensions willl vary dramatically from location to location based on its location and distance and easee of accesss to existing backhaul infrastructure. The backhaul infrastructure could be the Axia MBI Mass Broadband 123 Fiber, an existing connected CAI, or a strategic location where we can identify a community partner to place a microwave bridge that connects to the fiber. WiValley has experiencee in providing engineering solutions that consider cost as well as the specific requirements at the new location. As such, a variety of technologies would be used based on the details of a specific project. We will engineer solutions that utilize Fiber Extensions, Wireless Microwave Bridges capable of 1.4Gbps of throughput, or simplified wirelesss point to point links with licensed or unlicensed radio frequencies. WiValley will not be providing engineering solutions using legacy DSL or Cable solutions. 3.1.2 Expected Upload and Download Speed Expected upload and download speed will vary based on a number of variables as municipal extension is engineered. Here are typical upload and download examples Fiber Extension - 1Gbps to 10Gbps symmetrical capacity Wireless Bridge Extension - 1 Mbps to 1.4Gbps symmetrical capacity to how the 3.1.3 Infrastructure Requirements Again the infrastructure costs to extend broadband to an unconnected municipality can vary drastically based on the location for service and its distance to the open access network or a community partner. The cost for a simple wireless extension would generally start $2,500 with minimal infrastructure. 3.1.4 End User Equipment The end user equipment neededagain can vary based on location. In the Simplest example, end user equipment in a wireless extension could be included in the cost identified in the Infrastructure 8

Requirements (3.1.3) above. If a Gbps solution is requested with requirements of frequency, the cost can be substantially higher. a licensed 4. Services to Residential Commercial and Industrial Users 4.1 Will we offer services to Non CAI Customers? Yes, we will continue to offer services to Residential, and Governments 4.2 Description of the Technology WiValley will provide service and extend service using a combination of Fiber to the Home, and Hybrid Fiber to the Neighborhood / Wireless solutions to deliver service to residential, business and other customers 4.2.1 End User Upload and Download Expected upload and download speed will vary based on the technology deployed. While our goal for end user service is to deliver similar services on both fiber and wireless solutions, fiber offers the ability for higher speed but also comes with an increased cost to deploy the network. Heree are typical upload and download examples Fiber - 20 Mbps to 10Gbps symmetrical Wireless - up to 25 Mbps symmetrical 4.2.2 Infrastructure Build Requirement and Financing Each project is unique and the infrastructure and cost to construct a network extension will vary. Based on the market opportunity, WiValley has made the investmentt into wireless extensions and we are interested to do so as part of a long term contract with any connected Anchor Institution 4.2.3 Infrastructure Build Timing Working with a community or Anchor Institution that can quickly provide support or access to infrastructure, WiValley could provide a wireless network extension to residential and businesses in a as little as a couple weeks. While we do not equire a guaranteed take rate, WiValley will only invest our own resources into projects that meet some basic market requirements. If the extension does not meet our basic market equirements we can enter into a contract to engineer, install and operate a 9

network extensions as a project with the community 4.2.4 End User Equipment For our wireless networks, WiValley has a goal to keep the onetimee cost to connect an end user to our network below $100. There are site specific examples when this cannot be achieved. For connections to a Fiber Network, other parameters will determine the cost to connect to the network 4.3 Services Offered The services WiValley will offer to all customerss on any of our network include Broadband, VoIP, and services that are expanding out of our Data Center located in Keene NH. 4.4 Municipalities on the Axia MassBroadband123 Network WiValley is willing to provide servicee to any community within the Axia MassBroadband123 Network. WiValley has a physical office in Keene NH, which limits our current service response time. Based on Communities that have interest in our service offering, we will consider adding additional resources to improve our service response time 4.5 Obligations for Organizations to market WiValley Service There are no obligations for municipalities or organizations to market servicess offered by WiValley. Support from communities who choose to add value to a network expansion would add interest to a potential network expansion project. 5.
