Our Governance Consultancy Service specialises in providing practical governance support to meet the needs of an ever changing NHS. The Governance Consultancy Service is fully integrated within Capsticks healthcare legal practice, ensuring that our advice not only reflects best governance practice and NHS guidance, but also complies with the constantly evolving legal requirements that confront the NHS.

Capsticks Solicitors LLP Our expertise The Governance Consultancy Service is led by an experienced team who understand the NHS. Janice Smith and Moosa Patel both have strong and credible track records at Board level across the NHS over a number of years. Janice has seven years experience as a governance lawyer complemented by her serving as an associate NED of a foundation trust and 17 years experience of working as a clinical negligence lawyer. Moosa has worked with a range of different NHS boards during a career spanning 22 years across all levels of the NHS; the last eight of which were as Director of Corporate Affairs in a large teaching acute trust, a PCT and most recently at the former Midlands and East Strategic Health Authority Cluster. Moosa and Janice are supported by Paula Young, Governance Manager. Paula joined the NHS in 1995, her experience includes working as Executive Assistant to the chairman and chief executive of a large acute teaching hospital trust providing support on a wide range of governance issues. We work with a range of credible Associates, who have a strong track record of working within and for the NHS over many years either as chairs, CEOs or senior NHS managers. Their knowledge, practical experience and insights bring additional expertise to the work we do. We also have a strong alliance with the Good Governance Institute (www.good-governance. org.uk) which has an excellent track record of providing board development to both successful and challenged NHS foundation trusts, aspiring foundation trusts and clinical commissioning groups.

Governance Consultancy Service Our services We focus on providing practical support, supplementing the resources of your in-house team, including: Board governance reviews: There is a great deal of evidence that the most successful organisations are those that are well governed. We undertake bespoke board governance reviews for NHS trusts, NHS foundation trusts, clinical commissioning groups and for national bodies and regulators, recognising that each and every organisation is unique. We are also one of several firms who can provide assessments for the Board Governance Assurance Framework (BGAF). Board development programmes: We offer bespoke development support to boards. A key feature of this work is that we provide a confidential, comprehensive and robust assessment of NHS boards, chairs and chief executives, enabling them to contribute to board effectiveness, corporate governance and the development of the unitary board. Board member development: We use a range of innovative techniques to facilitate skills development for individual board members, drawing on our extensive experience of working with dynamic senior leaders across the NHS. Our governance consultants and associates, are either current board members on a range of NHS boards or have extensive past experience of being members of NHS boards. We will work with you to offer tailored skills development support for board members including programmes to develop chairing skills, strategic thinking and problem solving skills, relationship building and effective approaches to scrutiny and challenge, so that board members can realise their aspirations and those of their organisation. Conducting reviews: We can undertake reviews into allegations of poor performance or conduct, or conduct one-off investigations or reviews into significant governance failing, whistle blowing cases or complex Freedom of Information requests. Board secretary assignments: Providing interim board secretary solutions and supporting NHS organisations to recruit a skilled board secretary. Subscription based service: Our practical experience of undertaking this crucial role within the NHS means we are uniquely placed within the NHS to provide coaching and mentoring support for board secretaries and governance leads, unparalleled networking opportunities and access to template policies and procedures, as well as briefing material on key legal & governance issues. Minute taking training: The importance of effective minute taking within the board, at board committees and in other key corporate meetings is a key aspect of good governance. Underpinning governance arrangements: Advising on risk management and business planning processes and, in particular, around year end governance reporting requirements. Understanding the statutory landscape: We can advise on statutory obligations, powers and functions of NHS bodies and how they can be effectively discharged.
