Within the Staffing sector, however, deal volume was virtually unchanged with 19 deals in 2015 versus 20 in 2014. Despite the small downturn, deal volume is still at an elevated level with high multiples and attractive industry fundamentals. This is readily apparent when looking at publicly traded healthcare staffing firms which trade at 30%+ premium compared to their general staffing brethren. Merger and acquisition activity was especially strong among companies that specialize in higher growth segments (such as Cross Country s recent acquisition of Mediscan), as well as companies that are well positioned to capitalize on clinician shortages (exemplified by MTS Health Investors equity investments in HCCA Health Connections and HCCA International). OUTLOOK The Staffing sector is expected to feature robust activity in 2016 driven by a number of favorable demographic and industry trends. With the Affordable Care Act expanding insurance coverage, millions of baby boomers moving into their senior years, a large cohort of physicians and nurses retiring, and increasingly complex patient care, providers are unable to meet their dire need for clinicians and allied healthcare professionals and are increasingly turning to outsourced staffing companies. Additionally, healthcare providers are responding to on-going economic pressures replacing the longer-term fixed costs burden of permanent hiring with a variable model (temp staffing) better suited to respond to fluctuations in patient census. Despite the consolidation in the past few years, the $14.9 billion Staffing industry remains highly fragmented consisting of over 2,200 firms with many smaller companies operating on a local or regional level. Staffing NOTABLE RECENT M&A TRANSACTIONS Several notable transactions were completed or announced in the Staffing industry in 2015. Selected transactions are outlined below, followed by a more comprehensive list in the following table. Private equity firm MTS acquired stake in HCCA (January 2016) HCCA Health Connections and HCCA International (collectively known as HCCA ) has recently received a strategic equity investment by MTS Health Investors, a private equity firm dedicated solely to healthcare. Terms of the deal were not disclosed. HCCA provides offshore clinical resources to US healthcare companies including a domestic nurse staffing business that recruits experienced, qualified nurses for deployment at US based hospitals. With a chronic shortage of nurses in the market, HCCA hopes to leverage MTS s relationships and use the influx of capital to drive growth. David Bartholomew, HCCA s CEO, said, The strategic partnership with MTS will provide us with an experienced partner who can help us execute on our growth strategy and enhance the value we deliver to our clients. MTS s strong network of relationships and industry expertise will augment our capabilities and support us in expanding the breadth of our service offering. AMN acquired third healthcare leadership recruiting company with acquisition of B.E. Smith (November 2015) B.E. Smith, a leading provider of interim healthcare leadership, executive search and advisory services, was recently acquired by AMN (AMN) for $160 million in cash and at a multiple of approximately 10.7x EBITDA. The deal is the latest in a string of acquisitions by AMN, including The First String (September) and Millican Solutions (October), that provide leadership solutions to healthcare organizations. Susan Salka, President and CEO of AMN explained the strategy by stating, "With increased demand and the evolution of new care delivery models, healthcare clients are faced with the critical challenge of recruiting the key executives and talent needed to lead the dramatic transformation their organizations are experiencing. The added strength of B.E. Smith's recruitment expertise and nationwide talent pool of healthcare leaders and executives further increases the strategic value that AMN delivers to clients through our breadth of innovative workforce solutions." Cross Country acquired Mediscan (October 2015) Demand for healthcare staffing services related to special education programs in the US is being fueled by rising therapy requirements, a shortage of therapists (particularly SLPs and OTS) in many regional markets, and the growing population of special needs children due to better diagnosis. Not surprisingly, these favorable industry dynamics are being recognized by some of the largest general healthcare staffing firms as evidenced by publicly traded Cross Country s recent acquisition of Mediscan due in large part to a desire to increase their presence in the fast-growing public school and charter school markets. Mediscan was acquired by Cross Cross Country for approximately $28 million in cash, $5 million in stock and $7 million in earn-out equating to about an EBITDA multiple of 10x.
