Q: What is imdds? A: imagdent Development and Management Services, LP, (imdds) is a national company based in San Antonio, Texas. It evolved from imagdent, a group of dental imaging centers in five large Texas cities. It became apparent that a business was needed that would help dentists throughout the country organize and own their local imaging labs without start-up and management hassles. Since imagdent developed the operating systems, mastered the necessary technical skills, and built a strong management team, it is in an ideal position to be the managing partner for local dental groups. Q: Why is imdds necessary? A: Like running a restaurant, everything looks easy until you try it. Consequently, over 90% of start-up businesses fail because of inadequate capital, inexperienced executive leadership, or insufficient understanding of the business. The odds are even worse in healthcare businesses because the owners are frequently doctors whose primary focus is elsewhere, practicing their profession. Consequently, as a smart business decision, it is best to outsource the organizing and management to an experienced and professionally managed company whose sole focus and energy is on the success of the business. Improve the odds of being a winner and making a profit with proven management. Q: Why a General Partner/Limited Partnership legal configuration? A: This is a conventional legal relationship. The GP is usually set up to take the legal risk and guide the business. The Limited partners own most of the enterprise and profits, and are sheltered from legal liability. In this case the GP will also be the managing partner. imdds, as the GP, owns 20% of the Limited Partnerships and the local dentists own 80%. Q: Many dentists have business savvy, are smart, and have the capital and an extra room in the office. Why not start an imaging center ourselves? A: This is not an issue of being smart and savvy. This is an issue of keeping your energy focused on your best and safest source of revenue, your practice of dentistry, and avoiding an unimaginable number of headaches, hassles and professional tensions. The economics are not as simple or risk-free as they initially appear, the technology is more complex, and the formatting requires unforeseen skills and dependence on a single person. Rapidly evolving technology causes quick obsolescence of equipment and portends investment losses. Q: Why the 20/80 split of ownership? A: This is a common ratio in the healthcare industry. imdds as the General Partner takes a 20% capital position to confirm its commitment to the market. This leaves 80% or most of the ownership to the local dentists. Taking a larger percentage takes away from the local dentists and the local dentists are needed for success of the enterprise. Taking a smaller share gives the appearance of no skin in the game. We know that dentists want ownership. Since dentists are the channels for the customers, they sense entitlement to most of the stock. And, ownership produces passion and support. Committed owners are needed to influence and rally their colleagues, and open doors something that an outside party cannot do. Q: What leads you to believe that more dentists, and dental ownership, will lead to success? A: Volumetric imaging is a new technology that we, along with many other leading dentists, believe adds substantial value and quality to care. Eventually, 3-D imaging will be a standard of care. But, new technology needs champions and the best champions are respected colleagues. It takes a substantial number of scans to support the hardware and operations of an imaging lab. Consequently, we are convinced that a large number of committed owner/dentists including a cadre of influential leaders are necessary to assure success. 10

Q: Does anyone get a free ride? A: No. Everything is transparent and no person has a financial advantage over a colleague. Capital for ownership is equal for everyone. imdds pays the same dollars for their shares as everyone else. Q: Are there other hidden benefits for certain large investors or users? A: No. To avoid violation of anti-kickback or State referral laws, we can only reward investors based on percentage of ownership. Investors will be offered long term financing for their shares. Volume discounts are allowable and desirable but the same deal must, by law, be offered to everyone investor or not. Q: What happens if not enough leadership or other Limited Partner shares are sold? A: This is the reason why it is so important to put the leadership group together before starting the general sales. Leaders open doors and influence their peers to be investors. If not enough leader investors, then it may be prudent to relook at the wisdom of opening a center at this time. The leaders and imd will jointly decide whether to proceed or abort the project. Main consideration is whether there is enough capital available for the start-up costs and continuing operations for 18 months. We do not want to go back to the well for more investment at a later time. Q: Does imdds require a deposit for organizing a market or receive some type of reward? A: No. imdds will take time and capital risks just like the community leaders. imdds is willing to take risks to develop successful markets. Q: Why is exclusivity a requirement? A: Exclusivity protects the investors and imdds and should be demanded by the investors. Cross-exclusivity precludes imdds from opening other centers in your market area which might cannibalize your business. And, exclusivity precludes any Limited investors from opening another center, draining the business and value from this center. It protects your investment. Q: Can certain elements or services be purchased from imdds rather than the whole package? A: Yes. imdds will be happy to provide certain selected services. The only components that imdds require are the formatting service and use of the imagdent name and logo. Formatting is a quality issue tied to the imd name. For example, the local market may want to manage the operations but want imdds to organize and set up the program, use the imd marketing material, share software, etc. imdds has a menu of options at reasonable prices. 11
