Consultant represents and warrants that be or she is not engaged in any practice inconsistent with the rights set forth in the Convention on the Rights of the Child, including Article 32 thereof, which, inter alia, requires that a child shall be protected from performing any work that is likely to be hazardous or to interfere with the child's education, or to be harmful to the child's health or physical mental, spiritual, moral or social development. b. Any breach of this representation and warranty shall entitle Client to terminate this contract immediately upon notice to Consultant, at no cost to Client. 18. Observance of the Law. Consultant shall comply with all laws, ordinances, rules, and regulations bearing upon the performance of its obligations under the terms of this contract. 19. Sexual Exploitation. a. Consultant shall take all appropriate measures to prevent sexual exploitation or abuse of anyone to perform any services under the contract. For these purposes, sexual activity with any person less than eighteen years of age, regardless of any laws relating to consent, shall constitute the sexual exploitation and abuse of such person. In addition, Consultant shall refrain from exchanging any money, goods, services, offers of employment or other things of value, for sexual favors or activities, or from engaging in any sexual activities that are exploitive or degrading to any person. Consultant acknowledges and agrees that the provisions hereof constitute an essential term of the Contract and that any breach of this representation and warranty shall entitle Client to terminate the contract immediately upon notice to the consultant, without any liability for termination charges or any other liability of any kind. b. Client shall not apply the foregoing standard relating to age in any case in which the consultant is married to the person less than the age of eighteen years with whom sexual activity has occurred and in which such marriage is recognized as valid under the laws of the country of citizenship of Consultant. VLSC checks whether you are a registered user. 5. If you aren't a registered user, confirm your business email address. This must be your organization's email address with TechSoup. You will receive an email that welcomes you to the Volume Licensing Service Center and asks you to validate your information. 6. Wait at least a quarter hour and then open this email and click the link to validate your email address. NOTE: The VLSC sends this email after your user account is created, but there is a lag before the VLSC makes the terms and conditions available. Accepting the Terms and Conditions of Your Charity Open License Agreement You will now be prompted to sign and accept the terms and conditions of the Charity Open License Agreement. License Agreement Addendum Below is an addendum to the terms and conditions that you sign at the VLSC website. It applies to the license rights for your donated software. All terms used but not defined have the same meaning as in the Microsoft Charity Open License Agreement (License Agreement). By accepting the License Agreement you also accept this addendum. Notwithstanding anything to the contrary, Microsoft Corporation is the licensor in the License Agreement and this addendum. The following are important legal documents showing the terms and conditions of your donation and details of the licenses donated to your organization. 1. Terms and conditions (agreement of how the donated software will be used by your organization): a. License Agreement (either Charity Open License Agreement or Open License Agreement) b. The following sections in the Open License Agreement or Charity Open License Agreement are hereby deleted in their entirety and replaced with the following: License confirmation. The online records in VLSC, the Open License Agreement, and addendums included in this Microsoft donation letter are Customer's confirmation and evidence of the Licenses granted. Restrictions on use. Customer may not: i. Separate the components of any product made up of multiple components by running them on different computers, by upgrading or downgrading them at different times, or by transferring them separately, except as otherwise provided in the product use rights; ii. Rent, lease, lend or host products, provided, however, that you may rent, lease, or lend the products within facilities under your control and installed on personal computers or servers (and not as standalone products) obtained and utilized in accordance with the purposes of the Microsoft Community Software Donations Program or the Microsoft Community Technology Skills Program through which your organization offers computer training or shared access computing to the public for their learning and/or benefit which may otherwise not be available to them; iii. Reverse engineer, de-compile or disassemble products, except to the extent expressly permitted by applicable law despite this limitation; iv. Transfer licenses to, or sublicense, products to the Government. Therefore, all qualified desktops on which Customer will run the Windows Desktop Operating System Upgrade must be licensed to run one of the qualifying operating systems identified in the Product List at http://www.microsoft.com/licensing/windows. Donated licenses are based on the Open License program, not Academic Open or Charity Open. For Customers that have been granted a Get Genuine operating system, this paragraph does not apply. Transferring Licenses. You may not transfer licenses donated through the Microsoft Software Donation Program. The organization named on the license application will be the owner of the donated licenses.
