The regular meeting of the Board of Education, Independent School District #595, East Grand Forks, Minnesota was held on Monday, July 14, 2014, at 5:30 p.m. at the Senior High School. The meeting was called to order by Board Chair Palmiscno. Board members present: Board member absent: Black, Leonard, Palmiscno, Simonson, and Thompson Galstad In the absence of Member Galstad, Member Thompson served as acting clerk. Simonson moved to approve the agenda with the following additions: 7.12 Maintenance Master Agreement 8.02 Hires Items d, e, and f Leonard seconded the motion. The motion was carried. Leonard moved to approve the minutes of the June 23, 2014, school board meeting as presented. Black seconded the motion. The motion was carried. Member Leonard introduced the following resolution and moved its adoption: RESOLUTION AUTHORIZING THE HIRING OF CASUAL SUBSTITUTE TEACHERS FROM AN ESTABLISHED LIST WITHOUT INDIVIDUAL BOARD APPROVAL WHEREAS, the School Board has the power, pursuant to M.S. 12.35, to hire substitute teachers; and WHEREAS, the School Board recognizes that it will be necessary to hire casual substitute teachers from time to time in order to fulfill the district's education obligations; WHEREAS, in order to consistently meet the academic needs of all students without interruption, the administration must be able to fill instructional vacancies, as they arise, without delay; THEREFORE, BE IT HEREBY RESOLVED THAT: 1. The School Board of Independent School District #595 hereby authorizes the school administration to establish and maintain an ongoing list of available casual substitute teachers. 2. The administration is hereby authorized to hire casual substitute teachers from such list as necessary without prior School Board approval for each individual hired in that capacity. Simonson seconded the motion. The motion was carried. Thompson moved that these delegated District employees be authorized to sign for the following specific accounts: 1. K-12 Petty Cash - Treasurer Leonard, David Pace, and Estelle Knutson 2. K-12 transfers from savings accounts to checking accounts for the payment of payroll - Treasurer Leonard, David Pace, and Estelle Knutson 3. K-12 transfers from savings accounts to checking accounts for the payment of monthly board bills - Treasurer Leonard, David Pace, and Estelle Knutson 4. Leonard moved to name Superintendent David Pace as the hearing officer to hear appeals regarding eligibility for free and reduced meals. Simonson seconded the motion. The motion was carried.

Thompson moved to continue with the offer vs. serve hot lunch program for all students in the East Grand Forks Public Schools, grades K-12, for the 2014-15 school year. Simonson seconded the motion. The motion was carried. Thompson moved to advertise for bids for the district s fuel, milk, and bread needs for the 2014-15 school year. Bids will be received by 12:00 noon on August 6, 2014, in the Office of the Superintendent. Black seconded the motion. The motion was carried. Black moved to renew the district s membership in the Minnesota School Board Association at a cost of $5419 and to renew the policy services at a cost of $595 for the 2014-15 school year. Leonard seconded the motion. The motion was carried. Member Black introduced the following resolution and moved its adoption, which motion was seconded by Member Leonard: RESOLUTION AUTHORIZING ISSUANCE AND SALE OF $3,000,000 GENERAL OBLIGATION AID ANTICIPATION CERTIFICATES OF INDEBTEDNESS OF 2014 BE IT RESOLVED by the School Board (the Board) of Independent School District No. 595 (East Grand Forks), Minnesota (the District), as follows: SECTION 1. PURPOSE. It is hereby found, determined and declared that certain state aids for schools receivable by the District during the July 1, 2014 to June 30, 2015 fiscal year will not be received in time to meet necessary expenditures for the purposes for which such aids are receivable. The District is authorized, pursuant to Minnesota Statutes, Sections 126C.50 through 126C.56, to borrow money by the issuance of its aid anticipation certificates of indebtedness in a principal amount not greater than 75% of the amount of such aids receivable by the District during the 2014-2015 fiscal year and has determined to issue its General Obligation Aid Anticipation Certificates of Indebtedness of 2014 in the amount of $3,000,000 (the Certificates) against aids receivable for funds 1, 2 and 4 (the Operating Funds). The principal amount of the Certificates issued pursuant to this resolution is within said statutory borrowing limitation. SECTION 2. SALE MEMORANDUM. Public Financial Management, Inc., in Minneapolis, Minnesota (PFM), financial advisor to the District, has presented to this Board a form of Sale Memorandum for the Certificates which is attached hereto and hereby approved and shall be placed on file by the Clerk. Each and all of the provisions of the Sale Memorandum are hereby adopted as the terms and conditions of the Certificates and of the sale thereof. PFM, as independent financial advisor, pursuant to Minnesota Statutes, Section 475.60, Subdivision 2, paragraph (9), is hereby authorized to solicit proposals for the Certificates on behalf of the District on a competitive basis without requirement of published notice. SECTION 3. SALE MEETING. This Board shall meet at the time and place shown in the Sale Memorandum for the purpose of considering proposals for the purchase of the Certificates and of taking such action thereon as may be in the best interests of the District. SECTION 4. STATE CREDIT ENHANCEMENT PROGRAM. (a) The District hereby covenants and obligates itself to notify the Commissioner of Education of a potential default in the payment of principal and interest on the Certificates and to use the provisions of Minnesota Statutes, Section 126C.55 to guarantee payment of the principal and interest on the Certificates when due. The District further covenants to deposit with the Registrar or any successor paying agent three (3) days prior to the date on which a payment is due an amount sufficient to make that payment or to notify the Commissioner of Education that it will be unable to make all or a portion of that payment. The Registrar for the Certificates is authorized and directed to notify the Commissioner of Education if it becomes aware of a potential default in the payment of principal or interest on the Certificates or if, on the day two (2) business days prior to the date a payment is due on the Certificates, there are insufficient funds to make that payment on deposit with the Registrar. The District understands that as a result of its covenant to be bound by the provision of Minnesota Statutes, Section 126C.55, the provisions of that section shall be binding as long as any Certificates of this issue remain outstanding. (b) The District further covenants to comply with all procedures now and hereafter established by the Departments of Management and Budget and Education of the State of Minnesota pursuant to Minnesota Statutes, Section 126C.55, subdivision 2(c) and otherwise to take such actions as necessary to comply with that section. The chair, clerk, superintendent or business manager is authorized to execute any applicable Minnesota Department of Education forms. Upon vote being taken thereon, the following voted in favor thereof: Palmiscno, Simonson, Leonard, Black, Thompson whereupon the resolution was declared duly passed and adopted.

Simonson moved to approve the Health and Safety budget for the Minnesota Department of Education and Independent School District No. 595, and to approve the current district policy with no changes. Black seconded the motion. The motion was carried. Leonard moved that the following resolution be approved: RESOLUTION RELATING TO THE ELECTION OF SCHOOL BOARD MEMBERS AND CALLING THE SCHOOL DISTRICT GENERAL ELECTION BE IT RESOLVED by the School Board of Independent School District No. 595, State of Minnesota as follows: 1. It is necessary for the school district to hold its general election for the purpose of electing three school board members for terms of four (4) years each. The clerk shall include on the ballot the names of the individuals who file affidavits of candidacy on said general election during the period for filing such affidavits, as though they had been included by name in this resolution. The clerk shall not include on the ballot the names of individuals who file timely affidavits of withdrawal in the manner specified by law. 2. The general election is hereby called and directed to be held in conjunction with the state general election on Tuesday, the 4th day of November 2014. 3. Pursuant to Minnesota Statutes, Section 205A.11, the precincts and polling places for this general election are those polling places and precincts or parts of precincts located within the boundaries of the school district and which have been established by the cities or towns located in whole or in part within the school district. The voting hours at those polling places shall be the same as for the state general election. 4. The clerk is hereby authorized and directed to cause written notice of said general election to be provided to the county auditor of each county in which the school district is located, in whole or in part, at least fifty-three (53) days before the date of said election. The notice shall include the date of said general election and the office or offices to be voted on at said general election. The clerk is hereby authorized and directed to cause notice of said general election to be posted at the administrative offices of the school district at least ten (10) days before the date of said general election. The clerk is hereby authorized and directed to cause a sample ballot to be posted at the administrative offices of the school district at least four (4) days before the date of said general election and to cause a sample ballot to be posted in each polling place on election day. The sample ballot shall not be printed on the same color paper as the official ballot. The sample ballot for a polling place must reflect the offices, candidates and rotation sequence on the ballots used in that polling place. The clerk is hereby authorized and directed to cause notice of said general election to be published in the official newspaper of the school district for two (2) consecutive weeks with the last publication being at least one (1) week before the date of said election. The notice of election so posted and published shall state the offices to be filled set forth in the form of ballot below, and shall include information concerning each established precinct and polling place. The clerk is authorized and directed to cause the rules and instructions for use of the optical scan voting system to be posted in each polling place on Election Day. 5. The clerk is authorized and directed to acquire and distribute such election materials as may be necessary for the proper conduct of this election, and generally to cooperate with election authorities conducting other elections on that date. The clerk and members of the administration are authorized and directed to take such actions as may be necessary to coordinate this election with those other elections, including entering into agreements or understandings with appropriate election officials regarding preparation and distribution of ballots, election administration and cost sharing. 6. The clerk is further authorized and directed to cause or to cooperate with the proper election officials to cause ballots to be prepared for use at said election in substantially the following form, with such changes in form, color and instructions as may be necessary to accommodate an optical scan voting system.

Thompson moved that the following resolution be approved: NOTICE OF FILING DATES FOR ELECTION TO THE SCHOOL BOARD INDEPENDENT SCHOOL DISTRICT NO. 595 EAST GRAND FORKS, MINNESOTA NOTICE IS HEREBY GIVEN that the period for filing affidavits of candidacy for the office of school board member of Independent School District No. 595 shall begin on July 29, 2014, and shall close at 5:00 p.m. on August 12, 2014. The general election shall be held on Tuesday, November 4, 2014. At that election, three (3) members will be elected to the School Board for terms of four (4) years each. Affidavits of Candidacy are available from the school district clerk, Superintendent s Office, 203 14 th Street NE, East Grand Forks, MN. The filing fee for this office is $2. A candidate for this office must be an eligible voter, must be 21 years of age or more on assuming office, must have been a resident of the school district from which the candidate seeks election for thirty (30) days before the general election, and must have no other affidavit on file for any other office at the same general election. The affidavits of candidacy must be filed in the office of the school district clerk and the filing fee paid prior to 5:00 p.m. on August 12, 2014. The motion for the adoption of the foregoing resolution was duly seconded by Black and upon vote being taken thereon, the following voted in favor thereof: Palmiscno, Simonson, Leonard, Black, and Thompson whereupon said resolution was declared duly passed and adopted. Simonson moved to approve the Senior High School handbook as presented. Black seconded the motion. The motion was carried.

Thompson moved to approve the 2014-16 Master Agreement with Teamster Local 120 as presented. Leonard seconded the motion. The motion was carried. Leonard moved to accept the following resignations: a. Dana Eades, paraprofessional effective June 23, 2014 b. Kari Pagnac, paraprofessional effective June 20, 2014 c. Brittany Hagen, elementary teacher effective June 26, 2014 d. Dan Knox, adaptive physical education teacher effective July 3, 2014 e. Jessica Krog, girls head soccer coach effective July 10, 2014 Simonson seconded the motion. The motion was carried. Thompson moved to hire the following people: a. All education opportunities will be offered without regard to sex, race, color, national origin, or handicap. David Pace, Superintendent of Schools, is the school district's Title IX Coordinator. The school district and its employees will maintain a working atmosphere free of discriminatory insult, insinuation or intimidation, and all forms of employee sexual harassment, verbal or physical. To this end, the district has developed a sexual harassment policy and appointed David Pace, Superintendent of Schools, as the district contact person, phone 218-773-3494. Black moved to approve the miscellaneous payments the June 28, 2014, payroll in the amount of $19,735.20. Simonson seconded the motion. The motion was carried. The consent agenda is on file in the Superintendent s Office.
