SICUR BUILDY H FRAME WITH BUSHES SCALFFOLDING SYSTEM 5 X 180-5 X 0 The new Sicur-Buildy scaffolding system has been designed to offer better guarantees of safety to our clients during assembly and dismantling procedures. The scaffolding is compliant with the European HD 00 standard and with the Decree of the President of the Italian Republic 164/56. Thanks to the new guard rail side panel and to the new bushes welded on the frame s uprights, the assembly of the scaffolding is easier and safer for the workers. With the new Sicur-Buildy system, the worker is always protected by the guard rail side panel during the assembling phase, which is placed before climbing to the next floor; during the dismantling phase, inversely, the guard rail side panel is gotten off after having gone down to the inferior floor. 4 - fix the guard rail side panel in the special bushes and assemble the walkboard with trapdoor then put the ladder 5 - place the guard rail end panel 6 - climb to the next floor safely and repeat the procedure from phase 1 to phase 5 P O N T E G G I E D I L P O N T E S P A - p r i c e l i s t 19

The confirmation of the order mentioned above, duly confirmed by the buyer, constitutes an integral and essential part of the present Agreement. 2) AMENDMENTS. If the general conditions contained in the confirmation of the order undersigned by the buyer differ from those specified in the original order, the Agreement shall be enforced in any case after days from the signing of the confirmation of the order without obligation for the buyer to communicate its possible dissent in writing. 4) OPTION. The order is binding and final for the buyer at the moment of the signing of the confirmation for a period of six months. Pursuant to art. 1331 and art. 1329 of the Civil Code, the seller has the right to accept or refuse to provide the goods. The seller is also entitled to accept the order in part, refusing to provide those goods that he determines cannot be delivered. 5) PENALTY. If the order is cancelled by the buyer, in breach of conditions agreed to herein, even with the consent of the seller, the buyer shall pay the seller a penalty, specifically for this reason and subject to liability of further damage, equal to thirty percent of the total price of the sale. If necessary, the seller shall retain any deposits made as advance payment. 6) PRICE AND PAYMENT. Unless otherwise agreed, the payment shall be made in full at the office of PONTEGGI EDILPONTE before delivery. All expenses related to the payment and to the Agreement must be borne by the buyer, including stamp duties and costs for the collection of bills, registration, and transfer of the lien or the fulfilment of the formalities related to the lien. Any deferred payment, unless otherwise indicated in the order confirmation, is subject to interest according to the Euribor rate 6 months, increased by 4 percentage points. The amount of each instalment indicated in the confirmation of the order, unless otherwise specified, shall correspond exclusively to the sale of the products and interest must be added. Moreover, unless otherwise agreed, late payments with respect to the agreed payment dates and any renewal or extension granted will be subject to Euribor interest rates, 6 months, increased by eight percentage points. The buyer shall pay the default interest starting from the date of any breach, delayed or postponed payment without the necessity of any default action. 7) DELIVERY. Unless otherwise indicated in the order of confirmation, the products sold and bought will be delivered at the office of PONTEGGI EDILPONTE.The delivery date indicated in the confirmation of the order shall be considered as non-essential and, in any case, dependent on the production possibilities. In no event shall the buyer have the right to request the termination of the Agreement or refuse the goods because of delivery delay or in any case to require compensation or indemnification. Acceptable causes for possible delays in the delivery, not exceeding 120 days, other than cases of Force Majeure, are all causes that can delay the process of production and distribution, for example, the discontinuance of work, trade union protests, difficulties in the supply process and shipment etc. 8) WITHDRAWAL OF ONE PARTY. The seller is entitled to withdraw from the contract at any time and without any right, even without recourse to an indemnity, in favour of the buyer. 9) GUARANTEE AND ACCEPTANCE OF THE PRODUCT. Any defect, fault or difference of the product must be verified and communicated to the seller within the mandatory and peremptory time limit of eight days starting from the delivery or from the collection of the goods. The reporting of defects, faults or differences must be warranted and communicated exclusively in writing by registered letter. If no objection is made within the time limit indicated, the product will be considered as accepted without any condition. ) LIMITS OF THE GUARANTEE. The guarantee is limited exclusively to the withdrawal of the faulty part by PONTEGGI EDILPONTE after having clearly ascertained a material defect and to the exchange with a new part free of charge. In this case, the replacing part will be delivered to GRUPPO EDILPONTE, and the assembly and/or installation will be the responsibility of the buyer. Excluded faults are those faults caused by lack of maintenance and lubrication, improper use, inexperience, wear and tear, incorrect use of the product, wrong placement and assembly of the part and other causes that are not attributable to GRUPPO EDILPONTE. Any compensation for direct and indirect damages shall be excluded. 11) CANCELLATION OF THE GUARANTEE. The guarantee is void for the products that are eventually repaired, modified or altered, even only partially, without the intervention of PONTEGGI EDILPONTE, or for products that are not used in compliance with the indications provided by the seller. In no case, can the buyer demand the replacement of the goods nor the reduction of the price and the suspension of payments. 12) EXEMPTION FROM LIABILITY. The seller is exempted from any liability and obligation for any accident involving people and things during the use of the product, or caused directly or indirectly by the part: this is also valid during the dispatch or the testing process and also in the event the accident is caused by production defects or material defects. Any different or broader form of guarantee is excluded as well as any compensation claim for any reason related to any defect of the goods. 13) LIEN. In compliance with the terms of art. 1523 and following articles of the Civil Code., PONTEGGI EDILPONTE reserves the right of ownership on the goods until full payment of the sale price. At the point of collection or delivery of products described in the confirmation of the order herein, the buyer assumes all risks and rewards of ownership. For further certainty, the buyer, from the signing of the confirmation of the order, takes on all the risks concerning the wear and tear and the deterioration of the goods, as well as all risks related to the civil liability towards third parties.the buyer is obliged to maintain the goods with due care, in order to keep them perfectly efficient and to carry out all the regular and extraordinary repair interventions. These costs will be borne in all cases by the buyer. The transfer and assignment of ownership rights or of guarantee on the goods without the consent of PONTEGGI EDILPONTE are not permitted until the full sale price is paid. Payment with bills of exchange or drafts shall be considered as payment only after these instruments have been cashed. Pursuant to art. 1456 of the Civil Code the parties agree to the termination of the present contract and its terms, in the case of a breach of payment, even for only one instalment, or more consecutive instalments that exceed an eighth of the sale price. In this event, the termination of the contract shall take place by law following the communication made by telegram or registered letter with acknowledgement of receipt confirming the intention to enact the present resolution clause. Following the termination, PONTEGGI EDILPONTE, shall be entitled to demand the immediate payment of all the instalments, including payments not yet due, or demand the immediate return of all the sold goods. In the latter case, PONTEGGI EDILPONTE, shall be entitled to immediately forbid the buyer to use the products sold, in the manner deemed most appropriate, also through confiscation and with no liability for damages. The amounts already paid by the buyer will remain property of the seller as indemnity for transportation, deterioration, depreciation or legal costs. 14) EXPLICIT RESOLUTION CLAUSE. If the buyer is not solvent or does not make payment in due time even for only one cash order, instalment, draft or bill of exchange, the seller is entitled to take possession of all the goods from the buyer s sites and warehouse which were indicated in the above mentioned confirmation of the order. The advanced payments made shall be held by the seller as compensation for the wear and tear of the goods and the costs borne. 15) SOLVE ET REPETE. The buyer agrees explicitly to pay in full and unconditionally what is due for the goods received to the seller within the agreed deadlines. Only after full payment of all pending charges, the Buyer shall be entitled to highlight the presence of possible exceptions concerning faults or defects, in the goods purchased, etc... 16) PLACE OF JURISDICTION. Any dispute that could arise in relation to the supply described above shall be ruled by the Judicial Authority of Verona, which is agreed by the parties as the only and exclusive Place of Jurisdiction, with waiver of exemption for cause or guarantee. The issuance of bank drafts, cash orders or bills of exchange even if issued for extension of the payment deadlines, shall never imply the modification of the above mentioned place of jurisdiction, not even in the case in which payment is made partially or totally by bills of exchange or drafts domiciled in other places of jurisdiction. 17) APPLICABLE LAW. The present Agreement is governed by Italian law. 18) ITALIAN JURISDICTION. Any dispute that could arise from the interpretation, application, validity, effectiveness or execution of the present Agreement shall be settled exclusively by an Italian judge.
