1.3 IBM Responsibilities IBM and XXXX will assist you by providing the following resources: List required resources here 1.4 Your Responsibilities XXX will remain responsible for the control, management and supervision of all Services, the use of materials and for any results to be achieved. 1.6 Completion Criteria These Services will be considered complete when, a. List completion criteria OR b. Specify End Date Unless otherwise agreed by IBM and XXX in writing.
1.7 Estimated Schedule The Services will be performed consistent with the estimated schedule mutually agreed upon by both of IBM and XXXX. IBM and XXX will use commercially reasonable efforts to carry out our respective responsibilities according to such schedule. The following is provided for planning purposes: Start Date: End Date: 1.8 Terms of Proposal All the information, representations, statements, opinions and proposals in this document are correct and accurate to the best of our present knowledge and are not intended (and should not be taken) to be contractually binding unless and until they become the subject of separate, specific agreement between XXX and IBM. This proposal should not be construed as an offer capable of acceptance. This proposal contains information which is confidential to IBM and is submitted to XXX on the basis that it must not be used in any way nor disclosed to any other party, either whole or in part. The only exception to this is that the information may be disclosed to XXX employees or professional advisors where such disclosure is on a need to know basis, and is for the purpose of considering this proposal. Otherwise disclosures may not take place without the prior written consent of IBM. The use of the word 'partnership' and/or 'partner' within this proposal implies a close strategic working relationship as described in this proposal. These words have no reference to partnership in the legal sense of meaning collective ownership of any legal entity. IBM s and XXX respective organisations are independent of each other and are not partners, agents or representatives of each other and do not have the right to bind each other. This proposal is valid for a period of 30 days from its date unless extended by IBM in writing.
