1 Trading Terms 1. Payment a) Payment for credit accounts is due 25 days from the end of month statement. b) Should an account become overdue and payment not received in our office by 30 days after the end of month statement, interest will be charged on all overdue amounts at the rate of 12% under the Penalty Interest Rate Act 983. c) If an account becomes 60 days overdue Chris Richards and Associates & Country Vet Wholesaling Pty Ltd will not supply any products until payment is received. d) Chris Richards and Associates & Country Vet Wholesaling Pty Ltd accept payment by cheque or direct debit into the nominated bank account as printed on the bottom of all invoices. e) A 2% charge will apply when paying by MasterCard or Visa. 2. Orders a) Chris Richards and Associates & Country Vet Wholesaling Pty Ltd reserve the right to accept or decline, in whole or in part, any order placed by the Customer. b) Chris Richards and Associates & Country Vet Wholesaling Pty Ltd will place on a back order file any items temporarily out of stock and supply these items when stock becomes available unless the Customer specifically instructs otherwise before the goods are shipped. The Customer will be notified of goods on back order on the delivery docket of other goods sent. When goods on back order are sent, the Customer will be notified via an Order Confirmation fax. c) An Order Confirmation will be faxed to the Customer upon goods leaving Chris Richards and Associates & Country Vet Wholesaling Pty Ltd. This will state: Client Name, Delivery Address, Date order received and how order was placed (phone, fax, , other), Date order sent, Method of despatch, If refrigeration is required on arrival and Maximum expected delivery date. 3. Freight/Postage (GST Applicable) a) Goods will be sent to the delivery address as indicated on the Customer Credit Application Form. b) The Customer and Chris Richards and Associates & Country Vet Wholesaling Pty Ltd will mutually agree upon the method of delivery. c) Customers can indicate more than one delivery address or method however this must be submitted to Chris Richards and Associates & Country Vet Wholesaling Pty Ltd in writing. d) Freight for Victorian, Tasmania and South Australian customers will be charged at $20.00 per order. e) Freight for New South Wales, Queensland, Northern Territory & Western Australia customers will be charged at $50.00 per order. f) Unless the customer gives notice to Chris Richards and Associates & Country Vet Wholesaling Pty Ltd of non-receipt of goods within 3 days of Maximum expected delivery date the credit for goods, where applicable will not be given. 4. Pricing Policy (GST Applicable) a) All orders will be subject to Chris Richards and Associates & Country Vet Wholesaling Pty Ltd s list prices or contract prices at the date of despatch. b) Pricing subject to change without notice. 5. Invoice Format a) Invoices will be posted after goods are despatched unless otherwise informed (ie. If the Customer would prefer the invoice faxed or ed, notify Chris Richards and Associates & Country Vet Wholesaling Pty Ltd in writing). b) Statements will be sent at the end of each month summarising all account movements during the month. 6. Return of Goods Policy (GST Applicable) a) The Customer must contact Chris Richards and Associates & Country Vet Wholesaling Pty Ltd to advise details of goods to be returned.

2 b) Chris Richards and Associates & Country Vet Wholesaling Pty Ltd will approve request by allocating a Return Authorisation Number and sending a Return of Goods form, which is to accompany goods being returned. c) The following goods will be accepted for return: - Goods damaged in transit - Incorrect supply that is excess, (but only to the extent of the excess) or wrong goods. d) Chris Richards and Associates & Country Vet Wholesaling Pty Ltd will not accept goods for return unless a Return Authorisation Number has been allocated to the goods. e) Goods accepted by Chris Richards and Associates & Country Vet Wholesaling Pty Ltd for return will be replaced by Chris Richards and Associates & Country Vet Wholesaling Pty Ltd with equivalent or correct goods. f) The following items will NOT be accepted for return on any basis: - Goods sold on a specific non-return basis - Goods having a broken seal or label removed - Goods involved in a fire sale, sacrifice sale or bankruptcy sale - Vaccines that have been stored on farm for more than 3 days following delivery - Expired stock g) Goods accepted by Chris Richards and Associates & Country Vet Wholesaling Pty Ltd for return are to be returned to Chris Richards and Associates & Country Vet Wholesaling Pty Ltd at the Customer s cost unless inaccurate goods sent by Chris Richards and Associates & Country Vet Wholesaling Pty Ltd Wholesaling Pty Ltd. 7. Title to Goods a) Property and ownership in all goods shall remain with Chris Richards and Associates & Country Vet Wholesaling Pty Ltd until all monies owing to Chris Richards and Associates & Country Vet Wholesaling Pty Ltd on any account whatsoever have been paid ( the Debts ) b) Until the Debts have been paid, the Customer holds all goods as bailee of Chris Richards and Associates & Country Vet Wholesaling Pty Ltd and must return the goods on request. The Customer must also ensure that the goods are insured and stored or identified as such that they are readily distinguishable from other goods. 8. Personal Property Securities Act 2009 (PPSA) a) The Customer acknowledges and agrees that these Terms and Conditions of Sale constitute a Security Agreement and create a Security Interest in all goods that have been previously supplied to the Customer and that will be supplied in the future to the Customer by Chris Richards and Associates & Country Vet Wholesaling Pty Ltd. b) The Customer acknowledges that Chris Richards and Associates & Country Vet Wholesaling Pty Ltd, as the Secured Party, is entitled to register its interest in goods supplied or to be supplied to the Customer as Grantor under these Terms and Conditions of Sale on the PPSA Register. c) The Customer agrees to promptly sign any further documents and/or provide any further information which Chris Richards and Associates and Country Vet Wholesaling Pty Ltd may reasonably require to: i. register the Security Interest on the PPSA register; ii. register any other document required to be registered by the PPSA; or iii. correct a defect in a statement referred to in 8(c)(i) or 8(c)(ii). d) The Customer agrees to indemnify Chris Richards and Associates & Country Vet Wholesaling Pty Ltd on demand for all costs and expenses, including legal costs and expenses on a solicitor/client basis, associated with: i. registration or amendment or discharge of any registration on the PPSA register by or on behalf of Chris Richards and Associates & Country Vet Wholesaling Pty Ltd; and ii. enforcement or attempted enforcement of any Security Interest granted by the Customer to Chris Richards and Associates & Country Vet Wholesaling Pty Ltd. e) The Customer agrees not to: i. register a financial change statement in respect of the Security Interest without the prior written consent of Chris Richards and Associates & Country Vet Wholesaling Pty Ltd; or

3 ii. register, or permit to be registered, a financial statement or a financing change statement in relation to the goods in favour of a third party without the prior written consent of Chris Richards and Associates & Country Vet Wholesaling Pty Ltd. f) The Customer waives its rights to receive notices under the PPSA (including a notice of verification statement) unless the notice is required by the PPSA and that requirement cannot be excluded. g) The Customer waives its rights as a grantor and or debtor under sections 142 and 143 of the PPSA. h) In this clause, defined terms have the same meaning as given to them in the PPSA 9.
