LEXUS Option Summary Nerium International values the dedicated Brand Partners who help us be successful. To say thank you and commend you on a job well done, we offer the LEXUS Option to Brand Partners who build, achieve, and maintain the position of Senior, or above, on a month-to-month basis. Any Brand Partner who A) qualifies for this program, B) submits the enclosed Acknowledgment Form with a copy of the purchase or lease agreement of a qualified LEXUS car (See Deciding on a LEXUS ) to the Company, C) completes the enclosed LEXUS Decal Form and returns it to the Company, D) acquires a qualifying LEXUS, and E) sends in a photo showing proof of installed decal, bumper sticker, or license plate, will receive a monthly car bonus payment according to the rank qualification achieved. Please note that Nerium International will not pay your LEXUS until you satisfy all of the above requirements. This means you may be responsible for your own payment if all required paperwork is not received by corporate in a timely manner. Program Qualifications To qualify for the Nerium International LEXUS Option, a Brand Partner must meet the following requirements: You must be an Active Brand Partner in good standing with Nerium International. You must be enrolled in the Nerium International Auto-Delivery program. You must achieve the rank of Senior or above (grace period rule does not apply). Meeting these requirements is the first step toward becoming eligible to receive a monthly LEXUS Bonus. Invitation to Participate This is your invitation to participate in the Nerium International LEXUS Option. This letter is your official welcome to the Nerium International LEXUS Option, and is necessary for you to qualify for bonus payments. You are not authorized to begin the program until you have received this letter, reviewed the following Program Guidelines, and returned a signed copy of the acknowledgement form to Nerium International. We recommend taking time before deciding to purchase or lease a car. Many Brand Partners initially take the seven free bottles of NeriumAD for a maximum of six months (detailed below) until they decide to purchase a car. LEXUS Option Information Dealer Process Information This letter allows you to take the first step to begin the car selection process. You may choose to acquire your LEXUS from a car dealership of your choice or from an individual. You will be responsible for submitting your completed car purchase paperwork to Nerium International to begin your bonus payments. You may choose any LEXUS model up to four years old in silver, white, or dark gray. Please be sure to send a legible faxed copy or high quality scan of all your paperwork to ensure the documents are readable. Program Guidelines Before you make the final decision regarding your LEXUS purchase or lease, you should understand the details of the program. You must carefully read and review the following Program Guidelines before signing and returning the Acknowledgement Form and LEXUS Decal Form to Nerium International. These are the requirements to be eligible to participate in the program. 1
Deciding on Your LEXUS Work with the car dealership of your choice to locate the LEXUS you want and agree to the purchase/lease terms directly with them. Determine what year, model, and financing options qualify for the program: o The car must be a new or pre-owned LEXUS with a silver, white, or dark gray exterior. Any other color will not be eligible for the LEXUS. o Aside from the specific LEXUS color, there are no restrictions on models or features. o The pre-owned LEXUS must either be the current model or from the four previous model years. You have the option to either purchase or lease. o If you purchase your LEXUS, you will be eligible for a payment equal to your monthly car payment, up to the maximum bonus available, based on the rank for which you qualified at the end of each calendar month. The LEXUS bonus will be paid for the term of the loan (based on qualification), or 48 months from the date of the loan, whichever is less. To receive the LEXUS bonus, you must earn and maintain the position of Senior or above, maintain your Auto-Delivery Order, and provide the Company with proof of ownership of the vehicle, as well as proof of the loan and payment amount. o Leasing your LEXUS will make you eligible for a payment equal to your monthly lease payment, either for the term of the lease or 48 months from the date of the lease (whichever is less), up to the maximum bonus available based on the rank for which you qualify. To receive the LEXUS bonus, you must earn and maintain the position of Senior, or above, for the term of the lease and provide the Company with proof of ownership of the vehicle, as well as proof of the lease and payment amount. If your lease expires, or the 48 month period expires, and you do not lease/purchase another LEXUS, you will no longer be eligible for the monthly bonus.* The amount of the bonus is based on the actual amount of your loan/lease and your Paid-As Rank at the end of each monthly commission period. Delivery of Your LEXUS In some cases, you can arrange to have your car delivered to a Nerium International event. Working with your car dealership, this option will allow you to be presented with your new LEXUS as a part of a Nerium International event. If you wish to have your LEXUS presented to you at a Nerium International event, you must notify the Company at least four weeks prior to the event. Send your request to recognition@nerium.com. Branding When your Acknowledgement and LEXUS Decal Forms are received by the Company, Nerium International will send you your choice of a car decal or sticker. This Nerium International artwork should be present on the back of your LEXUS at all times. Please send a photo showing proof of your installed window decal, bumper sticker, or license plate holder to the Company at recognition@nerium.com to fully meet your LEXUS requirements. & Testimonials When you receive your LEXUS, you will need to provide a picture and testimonial to Nerium International to fully meet your LEXUS requirements. Please provide the following: Digital picture of you with your LEXUS sent to recognition@nerium.com. Second photo showing proof of installed window decal, bumper sticker, or license plate holder from corporate. Photo should include you, LEXUS and decal showing. Short testimonial about how great it feels to get your new LEXUS. Name, rank, city, state, and brand partner ID number. 2
Important Program Advisory Please be aware of the following important points regarding your participation in this program. The contract you execute will be between you and the car Dealership and/or Financial Institution. Nerium International s obligation is to award monthly bonuses to you, based on program rules. If, and when, your car is delivered, sign and return the attached signature page, fully executed. Nerium International will not offer advice to you regarding your ability to honor a lease contract or with respect to the terms of any lease. The sale/lease agreement is strictly between you and the seller/leaser. Nerium International is not obligated to pay any monthly LEXUS bonus to a Brand Partner who: o Does not meet all of the qualifications of a Senior or above (including, but not limited to, group volume qualifications. Being Paid as Senior due to the Nerium International grace period rule does not qualify a Brand Partner to receive a LEXUS Bonus.) o Does not have an active Auto-Delivery Order. o Is on probation or suspension, or has been terminated for any reason. o Fails to provide proof of ownership of a qualified LEXUS annually, on the anniversary date of the initial LEXUS Bonus Payment. o Fails to brand the car with the Nerium International branding materials. o Fails to provide digital picture of themselves with their LEXUS, along with a short testimonial about how it feels to have earned a new LEXUS. Nerium International highly recommends that you be completely comfortable financially when making the decision to enter into a LEXUS lease or purchase agreement. We want you and your family to be prepared for the responsibility of the required care and payments before entering into any agreement. LEXUS Loan Payments The decision to acquire a new or pre-owned LEXUS is solely the responsibility of the Brand Partner in consultation with a LEXUS dealer or leaser. Any contract signed by the Brand Partner is exclusively between said Brand Partner and LEXUS dealer or leaser. Nerium International will not guarantee any purchase or lease payments and cannot offer any advice as to the Brand Partner s ability to finance said vehicle. Re-Entering LEXUS Bonus with a New Car At the end of a 48-month period, a Brand Partner may re-enter the LEXUS Bonus based on the terms of the program at the time of re-entry, provided the Brand Partner has advanced to at least one pay level higher in the LEXUS Bonus Program. For example, if a Brand Partner first enters the program at the $500 per month LEXUS Bonus level (Senior, Executive, or Regional ), they must have advanced to a minimum of the $750 per month LEXUS Bonus level (, 1-Star, or 2-Star ) in order to be qualified to re-enter the bonus program. When a Brand Partner reaches the $1,000 per month pay level in the LEXUS Bonus program, they may continue to re-enter the program every 48 months, as long as they continue to qualify at that level, based on the program guidelines at the time they submit the request to re-enter the bonus program. Transferring LEXUS Bonus payments may not be transferred. However, payments will be made in accordance with the program described above, in the event that a family member or partner within the same household as a LEXUS qualifier acquires a Nerium-branded silver, white, or dark gray LEXUS. In this case, the person acquiring the car will also be required to acknowledge receipt and understanding of these guidelines. Combining multiple bonus payments towards a single vehicle is not permitted. Each qualified Senior must acquire his or her own LEXUS to receive the bonus. Termination of LEXUS Bonus You will no longer be eligible to receive the LEXUS Bonus in the event of any of the following circumstances: 48 months since the origination date of the original loan. You no longer own or lease the car that was acquired in accordance with the program. You no longer have a loan/lease payment on the vehicle that was acquired in accordance with the program. You no longer use the car acquired by a qualified member of your household in accordance with the program. You are no longer an active Brand Partner of Nerium International, or you sell your Nerium International Brand Partner position. 3
Program Term The Nerium International LEXUS Option runs through December 31, 2014. After that time, Nerium International reserves the right to deny admission of any new qualifiers into the Nerium International LEXUS program. If you qualify for the Nerium International LEXUS Option prior to December 31, 2014, you will continue to be eligible to participate and receive earned bonuses as fully outlined in the guidelines above. NOTE: No LEXUS Bonus will be paid until the Acknowledgment Form, LEXUS Decal Form, and a copy of the purchase or lease agreement papers have been received by Nerium International. Acknowledgement Form The undersigned Nerium International Independent Brand Partner ( Participant ) is eligible to participate in the Nerium International LEXUS Option, as described in the attached Program Guidelines ( Program Guidelines ). Participant acknowledges and agrees that they have received the Program Guidelines, and by signing below, Participant further acknowledges and agrees to the following: 1. Participant s purchase or lease of a LEXUS (in accordance with the terms and conditions of the Program Guidelines) is a condition for receiving the bonus payments described in the Program Guidelines. In the event that Participant does not purchase or lease a LEXUS in accordance with the terms and conditions contained in the Program Guidelines, Participant shall not be entitled to receive the bonus payments described therein. In addition, in the event that Participant does purchase or lease a LEXUS, but Participant s lease or loan agreement terminates for any reason, or 48 months have passed from the inception date, or Participant fails to comply with any other requirements described in the Program Guidelines, Participant s right to receive such bonus payments will automatically terminate. 2. Participant understands that he or she is not obligated to purchase or lease a LEXUS. If Participant does purchase or lease a LEXUS, he or she acknowledges that they will, at all times, be personally and solely responsible for the payment to the financial institution for all purchase or lease amounts and/or any other amounts relating to such purchase or lease of a LEXUS. Participant further understands that Nerium International will not: a. Participate in any negotiations regarding Participant s purchase or lease of a LEXUS; b. Sign (in any capacity whatsoever) the purchase or lease agreement, or any other documents, relating to Participant s purchase or lease of a LEXUS; c. Be liable in any way whatsoever to any LEXUS dealer or financial institution (or any LEXUS affiliate) for any financial or other obligations relating to Participant s purchase or lease of a LEXUS. Nerium International s only obligation, with respect to Participant s purchase or lease of a LEXUS, will be to pay Participant s bonus directly to Participant, in such amounts and for such periods of time as described in the Program Guidelines. 3.
